Portions of the Contractor's Technical Proposal, as negotiated and accepted by the Government, may be incorporated by reference into the resultant contract. For this reason, the Contractor shall identify information contained in the proposal which the Contractor specifically does not want to be incorporated by reference.
Notwithstanding any rights the Government will receive under the contract to the data being protected under the solicitation, any request for information received under the Freedom of Information Act (5 U.S.C 552) for the resulting contract, including any portion of the proposal that was incorporated into the contract, will be reviewed in accordance with the FOIA statute. The Government will contact the Contractor to identify what information, if any, contained in the contract should be withheld from release to the public. The Contractor will then have to demonstrate that the information is a (1) a trade secret or (2) confidential, commercial information. In case of the latter, the Contractor would have to demonstrate, in detail, that disclosure would
(1) impair the Government’s ability to obtain necessary information in the future or (2) cause substantial harm to the Contractor.
Any changes in these arrangements are to be submitted to the Contracting Officer in advance for approval. In the event of any conflict or ambiguity between the Contractor's Technical Proposal and the Government's Performance Work Statement, the PWS takes precedence.
Army Contract Writing System (ACWS) Transition Information for Offerors
a. The Army Contracting Enterprise (ACE) is in the process of deploying new solicitation and contract writing software to Army contracting offices worldwide. Known as the Army Contract Writing System (ACWS), this modern software suite will soon replace most existing Army contract writing systems, including the system used to create and release this Solicitation.
b. During this transition period, Offerors are hereby advised:
1. The Contracting Office may use any combination of contract writing systems to create and release documents related to this solicitation (e.g. solicitation amendments and awards, if any). Due to this:
i. This solicitation may contain different offer submission instructions than other solicitations released by the same Contracting Office (e.g. requiring offer submission via the PIEE Solicitation Module vs. e-mail). Offerors should review all offer submission instructions contained in the solicitation documents and direct any questions or concerns to the Contract Specialist or Contracting Officer.
ii. If the Contracting Office switches contract writing systems prior to award, documents you receive from the Contracting Officer or view on SAM.gov or other forums may appear noticeably different than the initial solicitation or previous solicitations or awards from the same Contracting Office. This is normal and expected.
iii. A change between contract writing systems may cause important information concerning solicitation response (amendments) or accepted terms (awards) to take on different formatting or appear in different parts of later documents issued. Offerors shall review all documents carefully to locate this important information and direct any questions or concerns to the Contract Specialist or Contracting Officer.
2. The Government does not intend to use the transition between contract writing systems to effect any changes to solicitation or award terms and conditions without accompanying document narratives explicitly stating such changes are deliberate and desired. While the Contract Specialist and Contracting Officer will take care to minimize or eliminate any inadvertent changes when adapting to the new contract writing software, you, as the Offeror, may still be the first to spot such errors. Therefore, Offerors shall:
i. Notify the Contracting Officer immediately if any observed changes, removals, or additions affect your award eligibility, violate or alter existing quote/proposal terms, or could affect Contract performance post-award.
ii. Take special care to ensure all fill-in Clauses are populated and remain populated across documents received from the Contracting Office throughout the Solicitation and Award process.
iii. Contact the Contracting Officer listed on the first page of the solicitation or solicitation amendment for guidance if you notice or suspect any inadvertent change has occurred between document issuances.
3. The Contracting Officer will correct problems affecting award documents (if any) via bilateral modification, at no cost to the Contractor. Any such modification will reconcile the award with the latest version of this solicitation reflecting deliberate action by the Contracting Officer (e.g. the first issuance if no amendments, or the latest amendment with accompanying narratives), inclusive of any documented pre-award negotiations or accepted supplemental offer terms.
4. In the unlikely event a network disruption, contract writing system error, or financial system error threatens timely award of the requirement set forth in this solicitation, the Contracting Officer:
i. May elect to use alternative mechanisms to obligate funds and allow work or deliveries to legally begin to the benefit of, and with legal protection for, both parties.
ii. Will incorporate the latest version of this Solicitation into such mechanisms to serve as a framework for contract execution until any such system problems are resolved.
iii. Will ensure any action taken does not conflict with the stated offer evaluation and award methodology of this requirement.
iv. Will issue a complete, properly-formatted award accurately reflecting this requirement and all applicable terms and conditions once systems return to normal.
CLAUSES INCORPORATED BY FULL TEXT
52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
The Government anticipates awarding one contract as a result of this Request for Proposal (RFP) based upon the results of a complete and thorough Government evaluation of proposals in accordance with this section. The Government, however, reserves the right to not award any contracts in the event that no proposals are considered to be in the best interest of the Government. This acquisition will utilize the tradeoff source selection procedure using Technical, Past Performance, and Price to make an award decision. Contract award will be made to the "responsible" Offeror whose proposal represents the Best Value proposal to the Government based on the Volumes/Factors and Subfactors set forth herein. (See FAR Subpart 9.104, which describes the standards prospective contractors must meet to be determined “responsible”.) To receive consideration for award, overall evaluations of not less than "Acceptable" must be achieved for Volume I and Volume II. An evaluation rating of "Unacceptable" at the Subfactor level will cause the entire Proposal Volume/Factor and the entire Proposal to be evaluated as "Unacceptable”.
NOTE: THE GOVERNMENT RESERVES THE RIGHT TO AWARD A CONTRACT BASED UPON INITIAL
SUBMISSIONS, WITHOUT EXCHANGES AND/OR DISCUSSIONS. ALSO NOTE THAT FAILURE TO
SUBMIT A TIMELY PROPOSAL IN EXACTLY THE MANNER REQUIRED BY THE SOLICITATION MAY
RESULT IN THE GOVERNMENT REJECTING THE PROPOSAL AS NON-COMPLIANT/UNACCEPTABLE,
AT THE SOLE DISCRETION OF THE CONTRACTING OFFICER.
The following Volumes/Factors shall be used to evaluate offers:
(1) Volume I – Technical Capability (Factor 1)
Subfactor 1: Implementation and Resources - The Offeror’s implementation plan to perform contract services will be evaluated on its completeness, thoroughness, and to the extent to which the Offeror’s proposed for the following:
Evaluate Offeror’s organization, resource teams, years of experience, and qualifications for performing work and operation of Avigilon Cameras and Software, Sony Cameras and Software, Firetide Mesh Transmitters and Receivers, Infinias, Galaxy FSO Systems, Assa Abloy, Light Pointe FSO, Dell, Bosch Cameras and Software, Ubiquity Systems, Crestron Systems, Planar and Altronix Systems. To also include years of experience, and qualifications for performing work and operation of CCTV, Telephone Recorders, Emergency Electric Door Locks, and Emergency Operations Center Components.
Evaluate Offeror’s working knowledge of Avigilon Cameras and Software, Sony Cameras and Software, Firetide Mesh Transmitters and Receivers, Infinias, Galaxy FSO Systems, Assa Abloy, Light Pointe FSO, Dell, Bosch Cameras and Software, Ubiquity Systems, Crestron Systems, Planar and Altronix Systems operations on a current or recent system they have or are currently providing services for.
Evaluate Offeror’s evidence of resources for performing all functional requirements as described in the solicitation, to include the use of qualified sub-contractors.
Evaluate Offeror’s resources that will be used for updating equipment or other resources to be used in performing the contract services.
Subfactor 2: Personnel Licensing & Training Qualifications - The Offeror’s proposal will be evaluated to ensure that all Federal and State licenses/permits authorizing the Offeror to perform work on required equipment and systems are current. The Offeror’s proposal will be evaluated to ensure that the Offeror has the appropriate comprehensive/liability insurance coverage.
Subfactor 1 and Subfactor 2 are of equal importance.
(2) Volume II – Past Performance (Factor 2)
The Offeror and its major subcontractor's past performance with Government and industry will be evaluated. The Government will evaluate customer satisfaction, responsiveness to customer needs, and past demonstration of providing quality and timely services. Emphasis will be on recent, relevant experience in the past five (5) years. The past performance factor considers each Offeror's demonstrated recent and relevant record of performance in services that meet the contract requirements. One rating is assigned for each Offeror based on relevancy and confidence assessment.
Offerors with no relevant performance history will be given a rating of Acceptable.
The Government will focus its inquiries on the Offeror's (and major subcontractors') record of performance as it relates to all solicitation requirements, including cost, schedule, performance and management of subcontractors. A significant achievement, problem, or lack of relevant data in any element of the work can become an important consideration in the evaluation process. Therefore, Offerors will be reminded to include the most recent and relevant efforts (within the past five years) in their proposal. Absent any recent and relevant past performance history or when the performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, the Offeror will be assigned an “unknown confidence (Neutral) rating” and its proposal will not be evaluated either favorably or unfavorably on past performance. The Government may use data provided by the Offeror in its proposal and data obtained from other sources, including data in Government files or data obtained through interviews with personnel familiar with the contractor and their current and past performance under Federal, State or Local government or commercial contracts for same or similar services as compared to the North American Industry Classification System (NAICS). Data used in conducting performance risk assessments shall not extend past five years prior to the issue date of the RFP, but may include performance data generated beyond the past five years without regard to the contract award date.
Offerors shall submit all Government and/or commercial contracts for the prime Offeror and each major subcontractor in performance or awarded during the past five years, from the issue date of this RFP, which are relevant to the efforts required by this RFP. The Government may consider a wide array of information from a variety of sources but is not compelled to rely on all of the information available.
The past performance factor considers each Offeror's demonstrated recent and relevant record of performance in supplying products and services that meet the contract requirements. There are two aspects to the past performance evaluation: relevancy and performance confidence assessment.
(3) Volume III – Price (Factor 3)
The Government will evaluate total price (including options) in accordance with FAR Subpart 15.305(a)(1) to ensure that prices are fair and reasonable.
Pricing will be evaluated through a comparison of proposed prices from all Offerors received in response to the solicitation.
The total evaluated price will be calculated using the following method for Base Period and the Four
(4) Option Years pricing:
The total evaluated price will be calculated using the following method: Adding the total dollar amount of Preventative Maintenance Service CLINs (0001, 1001, 2001, 3001, and 4001) for each ordering period together. Averaging the Minimum Service Charge dollar amount for the Repair Maintenance Calls CLINs (0002, 1002, 2002, 3002, and 4002) multiplied by 120 Repair Maintenance Calls. This total will only be utilized in the total evaluated price calculation.
If it is concluded that additional information is necessary to determine the reasonableness of the proposed price, the Contracting Officer may request information. This additional information may include, but is not limited to, indirect rates, material, labor and any other information that can substantiate the reasonableness of a proposed price. If applicable a Certificate of Current Cost and Price will be requested at time of award.
EVALUATION PROCESS
The technical panel will provide a detailed evaluation and assign a combined technical/risk rating for the Technical Volume. The Past Performance Volume will receive only a performance evaluation rating. The Price Proposal Volume will be evaluated by the Contracting Officer in accordance with the evaluation criteria established in Volume III.
The technical panel will rate each Volume (Factor) and Subfactor by consensus for each proposal submitted and will prepare initial and final reports. If consensus is not obtainable, a minority report prepared and signed by the dissenting evaluators shall be presented to the Contracting Officer for consideration.
Offerors are advised that the Government intends to award without discussions but reserves the right to conduct discussions to the extent deemed necessary at the sole discretion of the Contracting Officer, to further investigate any weaknesses, deficiencies, or other subjects identified by the technical panel as germane to the evaluation process. The Government technical evaluation panel will evaluate proposals in accordance with the process and evaluation criteria stated herein and will document the evaluation by providing a narrative discussion of the evaluation of each proposal in terms of the evaluation criteria and proposed strong points (strengths), weak points (weaknesses), and deficiencies. This narrative discussion shall be incorporated into a report, which will be presented to the Contracting Officer to assist in the competitive range determination, if needed. Upon establishment of the competitive range, and to the extent deemed necessary at the sole discretion of the Contracting Officer, written discussion items (DI) will be issued to remaining Offerors, using control numbers, to further investigate any weaknesses, deficiencies, or other subjects identified by the technical panel as germane to the evaluation process. These DIs are considered exchanges/discussions in accordance with FAR Subpart 15.306(d). The Contracting Officer may also issue DIs relating to any matter that requires written revisions to a proposal for which a binding agreement is required/desired. The technical panel will be responsible for briefing the Contracting Officer at all steps of the evaluation process. TECHNICAL RATINGS
Rating Definition Acceptable Proposal meets requirements of the solicitation.
Unacceptable Proposal does not meet requirements of the solicitation.
(b) QUALITY/PERFORMANCE CONFIDENCE ASSESSMENT: Assess the quality of the
Offeror's past performance on those recent efforts that were determined relevant by determining how well the contractor performed on the contracts. Offerors are advised that, in addition to the requested Past Performance information, the Government may obtain Past Performance information from interviews/questionnaires tailored to the circumstances of this acquisition and/or any other sources available to the Government, to include, but not limited to, Contractor Performance Assessment Reporting System (CPARS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; interviews with Program Managers, Contracting Officers, and Fee Determining Officials; and the Defense Contract Management Agency. Documented results from CPARS and other sources form the support and basis for this assessment. Once the Relevancy and Contract Performance of the past performance contracts has been established, the Offeror will be assigned one Performance Confidence Assessment for the Past Performance Volume as described by the table below:
PAST PERFORMANCE RELEVANCY RATINGS
Very Relevant Present/past performance effort involved essentially the same magnitude of effort and complexities this solicitation requires.
Relevant Present/past performance effort involved much of the magnitude of effort and complexities this solicitation requires.
Somewhat Relevant Present/past performance effort involved some of the magnitude of effort and complexities this solicitation requires.
Not Relevant Present/past performance effort did not involve any of the magnitude of effort and complexities this solicitation requires.
PAST PERFORMANCE RATINGS
Acceptable Based on the Offeror's recent/relevant performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See note below.)
Unacceptable Based on the Offeror's recent/relevant performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.
Note: In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a) (2) (iv)).
Therefore, the Offeror shall be determined to have unknown (or "neutral") past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “acceptable”.
(c) PRICE FACTOR: Price proposals will not be given an adjectival rating but will be evaluated to determine reasonableness.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
