Solicitation Provision: National Guard Protest Procedures
NG Agency Protest Program is intended to encourage interested parties to seek resolution of their concerns with the National Guard (NG) as an Alternative Dispute Resolution forum, rather than filing a protest with the Government Accountability Office (GAO) or other external forum. Contract award or performance is suspended during the protest to the same extent, and within the same time periods as if filed at the GAO. The NG protest decision goal is to resolve protests within 35 calendar days from filing. An agency protest may be filed with either the Contracting Officer or the NG Agency's Protest Decision Authority, but not both, in accordance with NG protest procedures.
To be timely, the protests must be filed with the periods specified in FAR 33.103. To file a protest under the NG Agency Protest Program, the protest must request resolution under that program and be sent to the address below:

WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)
(a) Definitions. As used in this clause-
"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.
"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.
"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall-
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the "Web Based Training" link on the WAWF home page at https://wawf.eb.mil/
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:
(1) Document type. The Contractor shall submit payment requests using the following document type(s):
(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.
(ii) For fixed price line items-
(A) That require shipment of a deliverable, submit the invoice and receiving report specified by the Contracting Officer.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. (a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(b) . The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic Options requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(a) Cost or pricing data requirements. After initial submission of offers, if the Contracting Officer notifies the Offeror that only one offer was received, the Offeror agrees to-
(1) Submit any additional cost or pricing data that is required in order to determine whether the price is fair and reasonable (10 U.S.C. 3705) or to comply with the statutory requirement for certified cost or pricing data (10 U.S.C. 3702 and FAR 15.403-3); and
(2) Except as provided in paragraph (b) of this provision, if the acquisition exceeds the certified cost or pricing data threshold and an exception to the requirement for certified cost or pricing data at FAR 15.403-1(b)(2) through (5) does not apply, certify all cost or pricing data in accordance with paragraph (c) of DFARS provision 252.215-7010, Requirements for Certified Cost or Pricing Data and Data Other Than Certified Cost or Pricing Data, of this solicitation.
(b) Canadian Commercial Corporation. If the Offeror is the Canadian Commercial Corporation, certified cost or pricing data are not required. If the Contracting Officer notifies the Canadian Commercial Corporation that additional data other than certified cost or pricing data are required in accordance with DFARS 225.870-4(c), the Canadian Commercial Corporation shall obtain and provide the following:
(1) Profit rate or fee (as applicable).
(2) Analysis provided by Public Works and Government Services Canada to the Canadian Commercial Corporation to determine a fair and reasonable price (comparable to the analysis required at FAR 15.404-1).
(3) Data other than certified cost or pricing data necessary to permit a determination by the U.S. Contracting Officer that the proposed price is fair and reasonable ____[U.S. Contracting Officer to provide description of the data required in accordance with FAR 15.403-3(a)(1) with the notification].

INSTRUCTIONS TO OFFERORS:
The Offeror's proposal shall be submitted electronically to the addresses listed under "Proposal Submission Instructions". The Request for Proposal (RFP) shall include the Government address and proposal submittal date.
The Offeror's proposal shall consist of four volumes. The Offeror shall submit an unclassified proposal which demonstrates its ability to perform and meet the requirements in the performance work statement (PWS), enclosed with this solicitation.

B. Proposal Format and Content Requirements
The Offeror's proposal volumes shall each be a separate attachment with the appropriate document name/title meeting the format requirement stated in chart below.

C. Content.
Volume 1 - Technical shall be organized in sections(subfactors) as it addresses the corresponding sections and tasks in the PWS. The Offeror shall provide a realistic and descriptive solution for the tasks and evidence that the Offeror has current capability and resources to meet the requirements defined in the PWS.
- Section 1 - Technical Proposal/Management Approach. Detail your proposed approach to fulfilling the requirements outlined in the PWS. Include specific methodologies, technologies, and processes you will use. Address any potential risks and mitigation strategies. Describe your project management approach, including your organizational structure, communication plan, and quality control procedures
- Section 2 - Staffing Plan. Describe the roles and responsibilities of key personnel who will be assigned to the project.
Provide resumes of key personnel, highlighting relevant experience and qualifications. Include an organizational chart showing reporting relationships. Outline your plan for onboarding and training staff.
Volume 2 - Past Performance. Provide detailed information on no more than 3 projects of similar scope and complexity that your company has successfully completed within the past 5 years. For each project, includethe following:
- Project Name and Location
- Client Name and Contact Information (Phone and Email)
- Contract Number (if applicable) o Annotate if it is a federal contract and if a CPAR is available
- Brief Description of the Project and Your Company's Role
- Project Value
- Project Start and End Dates
- A description of how the project is similar in scope and complexity to the requirements of this solicitation
- Any challenges encountered and how they were overcome

Volume 3 -Price. The cost/price volume is the only volume that shall include price data. The Offeror's proposal shall consist of all information to support proposed prices. The price volume shall clearly state the labor categories traceable to the tasks defined in the PWS, hours proposed and wages/rates. A detailed breakout (MS Excel) of all costs and prices associated with fully-burdened rates, direct, indirect, and fees. The Offeror shall include data supporting forward pricing rate agreements or final indirect costs, if applicable. The Offeror's proposal shall include a narrative to support basic of the proposed price and explain any assumptions made in the proposed price. The cost/price excel sheet shall contain a summary total and a final total for contract price. Prices shall be rounded to the nearest dollar in calculation. Certified cost and pricing data are not required; however, the Government reserves the right to request information other than certified cost and pricing data prior to award.
Volume 4 - Contract Information
- Section 1 - Solicitation(SF Form 1449). The Offeror shall fill-in the solicitation with the required information and provide a signature. The contract line item number (CLINs)shall be fully filled-in for each section.
- Section 2 - Annual Representations and Certifications. Offeror Representations, Certifications, and the Submission of Other Information shall be completed via the System for Award Management (https://www.sam.gov).
- Section 3 - Security Clearance Verification. The Offeror shall provide evidence of its current facility clearance and personnel security clearance status for all proposed personnel.
3. The Government does reserve the right to negotiate with the Offeror, for any reason. Any proposal revisions shall be limited to the items negotiated.
4. The Offeror is cautioned that "parroting" of the Technical requirements or the PWS with a statement of intent to perform does not reflect an understanding of the requirement or the capability to perform. The Offeror is responsible for including sufficient details to permit a complete and accurate evaluation of the proposal. Proprietary information shall be clearly market as appropriate.

5. The Offeror's proposal shall conform to all the requirements of this solicitation or risk the proposal being rejected or no longer considered for award. Responding to this solicitation, the Offeror agrees to meet all the requirements incorporated herein, including those listed in the PWS, and agrees to all the terms, conditions, and provisions.
6. The Offeror is notified that the Government will not reimburse costs incurred for proposal preparation.
7. This solicitation is issued pursuant to the authority provided by FAR 19.8 and DFARS PGI 219.800.
8. For proposal preparation purposes, the expected or approximate date for initiation of contract performance is 30 .September 2025

A. Proposal Evaluation and Factors Process
1. Basis for Contract Award. It is the Government's intent to award a single, award of a firm-fixed price contract. The award will be based on the Offeror's proposal determined to be beneficial to the Government considering the evaluation of Technical, Past Performance, and Cost/Price factors. Completion of the Solicitation (SF Form1449) is mandatory for award.
