ADDENDUM TO FAR 52.212-4 -- CONTRACT TERMS AND CONDITIONS--COMMERCIAL
PRODUCTS AND COMMERCIAL SERVICES
The terms and conditions of FAR 52.212-4 are hereby tailored, supplemented, and modified pursuant to FAR 12.302(d) to incorporate construction-specific, labor-compliance, and technical submittal requirements for this contract. In the event of any conflict or inconsistency between the standard provisions of FAR 52.212-4 and this Addendum, the terms of this Addendum shall take precedence.
1. TAILORING DELETIONS
The following standard paragraphs of FAR 52.212-4 are hereby deleted and excised from this contract:
Paragraph (h) Patent Indemnity (deleted in its entirety)
Paragraph (p) Limitation of Liability (deleted in its entirety)
2. REPLACEMENTS & SUPPLEMENTS TO FAR 52.212-4 PARAGRAPHS
(a) Paragraph (a) "Inspection/Acceptance" is tailored and completely replaced with the following:
Inspection/Acceptance and Quality Control: The Contractor shall maintain an adequate inspection system and perform such inspections as will ensure that the work performed under this contract conforms to contract requirements. The Contractor shall maintain complete inspection records and make them available to the Government. All work shall be conducted under the disciplined oversight of the Contracting Officer's Representative (COR) and the Construction Control Representative (CCR).
Government inspections and tests are for the sole benefit of the Government and do not:
Relieve the Contractor of responsibility for providing adequate quality control measures;
Relieve the Contractor of responsibility for damage to or loss of the material before acceptance;
Constitute or imply acceptance; or
Affect the continuing rights of the Government after acceptance of the completed work.
The presence or absence of a Government inspector does not relieve the Contractor from any contract requirement.
The Contractor shall, without charge, replace or correct work found by the Government not to conform to contract requirements, unless in the public interest the Government consents to accept the work with an appropriate downward adjustment in contract price. The Contractor shall promptly segregate and remove rejected material from the premises.
If the Contractor does not promptly replace or correct rejected work, the Government may:
By contract or otherwise, replace or correct the work and charge the cost to the Contractor or solemnize a deduction from progress payments; or
Terminate for default in accordance with FAR 52.249-10.
Pre-Award and Post-Award Submittals: The Contractor shall perform onsite field inspections and physical measurements prior to fabricating or ordering any replacement windows. No claims for differing site conditions or dimensional variances will be entertained for conditions that could have been verified during the scheduled pre-proposal site visits.
(b) Paragraph (c) "Changes" is tailored and completely replaced with the following:
Changes and Differing Site Conditions: The Contracting Officer may, at any time, by written order, and without notice to the sureties, make changes within the general scope of this contract in the services to be performed, the specifications, or the method/manner of performance.
If any change causes an increase or decrease in the Contractor's cost of, or the time required for, the performance of any part of the work under this contract, whether or not changed by any such order, the Contracting Officer shall make an equitable adjustment and modify the contract in writing. Any Contractor proposal for equitable adjustment under this clause must be asserted within 30 calendar days from the date of receipt of the written change order, and must be submitted with a detailed, itemized price breakdown (labor, materials, equipment, overhead, and profit) in accordance with DFARS 252.236-7000.
Differing Site Conditions: The Contractor shall promptly, and before the conditions are disturbed, give a written notice to the Contracting Officer of:
Subsurface or latent physical conditions at the site which differ materially from those indicated in this contract; or
Unknown physical conditions at the site, of an unusual nature, which differ materially from those ordinarily encountered and generally recognized as inherent in work of the character provided for in the contract.
The Contracting Officer shall investigate the site conditions promptly after receiving the notice. If the conditions do materially so differ and cause an increase or decrease in the Contractor's cost of, or the time required for, performing any part of the work under this contract, an equitable adjustment shall be made. No proposal by the Contractor for an equitable adjustment to the contract under this paragraph shall be allowed unless the Contractor has given the written notice required.
(c) Paragraph (g) "Invoice" is tailored and completely replaced with the following:
Payments and Progress Payments Under Construction: The Government shall make progress payments monthly as the work proceeds, or at more frequent intervals as determined by the Contracting Officer, on estimates of work accomplished which meets the standards of quality established under the contract, as approved by the Contracting Officer.
The Contractor's request for progress payments shall include the following substantiation:
An itemization of the amounts requested, related to the various elements of work required by the contract.
A certification signed by an authorized officer of the firm stating that the work has been performed in accordance with the specifications and that all subcontractors have been paid from the proceeds of previous progress payments.
A listing of the amount included for work performed by each subcontractor, and the total amount of each subcontract.
Retainage: If the Contracting Officer finds that satisfactory progress has not been achieved during any period for which a progress payment is to be made, the Contracting Officer may retain a maximum of 10 percent of the amount of the payment until satisfactory progress is achieved.
When the work is substantially complete, the Contracting Officer may retain an amount considered adequate for protection of the Government and shall release the remainder of the withheld funds.
Reimbursement for Bond Premiums: In making progress payments, the Government shall, upon request, reimburse the Contractor for the actual amount of premiums paid for performance and payment bonds (including coinsurance and reinsurance agreements, when applicable) after the Contractor has furnished evidence of full payment to the surety.
Submission: Requests for payment shall be submitted electronically through the Wide Area WorkFlow (WAWF) portal in accordance with DFARS 252.232-7006 as a Construction Invoice.
(d) Paragraph (n) "Title" is tailored and completely replaced with the following:
(n) Title to Materials and Equipment: All material and work covered by progress payments made shall, at the time of payment, become the sole property of the Government. This provision shall not be construed as:
Relieving the Contractor from the sole responsibility for all materials and work upon which payments have been made or the restoration of any damaged work; or
Waiving the right of the Government to require the fulfillment of all of the terms of the contract.
(e) Paragraph (o) "Warranty" is tailored and completely replaced with the following:
(o) Warranty of Construction:
In addition to any other warranties in this contract, the Contractor warrants, except as provided in paragraph (o)(4) of this clause, that work performed under this contract conforms to the contract requirements and is free of any defect in equipment, material, or design furnished, or workmanship performed by the Contractor or any subcontractor or supplier at any tier.
This warranty shall continue for a period of 1 year (365 calendar days) from the date of final acceptance of the work. If the Government takes possession of any part of the work before final acceptance, this warranty shall continue for a period of 1 year from the date the Government takes possession (beneficial occupancy).
The Contractor shall remedy, at the Contractor's expense, any failure to conform, or any defect. In addition, the Contractor shall remedy, at the Contractor's expense, any damage to Government-owned or controlled real or personal property, when that damage is the result of the Contractor's failure to conform to contract requirements, or any defect of equipment, material, workmanship, or design furnished.
This warranty shall not limit the Government's rights under this contract with respect to latent defects, gross mistakes, or fraud.
3. ADDED CONSTRUCTION-SPECIFIC PARAGRAPHS
(u) Suspension of Work (FAR 52.242-14):
The Contracting Officer may order the Contractor, in writing, to suspend, delay, or interrupt all or any part of the work of this contract for the period of time that the Contracting Officer determines appropriate for the convenience of the Government.
If the performance of all or any part of the work is, for an unreasonable period of time, suspended, delayed, or interrupted by an act of the Contracting Officer in the administration of this contract, or by the Contracting Officer's failure to act within the time specified in this contract (or within a reasonable time if not specified), an adjustment shall be made for any increase in the cost of performance of this contract (excluding profit) necessarily caused by the unreasonable suspension, delay, or interruption, and the contract modified in writing accordingly.
(v) Liquidated Damages - Construction (FAR 52.211-12):
If the Contractor fails to complete the work within the time specified in the contract, the Contractor shall pay liquidated damages to the Government in the amount of $275.00 for each calendar day of delay until the work is completed, accepted, or terminated.
If the Government terminates the Contractor's right to proceed, liquidated damages will continue to accrue until the work is completed. These liquidated damages are in addition to excess costs of repurchase under the Default clause.
(w) Protection of Existing Vegetation, Structures, Equipment, Utilities, and Improvements (FAR 52.236-9):
The Contractor shall preserve and protect all structures, equipment, and vegetation (such as trees, shrubs, and grass) on or adjacent to the work site, which are not to be removed and which do not unreasonably interfere with the work required under this contract. The Contractor shall protect from damage all existing improvements and utilities at or near the work site and on adjacent property of a third party. The Contractor shall repair any damage to these facilities, including those that are the property of a third party, resulting from failure to comply with the requirements of this contract or failure to exercise reasonable care in performing the work.

Section I - Contract Clauses
Disclosure of Unit Price Information
This constitutes notification pursuant to Executive Order 12600, Pre-Disclosure Notification Procedures for Confidential Commercial Information (June 23, 1987), of our intention to release unit prices in response to any request under the Freedom of Information Act, 5 USC 552. Unit price is defined as the contract price per unit or item purchased. We consider any objection to be waived unless the contracting officer is notified of your objection to such posting prior to submission of initial proposals.
Required Insurance
In accordance with FAR 28.307-2, the Contractor is required to provide and maintain the kinds and minimum amounts of insurance stated below:
(a) Workers' Compensation and Employer's Liability. Contractors are required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers. (See 28.305(c) for treatment of contracts subject to the Defense Base Act.)
(b) General Liability.
(1) The contracting officer shall require bodily injury liability insurance coverage written on the comprehensive form of policy of at least $500,000 per occurrence.
(2) Property damage liability insurance shall be required only in special circumstances as determined by the agency.
(c) Automobile Liability. The contracting officer shall require automobile liability insurance written on the comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage. The amount of liability coverage on other policies shall be commensurate with any legal requirements of the locality and sufficient to meet normal and customary claims.
(d) Aircraft Public and Passenger Liability. When aircraft are used in connection with performing the contract, the contracting officer shall require aircraft public and passenger liability insurance.
Coverage shall be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger liability, and $200,000 per occurrence for property damage. Coverage for passenger liability bodily injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater.
(e) Vessel Liability. When contract performance involves use of vessels, the contracting officer shall require, as determined by the agency, vessel collision liability and protection and indemnity liability insurance.
HQ AMC-Level Protest Program
If you have complaints about this procurement, it is preferable that you first attempt to resolve those concerns with the responsible contracting officer. However, you can also protest to Headquarters, AMC. The HQ, AMC-Level Protest Program is intended to encourage interested parties to seek resolution of their concerns within AMC as an
Alternative Dispute Resolution forum, rather than filing a protest with the General Accounting Office or other external forum. Contract award or performance is suspended during the protest to the same extent, and within the same time periods, as if filed at the GAO. The AMC protest decision goal is to resolve protests within 20 working days from filing. To be timely, protests must be filed within the periods specified in FAR 33.103.
Send protests (other than protests to the contracting officer) to:
