(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to-

(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

Tax on Certain Foreign Procurements-Notice and Representation (Jun 2020)

(a) Definitions. As used in this provision-

Foreign person means any person other than a United States person.

Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area of the United States.

United States person as defined in 26 U.S.C. 7701(a)(30) means

(1) A citizen or resident of the United States;

(2) A domestic partnership;

(3) A domestic corporation;

(ii) One or more United States persons have the authority to control all substantial decisions of the trust.

(b) Unless exempted, there is a 2 percent tax of the amount of a specified Federal procurement payment on any foreign person receiving such payment. See 26 U.S.C.

5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.

(c) Exemptions from withholding under this provision are described at 26 CFR 1.5000C-1(d)(5) through (7). The Offeror may claim an exemption from the withholding by using the Department of the Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available at www.irs.gov/w14. Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.

(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that

(1) It [ ] is [ ] is not a foreign person; and

(2) If the Offeror indicates "is" in paragraph (d)(1) of this provision, then the Offeror represents that-I am claiming on the IRS Form W-14 [ ] a full exemption, or [ ] partial or no exemption [Offeror must select one] from the excise tax.

(e) If the Offeror represents it is a foreign person in paragraph (d)(1) of this provision, then-

(1) The clause at FAR 52.229-12, Tax on Certain Foreign Procurements, will be included in any resulting contract; and

(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.

(f) If the Offeror selects "is" in paragraph (d)(1) and "partial or no exemption" in paragraph (d)(2) of this provision, the Offeror will be subject to withholding in accordance with the clause at FAR 52.229-12, Tax on Certain Foreign Procurements, in any resulting contract.

(g) A taxpayer may, for a fee, seek advice from the IRS as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts. For questions relating to the interpretation of the IRS regulations go to https://www.irs.gov/help/tax-law-questions.

Evaluation Factors for Award

Addendum to FAR 52.212-2 - Evaluation - Commercial Products and Commercial Services

1.0 Basis for Agreements:

This acquisition will be conducted under the procedures of FAR Part12--Acquisition of Commercial Products and Commercial Services. Award will be made on a Lowest Price Technically Acceptable (LPTA) basis. Award will be made to the vendors whose quotes are determined to be technically acceptable, offer the lowest evaluated price, and conform to all solicitation requirements (including all stated terms, conditions, representations, and certifications). The Government intends to award without interchanges. However, the Government reserves the right to conduct interchanges if determined necessary by the Contracting Officer (ref. Section 1.3).

1.1 Solicitation Requirements (Terms and Conditions):

Vendors must meet all solicitation requirements, including terms and conditions, representations and certifications, and item description/brand name requirements, to be considered technically acceptable. Failure to comply with the terms and conditions of the solicitation may result in the quote being deemed ineligible for award. Vendors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable, rendering the quote ineligible for award.

1.2 Number of Agreements to be Awarded:

The Government intends to select at least three (3), but no more than five (5),contractors for this acquisition. However, the Government reserves the right not to award any agreements at all, depending on the quality of the quotes, prices submitted, and the availability of funds.

1.3 Interchanges:

In accordance with FAR 1.102-2(c)(3), the Government will exercise discretion, use sound business judgment, and comply with applicable laws and regulations during the course of this acquisition. The Government intends to award without interchanges but reserves the right to conduct them if necessary. Therefore, itis imperative that vendors submit their best terms initially. If, during the evaluation, it is determined to be in the best interest of the Government to conduct interchanges, the Contracting Officer may conduct interchanges with one, some, or all vendors before issuing any BPA. Interchanges are information sharing between the Government and vendors after receipt of quotes, which can address any aspect of the quote. Interchanges may be oral or written (via Interchange Notices). If interchanges are conducted, the Government may request final quotation revisions at their conclusion.

2.0 Evaluation Factor:

2.1 Factor 1 - Price

Price quotations will be evaluated as follows:

2.1.1 Completeness:

Quotations will be reviewed for completeness. Incomplete quotes will be considered ineligible for award.

2.1.2 Price Reasonableness:

The proposed prices will be evaluated for reasonableness. Reasonableness must represent a price to the Government a prudent person would pay in the conduct of competitive business. Normally, price reasonableness is established through adequate price competition, but it may also be determined through price analysis techniques as described in FAR 15.404-1(b)(2).

2.1.3 Price Realism:

The Government intends to determine price realism based on adequate price competition. In the event the Government cannot determine price realism based on adequate price competition, the Government reserves the right to conduct amore detailed price realism evaluation using one or more of the price analysis techniques described in FAR 15.404-1(b)(2). To be considered realistic, the proposed price must demonstrate an adequate understanding of the requirement. Quoted prices that are determined to be unrealistically low due to an inadequate understanding of the requirement will make the quotation ineligible for award.

2.1.4 Unbalanced Pricing:

Vendors' quotes will be reviewed for unbalanced pricing. The Government will evaluate any supporting information provided by the vendor explaining variances that appear unbalanced. Quotes determined to be unbalanced may be deemed ineligible for award if the Contracting Officer determines the lack of balance poses an unacceptable risk.

Unbalanced pricing exists when, despite an acceptable total price, the price of one or more line items (including sub-line items) is significantly…
