(a) Definitions. As used in this provision-
Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business concern eligible under the WOSB Program.
HUBZone small business concern means a small business concern that meets the requirements described in 13 CFR 126.200, is certified by the Small Business Administration (SBA) and designated by SBA as a HUBZone small business concern in the Small Business Search (SBS) ( 13
CFR 126.103).
Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program means an SDVOSB concern that is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300.
Small business concern-
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (b) of this provision.
(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.
Small disadvantaged business concern means a small business concern that-
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by one or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States, and
(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals who meet the criteria in paragraph (1) of this definition.
Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127) means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.
(b)(1) The North American Industry Classification System (NAICS) code for this acquisition is [insert NAICS code].

RFO 52.219-4 NOTICE OF PRICE EVALUATION PREFERENCE FOR HUBZONE SMALL BUSINESS
CONCERNS. (OCT 2022) (Deviation JAN 2026)
(a) Evaluation preference. (1) Offers will be evaluated by adding a factor of 10 percent to the price of all offers, except-
(i) Offers from HUBZone small business concerns that have not waived the evaluation preference; and
(ii) Otherwise successful offers from small business concerns.
(b) Waiver of evaluation preference. A HUBZone small business concern may choose to waive the evaluation preference. If the concern waives the preference, the factor will be added to its offer for evaluation purposes.

(a) Definitions. As used in this provision-
Foreign person means any person other than a United States person.
Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area of the United States.
United States person as defined in 26 U.S.C. 7701(a)(30) means
(1) A citizen or resident of the United States;
(2) A domestic partnership;
(3) A domestic corporation;
(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 701(a)(31));
and
(5) Any trust if-
(i) A court within the United States is able to exercise primary supervision over the administration of the trust; and
(ii) One or more United States persons have the authority to control all substantial decisions of the trust.
(b) Unless exempted, there is a 2 percent tax of the amount of a specified Federal procurement payment on any foreign person receiving such payment. See 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.
(c) Exemptions from withholding under this provision are described at 26 CFR 1.5000C-1(d)(5) through (7). The Offeror may claim an exemption from the withholding by using the Department of the Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available at www.irs.gov/w14. Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.
(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that

(1) The clause at FAR 52.229-12, Tax on Certain Foreign Procurements, will be included in any resulting contract; and
(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.
(f) If the Offeror selects "is" in paragraph (d)(1) and "partial or no exemption" in paragraph (d)(2) of this provision, the Offeror will be subject to withholding in accordance with the clause at FAR 52.229-12, Tax on Certain Foreign Procurements, in any resulting contract.
(g) A taxpayer may, for a fee, seek advice from the IRS as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts. 1. General Solicitation Information
1. This is a National Oceanic & Atmospheric Administration (NOAA) Request for Quotation (RFQ) issued pursuant to Federal Acquisition Regulation (FAR) Part 12 - Acquisition of Commercial Products and Commercial Services. The solicitation is issued by NOAA's Acquisition & Grants Office (AGO), Eastern Acquisition Division (EAD) on behalf of NOAA, National Ocean Service, (NOS), Office of Response & Restoration (OR&R), Assessment & Restoration Division (ARD) for an annual Nationwide Human Mobility Data Subscription with the option to renew the subscription for two additional years.
2. This solicitation is issued on the basis of unrestricted full and open competition under North American Industry Classification System (NAICS) code 518210 for Data Processing, Hosting and Related Services with a size standard of $40M.
3. The resultant awardee shall furnish the services provided in Attachment A - Nationwide Human Mobility Data Subscription dated September 8, 2025 at the annual subscription price listed in the resultant purchase order. The estimated date to issue the purchase order is May 29, 2026 or earlier.

52.212-1 Addendum Instructions to Offerors--Commercial Products and Commercial Services (Deviation)(JAN 2026) Addendum
Paragraph (c) of RFO Clause 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (DEVIATION)(JAN 2026) is amended as follows: “The vendor agrees to hold the prices in its quote firm for 120 calendar days from the date specified for receipt of quotes, unless another time period is specified in an addendum to the solicitation.” Paragraph (c) of RFO Clause 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (DEVIATION)(JAN 2026) is deleted in its entirety.
(a) Instructions for Submission of Quote: These instructions prescribe the format for the quote and describe the approach for the development and presentation of the quote. The instructions are designed to ensure the submission of necessary information to provide for the understanding and comprehensive evaluation of quotes. Quotes are expected to conform to solicitation provisions and be prepared in accordance with this section. Noncompliance with the solicitation requirements may eliminate the quote from further consideration for award.

All questions and quotes must be submitted to the email addresses stated above only. Questions and quotes submitted elsewhere may not be accepted. It is the vendor’s responsibility to ensure that any submission transmitted to the specified Government representative(s) is received prior to the due date specified. Vendors are highly encouraged to contact the Government representative(s) specified above prior to the solicitation’s stated date and time for receipt of quotes to ensure the Government has received the submission. Quotes received after the date and time specified in this solicitation may be excluded from consideration.
The following volumes shall be submitted for each quote:
Volume I - Non-Price Business Solution (Page limit 10 pages) Volume II - Price
(c) Content Requirements: Electronic copies of Volume I - Non-Price Business Solution shall include all information required for evaluation, excluding any reference to price. A “page” is defined as a typed page of the proposal, i.e., one (1) sheet of paper with typing on one (1) side is considered a page. A cover sheet, table of contents and list of acronyms, will not be included in the page count. Each page in this volume shall be separately numbered. The Volume I – Non-Price Business Solution shall be no more than 10 pages. The cover pages, table of contents, resumes, or list of acronyms are not included in the 10-page count for Volume I – Non-Price Business Solution. Pages submitted above the page count of 10 will not be read or considered part of the evaluation. Font type shall be Times New Roman size 12 point. No reduction of font size will be allowed in the proposal.
Costly, complex presentations are neither required nor desired. No columnar or newspaper style grid (columns) pages will be allowed. The vendor’s price quote must be submitted using Microsoft Office Excel.
(d) Volume I – Non-Price Business Solution. This volume shall be subdivided into the following factors:

A. Technical Approach. The vendor’s technical approach shall not exceed 10 pages. The quote shall contain technical information that addresses how the vendor plans to meet the requirements of the Human Mobility / Location Data subscription. The Government considers mere reiteration of the requirement or standard reference material to be inadequate. The Technical Approach must explicitly address the following areas based on the requirements and preferences of this solicitation
1. Data Granularity and Variables: The vendor shall demonstrate that the data provided is anonymized and free of personally identifiable information (PII). The quote must confirm the data has sufficient granularity to produce a daily estimate of the number of unique devices within an Area of Interest (AOI) in the US.
a. Preference: Quotes demonstrating granularity down to the ping or cluster-of-pings (‘activity’) level and work/home origin data (obfuscated to ZCTA level or similar) will be viewed more favorably.
Understanding there may be minimum and maximum sizes on AOIs, quotes with fewer limits on the query structure are preferred. Vendors should list all available variables and descriptive flags.
2. Amount of Data: The subscription must last for one year. The quote must demonstrate sufficient data volume to serve NOAA staff and project needs. If the quote does not offer unlimited access, the quota must be described in a relevant metric (e.g., Gigabytes, # of observations, # of projects).
a. Preference: Unlimited access to all US data in the Contractor’s library.
3. Time Window of Availability: NOAA requires sufficient temporal coverage to analyze patterns across time (e.g., seasonal patterns).
a. Requirement: Data must be available for a minimum of 2 years before the present.
b. Preference: Data available back to 2019 or earlier.
4. Data Delivery Method: Quotes must describe the workflow for transferring data. The process must be straightforward, clearly documented, and compatible with NOAA systems (e.g., no requirement for static IP addresses). A backup procedure (e.g., providing queries via AOIs/dates and receiving .csv files) must be available.
a. Preference: A web-based platform or API for submitting data queries to allow exploratory work before downloading. Customer support for any API or similar tool is also preferred, as is a track record of timely and accurate delivery. The data delivery method should support on-demand, batch retrieval of historical data based on specific geospatial inputs (e.g., uploading a geospatial vector file) and date ranges. We prioritize ease of extraction over continuous automation. While API access is acceptable, low-code/straightforward methods for querying complex geometries without requiring extensive engineering integration are preferred. Continuous data streaming or 'always-on' feeds are not required and will not factor into the evaluation.
5. Data Dictionary and Methodology: The vendor must provide a clear description of each variable or ‘flag’ in the dataset.
a. Preference: Detailed information regarding data generation and processing is preferred to minimize reliance on post-award support.
6. Customer and Technical Support: The vendor must explicitly state their ability to provide email support for questions regarding data and transfer processes.
a. Preference: Quotes describing a comprehensive support process (troubleshooting, supplementary datasets such as nationwide aggregate statistics) are preferred.
7. License and Restrictions on use: The proposed license must ensure NOAA's ability to share data for collaborator use and to comply with all federal information disclosure, discovery, and transparency requirements.
a. Preference: Preference will be given to licenses that impose no restrictions on NOAA's ability to share the raw data.
B. Sample Scenario: The vendor shall provide a sampling of the data that would be provided to the Government based on the below scenario and solicitation .txt file Attachment B - Stadium American Family Field Milwaukee. Attachment B shall be treated like a geojson file. Alternatively, the vendor may re-create the geojson provided in attachment B according to the following definition: The AOI for the sample scenario is a disc defined by the centroid at (lat,long), (-87.971293, 43.028223) with a 125m radius around that centroid. Vendors shall provide every aspect of the sample that would be included should this be an actual request of the Government under performance of the resulting contract to this solicitation.
Data request details:
For the Solicitation Attachment B - Stadium American Family Field Milwaukee , please provide a time series of the mobile device pings (or if that level of resolution is not available, then provide at least the number of unique devices present each day) from January 1, 2023 through January 1, 2025 (or an alternative consecutive 24 month period.)
(e) Volume II - Price
The price quote shall be submitted separately from Volume I – Non-Price Business Solution. Price quotes must on the Standard Form (SF) 1449 - Solicitation/Contract/Order for Commercial Products and Commercial Services. The vendor shall provide a total price for a one-year subscription and an annual price for two additional one-year subscription renewal options. Pricing shall be complete and include all applicable fees. A quote that does not include pricing for the annual one-year subscription and an annual price for two additional one-year subscriptions will not be evaluated for award. Current significant budgetary constraints demand that the impact of these constraints and ownership of the solution be shared throughout the public sector including its contractors. Vendors are asked to consider reduction or elimination of escalation costs and prices for the option periods.
Within Volume II - Price, the vendor must submit the following:
1. A completed and signed SF 1449 - Solicitation/Contract/Order for Commercial Products and Commercial Services.
2. Acknowledgement of any solicitation amendments.

Standard Language Notice Regarding Representations
System updates may lag policy updates. The System for Award Management (SAM) may continue to require entities to complete representations based on provisions that are not included in agency solicitations. The Contractor must submit payment requests electronically through the U.S. Department of the Treasury's Invoice Processing Platform System (IPP). The Contractor must use the IPP website to register, access, and submit payment requests. The IPP website address is https://www.ipp.gov.

(d) This provision does not require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a). The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If the Government later determines that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

RFO 52.212-2 EVALUATION-COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES. (NOV 2021)

This provision has been tailored to this procurement:
The Government will award a single task order resulting from this solicitation to the responsible vendor whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The evaluation will consist of three factors:
1. Technical Approach
2. Sample Scenario
3. Price
The Technical Approach factor is more important than the Sample Scenario. When the two non-price factors are combined, they are significantly more important than Price.
Volume I – Non-Price Business Solution Evaluation
Factor A: Technical Approach: Quotes will be evaluated to determine if the Technical Approach clearly demonstrates the vendor’s understanding and ability to execute the data subscription requirements.
The Government will evaluate the quote's ability to meet the requirements and will evaluate the degree to which the quote meets the stated preferences.
Factor B: Sample Scenario: The Sample Scenario data set will be evaluated based on ease of use, data quality, time window of availability, data granularity and variables, and amount of data. NOAA will evaluate the process of data delivery as well as the data product itself:
a. Ability to deliver precisely what was requested in the sample (same shape, format, time range).
b. Data quality of the delivered sample.
Volume II - Price Evaluation
The total overall price/cost will be calculated by adding the sum of the base 12-month period and two 12-month option periods. A price/cost realism analysis will not be performed. The degree of importance of the pricing will increase commensurate with the degree of equality among the Non-Price Business Solutions.
The unit pricing of the 6-month base period and four option periods shall be deemed fully evaluated for use by the Government should it elect to exercise FAR Clause 52.217-8, which is applicable to this solicitation and any subsequent award, and may be exercised at different times, more than once, for a total period not to exceed six months. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

RFO 52.217-5 EVALUATION OF OPTIONS. (JUL 1990) (Deviation JAN 2026)
Except when it is determined in accordance with RFO 17.202(b) not to be in the Government's best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement to determine the total evaluated price. This includes options under RFO Clause 52.217-8, Option to Extend Services, which applies to this solicitation.
Evaluation of options will not obligate the Government to exercise the option(s).

RFO 52.217-8 Option To Extend Services. (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor anytime prior to expiration. Inclusion of RFO clause 52.217-8, Option to Extend Services, in the solicitation and resultant contract is for use by the Government as outlined at FAR 37.111, Extension of Services. The option will be exercised as needed at any time during the life of the contract using the rates appliable at the time of exercise.
