When entering or leaving roadways carrying public traffic, Contractor's equipment, whether empty or loaded, shall in all cases yield to public traffic. Contractor shall provide access to all residential driveways except at those times when construction operations specifically prohibit such access. Contractor shall furnish and maintain such devices necessary to provide safe passage for the public through the construction area. Contractor shall place and maintain barricades at both ends of repair areas. Should Contractor appear to be neglectful or negligent in furnishing warning and protective measures the Project Manager may direct attention to existence of a hazard and the necessary warning and protective measures shall be furnished and installed by Contractor, at his expense. Should Project Manager point out the inadequacy of warning and protective measures, such action on the part of Project Manager shall not relieve Contractor from responsibility for public safety or abrogate his obligation to furnish and pay for these devices.

J. Protection And Restoration Of Existing Areas: Contractor will protect all furnishings and improvements from damage by its operations. All damage will be repaired or replaced, at the option of County, at Contractor’s expense within three (3) days after notification of such damage. Repairs and/or replacements will be equal to original in all aspects.

K. Safety: Contractor agrees to perform all work outlined in this Contract in such a manner as to meet all accepted standards for safe practices during operations and to maintain safe conditions or premises and ways at all times, including safely stored equipment, machines and materials. This includes compliance with Local County, State or other legal intents and terms of the applicable OSHA and

CAL/OSHA Safety orders at all times so as to protect all persons, including Contractor's employees and County against injury or damage to their property.

L. Reporting Completed Work: Contractor is required to return all MIRs and photos to Project

Manager upon completion of work. Each completed MIR must have the firm’s name, date of completion and name and signature of Contractor’s representative certifying completion of work. Completed MIRs shall be delivered to Project Manager within five working days after completion of each work package.

IV. Deficient Performance: The following Liquidated Damages shall be applied to deficient performance and/or late completion. Parties hereto agree that it is impracticable or extremely difficult to determine actual damages to County from failure to perform the work according to established schedule. Therefore, Two

Hundred and Fifty Dollars ($250.00) will be deducted and withheld from payments due or to become due to

Contractor for each calendar day work is incomplete beyond scheduled day.

V. Identification And Scheduling Of Work: Project Managers conduct recurring inspections of sidewalk and investigate citizen complaints of sidewalk lift. Project Managers document the damage with photos and a short summary of the damage and required repair using a Maintenance Inspection Report (MIR) form. This report includes specific location and Thomas Guide reference. Operations & Maintenance staff reviews, prioritizes and "packages" these reports to include several locations in the same general geographic area. Work packages, including MIR's and photos, will be prepared for Contractor on a periodic basis.

Contractor shall furnish a work plan indicating day/date for work on each general work area in the work package. County reserves the right to insert additional locations into a work package at any time. When this occurs, Contractor may request from Project Manager additional time for completion. Project Manager will respond to Contractor requests for additional time by close of business the working day following the request.

VI. Work Completion Schedule: Assumed rate of production for sidewalk grinding is 30 locations per day. Completion time for each work package will be computed by allowing five working days for scheduling plus one working day for each 30 locations or fraction thereof in the work package.

VII. Acceptance Of Work: Each work location reported as complete shall be accepted by Project Manager for payment unless Contractor is notified otherwise by close of business, the second Friday following the Report of Completion.

VIII. Additional Work:

A. Upon County request, Contractor shall submit supplemental proposals for Additional Work not called for under the Scope of Work of this Contract. Contractor must obtain County Project Manager’s written approval prior to commencing any additional work.

B. County reserves the right to obtain supplemental proposals from, and use, alternate sources for completion of the additional work and to utilize the data provided under this Contract to obtain necessary services.

C. If County authorizes work by an alternate source, Contractor may be relieved of responsibilities pertaining to the equipment affected by the project while work is being performed and during the subsequent warranty period.

D. Contractor shall continue to provide services to all areas not affected by work provided by alternate sources.

E. Upon completion of any additional work, whether by Contractor or an alternative source, County’s

Project Manager or designee and Contractor will inspect the finished product at no additional cost to

County. Upon mutual acceptance of the additional work, Contractor shall again be responsible for all services originally covered under this Contract and the work performed under this section.
