(6) Safeguarding and Dissemination of Controlled Unclassified Information (CUI) Building Information

This clause applies to all recipients of CUI building information (which falls within the CUI Physical Security category), including offerors, bidders, awardees, contractors, subcontractors, lessors, suppliers and manufacturers.

Marking CUI. Contractors must submit any contractor-generated documents that contain building information to GSA for review and identification of any CUI building information that may be included. In addition, any documents GSA identifies as containing CUI building information must be marked in accordance with the Order and the Marking Controlled Unclassified Information Handbook (the current version may be found at https://www.archives.gov/files/cui/20161206-cui-marking-handbook-v1-1.pdf) before the original or any copies are disseminated to any other parties. If CUI content is identified, the CO may direct the contractor, as specified elsewhere in this contract, to imprint or affix CUI document markings (CUI) to the original documents and all copies, before any dissemination, or authorized GSA employees may mark the documents.

1. Authorized recipients.

a. Building information designated as CUI must be protected with access strictly controlled and limited to those individuals having a Lawful Government Purpose to access such information, as defined in 32 C.F.R. § 2002.4(bb). Those with such a Lawful Government Purpose may include Federal, state and local government entities, and non-governmental entities engaged in the conduct of business on behalf of or with GSA. Non-governmental entities may include architects, engineers, consultants, contractors, subcontractors, suppliers, utilities, and others submitting an offer or bid to GSA, or performing work under a GSA contract or subcontract.

Recipient contractors must be registered as “active” in the System for Award Management (SAM) database at www.sam.gov, and have a Lawful Government Purpose to access such information. If a subcontractor is not registered in the SAM database and has a Lawful Government Purpose to possess CUI building information in furtherance of the contract, the subcontractor must provide to the contractor its DUNS number or its tax ID number and a copy of its business license. The contractor must keep this information related to the subcontractor for the duration of the contract and subcontract.

b. All GSA personnel and contractors must be provided CUI building information when needed for the performance of official Federal, state, and local government functions, such as for code compliance reviews and the issuance of building permits. Public safety entities such as fire and utility departments may have a Lawful Government Purpose to access CUI building information on a case-by-case basis. This clause must not prevent or encumber the necessary dissemination of CUI building information to public safety entities.

2. Dissemination of CUI building information:

a. By electronic transmission. Electronic transmission of CUI information outside of the GSA network must use session encryption (or alternatively, file encryption) consistent with National https://www.archives.gov/files/cui/20161206-cui-marking-handbook-v1-1.pdf

Institute of Standards and Technology (NIST) SP 800- 171. Encryption must be through an approved NIST algorithm with a valid certification, such as Advanced Encryption Standard or Triple Data Encryption Standard, in accordance with Federal Information Processing Standards Publication 140-2, Security Requirements for Cryptographic Modules, as required by GSA policy.

b. By nonelectronic form or on portable electronic data storage devices. Portable electronic data storage devices include CDs, DVDs, and USB drives. Nonelectronic forms of CUI building information include paper documents, photographs, and film, among other formats.

i. By mail. Contractors must only use methods of shipping that provide services for monitoring receipt such as track and confirm, proof of delivery, signature confirmation, or return receipt. CUI markings must not appear on the exterior of packages.

ii. In person. Contractors must provide CUI building information only to authorized recipients with a Lawful Government Purpose to access such information. Further information on authorized recipients is found in section 1 of this clause.

3. Record keeping. Contractors must maintain a list of all entities to which CUI is disseminated, in accordance with sections 2 and 3 of this clause. This list must include, at a minimum: (1) the name of the state, Federal, or local government entity, utility, or firm to which CUI has been disseminated; (2) the name of the individual at the entity or firm who is responsible for protecting the CUI building information, with access strictly controlled and limited to those individuals having a Lawful Government Purpose to access such information; (3) contact information for the named individual; and (4) a description of the CUI building information provided. Once “as built” drawings are submitted, the contractor must collect all lists maintained in accordance with this clause, including those maintained by any subcontractors and suppliers, and submit them to the CO. For Federal buildings, final payment may be withheld until the lists are received.

4. Safeguarding CUI documents. CUI building information (both electronic and paper formats) must be stored within controlled environments that prevent unauthorized access. GSA contractors and subcontractors must not take CUI building information outside of GSA or their own facilities or network, except as necessary for the performance of that contract. Access to the information must be limited to those with a Lawful Government Purpose for access.

5. Destroying CUI building information. When no longer needed, CUI building information must either be returned to the CO or destroyed in accordance with guidelines in NIST Special Publication 800-88, Guidelines for Media Sanitization.

6. Notice of disposal. The contractor must notify the CO that all CUI building information has been returned or destroyed by the contractor and its subcontractors or suppliers in accordance with paragraphs 4 and 5 of this clause, with the exception of the contractor's record copy. This notice must be submitted to the CO at the completion of the contract to receive final payment.

For leases, this notice must be submitted to the CO at the completion of the lease term.

7. CUI security incidents. All improper disclosures or receipt of CUI building information must be immediately reported to the CO and the GSA Incident Response Team Center at gsa-ir@gsa.gov. If the contract provides for progress payments, the CO may withhold approval of progress payments until the contractor provides a corrective action plan explaining how the contractor will prevent future improper disclosures of CUI building information. Progress payments may also be withheld for failure to comply with any provision in this clause until the contractor provides a corrective action plan explaining how the contractor will rectify any noncompliance and comply with the clause in the future.

8. Subcontracts. The contractor and subcontractors must insert the substance of this clause in all subcontracts.

[End of clause]

III.L. Additional Terms and Conditions

1. Flow Down to Task Orders: IAW FAR 52.216-18 All task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

2. Project/Task Order Requirements: Task order solicitations will be issued with Statements of Work (SOW) and/or Construction Documents (Drawings, Specifications, Reports, Surveys, etc) that will include all applicable conditions and requirements for work to be performed. This includes but is not limited to: Location, Period of Performance, Liquidated Damages, Bonding Requirements (Bid/Payment/Performance), Applicable Wage Determinations, Scope, Site and Work Conditions, Accessibility to the Site, Existing Conditions, Site Protection, Safety Requirements, etc.

3. Guaranteed Minimum: The guaranteed minimum amount under the proposed contract is $2,500 for the initial year or base period of each contract. If the awardee does not receive an order, or several orders, totaling $2,500 or more during the initial year/base period of the contract, the Government will be obligated to pay that awardee the guaranteed minimum amount of $2,500. Awardee shall submit invoice to GSA within 30 days of the end date of the first ordering period (Base Period) if they have not received any orders meeting the guaranteed minimum.

4. Order Splitting: Delivery orders shall not be split into several orders to avoid compliance with the ordering limits defined in FAR 52.216-19 “Ordering Limitations”.

5. Ordering Officials: Warranted GSA Contracting Officers (CO) may place orders valued within their authority against this contract.

6. Contracting Officer Representatives (COR): The contracting officer may appoint a COR by written notice for future task orders. The appointment will specify the roles and responsibilities delegated from the CO to the COR and the awardee will receive a copy of the appointment letter with all awards.

7. Ordering Procedures:

a. IAW FAR 16.505(b)(1) the government will provide fair opportunity to all awardees for each order exceeding the micro purchase threshold.

i. Fair Opportunity means at minimum that all awardees will be given notice of all future awards to gauge their interest in the requirement. All interested vendors will receive an opportunity to submit a proposal for the order IAW with procedures set forth for each acquisition, unless and exception applies to fair opportunity.

b. IAW FAR 16.505(b)(2) the following exceptions to fair opportunity apply to this contract

i. The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.

ii. Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.

iii. The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.

iv. It is necessary to place an order to satisfy a minimum guarantee.

v. For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source, including but not limited to 15 USC 637 (8(a) Program FAR 19.8), 15 USC 637(a) (HUBZone Act FAR 19.1306), 15 USC 637(f) (Veteran Benefits Act of 2003), and 15 USC 637(m) (WOSB Program

FAR 19.1506).

vi. In accordance with section 1331 of Public Law 111-240 ( 15 U.S.C.

644(r)), contracting officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). When setting aside orders for small business concerns, the specific small business program eligibility requirements identified in part 19 apply.

Contracting Officers may consider but is not limited to the following conditions when determining the use of this exception:

1. The Task Order value is not expected to exceed $500,000.00.

2. The contracting officer determines there is a reasonable expectation of obtaining offers from two or more responsible small business concerns that are competitive in terms of fair market prices, quality, and delivery.

3. To support the agency progress in fulfilling its small business goals (FY22 Goals);

4. FAR 52.219-32 “Orders Issued Directly Under Small Business Reserves”;

https://insite.gsa.gov/about-us/agency-news/messages-from-leadership/key-officials-gsas-fiscal-year-fy-2022-small-business-prime-contracting-and-subcontracting-goals

5. Project Compexity;

6. Project Delivery Method;

7. Etc

8. Order Selection Method The government will primarily use one of the 3 selection methods listed below for all future task orders. However, this does not limit the government in choosing other selection methods for future task orders.

a. Price and Price Alone

i. This selection method is where all “bidders” will be evaluated on only price. The lowest bid will receive the award of the order.

1. This method should be considered for low risk, low complexity orders.

2. Typically, when the Design/Bid/Build (Traditional) Project Delivery

Method is used and the award is valued under $1,000,000.00.

b. Technical and Price

i. Minimum Technical Requirements and Low Price

1. This selection method will require the offerors to meet minimum technical requirements to receive a task order award. The firm who meets all technical requirements and is the lowest price offered will receive the award of the order.

a. This method should be considered for low risk, low complexity orders; and

b. The project scope requires some sort of minimal qualifications. Example: Elevator Modernization Project requires minimum years of experience for the Quality Elevator Inspector.

ii. Technical Merit is significantly more important than Price

1. This selection method will consider an offerors technical merit and price to determine the awardee. Typically Technical Merit will be considered more important than price.

a. This method should be considered for moderate to high risk and/or moderate to high complex orders.

b. When considering the Design/Build (D/B) delivery method the contracting officer should strongly consider this selection method and at minimum review the Designer’s Qualifications and knowledge of the PBS Facilities Standards. The contracting officer may also consider the procedures prescribed in FAR 36.3.

c. Offerors at the task order level may be requested to provide the following technical qualifications to be considered for award under this selection method (this is not an all inclusive list and will be defined at the order level)

i. Project Experience applicable to the Task Order Requirements

ii. Project Specific Resumes (PM, Super, etc)

iii. Project Specific Approach

iv. Project Specific Schedule

v. Any other information that is critical to the specific project

vi. Etc
