L.6 52.219-14 LIMITATIONS ON SUBCONTRACTING (DEVIATION 19-02)
APPLIES TO TRACK B AND C (SMALL BUSINESS CONCERNS ONLY)
a) Per FAR 52.219-14, Limitations on Subcontracting (DEVIATION 19-02), (e)(1), Services, (except construction) - “It will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 50 percent subcontract amount that cannot be exceeded.” Compliance with this requirement is further defined in 13 CFR §125.6. The Offeror shall complete Attachment L-1, Form 7 to demonstrate compliance.
b) Any proposal that does not meet this requirement will be considered unacceptable in accordance with
NFS 1815.305-70 and will not be considered for award.
L.7 1852.245-80 GOVERNMENT PROPERTY MANAGEMENT INFORMATION (JAN 2011)
(a) The offeror shall identify the industry leading or voluntary consensus standards, and/or the industry leading practices, that it intends to employ for the management of Government property under any contract awarded from this solicitation.
(b) The offeror shall provide the date of its last Government property control system analysis along with its overall status, a summary of findings and recommendations, the status of any recommended corrective actions, the name of the Government activity that performed the analysis, and the latest available contact information for that activity.
(c) The offeror shall identify any property it intends to use in performance of this contract from the list of available Government property in the provision at 1852.245–81, List of Available Government Property.
(d) The offeror shall identify all Government property in its possession, provided under other
Government contracts that it intends to use in the performance of this contract. The offeror shall also identify: The contract that provided the property, the responsible Contracting Officer, the dates during which the property will be available for use (including the first, last, and all intervening months), and, for any property that will be used concurrently in performing two or more contracts, the amounts of the respective uses in sufficient detail to support prorating the rent, the amount of rent that would otherwise be charged in accordance with FAR 52.245–9, Use and Charges (June 2007), and the contact information for the responsible Government Contracting Officer. The offeror shall provide proof that such use was authorized by the responsible Contracting Officer.
(e) The offeror shall disclose cost accounting practices that allow for direct charging of commercially available equipment, when commercially available equipment is to be used in performance of the contract and the equipment is not a deliverable.
(f) The offeror shall identify, in list form, any equipment that it intends to acquire and directly charge to the Government under this contract. The list shall include a description, manufacturer, model number (when available), quantity required, and estimated unit cost. Equipment approved as part of the award need not be requested under NFS clause 1852.245-70.
(g) The offeror shall disclose its intention to acquire any parts, supplies, materials or equipment, to fabricate an item of equipment for use under any contract resulting from this solicitation when that item of equipment:
Will be titled to the government under the provisions of the contract; is not included as a contract deliverable; and the Contractor intends to charge the costs of materials directly to the contract. The disclosure shall identify the end item or system and shall include all descriptive information, identification numbers (when available), quantities required and estimated costs.

L.8 1852.245-81 LIST OF AVAILABLE GOVERNMENT PROPERTY (JAN 2011)
(a) The Government will make the following Government property available for use in performance of the contract resulting from this solicitation, on a no-charge-for-use basis in accordance with FAR 52.245-1, Government Property, included in this solicitation. The Offeror shall notify the Government, as part of its proposal, of its intention to use or not use the property.
(b) The Government will make the following Government property available for use in performance of the contract resulting from this solicitation, on a no-charge-for-use basis in accordance with FAR 52.245-2, Government Property Installation Operation Services, as included in this solicitation. The Offeror shall notify the Government of its intention to use or not use the property.
Identified for all Tracks at the individual task order level if applicable.
(c) The selected Contractor will be responsible for costs associated with transportation, and installation of the property listed in this provision.

L.9 COMMUNICATIONS REGARDING THIS SOLICITATION

L.11 ANTICIPATED AWARD DATE AND PERIOD OF PERFORMANCE
(a) Anticipated Award Date: For the purpose of preparing proposals, offerors shall assume an anticipated award date of NLT TBD with an effective date of TBD.
(b) Period of Performance: For the purpose of preparing proposals, offerors shall use the following period of performance:

The option periods identified above may be exercised in accordance with FAR 17.207 Exercise of Options. The Government is not obligated to exercise options.
(c) The Government reserves the right to adjust the period of performance (See Section F.2). Adjustments to the period of performance may occur if the actual award date is later than identified above.
L.12 PROPOSAL DUE DATE
Offerors shall submit proposals via the NASA EFSS BOX (as provided in the Section L.18 instructions.
Proposals must be received by 2:00 pm ET on TBD. Late submissions, modifications, revisions, and withdrawal of proposals will be handled in accordance with FAR 15.208.
L.13 PROPOSAL ACCEPTANCE PERIOD
The Offeror shall include a statement in its Business Proposal - Volume IV that its offer will remain valid for at least 240 calendar days after the date specified for receipt by the Government (See FAR 52.215- 1(d), Offer expiration date).
L.14 GENERAL INSTRUCTIONS
This provision provides general instructions for preparing proposals as well as specific instructions on the format and content of the proposal. The Offeror’s proposal must contain adequate information to enable the evaluation team to fully ascertain an Offeror’s capability to perform contract requirements, must meet the requirements of the RFP, and must address the evaluation factors for award.
(1) Proposal Clarity – The proposal shall be clear, concise, and include sufficient detail for effective evaluation and substantiation of all information. Offerors are advised to examine this solicitation in its entirety and to ensure that the proposal contains all necessary information, all required documentation, and is complete in all respects since proposal evaluations will be based on the actual material presented and not on the basis of what is implied. The Offeror’s proposal must reflect a thorough understanding of the services required and display a logical development of the Offeror’s plans to implement all Statement of Work (SOW) requirements as assessed by the RFP evaluation criteria. The proposal shall not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements.
(2) Proposal Consistency - The Offeror shall ensure that the cost/price proposal is consistent with the technical proposal in all respects since the cost/price proposal may be used as an aid to determine the offeror's understanding of the technical requirements. Inconsistencies may be viewed by the evaluation team as a lack of understanding.
(3) Stand-alone Volumes – Each volume of the offeror’s proposal shall be submitted and written on a stand-alone basis so that its content can be evaluated by the Government without having to cross-reference to other volumes of the proposal. Information required by the solicitation to be included in a designated volume that is not found in that volume will be assumed to have been omitted from the designated volume and will not be evaluated.
(4) All information contained in the proposal an Offeror feels is “Proprietary Information” and therefore not releasable under the Freedom of Information Act (FOIA), should be labeled “Proprietary Information, Source Selection Information—See FAR 2.101 and 3.104.”

L.15 PROPOSAL PREPARATION INSTRUCTIONS – PERFORMANCE-PRICE TRADEOFF
(PPTO) WITH TECHNICAL PROPOSALS SOURCE SELECTION
(a) This competitive best value source selection will be conducted in accordance with Federal
Acquisition Regulation (FAR) Part 15.3 “Source Selection”, NASA FAR Supplement Part 1815.3, and this solicitation using a Price Performance Tradeoff (PPTO) approach with technical proposals.
Offerors are required to submit a Technical Proposals (L.17(a)) which will be evaluated by the Government for acceptability based on the “Technical Considerations” set forth in M.6. Offerors are also required to submit proposals for the Past Performance Factor (M.7(a)) and Price Factor (M.7(b)) which will be evaluated by the Government as set forth in M.5. The Government seeks to select Offerors whose proposal represents the best value considering past performance and price. A tradeoff process (see FAR 15.101-1) will only be performed between past performance and price, not on technical considerations.
(b) The offeror shall include the detailed information outlined below so that the proposal can be evaluated in accordance with the evaluation factors set forth in Section M, Evaluation Factors for Award. The offeror shall structure each volume to adhere to the headings listed below. Proposal
Volumes - The offeror shall submit proposals in four (4) separate volumes that include a Technical Proposal (Volume I), Past Performance Proposal (Volume II), Cost/Price Proposal (Volume III), and Business Proposal (Volume IV) and comply with the proposal organization, electronic submission requirements, page limitations, format, and other requirements/instructions as specified in the solicitation. The Government will evaluate proposals as set forth in Section M.
(c) Proposal Page Limitations (NFS 1852.215-81) (APR 2015)
The offeror’s proposal shall be arranged and comply with the requirements specified in “TABLE L-1 – SUMMARY OF PROPOSAL SUBMISSION REQUIREMENTS” below.
Electronic Submission - The term “Electronic Submission” refers to the Offeror’s submission of the electronic proposal in accordance with L.19 titled “Electronic Submission of Proposals - Proposal Marking and Delivery Through NASA EFSS Box.

Note 2: Written consent letters from each proposed significant subcontractor shall be included in the offeror’s Business Proposal, Volume IV and are not subject to the page limitations of the Past Performance Volume.
Note 3: Small Business Utilization has no page limit and is separate and distinct from the 10-page Technical Proposal (Technical Considerations) limit.
Note 4: The SF 33 only may be submitted in either MS Word or Adobe PDF. The pages with the completed required fill-ins of Sections B-J of the Model Contract, including Section K and all exhibits, shall be submitted in MS Word. Written Consent Letters may be submitted in either MS Word or Adobe PDF.
(d) A page is defined as one side of a sheet, 8 1/2" x 11", with at least one-inch margins on all sides. The
Offeror shall use a minimum of size 12 font (for all volumes). The metric standard format most closely approximating the described standard 8 1/2" x 11" size may also be used. Other limitations/instructions identified as follows:
i. Line spacing or the amount of vertical space between lines of text shall not be less than a “single” (Microsoft Word’s default line spacing). Character spacing shall be “normal” and not “expanded” or “condensed.”
ii. Referencing outside material (e.g., via a link to a website) is prohibited; this prohibition applies to all volumes of proposals submitted under this RFP. All information found at such referenced locations will not be considered in the evaluation of proposals and the selection of a successful Offeror.
iii. The offeror shall number all pages in each volume and shall mark all copies of the proposal sequentially (e.g., 1 of 6, 2 of 6, etc.) for documentation control.
iv. Header and footer information (i.e., company name, solicitation number) can be included in the one-inch margins.
v. Offerors shall submit proposals in the Microsoft Office® applications specified in the table above. Offerors shall submit required forms in Volumes III and IV in the format in which the forms were posted by the Government.
vi. For all cost spreadsheets, it is preferred, but not required, that all information be provided under one file with as many workbooks as necessary. However, if the information requires more than one file, all files shall be saved under one folder and no two files shall have the same file name. All spreadsheets shall be self-calculating and shall not contain hidden cells, be locked/protected, secured by password or include external links. The offeror shall explain any hard-corded or absolute values.
vii. The following items are excluded from the page counts specified in paragraph (b) of this provision: Title/cover pages, tables of contents, cross-reference matrices, or list of figures/acronyms, past performance consent letters required to be submitted in the Business Proposal.
(e) If final proposal revisions are requested, separate page limitations will be specified in the Government’s request for that submission.
(e) Offerors are cautioned to strictly adhere to the page limitations. Proposal pages and content submitted in excess of the limitations specified in the solicitation will not be evaluated by the Government.
L.16 ELECTRONIC SUBMISSION OF PROPOSALS – PROPOSAL MARKING AND
DELIVERY THROUGH NASA’S EFSS BOX (JUL 2021)
Offerors may propose to all or some of the technical tracks for which they are eligible for award
(a) The offeror shall submit its proposal via NASA’s Enterprise File Sharing and Sync Box (EFSS Box), a FedRAMP Moderate certified platform. Electronic submissions shall not contain hidden formulas, tables, be locked, be password protected, or contain links to data not included in the electronic copy. All electronic submissions should be searchable and should not contain scanned documents, except those documents that must be provided in their native format (e.g., signature pages, prior award fee letters for past performance, DCAA/DCMA approval letters, as applicable). The offeror shall ensure documents are free from viruses and malware, as documents determined by NASA to contain a virus or malware will not be opened or evaluated. Subcontractors may submit their required proposal information separately using the instructions in this provision. The offeror shall ensure subcontractor submissions are made no later than the date and time specified for proposal submission and comply with all solicitation instructions.
(b) Prior to the submission of proposal files, offerors interested in submitting a proposal in response to this solicitation should send an email to Karen Dempster of their intent to submit a proposal at least 48 hours prior to the intended submission date, at the following email address: LaRC-OP- IAD@mail.nasa.gov. Offerors, especially those that have not previously submitted a proposal utilizing NASA’s EFSS Box, are encouraged to coordinate the submission of a test file with Karen Dempster at [EFSS Box to be Provided] several days in advance of the date and time specified for proposal submission in order to allow time to work through any submission issues.
(c) The offeror shall submit all proposal files to: TBD. The Offeror shall follow instructions regarding proposal submission found at https://www.hq.nasa.gov/office/procurement/other/EFSS-Box-Offeror- Proposal-Submission-Instructions.pdf.
(d) Offerors are encouraged to include all individual proposal files within a single .zip file. Electronic file names shall be limited to letters, numbers, and single spaces, with the exception of the period that is required before the file extension (e.g., .zip, .pdf), in order to successfully upload and download files from the EFSS Box system. The offeror shall not use special characters “/” or “\” in file names. The offeror shall sequentially number each file and clearly label the contents of the file and include the name of the offeror and subcontractor name (if applicable) in the individual file name. Unless specifically authorized by the solicitation instructions, alternate proposal submissions shall not be submitted.
(e) Immediately after all files have been uploaded and the proposal has been submitted in its entirety, the offeror shall notify Karen Dempster at the following email address: LaRC-OP-IAD@mail.nasa.gov with a listing of all documents that were submitted via EFSS Box. If any problems are experienced with the EFSS Box system (e.g., login, file transfer), please contact Karen Dempster via e-mail at LaRC-OP- IAD@mail.nasa.gov as soon as possible.
(f) The offeror is responsible for ensuring its proposal reaches the Government office designated in the solicitation by the date and time specified in the solicitation (see FAR 52.215-1(c)(3)). The Government is not responsible for any failure attributable to the transmission or receipt of documents submitted using electronic means, including the missing of any submission requirements and established deadlines. Please note that uploading documents via EFSS Box and the transmission of the files from the offeror to the Government may not be instantaneous. To ensure timely delivery, the offeror is encouraged to submit its proposal at least 24 hours prior to the due date specified in the solicitation. The electronic submission of the proposal shall contain all information required by the solicitation to be determined responsive.

L.17 INSTRUCTIONS FOR VOLUME I - TECHNICAL PROPOSAL (TECHNICAL
CONSIDERATIONS)
The Offeror’s Technical Proposal shall respond separately to each of the tracks that it is proposing to. For example: If you are only proposing on Track A, only submit a Technical Proposal for Track A. If you are proposing on Track A and B, submit separate Technical Proposal for Tracks A and B. The page limitation in L.15 applies separately to each Track/Technical Proposal.
(a) The Offeror shall submit a Technical Proposal that describes the proposed approach, including which entity is proposed to perform the work, to accomplish the work specified in “Technical Considerations” below. The Government will evaluate the Technical Proposal for acceptability as set forth in Section M. The technical proposal shall clearly demonstrate the Offeror’s approach and ability to meet all of the technical considerations detailed below. Do not merely reiterate the requirements of the solicitation.
The volume shall be specific, detailed, and complete enough so as to clearly and fully demonstrate the Offeror’s ability to meet the requirements as defined in the Technical Considerations below. Stating that the Offeror “understands and shall comply with the requirements,” or paraphrasing the requirements are inadequate, as are phrases such as: “Standard procedures will be employed,” and “Well-known techniques will be used.” The volume shall comprehensively explain how the Offeror proposes to comply with the applicable requirements, including a full explanation of the techniques and procedures the Offeror proposes to follow. All information submitted shall be current, specific, complete, and meet the requirements of the solicitation.
(b) The Technical Proposal shall address the following, as applicable:
(1) Technical Track A: Offeror shall demonstrate its capabilities, or ability to obtain the capability, to meet the task requirements related to Inflatable Structures (IS) Design, Manufacturing, and Testing, including Aeroshell Integration and Test. Specifically,
a. Provide a summary plan for how it will design, determine type and features, determine material selection and construct an IS with a diameter of 6 meter (m) or larger with an operating inflation pressure of at least 20 psid.
b. Provide a list of its facility, equipment capabilities and summary plan for manufacturing, assembling, integration, and testing capability for producing an IS in the scale ranging from 3 to 10 meters in diameter.
c. Provide a summary plan of activities required to increase its current facility, equipment, and support capabilities, or obtain them, in order to provide manufacturing, integration, and testing of large scale IS ranging from 10 to 20 meters in diameter. At a minimum, provide a summary plan of how to scale up as the Inflatable Aerodynamic Decelerator (IAD) size increases from 10 to 20 meters in diameter.
d. Provide a summary plan for the assembly, integration and testing of a complete 6 m or larger IAD aeroshell system.
(2) Technical Track B: Offeror shall demonstrate its capabilities, or ability to obtain the capability, to meet the task requirements related to Flexible Thermal Protection Systems (FTPS) Design, Manufacturing, and Testing, including support for Aeroshell Integration and Test. Specifically,
a. Provide a summary plan for how it will design, determine type and features, determine material selection for thermal and construct a FTPS with a diameter of 6 meters or larger.
Material selections shall consider thermal capabilities for outer surface temperature of at least 1000 deg C for a minimum of 5 minutes and provide thermal insulation to limit the temperature at the interface to the Inflatable Structure to 250 C.
b. Provide a list of its facility, equipment capabilities and summary plan for manufacturing, assembling, integration, and testing capability for producing an FTPS in the scale ranging from 3 to 10 meters in diameter.
c. Provide a summary plan of activities required to increase its current facility, equipment, and support capabilities, in order to provide manufacturing, integration, and testing of large scale FTPS ranging from 10 to 20 meters in diameter. At a minimum, provide a summary plan of how to scale up as the IAD size increases from 10 to 20 meters in diameter.
(3) Technical Track C: Offeror shall demonstrate its capabilities, or ability to obtain the capability, to meet the task requirements related to Gas Generator Inflation Systems Design, Manufacturing, and Testing and Integration with Inflatable Structure. Specifically,
a. Provide a summary plan of how to reduce gas generator discharge temperature and deliver gas to the inflatable structure with a goal of less than 200 C.
b. Provide a summary plan for a full, maintainable inflation for inflatable structure volumes from 1200 to 4000 cubic feet with final inflatable pressures between 15 to 30 psid.
c. Provide a summary plan to minimize or eliminate and solid, liquid, or gas delivered which may harmful to inflatable structures materials, in particular silicone and fluoropolymer components.
(4) Small Business Utilization (SBU)
All offerors shall submit the below information in response to subparagraph (a), All offerors, except small business offerors, shall respond to subparagraph (b) (applicable to Track A only).
(a) Affirmation statement of the offeror’s commitment to the Small Business program, by briefly describing work that may be performed by small businesses demonstrating the extent of commitment to utilize small business concerns and to support their development. Information provided should include a description of established or planned procedures and organizational structure for small business outreach, assistance, participation in the Mentor Protégé program, counseling, market research to identify potential small business sources, and relevant purchasing procedures that foster small business involvement, as applicable.
(b) Affirmation statement that the offeror will meet the subcontracting plan requirements of this RFP
(See FAR 52.219-9, Small Business Subcontracting Plan, Alternate II) applicable to other than small businesses) and acknowledgement that the apparent successful offeror(s) shall be required to submit a subcontracting plan in accordance with Section L Attachment 7 with its proposal and negotiate an acceptable plan that will be incorporated in the resulting contract.
L.18 INSTRUCTIONS FOR VOLUME II - PAST PERFORMANCE PROPOSAL (FACTOR 1)
The Offeror’s Past Performance Proposal/Volume shall respond separately to each of the tracks that it is proposing to. For example: If you are only proposing on Track A, only submit a past performance proposal/volume for Track A. If you are proposing on Track A and B, submit separate past performance proposals/volumes for Tracks A and B. The page limitation in L.15 applies separately to each past performance proposal/volume. The offeror shall clearly label each submission by the appropriate Technical Track.
(a) Proposal Guidelines – The Offeror shall include in its proposal the overall corporate or Offeror past performance, but not the past performance of individuals who are proposed to be involved in the required work, to demonstrate the Offeror’s performance under prior contracts for work that is similar in content, size, and complexity to the technical performance areas specified below. However, for newly formed businesses having little or no experience as the new business entity, the Offeror may submit the past performance of a predecessor business entity or the past performance of the company's principal owner(s) or corporate officer(s). Newly formed business entities submitting such information shall also submit a thorough and clear explanation of why such information should be considered predictive of the Offeror’s performance under a contract resulting from this solicitation. Offerors which are subsidiaries or affiliates of other business entities may submit the past performance of such other business entities for consideration but such past performance will only be considered to the extent that the proposal clearly demonstrates that the resources of the other companies will affect the Offeror’s performance on the proposed contract. The Government will consider the past performance information (PPI) for the prime Offeror and significant subcontractors (See (c) below) that are proposed to perform the technical performance areas when such information is recent and relevant to those areas.
(b) Significant Subcontractors – For the purposes of this solicitation and for proposal preparation purposes, the term “significant subcontractor” only applies to the Past Performance Factor. For the Cost/Price Factor, all subcontract cost/pricing information shall be submitted in accordance with the solicitation instructions. Under the Past Performance Factor, a “significant subcontractor” is defined as subcontractor proposed to perform 25% or more of any one of the technical performance areas listed in L.17(b).
(c) Contractor Team Arrangements – This instruction only applies if the Offeror is teaming as defined in FAR 9.6, which will include (1) two or more companies form a partnership or joint venture to act as a potential prime contractor or (2) significant subcontractors as defined in (d) below. If a teaming arrangement is proposed, the Offeror shall clearly describe the teaming arrangement for affiliated companies or operating divisions within the parent company or joint ventures. The proposal shall detail why such information is relevant to the technical performance areas.
To demonstrate the full range of capabilities, offerors may submit past performance information on recent and relevant contracts of teaming partners, affiliated companies or operating divisions within the parent company or joint ventures of the parent company when it is reasonable to attribute the experience of these past efforts to the proposed effort and when the PPI clearly demonstrates the resources (e.g., financial resources, overall oversight and management or other resources) of the parent or affiliated division will meaningfully affect performance of the instant acquisition in the technical performance areas. Information on these projects shall be provided as described above and shall identify the names of the firms and their roles in the specific project.
The offeror shall address the following questions, in specific detail, when submitting past performance data on recent and relevant contracts of affiliated and parent companies.
i. Who will manage the contract?
ii. Which party possesses the background, expertise and qualifications relevant to the contract requirements and necessary for contract performance?
iii. Are there discreet tasks to be performed by each of the teaming partners in the performance of the contract? If so, please specify in detail.
iv. What’s the relative amount of work to be performed by each party?
v. Which party will perform the more complex and costly contract functions?
vi. Is there a commingling of personnel and resources? If so, please specify in detail.
vii. What is the business size of the other parties?
(d) Proposal Content – (Recent and Relevant/Pertinent Contracts References) – The Offeror shall submit a minimum of three (3) and a maximum of five (5) contract references that are on-going or completed within the past five (5) years from the date of RFP issuance that the Offeror considers to be the most relevant in terms of content, size, and complexity to the technical performance areas identified below. (See L.18(c)(13), For Content). Three (3) of the contract references provided shall be for the offeror (prime), if available. The remaining two (2) contract references may be provided for significant subcontractors, teaming partners, and/or joint venture partners considered critical to successful performance of the contract. Contract references can include Federal, State, and local Government and private customer contracts. The Offeror is encouraged to select contracts where they were the prime contractor. If the Offeror does not have any past performance experiences meeting these conditions, the Offeror shall so state. It is the responsibility of the Offeror to clearly and completely demonstrate in its proposal the relevancy of each of the contract references in terms of content, size, and complexity.
For each reference submitted, the Offeror shall include the following:
(1) Contract Number and Title
(2) Contracting Agency
(3) Points of contact in the program and contracting offices, including accurate telephone numbers and e-mail addresses.
(4) If a Government Agency, include both the Contracting Officer (CO/KO) and Contracting Officer’s Representative (COR) points of contact
(5) Name of Company that performed the work, CAGE code, and DUNS number
(6) Contract type
(7) Contract beginning and ending dates
(8) Status of Contract (current, terminated (if so, why), successfully completed)
(9) Total Contract Value and Total Actual Obligated Dollars (If other than the Prime, provide the overall contract value and the value of the work the entity/company performed)
(10) Average Annual Contract Value and Average Annual Obligated Dollars
(11) Original cost/price as well as actual cost/price
(12) Base, fixed, incentive and award fee available, if applicable. Incentive and award fee actually earned (by contract year), if applicable
(13) Proposal Narrative: Written Narrative for Relevant Contract References:
Offerors shall provide a thorough and complete description of contract work content and specific description of how prior experience is relevant to the technical performance areas (Tracks that are applicable to the proposal). Offerors shall submit information on contracts they consider most relevant/pertinent in demonstrating its ability to perform the proposed effort. The submission shall include rationale supporting the relevance/pertinence of the contract to the technical performance elements of this solicitation. This submission shall clearly detail what portions of the technical performance areas (SOW areas listed above) each proposed entity (prime, subcontractors, teaming partner, and/or joint venture partner) are responsible for and the specific resources (workforce, management, facilities, or other resources) to be employed and relied upon to perform the proposed effort. If the Past Performance volume includes data on any affiliated company, division(s), business units, segments, or other organizations of your company, then provide a narrative to address what they will be responsible for and/or proposing to do and the specific resources (workforce, management, facilities, or other resources) to be employed and relied upon, such that said parent et al will have meaningful involvement in contract performance.
• For “Content”, demonstrate relevance to technical performance areas specified below:

• For “Size”, the Government will compare the referenced contracts/task order for similarity in size to the average/typical task order for IAD work. To be considered at least somewhat pertinent, task orders must have a minimum value of $25,000 (Applicable to all Tracks).
• For “Complexity”, demonstrate relevance terms of the performance challenges and risks experience under the contract reference compared to the complexities of the technical performance area(s)/tacks the entity is proposed to perform.
(14) Extent to which contract objective were met, including:
(i) Quality of Services
(ii) Schedule
(iii) Business Relations
(iv) Cost Control
(v) Management of Personnel
(vi) Safety
(vii) Environmental Compliance.
(15) The Offeror shall complete and provide a table describing which entity is proposed to perform the work for each technical performance areas (SOW areas) and the percentage of work each entity will perform. In the event of a conflict between the narrative and the work performance table, the narrative will take precedence as the Offeror’s intended response. Rows may be added or deleted to encompass the prime Offeror and all significant subcontractors.
Percentages shall be rounded to the nearest whole number. Typically, each column should add up to 100%. In the case where the total is less than 100%, the Offeror shall explain why the total is less than 100% (e.g., additional subcontractors that are not “significant” per the solicitation).

(e) Consent Letters (To be submitted in the Business Proposal, Volume IV) - The Offeror shall submit a written consent letter from each proposed significant subcontractor, teaming partner, and joint venture partner authorizing the release of past performance information to the Offeror and to allow NASA to discuss the past performance information with the Offeror.
(f) Independent Past Performance Information (PPI) - The Government may consider PPI from other sources including, but not limited to, the Contractor Performance Assessment Reporting System (CPARS), Past Performance Questionnaires, interviews and other references in addition to those provided by the Offeror and its significant subcontractors. While NASA may elect to consider data obtained from other sources, Offerors are responsible to submit recent and relevant references that NASA can readily contact and for presenting information establishing the relevance of their experience to NASA’s requirements under this RFP.
L.19 INSTRUCTIONS FOR VOLUME III - COST/PRICE PROPOSAL (FACTOR 2)
It is the intention of the Government to issue Cost Reimbursable task orders when practical but reserves the right to issue Firm-Fixed-Priced task orders under the pursuant contract.
Cost Realism will be evaluated in accordance with FAR 15.404-1(d) at the task order level for all cost type orders. The Government will conduct a cost realism analysis by independently reviewing and evaluating specific elements of each offeror’s proposed cost estimate to determine whether the estimated proposed cost elements are realistic for the work to be performed; reflect a clear understanding of the requirements; and are consistent with the unique methods of performance and materials described in the offeror’s technical proposal. The Government will derive a probable cost, which is determined by adjusting each offeror’s proposed cost, and fee when appropriate, to reflect any additions or reductions in cost elements to realistic levels based on the results of the cost realism analyses performed. The probable cost may differ from the proposed cost and will reflect the Government’s best estimate of each offeror’s proposal. The probable cost shall be used for the purposes of evaluation to determine the best value for each cost type task order.
General Instructions
(1) Data Other Than Cost or Pricing Data
(a) The contracting officer has determined there is a high probability of adequate price competition for this acquisition. However, in order to determine price reasonableness, limitations on subcontracting, and future modification(s) to the resultant contract, offerors are required to submit Data Other than Cost or Pricing Data pursuant to FAR 15.403-3.
(b) Offerors shall comply with the instructions in this section and those on the Cost Forms, Attachment L-
1. The Offeror should prepare its price proposal in a manner that is consistent with its current accounting system. An Offeror’s failure to comply with all Price proposal instructions (including those for electronic submissions) may result in rejection of its proposal.
(2) Cost Forms
(a) The Offeror is required to complete the Cost Forms in Attachments L-1 to this solicitation. Cost Forms in word processing or PDF formats are not acceptable. The cost evaluation will be focused on the completed Cost Forms and the supporting narrative. The Offeror may submit additional spreadsheets only if the narrative does not adequately support the information in the Cost Forms.
(b) Attachment L-1 includes seven separate forms as follows:

(3) Direct Labor Cost:
For proposal purposes, the Offeror shall compute labor cost using the labor categories set forth in the forms. Offerors shall not change the labor categories. If necessary, Offerors shall provide a crosswalk from the represented labor categories to labor categories in the Offeror’s current accounting system. See Attachment L-4 for Worker Qualifications for the direct labor categories descriptions. Each proposed labor rate shall include base salary, all applicable indirect burdens, excluding profit. If proposed, rates shall also include anticipated escalation unless escalation is prohibited by law, regulation or a specific clause in this solicitation. Offeror shell provide an estimated percent of effort for each labor category for the Prime and each proposed subcontractor that adds to 100%.
(4) Subcontracting Cost
A completed Attachment L-1 provides the Offeror the opportunity to include subcontractors in its effort.
Offerors shall include the following for each proposed subcontractor [for each year] performing direct labor, regardless of the proposed subcontract dollar value:
1) Subcontractor’s name
2) A list of all proposed labor category(ies)
3) Subcontractor’s total burdened labor rate, excluding profit
NOTE: The prime Offeror’s indirect rates that may apply can be listed on the Price Summary of Subcontracting (Attachment L-1) only. The dollar values listed in Forms 3a or 3b shall not include any of the prime Offeror’s indirect or profit burdens on subcontract costs. Forms 3a or 3b shall reflect only the subcontractors’ price.
(5) Limitations on Subcontracting (Applies to Track B and C only)
Per FAR 52.219-14, Limitations on Subcontracting (DEVIATION 19-02), “it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities.
