SECTION L - INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS OR

RESPONDENTS

(Section L will be removed in the resulting IDIQ Contract award).

The Government anticipates awarding multiple Indefinite Delivery/Indefinite Quantity (IDIQ) contracts under this solicitation. Awards will be made under two separate tracks covering the scope of this requirement:

• Track 1: Hardware/Software and Ancillary Services

• Track 2: Comprehensive Services

Offerors may propose for either Track 1, Track 2, or both Tracks. Offerors shall submit only one proposal as the prime contractor, which may be used if proposing for both Tracks. Offerors are prohibited from submitting a proposal as a prime and partnering with another offeror in a contractor team arrangement under a Track.

The Offeror’s proposal must clearly identify the Track(s) for which it is proposing, and certify they are not part of another Offeror’s proposal for that Track.

Proposal Submission Requirements

Offerors shall submit their proposals in the format outlined below. Proposals must be clear, concise, and complete, addressing all requirements of this solicitation. Proposals shall be organized into three separate volumes as follows:

PROPOSAL FORMAT

Volume I: Corporate Qualifications and Responsibility (Required for all Offerors, whether proposing for one Track or both Tracks) This volume shall address the Offeror’s corporate qualifications and responsibility, including:

• SF1449

• Representations, Certifications, and Other Statement of Offerors or Respondents

• Small Business Certification (if applicable)

• Subcontracting Plan (if applicable)

• Contractor Team Arrangements (if applicable)

• Adequate Accounting System

Volume II: Capabilities (Offerors shall submit the applicable sections based on the Track(s) for which they are proposing.)

• Volume II-A: Factor 1 – Business Approach (Track 1 Only) Offerors proposing for Track 1 shall describe their business approach to delivering hardware, software, and ancillary services.

• Volume II-B: Factor 1 – Staffing Plan (Track 2 Only) Offerors proposing for Track 2 shall provide a staffing plan that demonstrates their ability to deliver C-UAS as a Service.

• Volume II-C: Factor 2 – Technical Capabilities (Either or Both Tracks) Offerors shall describe their technical capabilities providing the functional requirements of Detection, Tracking, Identification, and Mitigation (Track 1) and technical capabilities providing C-UAS as a Service (Track 2) across the specified use cases.

Volume III: Price Proposal

• Volume III-A: Track 1

Offerors shall propose pricing for the use case scenario in Attachment 1.

• Volume III-B: Track 2

Offerors shall propose labor rates for all labor categories in Attachment 2.

VOLUME II (Capabilities) Proposal Content Instructions

Offerors shall provide sufficient information for the Government to determine the breadth and depth of the Offeror’s ability to deliver solutions in alignment with the Government’s requirements.

General:

The Offeror may include one (1) cover page for its Volume II proposal submission, which does not count towards the page limitations. The Offeror’s cover letter must clearly identify the Track(s) for which it is proposing.

The Offeror may include a table of contents, which does not count towards the page limitation.

The Offeror shall indicate, in this section only, if any technical related assumptions have been made, conditions have been stipulated or exceptions have been taken with the solicitation as written. If technical assumptions are not noted in this Volume and this section of the proposal, it will be assumed that the Offerors proposal reflects no technical assumptions for award and that the Offeror agrees to comply with all the terms and conditions set forth herein. It is not the responsibility of the Government to seek out and identify assumptions, conditions, or exceptions buried within the Offeror’s submission. Accordingly, any technical related assumptions listed in any other Volume or section shall not be considered. The Offeror is advised that any exception taken to the terms and conditions of the solicitation may adversely impact its evaluation rating.

Any assumptions that are considered unacceptable by the Government and cannot be resolved may result in the Offeror being removed from consideration. The Offeror’s technical assumptions do not count towards the page limitations.

The Offeror’s Volume II proposal submission shall be no less than single-spaced, 11-point font size, and 1-inch margins, and all illustrations (e.g., graphs, charts, diagrams, tables, etc.) and their content shall be eye-readable without the intervention of specialized equipment or a computer when printed.

CAPABILITIES – Business Approach (Track 1 Only)

Offerors proposing for Track 1: Hardware/Software and Ancillary Services shall describe their business approach to delivering a complete solution. This includes:

1. Provide fully executed letters of commitment from teaming partners or resellers, detailing their scope of involvement. All letters of commitment shall be signed by the offeror and the teaming partner/reseller.

2. Describe how current relationships will be managed and maintained, and how new relationships will be fostered and obtained to ensure seamless coordination including an explanation of the efficiency of the proposed management structure to ensure timely delivery, accountability, and alignment with the Government’s objectives.

CAPABILITIES – Staffing Plan (Track 2 Only)

Offerors proposing for Track 2: Comprehensive Services shall provide a detailed staffing plan that describes their strategies for recruiting and retaining qualified personnel, including plans to address staffing challenges such as turnover and surge requirements. The staffing plan shall also outline how personnel will be managed to ensure effective service delivery, accountability, and adherence to project timelines, including details on the organizational structure and reporting hierarchy. Additionally, Offerors shall demonstrate the ability to adjust staffing levels and labor categories to meet changes in project scope, workload, or priorities, and provide examples or strategies for scaling resources to meet evolving requirements.

CAPABILITIES – Technical Capability (Either or Both Tracks) Offerors shall demonstrate through prior experience their capabilities to deliver solutions that address the functional capabilities for Detection, Tracking, Identification, and Mitigation across the specified use cases. The Government will evaluate the range of capabilities the Offeror has provided, as indicated in the “Self-Certification Technical Expertise Form” (Attachment 4). Offerors must:

1. Complete the Self-Certification Technical Expertise Form: Identify which capabilities and use cases their solution supports by completing Part I, Offeror Information and Part II, Technical Expertise.,

2. Provide Supporting Evidence: Submit evidence to support prior experience and ability to deliver the actual C-UAS solution(s) offered for each capability. Supporting evidence will be provided using the template provided in Part III, Solution Detail of the Self- Certification Technical Expertise Form and include:

o Identifying the brand-name systems associated with the previously provided solution and provide details on partnerships or reseller agreements that supported delivery and implementation of those solutions o Providing current references and contact information from previous clients or partners who can verify the claims noted in the matrix.

Volume III: Price Proposal Content Instructions

Track 1: Hardware/Software and Ancillary Services - Offerors proposing for this track shall reference the Track 1, Use Case Scenario for Persistent Drone Coverage System and submit a complete pricing schedule using Attachment 1, Pricing Schedule for Use Case Scenario.

For CLINs X001 Hardware, Offerors shall provide hardware-related details such as system type, use case, environment, and capabilities being proposed for the Use Case Scenario. For example, radar systems for aviation and maritime environments. SLIN X001AA: Persistent Counter Drone System (Initial Acquisition Costs) includes all hardware components required for system functionality, such as detection, tracking, and mitigation systems. SLIN X001AB System Upgrades and End of Life Costs includes costs for hardware upgrades and decommissioning/replacement of outdated components. SLIN X001AC: Backup Data Transfer Mechanism includes hardware components for redundancy to ensure operational continuity.

SLIN X001AD: Accessories includes batteries, chargers, spare parts, and other ancillary hardware required for system operation. Offerors shall propose fixed unit prices and are encouraged to propose volume discounts. Offerors may add additional rows to the Pricing Schedule in order to provide a further breakdown of unit pricing.

For CLIN X002 Software/Licensing, Offerors shall provide information about initial software acquisition, updates, and licensing flexibility being proposed for the Use Case Scenario. SLIN X002AA: Operating Software includes user interface functionality, real-time data processing capabilities, and licensing fees. SLIN X002AB: Software Updates and Threat Library Updates includes testing, validation, and deployment of updates to ensure system functionality and interoperability. SLIN X002AC: Licensing Flexibility and Renewal Costs includes recurring licensing fees and provisions for flexibility in licensing agreements. Offerors shall propose fixed unit prices and are encouraged to propose volume discounts. Offerors may add additional rows to the Pricing Schedule in order to provide a further breakdown of unit pricing.

For CLIN X003 Support, Offerors shall provide information and fixed unit pricing for support services like training, maintenance, and technical support for the Use Case Scenario. SLIN X003AA: Year 1 Maintenance for Hardware includes routine checks, troubleshooting, repairs, and operational support for hardware components. SLIN X003AB: Year 1 Maintenance for

Software includes updates, patches, troubleshooting, and operational support for software components. SLIN X003AC: On-Call Operational Support includes technical assistance during deployment and operation. SLIN X003AD: Initial Training Session includes training for Government personnel within 5 days of hardware delivery to ensure rapid operational readiness.

SLIN X003AE: Follow-Up Training Session includes training for Government personnel 6 months after the initial session to reinforce knowledge and address operational challenges. SLIN X003AF: Installation Services includes site survey, installation of hardware, and system testing/validation to ensure proper setup and integration with existing infrastructure.

Track 2: Comprehensive Services -

Offerors proposing for this track shall propose fully burdened labor rates for all proposed labor categories contained described in Attachment 3 - C-UAS IDIQ Labor Categories. Offerors may add additional rows to the Pricing Schedule in order to propose additional labor categories and associated labor rates not included in the Pricing Schedule, Track 2 – Comprehensive Services (Attachment 2. Offerors are instructed to only input entries in the cells highlighted in yellow.

In its pricing narrative, the Offeror shall provide a description of each additional proposed labor category, the minimum educational requirements, the minimum years of experience, and any accreditations. For all labor categories proposed, the Offeror shall provide a crosswalk between the Offeror’s Federal Schedule labor categories (such as GSA Schedule, Alliant, NIH CIO-SP3 etc.), Commercial Catalog, and/or Offeror’s Sales Data (if applicable) and the labor categories contained in Attachment 2 - Pricing Schedule, Track 2 Comprehensive Services. This procurement is not being conducted under FAR Subpart 8.4. The Government is not requesting the crosswalk for determining whether proposed LCATs are within the scope of Federal contracts. Instead, the Government will use this crosswalk between the proposed LCATs and the Federal LCATs, Commercial Catalog LCATs, and/or Offeror’s Sales Data for LCATs for the limited purpose of aiding the Government’s fair and reasonable price determinations for the proposed LCATs in this procurement.

Offerors are strongly encouraged to propose volume discounts. When proposing volume discounts, Offerors shall specify the quantity threshold for additional discounts and calculate the extended proposed discounted price. All percentages and rates are rounded to two decimal places.

Offeror’s Pricing Data:

If the Offeror has an active Federal contract, the offeror may provide the awarded prices for all products proposed on each CLIN and SLIN. Proposed products must be an exact match to the corresponding product. If the offeror does not have an active Federal contract for a proposed product, or its awarded price does not serve as the basis for the proposed C-UAS ceiling price, including applicable discounts, the Offeror’s published commercial catalog/price list or other pricing information shall be submitted with the proposal. The Government will consider pricing data from any entity within the offeror’s teaming arrangement.

The entity’s name on all pricing data shall be that of one of the Offeror’s teaming partners, with the following exceptions:

1. If the entity’s name differs from the name submitted by any of the offeror’s teaming partners as a result of a change-of-name or novation agreement, a corresponding novation agreement shall be submitted to document the name change.

2. Pricing data from a Joint Venture, Parent Company, Affiliate, Division, and/or Subsidiary may be provided so long as there is a meaningful relationship to the Offeror and Meaningful Relationship Commitment Letters are submitted with the proposal.

Price Narrative

Offerors shall submit a Pricing Narrative in the Attachment 1 - Pricing Schedule “Narrative” tab to clearly detail how price data supports the prices proposed in the Attachment 1 - Pricing Schedule.

For each product or service proposed, the Offeror must provide, within the Attachment 1 Pricing Schedule, Price Narrative citations (e.g. page numbers, paragraph numbers, sections). The Price Narrative should substantiate variations between the C-UAS ceiling rates proposed in Attachment 1 - Pricing Schedule and the rates shown in corresponding product or service price data. Offerors should address any volume discounts established within the source Federal contracts, commercial catalog, or other government catalog submitted within the proposal.

Price Assumptions/Exceptions/Deviations

The price proposal shall include and explain in detail any price assumptions/exceptions/ deviations taken with the requirements of the RFP. It is not the Government’s responsibilities to look for price assumptions/exceptions/deviations included in other sections of the proposal. Any assumptions/exceptions/deviations not included in this section will be considered as void.
