About this file

This is a Sample Basic Ordering Agreement (BOA) between Princeton Plasma Physics Laboratory (PPPL), acting as the buyer under prime contract DE-ACO2-09CH11466 with the U.S. Department of Energy, and a subcontractor for hoisting and rigging support services.

The BOA establishes terms for providing qualified personnel to perform periodic inspections, remedial/corrective maintenance, preventative maintenance, and emergency maintenance of U.S. Government-owned hoisting and rigging equipment during peak workload periods and large repair projects at PPPL's facility in Princeton, New Jersey. The agreement runs for a three-year base period from November 1, 2026 through September 30, 2028, with PPPL holding unilateral options to extend for up to two consecutive twelve-month periods (through September 30, 2031) with thirty days' advance written notice. Work is issued through sequentially numbered Job Orders that include project identification, Statement of Work, completion dates, and total price. Job Orders may be either Fixed-Price or Time and Materials, with subcontractor cost estimates due within five working days of request. The subcontractor must not commence work without a fully executed written Job Order from PPPL's Procurement Specialist.

Compensation is structured through fully burdened hourly labor rates for two craft classifications—Machinery Maintenance Mechanic and Heavy Equipment Operator—with separate straight time and overtime rates specified for each contract period. Materials and lower-tiered subcontractor costs are reimbursed at actual cost with no markup for Time and Materials Job Orders, supported by invoices and receipts. Annual preventative maintenance inspection pricing and portable underhung hoist pricing are established through approved price lists. The subcontract is subject to Service Contract Act wage determinations (Schedule C), with mandatory conformance agreements required for uncovered skill categories and wage determination revisions requested every two years. PPPL will reimburse authorized training time at applicable rates. Key personnel designated is On-Site Project Supervisor Billy D. Kidd. The subcontractor must maintain insurance naming The Trustees of Princeton University and the U.S. Government as additional insureds, submit separate invoices for each Job Order with supporting documentation for Time and Materials work, and ensure all employees working more than forty hours annually complete PPPL's General Employee Training course. PPPL reserves the right to terminate Job Orders without notice and is not obligated to issue any minimum number of orders or engage minimum personnel levels.
