C-13 FACILITY INVESTMENT and MODERNIZATION

1. General Requirement The Contractor shall develop, manage, and execute a comprehensive Facility Investment and Modernization Plan. This Plan shall be a single, integrated "living document" that governs all initiatives designed to accelerate the transformation of RFAAP. All activities within the Plan shall directly support the Army’s strategic objectives, including but not limited to: legacy waste management, increasing safety compliance and readiness, enhancing resiliency, improving sustainability, reducing operational costs, and expanding capabilities.

2. Plan Components and Requirements The Plan shall be structured into the following four distinct components.

2.1. Component 1: Legacy Waste Management Project (Firm-Fixed-Price) This component is a single, discrete Firm-Fixed-Price (FFP) project awarded at the time of the main contract award. The Contractor’s proposed price shall encompass all labor, materials, equipment, and activities required to achieve the following:

2.1.1. Objective: The Contractor shall manage and achieve the final elimination of all legacy waste materials, including Nitrocellulose Fines, existing at the start of the contract’s Period of Performance (as detailed in Attachment XXX).

2.1.2. Performance Requirement: The Contractor shall reduce the total inventory of legacy waste by no less than 25% annually from the initial baseline, achieving 100% elimination of all legacy waste by the end of the fourth year of the contract.

2.1.3. Reporting: The Contractor shall track and document all reduction activities via an annual “Legacy Waste Reduction Report" submitted in accordance with CDRL XXX-XXX.

2.2. Component 2: Strategic Facility Self-Investment

This component governs projects that are 100% financed by the Contractor and are not otherwise required by the contract.

2.2.1. Project Criteria: To qualify, a proposed project must demonstrably reduce long-term operating costs, increase production flexibility or surge capacity, add capabilities, or otherwise improve the strategic viability of RFAAP.

2.2.2. Funding and Cost: All project costs shall be financed exclusively by the Contractor. Such costs shall not be recovered from the Government, and no Government matching funds will be provided.

2.2.3. Intellectual Property (IP): The Government acquires no IP rights resulting from these projects unless separately negotiated.

2.3. Component 3: Integrated Facility Upgrade and Reset Program (Firm-Fixed-Price, Co-funded)

The Contractor shall execute a single, integrated program to rapidly modernize RFAAP, enhance operational readiness, and ensure a safe production environment.

2.3.1. Funding: The Government will co-invest up to a total program gap of $660M. The Contractor’s cost-share portion is not recoverable from the Government. This FFP CLIN may be re-baselined post-award, subject to Government fund availability.

2.3.2. Intellectual Property (IP): The Government shall acquire Unlimited Rights for all IP resulting from any project under this program.

2.3.3. Performance Period: The program must be executed on an accelerated schedule:

2.3.3.1. Initial Improvements: Demonstrated improvements in safety and operational efficiency must be realized within the first six (6) months of the operational control start date.

2.3.3.2. Program Completion: All projects within this program must be completed within three (3) years of the operational control start date.

2.3.4. Prioritized Scope of Work: The Contractor shall execute a prioritized, integrated plan with a “Safety First” approach. The foundational element must be a comprehensive overhaul of safety systems, followed by facility and production upgrades. The scope includes, but is not limited to:

2.3.4.1. Safety Modernization (Top Priority): Modernize all safety equipment, processes, and management systems (e.g., interlocks, OSHA guarding, training, PPE, egress).

2.3.4.2. Facility and Production Upgrades: Perform major maintenance beyond the PWS baseline; update employee support and production facilities; implement energy conservation; optimize the Modernized NC Facility to remove legacy dependencies; upgrade core infrastructure; execute demolition and surge removal of excess equipment; and implement modern security technologies.

2.3.4.3. Explosive Safety Compliance: The plan must incorporate an Explosive Site Safety strategy compliant with DoDM 4145.26.

2.4. Component 4: Long-Term Modernization Strategy

The Contractor shall develop and maintain a comprehensive, long-range (10+ year) modernization strategy for RFAAP.

2.4.1.1. Purpose: This strategy will serve as the primary input to inform the Government’s prioritization, planning, budgeting, and awarding of future, fully Government-funded modernization projects.

2.4.1.2. Planning Assumptions: The strategy shall be based on a notional budget of $3.5B to $4.5B over a 10-year period, with the assumption that no single year will exceed $1B in funding.

3. Deliverables and Administration The Contractor shall manage all proposals, progress reporting, intellectual property assertions, and closeout actions for all four components of the Facility Investment and Modernization Plan through the following integrated deliverables:

3.1. Facility Investment and Modernization Plan [CDRL XXX-001]: The initial, comprehensive Plan containing detailed processes for all four components for the first year of performance.

3.2. Annual Plan Update [CDRL AXX-002]: On an annual basis, the Contractor shall submit a complete update to the Facility Investment and Modernization Plan to the Contracting Officer for review and acceptance. This update will serve as the formal mechanism to:

3.2.1.1. Propose all new projects for the upcoming year for all four investment components.

3.2.1.2. Provide any necessary revisions to the long-term strategy and roadmap.

3.2.1.3. Re-baseline long-range schedules and priorities for ongoing efforts.

3.2.2. Quarterly Investment and Modernization Progress Report [CDRL AXX-003]: The Contractor shall submit a single, comprehensive quarterly report detailing progress against the currently accepted Plan. This report shall include, for all active projects across all four components,:

3.2.2.1. A summary of work performed and progress against milestones.

3.2.2.2. Current financial status, including expenditure tracking for both Contractor and Government funds.

3.2.2.3. Auditable documentation demonstrating the Contractor’s cost-share portion has not been amortized or recovered.

3.2.2.4. Schedule performance and risk updates.

3.2.2.5. A formal assertion of any Intellectual Property (IP) generated from projects completed during the quarter, granting the Government the contractually required rights (e.g., Limited, Unlimited).

3.2.3. Final Facility Upgrade and Reset Completion Report [CDRL AXX-004]: Upon completion of the three (3)-year reset period, the Contractor shall submit a final, one-time report summarizing the accomplishments, final costs, and overall outcomes of the Facility Reset component. This report shall include a final assertion of all IP generated during the reset and grant the Government Unlimited Rights.
