TO: PROSPECTIVE OFFERORS

SUBJECT: RESPONSES TO CONTRACTOR QUESTIONS

REFERENCE: REQUEST FOR PROPOSAL (SECHQ1-14-R-0021)

DATE: July 18, 2014

The below is in response to the Contractor questions which were submitted by the required deadline.

SECURITIES AND EXCHANGE COMMISSION (SEC)–WIDE CONTRACTOR LEGAL

SUPPORT (CLS)

1. How are these services currently being performed? Under contract? In-house?

Response: Some of the services under Work Categories 1 and 2 are currently being procured through an Interagency Agreement (IAA) with the Department of Justice (DOJ). Services under Work Category 3 are being competed each instance the need arises.

2. If these requirements are currently being performed under a contract,

a. Who is the Contractor?

Response: Vendors under the IAA with DOJ are CACI, Inc., Lockheed Martin Services, Inc., and Labat-Anderson, Inc.

b. What is the contract number?

Response: The SEC IAA number is SECHQ1-11-H-0017. Each vendor has their unique contract number with DOJ.

3. Is there an estimated value range for this requirement?

Response: Please refer to pages 6-7, paragraphs B.2 b. and B.3 of the RFP.

4. Attachment L-1, In the pricing tables, please define on-site and off-site as they relate to government site and contractor site.

Response: On-site refers to services provided at an SEC or SEC provided location. Off-site refers to services provided at a Contractor’s location.

5. Section B.6.4, p. 11, Who at the SEC will have access to the information contained in this SEC portal that will contain status and financial reports? Will access be provided to any non- SEC personnel?

Response: SEC personnel and contractor personnel who provide support to the SEC may access the portal. Contractor personnel will have signed an SEC non-disclosure agreement prior to accessing status and financial information.

6. Section B.2 A, p. 6, Please clarify the contract minimum. It appears to be $2,000.00 per CLIN. Does this include ODC CLINS as well?

Response: Please refer to the revised Section B.2.a of the RFP.

7. Section B.5 A, p.7, The RFP calls for staff at HQ and in the regional offices but there is not a mechanism to provide pricing for multiple locations. Since, particularly for WD positions, pricing can vary from location to location, please clarify how vendors are to price work in the different regional offices.

Response: Attachment L-1_Pricing Templates will be revised to include a pricing table for the Home Office and each of the eleven (11) SEC regional offices.

8. Section B.5 A, p.7, The main pricing table allows for pricing for both on-site and off-site staff however the sample task pricing only includes one rate.

a. Is the anticipation that all sample task work will be on-site?

Response: Yes, the sample task scenario is for work performed on-site at an SEC facility. Sample task order, Attachment L-5.

b. If not, how is off-site work to be priced?

9. Section B.5 A, p.7, The main pricing table allows for overtime rates however the sample task pricing only includes one rate.

a. Is the anticipation that there will be no overtime for the sample task?

Response: While overtime is not anticipated for the sample task, Offerors shall include overtime rates. Attachment L-1 has been revised. See Amendment 000003.

b. If not, how is overtime work to be priced?

10. Section B.5 C, p.8, RFP states that Task Order Manager or Project Manager is to be billed hourly against individual task orders, however, those labor categories are not included in ATTACHMENT L-2; please clarify.

Response: Offerors shall have a Program Manager (PM) at the IDIQ level and at the Task Order level in accordance with Section G.12 of the RFP. Program Management costs shall not be directly billable and shall be included in the Offeror’s indirect cost pool in accordance with Section H.28 of the RFP.

11. Section B.5.2, p.9, Is the reimbursement of materials ODC CLIN ceiling able to be increased during contract performance if necessary?

Response: The SEC does not anticipate the ODC CLIN ceiling amounts will need to be increased. However, the SEC reserves the right to increase the ceiling amounts if necessary.

12. Section B.5.3, p.10, Annual refresh is required of this contract per FAR clause 52.222-43.

Please identify when, on an annual basis, wage determination adjustments should occur.

Please provide any special instructions for SCA rate adjustments.

Response: The SEC will incorporate the requested wage determination adjustments on a yearly basis at the time of IDIQ option exercise. Any Contractor requests for equitable adjustments based on a revised wage determination will be executed after the option exercise.

13. Section F.7, p. 25, Will delivery addresses be provided at the task order level?

Response: Yes.

14. Section G.12; H.28 -29, pp. 34; 52-53, Will any level of Contractor Management be situated on-site on a full-time basis? If so, at what level and where?

Response: There is no requirement for contractor management to be situated on-site on a full-time basis. See Sections G.12 and H.29 of the RFP.

15. Section H.11, p. 42, “The Contractor shall not recruit on SEC premises...” – Is this applicable if Contractor management personnel are located at SEC site full time?

Response: The Contractor shall not recruit SEC personnel.

16. Section H.7(d) (1), p.38, Please clarify that the restrictions identified in paragraph (d) (1) in the conflict of interest section are only in relation to restrictions identified in paragraph (b) of this provision and not inclusive of all work performed for the SEC.

Response: No, paragraph (b) does not include all possible conflict of interest situations.

17. Section L.4 2, p. 98, RFP states that questionnaires are to be submitted by 2 PM 7/28, however Attachment L-3 states they are to be submitted by 2 PM 7/22. Please confirm the due date.

Response: The Past Performance Questionnaires are due the day and time the proposals are due in response to this RFP.

18. Section L.8.2 Volume II Table, p.103, This volume is the only volume that does not require a

Cover Letter, Table of Contents and Executive Summary; please confirm.

Response: Section L.9.2, Volume II does not require a Cover Letter, Table of Contents and Executive Summary.

19. Section L.9.1 Tab E, p. 108, The instructions are to provide separate rates for each labor category to be performed by each subcontractor, divisions, subsidiaries, or affiliates. In the case that multiple team members will be providing rates for the same labor category, should the offeror add those additional lines in the labor rates tables? Also should the offeror add a column indicating the company/division performing in both the Labor Rates and Sample Task Pricing tables?

Response: Yes, the Offeror should add the additional lines. Yes, the Offeror should add a column indicating the company/division.

20. Section L.9.1 Tab E (3), p. 108, Since volumes/level of work is not provided for the WC1 sample task order, how are vendors to price the sample task?

Response: The Government anticipates full-time support for Work Category 1 (2,080 hours). See revised Attachment L-5.

21. Section L.9.2 Tab C, p. 110, Is past performance info only to be provided in Volume III? If not, please clarify what past performance info is to be provided in Volume II.

22. Section L.9.3 Tab E, p. 113, Due to the page limitations of this volume, is the Prime bidding Work Category 1 required to provide Past Performances for any or all subcontractors? If, so would that include staffing vendors?

Response: Past Performance Questionnaires do not count towards the page limitation.

Past performance information included in the Prime Offeror’s proposal should include recent and relevant past performance as determined by the Prime Offeror.

23. Attachment L-2, pp. 4, 6, Depending on whether the requirement is for a translator, an interpreter or simply a bilingual staffer, prices can vary dramatically. Please clarify what, if any, certifications are required for the bilingual Law Clerk and/or bilingual paralegal.

Response: The requirement is for a bilingual contractor employee, not for a translator or for an interpreter. The bilingual paralegal/law clerk would need the paralegal/ law clerk credentials with a conversational level of fluency in the specified language, as evidenced by formal study or informal language exposure.

24. Section L-7 para 1, p. 100, Must contractor be classified under NAICS 54119-Other Legal

Services? Some Labor Categories under Work Category 1 appear to fall under other NAICS (i.e. 541211-Offices of Certified Public Accountants or 561611-Investigation Services).

Response: Yes, in accordance with L.7.

25. Section L.9.1 Tab D para 2 and 3, p 106, May small business concerns submit internal financial statements and/or income tax returns if audited or reviewed financial statements are not available? (This requirement would basically preclude any business without audited/reviewed financial statements from responding as it is unlikely this could be accomplished prior to July 28. Furthermore, this would require an additional financial investment by these businesses to pay for these services that they otherwise would not need).

Response: Yes, small business concerns may submit internal financial statements and/or income tax returns if audited or reviewed financial statements are not available.

26. Section L.9.3 Tab E, para 1 – 3, p.113, Would the SEC consider past performance on matters in which contractor did not work directly for the government agency, but the work was related to an agency matter (for example, work with/as Corporate Monitor or Receiver for SEC related actions)?

Response: Yes. The SEC will allow recent and relevant past performance information from Industry. Please see revised Section L.9.3, Tab E.

27. Section C.3.1.b, para 1 – 3, p. 14, For Work Category 1, is Contractor expected to fill all labor categories as listed in Attachment L-2?

Response: Yes. See also answers to questions 7 and 19.

28. Section F.5, para 1, p. 20, For Work Category 1, is Contractor expected to provide services at any SEC regional office and/or the home office as a Task Order may require.

Response: Yes, in accordance with C.3 Scope.

29. Section L.4, Attachment L-3, The attachment L-3 specifies a due date of the Questionnaire of

July 22 while the RFP L.4 indicates a due date of July 28. Please clarify the desired due date.

Response: See answer to question 17.

30. Section B.5.b.(1.) and H.26.3, Paragraphs 1 and 1, Pages 8 and 50 In B.5.b.(1) (page 8) it indicates that the Government will furnish office equipment, yet in H.26.3 (page 50) it indicates that the Contractor shall furnish all equipment. Please clarify and also indicate if the Government will furnish PCs or other such computing equipment for the staff working on the Government site.

Response: For performance at a Government Site only, the Government will provide office space, furniture and office equipment, and as specified in the individual Task Orders.

31. RFP Section B.5.b.(1.) and H.20, Paragraphs 1 and 1, Pages 8 and 47 In B.5.b.(1). (page 8) and in H.20 (page 47) it indicates that the Contractor shall provide supplies such as notepads, staplers, calendars, pens, etc. Is it correct that the Government will provide all other supplies associated with productions, deposition preparation, etc. such as notebooks, copy paper, etc.?

Response: Contractors will not need to provide copy paper while performing at a Government site. However, please refer to H.20 for the specific requirements.

32. Cover Letter, RFP Section M.4.1 Paragraphs 1, Pages 121 Given that SEC anticipates multiple awards for each of the Work Categories; would SEC also consider awarding Sample Task One amongst multiple awardees?

Response: No.

33. RFP Section L.9.1, Tab E, Paragraphs 1, 2, 3, Pages 108 The SOW lists work in many cities around the US. Many of the labor categories are SCA-WD categories, which DOL sets at different rates by location. The Pricing Table has a single price for government site work for each category. How does the government anticipate SCA pricing in different locations? Will a new Table for each location be created and approved by the government? Should pricing Tables be created for each listed city in the initial proposal?

Response: See answer to question 7.

34. RFP Section L.9.1, Tab E, Paragraphs 1, 2, 3, Pages 108 The RFP does not address equitable adjustment for SCA-WD categories pay rate/H&W increases issued by the DOL over the period of performance. Does the government anticipate compensating awarded vendors for SCA-WD cost increases?

Response: See answer to question 12.

35. RFP Section B.5.1 Paragraphs 1 Page 8, Can the government confirm whether it anticipates awarding any FFP labor Task Orders under this contract? And if so, for what types of tasks would the government anticipate issuing FFP awards?

Response: The decision to award FFP Task Orders will depend on the requirement and will be made at the Task Order level.

36. RFP Section L.9.1, Tab E, Paragraph 2 Pages 108, The government references that rates for

Materials, ODCs and Travel must be entered into the Pricing Table as a percentage with a maximum of two decimal places on Attachment L-1 Pricing Templates, Materials and Indirects Worksheet. Can the government confirm that the dollar values currently listed on that worksheet are for the “Sample Task Order” worksheets and should be replaced by the percentage rate? Can the government also confirm if the dollar values listed as the “not to exceed” for the Sample Task Order should be assumed to already include the vendor’s G&A percentage adder or if the G&A adder should be on top of the dollar values listed?

Response: Paragraph 2 has been revised. Please see amendment 000003.

37. RFP Section B.4 (page 7) and Attachment L-5 Section E (Page 5), In Section B.4, it states that the term of the contract will be “a (1) one-year base period and four (4) one-year option periods”. However, Section E, CLIN 0016 provides for a fifth (5th) Option Year. Should CLINS 0016, 0017 and 0017 be ignored/deleted?

Response: CLINS 0016 through 0018 should not be ignored. The first sentence of Section B.4 applies to the IDIQ and Attachment L-5 applies to the sample Task Order for Work Category 1.

38. RFP Section B.4 (page 7) and Attachment L-5 Section E (Page 5), In Section B.4, it states that the term of the contract will be “a (1) one-year base period and four (4) one-year option periods.” However, in the Sample “Order” 1 for Work Category – Attachment L-5, Section E Period of Performance, it states that CLIN 0001 is “Base Period – date of award through six (6) months” and CLIN 0004 is “Option Period 1 - date of effective option through six (6) months”. However, CLINS 0007, 0010, 0013, and 0016 state that the Option periods will be “date of effective option exercise through one (1) year”. Are CLINs 0001 and 004 not expected to be awarded at the start of their respective periods? Do the truncated Base Period and Option 1 Period for the Sample Order 1 need to be revised?

Response: See the answer to question 37.

39. Section – M3, Paragraph(s) 1, Page(s) 117 & 118. On Page 117 in section M3: IDIQ Evaluation Factors, a table lists Factor 6: Extent of Small Disadvantaged Business Participation (non-rated) and on page 118 it states " due consideration is given to the Extent of Small Disadvantaged Business Participation."

a. Does this mean if all rated factors (1-4) are equal between two firms, will the Small Disadvantaged Business be given additional points?

b. Can a small company earn a position in all 3 Work Categories?

Response: Yes, if selected.

c. If responding all 3 Work Categories, in VOLUME III, as stated for VOLUME II, should the responder write 3 complete and separate VOLUME III with separate page count accordingly?

Response: Yes. Section L.9 has been revised. Please see amendment 000003.

40. Section: Sample “Order” for Work Category 1 – Attachment L-5: Page 110, the SEC states, “Identify the methodologies and mitigating identified, for managing multiple requirements of similar scope and mitigating identified risks. The question concerns the lack detail under section C.3 Scope in Attachment L-5. Noted, the labor table is present with the staffing levels on Table 3.1 and the D. Deliverables table, recognizing the Task Order deliverables, however the question would indicate the SEC is looking for descriptions of actual legal support work.

Please clarify the level of the response required, there seems to be no actual description or detail of the legal work.

Response: Regardless of the scope of work, the Offeror is to address how it will handle multiple requirements concurrently with the staffing levels in Table 3.1, Attachment L- 5 and as detailed in the RFP.

41. RFP Section L.9.2 VOLUME II Page: 109 refers to Sample Task Order, are Sample “Order”

ATTACHMENT L-5, L-6, and L-7 considered Sample Task Orders?

42. If responding to all 3 Categories, and on page 109, under L.9.2 states that there can be multiple, should we assume complete separate VOLUME II and page counts for each?

43. TAB C, Page 110, under TAB C. for clarification, the SEC requires 3 Past Performances per Sample “Order”, however, the paragraph below states the evaluation of Past Performance will be in section L.9.3, also stating this requirement is not required in VOLUME II. Can the language or this section be removed or further clarification be made?

Response: See answer to question 21. Tab C has been revised. Please see amendment 000003

44. Section ATTACHMENT L -5, the Sample “Order”, under Section E. Period of Performance has no guidance other than no financial information is stated within VOLUME II and only under VOLUME I which is referred to page 106 Tab D – Financial Statements. In addition, ATTACHMENTS L-6 and L-7 this section is not represented. Please provide guidance as to what the SEC requires for this section? And what type of response does the SEC require under Period of Performance?

Response: See Section L.9.2 for information regarding sample task order requirements.

45. Section: ATTACHMENT L-7, the Mock Trial under Section C, SEC provide the following guidance;

Location* Mock Jury Facility Provided By SEC Atlanta Regional Office Contractor SEC Los Angeles Regional Office Contractor SEC New York Regional Office Government SEC Miami Regional Office Government SEC Home Office - Washington, DC Contractor

Then under Place of Performance, Section F, the SEC provides the location of the Offices corresponding to above five regional locations including the offices that the SEC indicates the Contractor will provide their own facilities. In order to provide a Firm Fix Price, does the SEC intend on the Contractor utilizing their own facility in Atlanta, Los Angeles, and DC locations? Can the SEC clarify?

Response: Yes, see Section C.3.3.e. of the RFP.

46. Small Business Subcontracting Plan Form: All aspects of this form have been completed with the exception of the % tables that appear in the beginning of the form. I am unsure as to how these should be completed. I do not understand what is being requested or how to determine the answers that would be going into these boxes.

Response: Please refer to Section L.9.4 for further guidance.

47. What is the meaning of CLS (Contract Legal Support) with regard to "cls wage determinations"?

Response: See answer to question 12.

48. What does DOL stand for? "DOL area wage determinations".

Response: DOL stands for Department of Labor.

49. On the contract/solicitation form itself on pages 2-5, there are columns for "quantity, unit," etc. on the right-hand side of the page. I do not understand how to fill this part out. Should I be listing a "unit" as an "hour" of time? The quantity of hours of service seems to me something that would be determined by the SEC Contracting Officer, not the contractor, like myself. I do not know the scope or quantity of work required for each upcoming case/individual contract to which this offer would be applied. Perhaps this is where I should assume a hypothetical?

Response: Pages 2-5 do not need to be completed. Please follow the instructions in L.9.1, Tab B.

50. What is the contract number? This number is not listed on the solicitation form itself (there is a box where it should be listed, but it is empty), yet the contract number is requested in several of the attachments. For example, the "Past Performance Questionnaire" and both NDAs attached to this solicitation require it. I am assuming that the contract number is not listed because contract numbers will be issued upon award of individual contracts as they become available. However, this does not resolve the problem of what I should input into the vacant "contract number" box that appears on other required documentation. Should I insert the solicitation number in place of the contract number?

Response: The contract number will be assigned at the time of award. The contract number on the Past Performance Questionnaire refers to the contract on which past performance information is provided. The NDAs will include the assigned contract number and will be required at the time of award.

51. How do you anticipate these affecting the contract offer (as in, why would you need different contracting periods when submitting an offer? Do you expect rates or pricing to change based on the "contract period" (aka rates changing from year to year)?

Response: It is up to the Offeror to submit pricing that is logical and relevant to this requirement.

52. Attachment H 1 - NDA Contractor Entity: Paragraph "P": I am not sure whether "IS" or "IS

NOT" should be checked on this form.

Response: Offerors should check “IS”.

53. L-1 Pricing Template: Should we be inserting hypothetical labor categories that we foresee being needed? How would we estimate hours for each case? Should we insert a hypothetical at this point as well?

Response: No, hypothetical labor categories should not be inserted. The Government anticipates full-time support for Work Category 1 (2,080 hours). See revised Attachment L-5. Specifications for Work Categories 2 and 3 are detailed in Attachments L-6 and L-7. These categories do not have hourly requirements.

54. For WC 3, Are the locations listed in the RFP the only locations at which the mock trials would be conducted.

Response: No, see Section F.5 of the RFP. For Work Category 3, Attachment L-7, the locations listed are for proposal pricing purposes only. However, for the purposes of the IDIQ, Mock Jury Support will be provided on a nationwide basis.

55. For WC 3, Is the SEC looking for a fixed price bid applicable to every location at which a mock trial can be conducted, or does the SEC want a fixed price bid for each separate location.

56. For WC-3, Is the SEC looking for a fixed price bid for each year in question or is it looking for a fixed price bid applicable to each of the five years in question.

57. For WC-3, Is the fixed price to be quoted a firm number (like $50,000) or is to be a range of numbers ($75,000 to $40,000) as used in the Fed Bid system.

Response: It is up to the Offeror to submit pricing that is logical and relevant to this requirement.

58. For WC 3, Are attachments L-1, H-1, H-2, H-3-, H-4 and h-5 to be included in the bid or they be completed later upon award of the contract or TO.

Response: Please refer to Section L.9.1, Tab E for submission instructions regarding Attachment L-1 and Section J regarding Attachments H-1 through H-5.

59. For WC 3, Is attachment L-4 applicable to WC 3.

60. For WC 3, Should the bid on WC 3 include attachment L-7.

Response: The proposal on Work Category 3 should incorporate the requirements in Attachment L-7.

61. For WC 3, Is the attachment l-1 required for WC 3.

62. For WC 3, Is the SEC going to request specific bids for each TO.

63. For WC 3, If the answer to the previous is yes, what is the purpose of submitting bids prior to the issuance of a task order.

Response: The purpose is for the Government to be able to make an award determination.

64. For WC 3, If the answer to the previous question is no, how is the SEC going to determine who gets which TO.

Response: See answer to question 63.

65. RFP Section L.9.2, Tab C, Page 110, and RFP Section L.9.3, Tab E, Page 113 both state that the Offeror “shall identify three (3) Contracts/Task Orders with the Federal Government that demonstrate recent and relevant past performance on the same or similar projects.” Can a vendor submit three (3) Contracts/Task Orders that demonstrate recent and relevant past performance on the same or similar projects that were conducted for private law firms, insurers, and/or companies? In other words, does Section L.9.2 and/or L.9.3 require the Offeror to have worked with the Federal Government to be eligible to issue a proposal in response to the above-referenced RFP, or is this RFP also open to first-time Offerors?

Response: See answer to question 26.

66. The Sample “Order” for Work Category 2- Attachment L-6 On page 3 it states “The pre-trial work will be performed within the period of performance stated in Section E in the following three (3) locations, one (1) trial courtroom support per location:”. However, on pages 4, 6 and 8 it states the following: Pre-trial: Labor Hours per Day – 2 hours per day from 1/2/2015 through 1/31/2015, (ARO). Then lower on the same page it states, “n/a – Graphic Design Consultant is not required for Pre-trial. QUESTION – Does this mean our Graphic Designer is or is not required to be in the Atlanta (or other) Regional Office(s) for Pre-Trial for 2 hours each day for the one month period?

Response: The Graphics Designer is not applicable for the Atlanta location. Please see Attachment L-6, pages 4-5. Each sample trial courtroom support task is a stand-alone scenario with their applicable labor hours requirement.

67. RFP Section L.9.2, Tab C, Pages 107-109. Tab E, entitled “Cost/Price Proposal,” provides under the general heading that the section is “Not Applicable to Work Category 3”; however, this same notation is not included in the Proposal Organizational Table found on page 102.

To confirm, are Work Category 3 Offerors required to submit Attachment L-1 and/or any accompanying cost/price information under Volume I, Tab E?

Response: Yes, Attachment L-1 is required for all work categories. However, FAR 52.215-20 is not applicable to Work Category 3.

68. Section L.9.1 Volume I – General Information and Cost/Price Tab B p. 105. Item 6.

Completed Copy of SAM registration and representations and certifications electronically via (https://www.sam.gov/portal/public/SAM/.) Does the Government require the entire SAM registration and reps and certs printed and placed in the proposal?

Response: Yes. Please see Section L.9.1, Tab B.

69. Section L.9.4 Volume IV (p.114) – Small Business Subcontracting Plan and Small

Disadvantaged Business Participation Tab B. The subcontracting plan shall be submitted as an attachment to Tab A. Please clarify whether the Subcontracting Plan is to be submitted as an attachment to Tab A or Tab B.

Response: Tab B.

70. Attachment L-1, Pricing Templates Labor Rates Table, Work Category 1, Attachment L-2, Descriptions of Personnel Labor Category by Work Category, Attachment L-5, Work Category_1, Attachment L-5, page 2, Table 3.1 -- Attachment L-5, page 2, Table 3.1 (pp. 6- 7, 2) The RFP and Work Category 1 attachment do not mention Senior Auditor, Law Clerk – Bilingual, or Records Management Technician categories, yet the Personnel Labor Category (Attachment L-1) lists these with qualifications. Should these categories be included for staffing? If so, which region(s) and how many? Does not include Senior Auditor or Law Clerk – Bilingual. Will this change the Total Home and Regional Offices Quantities of staff needed (Table 3.1)?

Response: Attachment L-1 has been revised to add the additional labor categories in accordance with Attachment L-2. Please see amendment 000003.

71. Attachment L-1, Pricing Templates Sample Task Order Option Period 5. Is Option Period 5 correct? Should the pricing template attachment be Base Year up to Option Year 4?

Response: See answers to questions 37 and 38. The pricing proposed shall be in accordance with Attachment L-1.

https://www.sam.gov/portal/public/SAM/
