About this file
This Scope of Services document details broker services solicitation issued by the City of St. Petersburg, Florida, to facilitate the sale of tax credits received through the Florida Department of Environmental Protection's Voluntary Cleanup Tax Credit (VCTC) Program for Brownfield site remediation. The City seeks qualified brokers to market four individual tax credits with a combined value of $45,476.49 to $206,104.59 through electronic auction, with the goal of maximizing return on investment. The broker's responsibilities include direct purchasing of tax credits, securing purchasers, drafting legal documents including Purchase Agreements, preparing Referral Agreements, filing required transfer documents with the State of Florida, and managing fund transfers from purchaser to City. Bidders must demonstrate a minimum of three years of experience successfully brokering Florida VCTC sales and provide documentation of similar completed transactions. The City expects the transaction to be completed within 90 days from award.
Award will be based on the highest electronic bid that meets all qualifications, with the bid price equal to the final sale price paid to the City net of brokerage fees. Bidders must submit a narrative addressing contractor experience, staff qualifications and credentials of assigned personnel, a complete marketing and sales timetable, agreement to the City's Agency Agreement terms (with any exceptions noted), and completion of a General Requirements questionnaire including the broker fee percentage. The electronic bid is calculated as the purchase price percentage minus the broker's fee percentage to determine the net yield to the City. For example, a broker purchasing credits at 85 percent of face value with a 3 percent broker fee would submit an electronic auction bid of 82 percent. The City reserves the right to request additional information from bidders and will evaluate proposals based on qualifications, experience, references, staff experience, timetable, questionnaire responses, favorable terms, and compliance with all solicitation requirements.
