About this file

This is a Proposal Requirements document for the City of St. Petersburg, Florida, which is soliciting brokerage and advisory services to market, structure, and facilitate the transfer or sale of Florida Voluntary Cleanup Tax Credits (VCTCs) received through the Florida Department of Environmental Protection's Voluntary Cleanup Tax Credit Program. Proposers must submit a comprehensive proposal that includes a transmittal letter signed by an authorized representative, documentation of relevant experience with marketing, transferring, brokering, purchasing, and monetizing VCTCs or similar transferable tax credits with details on transaction types, jurisdictions, credit values, and the proposer's specific role. The proposal must also include a project approach with an indicative timetable identifying key milestones and estimated duration to complete the transfer or sale, with the City noting a preference for transactions completed within approximately ninety calendar days, though proposers must provide their professional assessment with supporting assumptions and risk factors.

The Cost Analysis section requires proposers to provide a net proceeds proposal inclusive of all fees, commissions, and transaction costs, with an itemized schedule of all expenses and a clear calculation showing assumptions and any variable pricing or contingencies that could impact proceeds. Additionally, proposers must submit audited or reviewed financial statements for the last two fiscal years, or internally prepared financial statements for two years plus a bank letter dated within ninety days confirming good standing. The proposal requirements also mandate a Business Enterprise Outreach and Utilization section requiring proposers to indicate their SBE, MBE, or WBE status and demonstrate detailed efforts to identify and engage City of St. Petersburg certified small businesses as subcontractors, including documentation of outreach efforts, past performance within the last five years, and a completed Subcontractor Utilization Form.
