About this file
This is a Florida Voluntary Cleanup Tax Credit Purchase and Sale Agreement between the City of St. Petersburg, Florida (Seller) and an unnamed Buyer for the transfer of tax credits generated through environmental remediation work. The agreement pertains to the Atherton Oil Site-Commerce Park-Deuces Rising project located at three addresses in St. Petersburg (638 26th Street, 2200 6th Avenue South, and 2615 Fairfield Avenue South) with Florida Department of Environmental Protection Facility Identification Number 529901002/BF529901009. The City received four tax credit certificates totaling $206,104.59 that are authorized for transfer under Section 220.1845(2)(b), Florida Statutes. The sale process includes a due diligence period of ten business days following the Buyer's receipt of the Due Diligence Material (FDEP eligibility determination letters and certified professional certifications), after which the Buyer must notify the Seller in writing of its intent to proceed or terminate. The tax credit transfer occurs through FDEP using a Certificate Transfer Request form, with payment due within three business days of the Buyer's receipt of the conformed tax credit certificates in its name.
The purchase price for the tax credits is to be negotiated and completed through Automated Clearing House (ACH) transfer to the Seller's account. The Seller is responsible for paying any broker fees per a separate letter agreement with the broker who facilitated the transaction, while each party bears its own legal and transaction expenses. The agreement contains customary representations and warranties from both parties, including the Seller's representation that it owns the tax credits free and clear of all liens and encumbrances and the Buyer's representation that it has sufficient financial resources and is purchasing for its own account for investment purposes. The agreement is governed by Florida law with venue in Pinellas County or the Middle District of Florida, Tampa Division. The transaction terminates immediately upon the Buyer's receipt of the original tax credit certificates via Federal Express Overnight mail.
