About this file

This is a Master Services Agreement (MSA) template between NEORide, a Regional Council of Governments based in Wadsworth, Ohio, and a selected contractor for the provision of Microtransit, Paratransit, and Turnkey Transportation Services. The agreement establishes the framework through which NEORide members can voluntarily participate as customers by signing individual Participation Agreements and placing direct orders with the contractor for transportation services. The MSA has an initial term of three (3) years with NEORide holding the sole option to renew for up to two (2) additional one-year successive terms, for a maximum contract duration of five (5) years. The contractor was selected through a competitive RFP process (RFP No. XXXX-XX) and must provide services in accordance with specifications outlined in the RFP response, system design requirements, and design and functionality standards incorporated as Appendix A. There is no minimum number of guaranteed customers or minimum revenue guarantee associated with this agreement.

Pricing for services is established in the contractor's Pricing Proposal (Appendix B) and offered to participating customers who execute Participation Agreements at negotiated rates. The contractor may increase fees annually on the anniversary of the Effective Date by the lower of three percent (3%) or the USA Consumer Price Index average. NEORide assesses a one percent (1%) administrative fee based on the contractor's actual invoices and paid sales to all customers utilizing the agreement, excluding shipping costs, required bond costs, and applicable taxes. The contractor must notify NEORide within fourteen (14) days of completing each new Customer Participation Agreement and remit the administrative fee within thirty (30) days of invoice receipt. Payment terms between the contractor and customers are net thirty (30) days unless otherwise agreed in writing. All costs are incurred by the respective customer, and NEORide incurs no liability for unpaid customer accounts. The contractor is required to maintain comprehensive insurance coverage including Workers' Compensation ($500,000 each accident for Employer's Liability), Commercial General Liability ($1,000,000 per occurrence and aggregate), Commercial Auto Liability ($1,000,000 combined single limit), and Fidelity Bond/Crime coverage ($1,000,000 if performing work on NEORide premises). The agreement is governed by Ohio law with disputes resolved in Medina County Court of Common Pleas or the United States District Court for the Northern District of Ohio for federal matters.
