About this file

Summary

This is a sample contract template for Charles County, Maryland, establishing the terms and conditions for a task order contract related to maintenance, repair, and upgrade services for utilities infrastructure managed by the Department of Public Works (DPW). The contract covers construction services provided on an as-needed basis, including removal and reinstallation of county-owned pump installations, electrical and mechanical equipment repairs, valve and piping work, welding and fabrication services, and general excavation and site work. The services extend to various pump types—vertical close-coupled sewage pumps, extended-shaft sewage pumps, submersible pumps, and horizontal coupled pumps—as well as construction, modification, and repair of water, sewer, and reclaimed water piping systems and related appurtenances. The base contract term begins on a date specified by the County or upon contract execution (whichever is later) and concludes on a date to be determined, with options for multiple year extensions available at the sole discretion of the County.

The contract establishes a maximum contract price of $500,000 for each individual task order contract, with the option for Charles County Government departments other than DPW to utilize the contract as needed. Compensation is based on the rates and prices specified in the contractor's quote, bid, or proposal, with payment due according to the terms outlined in the contract's General and Special Provisions. The contractor must commence work upon receipt of a written Notice to Proceed letter from the County. The contract template requires execution by authorized County officials and the County Attorney's approval as to legal form and sufficiency. Signatures must be witnessed and dated, and if the contractor is a corporation, the corporate secretary must also sign with the corporate seal affixed, or signatories must circle the word "SEAL" and initial if the corporation does not possess a seal.
