About this file

This is a City-Contractor Agreement and General Conditions document for the City of Rock Hill, South Carolina, establishing the contractual framework for construction projects undertaken by qualified contractors on city property. The agreement outlines the contractor's obligation to complete projects in accordance with detailed scope of work documents, construction plans, and drawings, with work performed using city-provided funds. The contract documents collectively include the agreement itself, scope of work with table of values and construction plans, general conditions, payment and performance bonds, notice of award, contractor bid with non-collusion affidavit, bid bond, insurance documents, contractor qualification statement, and any addenda. The contractor must achieve substantial completion by a specified date and final completion by another designated date, with liquidated damages assessed at rates determined by the city for failure to meet these milestones, including daily penalties for failure to clean up the work site. Time is explicitly stated as being of the essence in contract performance.

The contract establishes a maximum contract sum not to exceed a specified amount, with the contractor responsible for completing the entire project within this ceiling regardless of unforeseen circumstances such as poor soil conditions, adverse weather, or other environmental issues. The city retains a ten percent retainage from each progress payment until project completion, with invoices due and payable within a specified number of days of city receipt, conditioned upon submission of lien waivers from the contractor and all subcontractors. The contractor must maintain comprehensive insurance coverage including general liability of $1,000,000 per occurrence and $2,000,000 aggregate, automobile liability of $1,000,000 per vehicle and aggregate, professional liability of $3,000,000, and workers' compensation insurance as required by South Carolina law, with all carriers rated A or better by A.M. Best. The contractor assumes independent contractor status, is responsible for all federal, state, and local compliance and permitting, must obtain a City of Rock Hill business license, and is required to provide a 24-month warranty on all work with defects to be corrected at no cost to the city. The city reserves the right to terminate the contract with ten days' notice, to perform work with its own forces, and to add enhancements or modifications to the scope of work at mutually agreed-upon prices. The contract is governed by South Carolina law and is subject to cost verification prior to any payment.
