About this file

This is a Confidentiality Addendum between the State Public Charter School Authority (SPCSA) in Nevada and the Gay and Lesbian Community Center of Southern Nevada, Inc., establishing terms for protecting confidential information exchanged during the provision of charter school authorizer evaluation services. The addendum becomes effective upon execution of the primary agreement and continues until all confidential information provided by SPCSA or created by the vendor from that information is destroyed or returned to SPCSA. The vendor is permitted to use and disclose confidential information only as necessary to fulfill its obligations under the primary agreement, for proper management and administration of the vendor, to carry out legal responsibilities, and to provide data aggregation services related to SPCSA's health care operations.

The vendor is required to implement appropriate safeguards to prevent unauthorized use or disclosure of confidential information and must ensure that any agents or subvendors are bound by the same restrictions through subcontract. The vendor must immediately report in writing to SPCSA any unauthorized use or disclosure of confidential information. Upon termination of the agreement, the vendor must return or destroy all confidential information created or received on behalf of SPCSA, or if infeasible, extend the protections of the addendum for as long as return or destruction remains infeasible. Disclosures are permitted only when required by law, allowed by the primary agreement, or when written approval is obtained from SPCSA.
