B-1
PART I - SECTION B
SUPPLIES OR SERVICES & PRICE/COST
B.1 GENERAL
For the RWSL Field Lighting System (FLS) Replacement Component Procurement (RCP), the Contractor must provide, in accordance with issued Delivery Orders (DOs), all necessary labor, materials, equipment, services, and facilities to meet the requirements as described in Section C, Statement of Work, including, but not limited to, the delivery of RWSL FLS replacement components, software, and engineering support services.
B.2 CONTRACT TYPE
This is an Indefinite-Delivery, Indefinite-Quantity (IDIQ) contract. Work will be initiated using an Ordering Process. The Orders may be one or a combination of Firm-Fixed Price (FFP), Time & Material (T&M), and Cost Reimbursable (CR). The Contracting Officer (CO) will determine which type of Order type is in the best interest of the Government.
B.3 CONTRACT TERM
The term of this contract consists of a five (5) year base period and five (5) one-year option periods for a total of ten (10) years, if all options are exercised. Orders may be issued at any time during the base and/or option period. Orders will specify performance periods and may include option periods.
The period of performance, including option periods, if exercised, is as follows:
Period Start Date End Date Base Period (Years 1 – 5) Contract Award 60 Months Option Period I (Year 6) Upon Completion of Base Period 12 Months Option Period II (Year 7) Upon Completion of Option Period I 12 Months Option Period III (Year 8) Upon Completion of Option Period II 12 Months Option Period IV (Year 9) Upon Completion of Option Period IIII 12 Months Option Period V (Year 10) Upon Completion of Option Period IV 12 Months
B.4 BASE MINIMUM QUANTITY/MAX QUANTITY
The Contracting Officer (CO), via the issuance of DOs, may order products and/or services within the CLIN Base Minimum Quantity/Max Quantity stipulated range.
B.5 MAXIMUM CONTRACT VALUE
B-2
Delivery Orders may order vastly differing quantities, under differing CLINs and Labor Categories (see AMS Clauses 3.2.4-16 Ordering and 3.2.4-20 Indefinite Quantity), but in no event will the aggregate value of all Delivery Orders issued against this contract exceed a contract ceiling of $TBD for all Periods. The ceiling does not constitute a commitment, implied or otherwise, that the FAA will expend the maximum contract value. The minimum order for this contract is identified by the established minimum quantities in the Base Period as outlined in Section B.7 for CLINs 0002B, 0002C, 0003B, 0004B, 0005B, 0006, 0007, 0008, 0009 and 0010 (these minimum quantities are identified by the use of “Min” immediately prior to the quantity listed). Optional CLINs 00012A-0012E, as outlined in Table B-1, are not included as part of the minimum quantity, unless exercised.
B.6 CLIN NUMBERING STRUCTURE
The table below demonstrates the CLIN structure. The first digit in each CLIN series indicates the Period in which the CLIN may be ordered. The Base Period is denoted by 0XXX. Option Period 1 is denoted by 1XXX. Option Period 2 is denoted by 2XXX. Option Period 3 is denoted by 3XXX. Option Period 4 is denoted by 4XXX. Option Period 5 is denoted by 5XXX.
B.7 CLIN PRICING

B.9 CONTRACT PRICING
B-14
B.9.1 Time-and-Materials Pricing
Delivery Orders that utilize T&M type CLINs will be subject to the pricing set forth in Section J-XX – List of Attachments, Attachment XX, Labor Rate Tables. The labor rates in this attachment reflect fully-burdened hourly rates for each labor category and will apply to all direct labor hours ordered under a time and material basis, including the prime contractor and sub-contractor(s), unless discounts are proposed or negotiated at time of Delivery Order award.
The fully-burdened labor rates must include all direct labor, and indirect costs applicable to that direct labor (such as fringe benefits, overhead, G&A), and profit.
The indirect rates applicable to direct materials, subcontracts for supplies, and other direct costs established in Attachments J-XX, Indirect Rate Table, are ceiling rates and must be applied accordingly. The contractor may elect to propose lower indirect rates on a task-by-task basis.
NO AMOUNTS WILL BE PAID FOR MATERIALS UNDER LABOR-HOUR ITEMS
IN THIS CONTRACT OR ORDERS.
The fixed hourly labor rates, in Attachment J-XX, Labor Rate Tables, represent the hourly ceiling rates of the prime contractor and subcontractors in accordance with AMS 3.3.1.5, Payments under Time and Materials Contracts. The blended rates apply for all subcontractors and the Prime contractor. However, the subcontractors are not required to participate in all labor categories for the purposes of contract pricing and Delivery Order performance. The blended rates will not change after the contract award when a subcontractor is removed or added to the contract. If a new subcontractor is added, the new subcontractor will be termed as “subcontractor” and treated as such for the purposes of pricing and billing at the delivery order level (i.e., the new member must use the blended rates).
(a) The labor rates set forth in the table reflect fully-burdened rates for performance at a Government site and a Contractor site.
1. Government Site Rates. When performing at Government sites, the Contractor must furnish fully-burdened labor rates. The Government will provide office space, furniture and office equipment and supplies, as specified in the individual Delivery Orders.
2. Contractor Site Rates. When performing at a Contractor site, the fully-burdened labor rates must include applicable indirect costs for office space and all normal supplies and services required to support the work. This includes, but is not limited to, telephones; faxes;
copiers; personal computers; postage, including courier services such as Federal Express;
ordinary business software, such as word processing, spreadsheets, graphics, etc.; normal copying and reproduction costs.
(b) Only Government-required labor categories are included in Attachment J-XX, Labor Rate Tables. Additional labor categories may be proposed and added to meet specific Delivery Order requirements, in accordance with Section B.9.1.2 Rate Refreshment.
The quantity of hours ordered from each labor category will be specified as deliverable hours billable at the ceiling rates specified in Attachment J-XX, Labor Rate Tables, or as negotiated, B-15 if lower rates are proposed for the Delivery Order. Materials will be estimated for each Delivery Order and will include applicable indirect costs computed in accordance with the contractor’s established accounting practices, subject to the agreed upon ceiling rates for Materials Handling and General and Administrative (G&A) costs established in the contract at time of award. For T&M type CLINs, profit on materials is not allowable. The cumulative extended total of all labor categories ordered plus materials/applicable indirect costs will define the Delivery Order ceiling price for the applicable T&M CLIN. Delivery Orders may authorize adjustments between labor category quantities of up to 10% within the established task labor ceiling price by prior CO written approval, without a formal modification. Reimbursement under the contract will be governed by clause AMS 3.3.1-5.
Labor. Attachment J-X, Labor Rate Tables, must include descriptions of the Prime contractor and each sub-contractor’s established accounting practices for recording and billing for labor hours under Delivery Orders. The table lists the Prime contractor and each core team member separately to assure that the accounting practices for each are clearly identified (e.g., Prime contractor records all hours; “Core Team Member A” records forty (40) hours per week; “Core Team member B” records all hours, etc.). The descriptions are incorporated into the contract and orders and are effective for Delivery Orders containing T&M type CLINs. The labor rate table must also include the prime contractor and each team member’s established accounting practices for recording uncompensated overtime.
In the performance under T&M, the hours billed must show the labor hours performed by the prime contractor and each core team member separately. The amount of the price adjustment must be the difference between the number of hours billed based on recording all hours worked and the hours that would have been recorded using a standard number of hours (e.g., forty (40) hours).
a) Subcontractor Rates. Addition of New Subcontractor after Delivery Order Award requiring a Delivery Order modification. If a Prime adds a new subcontractor after Delivery Order award, the subcontractor must use the fixed hourly rates already present in the IDIQ contract. Labor rates can be provided for both the Government site and Contractor site.
b) Discounts. The labor rates under the Time-and-Materials CLINs are fixed ceiling rates for all contract periods. However, the Contractor may offer discounts to those ceiling rates on any Delivery Order prior to award of the Delivery Order or prior to any option period for the Delivery Order, if option periods exist.
Materials. Materials are defined in the clause at AMS 3.3.1-5, Payments Under Time and Materials and Labor Hour Contracts (July 2018).
Materials means—
• Direct materials, including supplies transferred between divisions, subsidiaries, or affiliates of the Contractor under a common control;
• Subcontracts for supplies and incidental services for which there is no labor category specified in the contract;
• Other direct costs (e.g., incidental services for which there is no labor
B-16 category specified in the contract, travel, computer usage charges, etc.); and,
• Applicable indirect costs.
Materials, if applicable, may be estimated for each Delivery Order, including applicable indirect costs, subject to the agreed upon ceiling rates for Materials Handling and General and Administrative (G&A) costs established in the contract at time of award.
Any amounts negotiated for materials will be added to the extended price of all ordered items to arrive at the total estimated value for the Deliver Order.
Indirect costs allocated to any direct materials and other direct costs must be proposed consistent with the payment requirements of AMS 3.3.1-5, Payments Under Time and Materials and Labor–Hour Contracts, paragraph (b)(5), as follows:
(i) “The Contractor may include allocable indirect costs and other direct costs to the extent they are—Comprised only of costs that are clearly excluded from the hourly rate;
(ii) Allocated in accordance with the Contractor's written or established accounting practices; and
(iii) Indirect costs are not applied to subcontracts that are paid at the hourly rates.”
Indirect costs allocated to any direct materials and other direct costs must be proposed consistent with AMS 3.2.4-5, Allowable Cost and Payment clause.
The cost of general purpose items required for the conduct of the Contractor’s normal business operations are not allowable materials in the performance of Delivery Orders under this contract.
Profit is not allowed on materials under T&M type CLINs on all Delivery Orders.
B.9.1.2 Rate Refreshment
The labor rates under the Time-and-Materials CLINS are fixed ceiling rates for all contract periods. However, rate refreshment may be allowed at the discretion of the IDIQ Contracting Officer.
Additionally, the Contractor may submit a proposal reducing the fixed ceiling rates and/or indirect rates applicable to materials at any time during the life of this contract. The Government will review these proposals and determine if the revised rates are reasonable and realistic and in the best interests of the Government. If the rates are accepted, the Government will modify the contract by incorporating the new rates into Attachment J-X, Labor Rate Tables.
B.9.1.3 Additional Labor Categories
At any time and throughout the life of the contract, at the request of either the Contractor or the Government, the Contractor may propose additional labor categories, rates and descriptions not already included in the contract. These additional labor categories, rates, and descriptions
B-17 will be negotiated on a case-by-case basis at the IDIQ level and added to the IDIQ base contract.
B.9.2 Firm-Fixed-Price (FFP) Pricing
For Delivery Orders that utilize FFP type CLINs, the quantity of each item ordered will be multiplied against the rate listed in this schedule, or as negotiated if lower prices are proposed for the Delivery Order; and the cumulative extended total of all items ordered will define the total estimated value for the Delivery Order. Partial or progress payments under FFP CLINs may be negotiated based on the completion of milestones/deliverables in accordance with applicable AMS clauses in contract or Delivery Orders.
B.9.3 Cost Reimbursement Pricing
For Delivery Orders that utilize Cost Reimbursement type CLINs, the order must provide for payment of allowable incurred costs, to the extent prescribed in the contract. Travel and ODCs will be paid on a cost-reimbursement basis. Cost-reimbursement contracts are appropriate when uncertainties involved in contract performance do not permit costs to be estimated with sufficient accuracy to use any type of fixed-price contract.
Travel. If authorized in the Delivery Order, travel will be reimbursed at actual direct costs in accordance with the limitations set forth in AMS 3.3.2-2 Reimbursement for Travel and Subsistence (April 2010). No profit is allowed for travel. Subject to the ceiling rates in the table, indirect costs may be applied to travel in accordance with the Contractor’s established accounting practices consistent with 3.3.2-1, FAA Cost Principles. Travel will be a separate Not-To-Exceed CLIN on orders.
