About this file

This is a GSA Template R100 Broker Project Exhibit L detailing broker commission requirements and procedures for a real estate lease procurement (RLP No. 36C24W26R0045) on behalf of the Department of Veterans Affairs (VA).

Range Partners SD Inc. serves as the authorized contractor real estate broker representing VA in this lease transaction. Offerors must disclose all commissions and fees payable to their agents, brokers, property managers, developers, and to VA's Broker, with amounts entered on GSA Form 1217 (Lessors Annual Cost Statement). The aggregate lease value calculation includes base rent (including fixed increases), operating expenses and real estate taxes (base year only), and amortized tenant improvements, but excludes rental abatement, escalations for operating expenses or tax increases, additional VA payments for services, and lump sum tenant improvement payments. Commission payment is structured as 75% of the total commission due within 30 calendar days following lease execution and the remaining 25% within 30 calendar days following either VA's acceptance of space or commencement of rent payments, whichever is earlier. The Lease Acquisition Fee shall not exceed $1,500,000. If the Lessor fails to pay the commission owed to Range Partners SD Inc., VA may deduct payment from rent or reimbursement payments to the Lessor. Offerors must acknowledge the potential for dual agency situations where the Broker's Company may represent both VA and another Offeror. Commission information must be treated as confidential and shall not be considered separately in price evaluation since the commission value is included in rental consideration. Compensation to VA's Broker must be entered on GSA Form 1364 (Proposal to Lease Space) in block 26.a, and offerors must submit a Dual Agency Acknowledgement Statement as a required submittal.

RLP EXHIBIT L BROKER PROJECT

BP 1.01 BROKER COMMISSION (MAR 2026)

A. For the purposes of this RLP, RANGE PARTNERS SD INC (the Broker) is the authorized contractor real estate broker representing VA. The

Government expects the Lessor to pay a commission to the Broker. By submitting an offer, the Offeror agrees that if the Offeror is paying a commission or fee in connection with this Lease to a listing agent, an offering agent, or broker, property manager, developer, or any other agent or representative, then the Offeror will pay a commission to the Broker in the amount of a percentage equal to the percentage specified in the brokerage commission agreement of the total aggregate lease value. The aggregate lease value shall include, but not be limited to, base rent (including fixed rental increases or as annualized), other rental income, operating expenses (base year), real estate taxes (base year), and amortized tenant improvements (if applicable). The aggregate lease value shall not include any rental abatement provided to the VA pursuant to the Lease; any rental escalations covering operating expenses and/or real estate tax increases during the lease term; any additional amounts paid by VA for services over and above those furnished by Lessor; any lump sum payments for tenant improvements. The commission established between the VA and the Broker will be based on a Lease term not to exceed the Firm Term of the Lease contemplated by this RLP.

Commissions will not be negotiated or collected on option periods or for Lease terms beyond the Firm Term of the Lease. As part of the offer, the Offeror must disclose all commissions and/or fees to be paid by the Offeror including both the Offeror’s agent(s), broker(s), property manager, developer or any other agent or representative and the Broker.

B. The Offeror must enter the commission amounts for its representative and the amount to VA’s Broker in blocks 31a and 31b respectively on

GSA Form 1217, Lessors Annual Cost Statement.

C. The aggregate lease value will be used to determine the commission due and payable and will be established based on the final lease documents upon lease execution or as amended thereof. Such commission or lease acquisition fee shall be due and payable, as follows:

1. Seventy-five percent (75%) of commission or lease acquisition fee shall be paid to Range Partners-SD, Inc. within thirty (30) calendar days following lease execution between Lessor and VA; and

2. The remaining twenty-five percent (25%) of commission or lease acquisition fee shall be paid to Range Partners-SD, Inc. within thirty (30) calendar days following the earlier to occur of VA’s acceptance of space or commencement of rent payments.

D. The Lessor’s responsibilities to pay the commission(s) or lease acquisition fee is independent of any other Lessor financial responsibilities of this Lease and shall not be used to negotiate or offset any credits owed VA by the Lessor. However, in the event Lessor shall fail to pay the commission(s) or lease acquisition fee amount owed to Range Partners-SD, Inc. pursuant to the compensation schedule outlined herein, VA, at VA’s sole option, shall pay the commission(s) or lease acquisition fee on behalf of Lessor to Range Partners-SD, Inc. out of rent payments and/or any lump-sum payments owed or to be owed to Lessor for reimbursement(s) of tenant improvement costs or payment(s) for services/work provided by Lessor. The Lease Acquisition Fee shall not exceed one million five hundred thousand dollars ($1,500,000.00).

E. Offerors are advised that there is a potential for a dual agency situation to arise under this procurement, whereby the Broker’s Company may represent both VA and another Offeror under this lease action. By submitting an offer, the Offeror acknowledges the potential for a dual agency situation. Should there be an actual dual agency, the Broker will notify all Offerors of the actual dual agency and request written acknowledgement statements from all Offerors.

F. Commissions must be treated as confidential financial information and Offerors will refrain from public disclosure or using the information for any other purpose than that for which it was furnished without consent of the VA LCO.

G. The commission paid to the Broker must not be considered separately as part of this price evaluation since the value of the commission is included in the rental consideration.
