this list is not exhaustive, and the solicitation terms and conditions and provisions in sections L and M take precedence:

1. A Phase-in period will be conducted. The Phase-in period will be from October 1, 2021 to December 31, 2021. The Phase-in period will be acquired as part of the basic contract.

2. The Government will make available existing Installation-Accountable Government Property (IAGP) for onsite contract performance as described in the DRFP Attachment J- 9.

3. The RLLS2 Pre-Proposal Conference is anticipated to be held on February 8, 2021 at 1 p.m. CST. Additional information can be found in Section L.9 NFS1852.215-77 Preproposal/Pre-bid Conference. Notice will be posted on beta.sam.gov.

4. NASA JSC appreciates the comments received in response to the release of the Draft RFP. These comments resulted in improvements to the quality and content of the overall RFP. Offerors should review the RFP in its entirety, as its content has changed from the Draft RFP version. The following list identifies some areas where significant changes or clarifications have been made from the Draft RFP to this final RFP that may not have been addressed in the Draft RFP questions and responses;

A third technical scenario was added to Section L.22.3.1, Technical Approach, Mission Suitability (Sub-Factor) A.

Section L.22.6 and Section M.3.4 were updated to delete Subcontractor Arrangement Information.

Section M.3 was updated to include the evaluation factors relative importance.

Section M.3.1 was updated to include the weighting factors for Mission Suitability.

Additional clauses and information were added regarding limited rights data.

A list of updates has been provided with the RFP to identify changes made from DRFP to RFP. The list above and the list of updates is not intended to cover all changes nor describe all RFP requirements. Offerors should carefully review the RFP in its entirety.

5. Be advised, in accordance with provision L.22.4.1, Offerors need to encourage their references to submit their Past Performance Questionnaires directly to the Contracting Officer prior to proposal due date.

6. Below is a list of the Source Selection Authority (SSA) and voting members along with their associated NASA JSC organizational codes, for the Source Evaluation Board (SEB).

The names provided are for informational purposes only and other than the Contracting Officer, Ulcka K. Patel, these individuals shall not be contacted regarding this acquisition. The Government may change personnel associated with this acquisition at its discretion.

7. Offerors are required to have a Commercial and Government Entity (CAGE) code that matches the corporate address submitted with its proposal.

8. The Technical Library and associated documents from the Applicable Documents List (ADL) can be found at beta.sam.gov. The data/documents provided in the Technical Library are exclusively for use with this solicitation.

Throughout the Final FRP, the Government shall use “TBD” to designate a Government Fill-in and “Offeror fill-in” or “OFI” to designate a section to be filled-in by the Offeror. The Government will update Clause B.4, “CONTRACT FUNDING” prior to contract award.

An electronic Technical Reference Library (TRL) is available for various types of historical data and other pertinent applicable documents and information regarding this procurement and its requirements. The RLLS2 electronic library is available at acquisition website and at Governmentwide point of entry (GPE). To promote competition and understanding of the RFP, Offerors are encouraged to suggest any additional information they would like to see made available in the TRL.

In order for answers and additional TRL information to be obtained and disseminated in a timely manner, questions and suggested TRL information must be submitted in writing by February 11, 2020. The Government will not respond to questions or TRL requests for information that are marked as containing confidential, proprietary, competition sensitive, or business information.

All questions shall be submitted in writing to the Contracting Officer at jsc-rlls2@mail.nasa.gov.

Please title the e-mail “Questions – RLLS2 RFP” (or “Questions – RLLS2 TRL”) in the subject block. The Government will provide verification that questions have been received via email.

Offerors are responsible for monitoring the GPE and the RLLS2, https://procurement.jsc.nasa.gov/rlls2/, for any amendments to the Final RFP, additional information, and changes to the schedule. Information will be posted as it becomes publicly available.

Offerors are encouraged to refer to Federal Acquisition Regulation (FAR) provision 52.215-1, INSTRUCTIONS TO OFFERORS–COMPETITIVE ACQUISITION, in particular paragraph (f)(4) which discusses the Government’s right to award a contract without discussions.

In order to control and protect sensitive data owned by the Government and its Contractors, NASA policy required all acquisition-related documents be released in Adobe Portable Document Format (PDF). While the RFP’s Cost and Price Volume exhibits are in PDF format, the Offeror’s Cost and Price Volume proposal shall include completed Cost and Price Volume exhibits in Microsoft Office Excel format with working cell formulas.

Documents related to this acquisition, including this letter, the solicitation, attachments, exhibits, any amendments and links to online reference/technical/bidders library will be attainable electronically from the World Wide Web through the Government-wide point of entry website at www.beta.SAM.gov. Potential Offerors are requested to periodically monitor the websites for updates.

NASA FAR Supplement (NFS) clause 1852.215-84, OMBUDSMAN, is applicable. The Center Ombudsman for this acquisition can be found at http://prod.nais.nasa.gov/pub/pub_library/Omb.html.

This RFP does not commit NASA JSC to pay any proposal preparation costs, nor does it obligate NASA JSC to procure or contract for these services. This request is not an authorization to proceed, and does not authorize payment for any charges incurred by the offeror for performing any of the work called for in this solicitation.

Proposals submitted in response to this solicitation shall be due no later than March 4, 2021 at 5 p.m. CST.

In accordance with NFS 1815.201(f), a “Blackout Notice” has been issued to NASA personnel.

B.2 FAR 52.216-19 ORDER LIMITATIONS (OCT 1995) (Applies to IDIQ only)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor --

(1) Any order for a single item in excess of $20,000,000;

(2) Any order for a combination of items in excess of $20,000,000; or

(3) A series of orders from the same ordering office within 5 days that together call for quantities exceeding the limitation in subparagraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216- 21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 5 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

B.5 IDIQ RATES

The Government may order IDIQ services at any time after contract start, in accordance with the procedures set forth in this contract, as identified in I.28, NFS 1852.216-80, Task Ordering Procedure. FORWARD

The Russian Language and Logistics Services (RLLS) 2 contract supports the National Aeronautics and Space Administration (NASA) and International Space Station (ISS) Program by providing necessary translation, interpretation and language training as well as office management and administration, international travel processing, ground transportation and other related services at the Johnson Space Center (JSC) and other locations within and outside the United States (U.S.), including Russia and Kazakhstan. Additionally, the scope of work provided by the RLLS2 contract may be performed not only for the ISS Program (ISSP) but also for other NASA Programs/Centers and Government entities as requested.

The purpose of the International Space Station is to conduct physical, engineering, and life sciences research for the benefit of life on Earth and to advance exploration of our solar system and enable commerce in Space. In order to effectively support, operate and utilize the ISS, NASA requires the contractor to:

1. Provide translation, interpretation, and language training required by the ISS Program.

2. Provide office management and administration, international travel processing, ground transportation, and other related functions in order to implement ISS Operations in Russia, Kazakhstan and the U.S.

3. Obtain all permits, licenses, and appointments required for the performance of work under this contract in compliance with applicable host country laws.

The following Statement of Work (SOW) defines the tasks performed by the contractor.

Section 1.0 of the SOW establishes requirements for providing Russian language and logistics services as either Core Work (CW) or Indefinite Delivery Indefinite Quantity (IDIQ) Task Orders issued under this contract. All requirements contained within Section 1.0 of this SOW are considered to be Core Work and within the baseline contract. Additional services, if required may be ordered in accordance with Section 2.0 IDIQ Task Ordering.

1.0 CORE WORK REQUIREMENTS

The contractor shall be responsible for the overall performance of the RLLS2 contract and shall provide all necessary resources to meet contract requirements.

The contractor shall be responsible for all training and certifications required to accomplish contract requirements.

All work completed under this contract shall comply with requirements contained in the applicable documents delineated in contract Section J, Attachment J-7, Applicable Documents List. Acronyms are listed in contract Section J, Attachment J-10 and Key Terms are listed and defined in contract Section J, Attachment J-11

The contractor shall provide for applicable language and logistics services for US Crewed Vehicle (USCV) launch and landing activities. The specifics of these services will be identified and authorized via an Indefinite Delivery/Indefinite Quantity (IDIQ) Task Order.

1.1 Technical Direction

Performance of the work under this contract is subject to the written technical direction of the NASA Contracting Officer’s Representative (COR), who will be specifically appointed by the NASA Contracting Officer in writing. “Technical direction” means a directive to the contractor that approves approaches, solutions, designs, or refinements; fills in details or otherwise completes the general description of work or documentation items; shifts emphasis among work areas or tasks; or furnishes similar instruction to the contractor. Technical direction includes requiring studies and pursuit of certain lines of inquiry regarding matters within the general tasks and requirements in the contract SOW.

The COR does not have the authority to, and shall not, issue any instruction purporting to be technical direction that composes of the following:

1. Constitutes an assignment of additional work outside the Statement of Work;

2. Constitutes a change as defined in the “Changes” clause (contract Section I);

3. Constitutes a basis for any increase or decrease in the total estimated contract cost, the fixed fee (if any), or the time required for contract performance;

4. Changes any of the expressed terms, conditions, or specifications of the contract;

5. Interferes with the contractor’s rights to perform the terms and conditions of the contract.

All technical direction shall be issued in writing by the COR.

The contractor shall proceed promptly with the performance of the technical direction duly issued by the COR in the manner prescribed above and within the COR’s authority. If, in the contractor’s opinion, any instruction or direction by the COR falls within any of the categories defined above, the contractor shall not proceed but shall notify the CO in writing within 5 days
