Individual TASK ORDERS will be negotiated between the CITY and the CONSULTANT and authorized in writing. Compensation shall generally be based upon the CONSULTANT's percentage of completion of the authorized work and shall include labor and direct expenses unless otherwise specified.
B. Closed-End Hourly Method – Compensation based on the negotiated hourly rate schedule contained in Exhibit "B". This method may be used for on-call or continuing services where the scope cannot be fully defined in advance. Individual TASK ORDERS shall be authorized in writing by the CITY and compensated in accordance with the negotiated hourly rates and any agreed-upon not-to-exceed amount.
4.2 REIMBURSABLE EXPENSES
Unless otherwise provided in an authorized TASK ORDER, reimbursable expenses may be compensated in addition to professional service fees, provided they are necessary for the performance of the authorized services and, where required, are approved in advance by the CITY.
Reimbursable expenses may include:
A. Expenses for reproduction, printing, postage, shipping, and handling of documents and materials required for the TASK ORDER.
B. Travel expenses, including mileage, airfare, rental vehicles, lodging, and per diem, when specifically authorized in advance by the CITY.
C. Direct costs associated with specialized studies, testing, investigations, data collection, or subconsultant services necessary to complete the Scope of Engineering Services described in Exhibit "A", when authorized in advance by the CITY.
4.3 INVOICE PROCESSING
The selected CONSULTANT shall submit invoices in accordance with the requirements established in the resulting Agreement and the applicable TASK ORDER.
Payments for professional services and approved reimbursable expenses shall generally be made on a monthly basis upon submission of the CONSULTANT's invoice for services rendered and expenses incurred. Invoices submitted under either method of compensation shall be supported by a progress report in sufficient detail to identify work accomplished during the previous billing period and work planned during the next period for all open TASK ORDERS. Records supporting reimbursable expenses and services performed shall be made available to the CITY or the CITY's authorized representative at mutually convenient times.
Invoices received by the CITY will be processed for payment within thirty (30) days of receipt by the CITY. The CONSULTANT will be notified of any questionable or disputed items contained in an invoice within fifteen (15) days of receipt by the CITY, together with an explanation of the deficiencies. The CITY will make every reasonable effort to resolve all questionable items within thirty (30) days of receipt of the invoice. In no instance shall payment be due in less than thirty (30) days.

The CONSULTANT and the CITY shall make every reasonable effort to adhere to the schedule established for each authorized TASK ORDER.
In the event the CONSULTANT's work is delayed through no fault of the CONSULTANT, resulting in a delay in the completion of an authorized TASK ORDER, the CONSULTANT may be entitled to an appropriate extension of time for the affected TASK ORDER, subject to the approval of the
CITY.
If such delay results in increased costs that are beyond the CONSULTANT's reasonable control, the CONSULTANT may submit a request for additional compensation. Any adjustment in compensation shall be subject to negotiation and mutual written agreement between the CITY and the CONSULTANT prior to performance of the additional services.
5.3 TIME FOR COMPLETION
