Section A - Solicitation/Contract Form Instrument Name: TPSS III IDIQ MATOC Product Service Code : J059 A.1. OBJECTIVE: The purpose of this acquisition includes: (1) providing quality oversight and management of cybersecurity projects; (2) developing criteria for how to implement cybersecurity across multiple agencies; (3) and performing inventories of Facility-Related Control Systems (FRCS) to include medical systems. There are no Architect-Engineer elements included in this requirement.
A.2. CONTRACT TYPE: A Firm Fixed Priced, Indefinite Delivery/Indefinite Quantity (IDIQ), Multiple award task order contract for Technical and Programmatic Support Services (TPSS) in support to the Department of the Army, Department of War (DoW) and non-DoW Agencies. The work will be performed at diverse locations throughout the United States, including Alaska and Hawaii, outlying areas (as defined by Revolutionary Federal Acquisition Regulation Overhaul (RFO) 2.101), and U.
S. Territorial waters (as defined in 46 United States Code (U.S.C.) 70054(2)). The foreign locations include: , Germany, Italy, Japan, Netherlands, Kwajalein, and South Korea. Other foreign jurisdictions may be added to the geographic scope of the base MATOC contracts.
A.3. CONTRACT TERMS: The total shared capacity for the MATOC is $92 Million, which includes the base period and all planned options. The overall contract capacity and total estimated value will be shared amongst all MATOC holders. This effort is anticipated to be a total of 5-years, which will consist of a base ordering period of 60 months. The resultant contracts will also include RFO 52.217-8, Option to Extend Services, allowing for a potential extension of up to an additional six months. This option is not factored into the planned performance timeline, as it is reserved solely for mitigating unforeseen disruptions to services and minimizing start-up time, effort, learning curves, and procurement costs during transition periods. Price or cost will be a factor in the selection for each order placed under the IDC.
A.4. MINIMUM GUARANTEE & BASE CLINS: The Government's minimum guarantee of $1,500.00 extends throughout the entire period of performance of the IDIQ. Funding for this minimum guarantee is obligated on the first TO and is the minimum ordering amount; not a minimum payment. Payment under the subsequent TO award(s) in an amount meeting/exceeding the minimum guarantee satisfies the minimum guarantee. The initial task order is then deobligated and closed out.
The Base CLIN establishes the maximum total capacity for the entire contract. Due to the indefinite nature of when needs arise, the total capacity is initially placed on the Base Period CLIN. Upon the exercise of any subsequent option period, the remaining unawarded capacity will be administratively transferred from the Base CLIN to the newly exercised Option CLIN. This process ensures the active CLIN accurately reflects the available capacity for task order awards during that period, while the overall maximum contract capacity remains unchanged
W912DY27RA014
A.5. DORMANT STATUS: Due to extenuating circumstances (not related to performance), contractors can request to be placed in a dormant status. Contractors in dormant status cannot compete in new TO solicitations; however, they may continue to work on awarded TOs. Dormant status is granted for a defined finite time period, after which it will lift, and the contractor will be expected to compete.
A.6. CONTRACT AUTHORIZATION: The only authorized ordering office is the U.S. Army Corps of Engineers, Huntsville Engineering and Support Center. Other agencies may be delegated this authority, in which case, an advance written notice will be given to the contractor. In addition to, or in lieu of mailing an order, the Contracting Officer may issue an order orally, by facsimile or by electronic commerce methods, at his/her discretion.
Only a warranted Contracting Officer acting within their delegated limits, has the authority to issue modifications or otherwise change the terms and conditions of this contract. If an individual other than the Contracting Officer attempts to make changes to the terms and conditions of this contract you shall not proceed with the change and shall immediately notify the Contracting Officer.
A.7 SOLICITATION REQUIREMENTS/INFORMATION: In accordance with 10 U.S.C. (S) 3206(c) and RFO 15.104(b)(1)(ii), the Government intends to award contracts to all qualifying offerors. Therefore, price or cost is not an evaluation factor for the award of the master Indefinite Delivery Contracts (IDC). Proposal submission shall be submitted per the instructions within this document. There will be no preproposal conference or site visits for this acquisition; however, questions relative to this solicitation shall be submitted in accordance with (IAW) with the instructions in this document. Competition for inclusion in the MATOC suite will be sought, promoted, and sustained by querying the System for Award Management (SAM), synopsizing proposed actions, and posting the solicitation in the Government-wide point of entry website (https://sam.gov/). Offerors must be registered in SAM to be eligible for award IAW RFO 52.204-7. In the event there are staggered awards during the MATOC award, later awarded contracts, will have an initial period of performance that will be less than the full base period in duration and will end on the same date as all other MATOC awardees.
