About this file
This is a Non-Disclosure Agreement (NDA) template executed between the Massachusetts Bay Transportation Authority (MBTA) and contractors participating in RFP 92-26 for MBTA Network Assessment services. The agreement establishes confidentiality obligations for both parties regarding proprietary information, technical data, trade secrets, personal data, security procedures, and work product generated in connection with the project. Contractors must comply with Massachusetts General Laws chapters 66A and 93H regarding personal data protection and must restrict physical access to MBTA data. The NDA permits disclosure only for the stated purpose of fulfilling contractor tasks related to the network assessment project. A pre-bid conference is scheduled for July 28, 2026 at 10:00 a.m. via Microsoft Teams, with proposal responses due August 26, 2026 at 2:00 p.m. via COMMBUYS. Contract execution and service commencement are anticipated for November 2, 2026.
Confidentiality obligations expire five years from disclosure of confidential information, except for employee personal information which may never be disclosed. The agreement includes standard exclusions for information already in the recipient's possession, publicly available information, information rightfully received from third parties, information disclosed with prior written approval, or information independently developed. Upon project completion, contractors must return all confidential information to the MBTA or destroy it and certify such destruction, though the MBTA may retain one archival copy. The agreement is governed by Massachusetts law and provides the MBTA with rights to seek injunctive relief for unauthorized use or disclosure of confidential information. Contractors acquire no intellectual property rights under the agreement beyond limited use rights necessary to perform the stated purpose.
