Schedule A - Statement of Work Summary

This is a Statement of Work for RFP 26-2244 issued by the Michigan Department of Transportation (MDOT) for replaceable cutting edges used on snowplow underbody and wing blades for winter maintenance operations on state trunklines. The contract covers two primary product categories: standard specification wing blades (available in 12-foot, 9-foot, and 7-foot configurations) and underbody blade cutting edges (available in 4-foot and 5-foot lengths) with tungsten carbide inserts. Contractors must provide pricing for at least one of the standard specification blade types to meet mandatory minimum requirements and may optionally provide pricing for specialty blades. Multiple as-needed contracts will be awarded with an initial one-year term and four one-year renewal options. Delivery requirements specify that statewide delivery orders placed within 14 days of contract effective date must be fulfilled by December 15 of the first contract year, with subsequent orders delivered by December 1 for remaining years. Contractors must offer pricing for both direct shipping to MDOT facilities and central warehouse delivery at 7575 Crowner Drive, Dimondale, Michigan.

Pricing shall be firm through January 31 of each calendar year, with the initial pricing period running from the contract effective date through January 31, 2027. Price adjustments may be requested by either party and require written documentation of cost changes, with 30-day review periods and potential negotiation periods not exceeding 30 days. Contractors must provide current product and pricing information through an electronic catalog system using state-supplied templates. Bidders are required to designate a dedicated program manager available during standard business hours (8 AM to 5 PM, Monday through Friday) and must provide an organizational chart, customer service contact information, and disclosure of any subcontractors. The State reserves the right to conduct product testing per specified test methods and will perform visual inspections upon delivery for final acceptance. Late or improper completion of contract activities will result in liquidated damages of $1,000 plus $500 per day for each day the contractor fails to remedy non-compliance.

RFP 260000002244

Replaceable Cutting Edges for Snowplow Underbody and Wing Blades This schedule identifies the anticipated requirements of any Contract resulting from this RFP. The term “Contractor” in this document refers to a bidder responding to this RFP, as well as the Contractor who is awarded the contract. The term “bidder” is used to identify where specific responses to the RFP are required. Yellow fields are also used to identify areas where a bidder response is required.

The Contractor must respond to each requirement or question and explain how it will fulfill each requirement. Attach any supplemental information and reference it appropriately within your response.

Background MDOT uses replaceable cutting edges on snowplow underbody and wing blades to perform winter maintenance on state trunkline.

Scope This optional use contract is for the delivery of cutting edges as specified in the attached Schedules on the solicitation. The below mandatory minimum requirements along with the general requirements go into further detail on the scope of the contract. There will be multiple As-Needed Contracts awarded, and the length of Contracts will be 1 year with 4- one year renewal options. Each year the quantities will be released to the awarded contractors to provide their pricing to MDOT. MDOT will review the pricing and each location will determine which contractor they will place their delivery order with.

Mandatory Minimums Contractor is required to provide pricing on at least either the standard spec underbody blades or the standard spec wing blades listed in the pricing spreadsheet. Contractors may provide pricing for both standard spec blades if they choose to. Once this minimum requirement is met, Contractor can also provide pricing for a “specialty” blade that they offer in their RFP response. The pricing for the “specialty” blades will not be used in determining low bid.

Replaceable Cutting Edges for Snowplow Underbody and Wing Blades 1 Schedule A – Attachment 1 – Key Personnel

1. Key Personnel The Contractor must appoint one individual who will be directly responsible for the day-to-day operations of the Contract (“Key Personnel”). Key Personnel must be specifically assigned to the State account, be knowledgeable on the contractual requirements, and respond to State inquiries within 48 hours.

The State has the right to recommend and approve in writing the initial assignment, as well as any proposed reassignment or replacement, of any Key Personnel. Before assigning an individual to any Key Personnel position, Contractor will notify the State of the proposed assignment, introduce the individual to the State’s Project Manager, and provide the State with a resume and any other information about the individual reasonably requested by the State. The State reserves the right to interview the individual before granting written approval. In the event the State finds a proposed individual unacceptable, the State will provide a written explanation including reasonable detail outlining the reasons for the rejection. The State may require a 30-calendar day training period for replacement personnel.

Contractor will not remove any Key Personnel from their assigned roles on this Contract without the prior written consent of the State. The Contractor’s removal of Key Personnel without the prior written consent of the State is an unauthorized removal (“Unauthorized Removal”). An Unauthorized Removal does not include replacing Key Personnel for reasons beyond the reasonable control of Contractor, including illness, disability, leave of absence, personal emergency circumstances, resignation, or for cause termination of the Key Personnel’s employment. Any Unauthorized Removal may be considered by the State to be a material breach of this Contract, in respect of which the State may elect to terminate this Contract for cause under the Termination for Cause section of the Standard Contract Terms. It is further acknowledged that an Unauthorized Removal will interfere with the timely and proper completion of this Contract, to the loss and damage of the State, and that it would be impracticable and extremely difficult to fix the actual damage sustained by the State as a result of any Unauthorized Removal. Therefore, Contractor and the State agree that in the case of any Unauthorized Removal in respect of which the State does not elect to exercise its rights under Termination for Cause, Contractor will issue to the State the corresponding credits set forth below (each, an “Unauthorized Removal Credit”):

For the Unauthorized Removal of any Key Personnel designated in the applicable Statement of Work, the credit amount will be $500 per individual if Contractor identifies a replacement approved by the State and assigns the replacement to shadow the Key Personnel who is leaving for a period of at least 30-calendar days before the Key Personnel’s removal.

If Contractor fails to assign a replacement to shadow the removed Key Personnel for at least 30-calendar days, in addition to the $500 credit specified above, Contractor will credit the State $100 per calendar day for each day of the 30-calendar day shadow period that the replacement Key Personnel does not shadow the removed Key Personnel, up to $500 maximum per individual. The total Unauthorized Removal Credits that may be assessed per Unauthorized Removal and failure to provide 30-calendar days of shadowing will not exceed $3,500 per individual.

Contractor acknowledges and agrees that each of the Unauthorized Removal Credits assessed above: (i) is a reasonable estimate of and compensation for the anticipated or actual harm to the State that may arise from the Unauthorized Removal, which would be impossible or very difficult to accurately estimate; and (ii) may, at the State’s option, be credited or set off against any fees or other charges payable to Contractor under this Contract.

The Contractor must identify the Key Personnel, indicate where they will be physically located, describe the functions they will perform, and provide current chronological résumés.
