1.2 All blanks in the Bid Form must be filled. A Bid price shall be indicated for each Bid item, allowance item, and adjustment unit price listed therein. If a Bidder elects not to submit a bid for a specific item listed in the Bid Form, indicate such intent with the words “No Bid” in lieu of a proposed price.

1.3 The Bid must contain an acknowledgment of receipt of all Addenda, the numbers and dates of which must be filled in on the Bid Form.

1.4 No alteration in Bids, or in the printed forms therefore, by erasures, interpolations, or otherwise will be acceptable.

Bids by joint ventures shall be signed by each participant in the joint venture or by a representative of the joint venture accompanied by evidence of authority to sign for the joint venture.

1.6 The names of all persons signing shall be legibly printed below their signatures. A Bid by a person who affixes to his signature the word “president”, “secretary”, “agent”, or other designation without disclosing his principal may be held to be the Bid of the individual signing. When requested by the Owner, evidence of the authority of the person signing shall be furnished.

2. Bid Security.

2.1 Each Bid must be accompanied by a security made payable without condition to the Owner in an amount of five percent (5%) of the Bidder’s maximum Bid and in the form of a Bid Bond issued by a surety meeting the requirements set forth in the General Conditions. The Bid Bond shall be submitted using a form in substantial compliance with the form provided in section 500.

2.2 The Bid Security of the Successful Bidder will be retained until such Bidder has executed the Contract, furnished the required Contract Security, and met the other conditions of the Notice of Award, whereupon the Bid Security will be returned. If the Successful Bidder fails to execute and deliver the Contract and to furnish the required Contract Security within the number of days set forth in the Bid Form, the Owner may annul the Notice of Award and the Bid Security of that Bidder will be forfeited.

2.3 The Bid Security of other Bidders whom the Owner believes to have a reasonable chance of receiving the award may be retained by the Owner until the earlier of fourteen (14) days after the effective date of the Contract or the day after the last day the Bids remain subject to acceptance as set forth in the Bid Form, whereupon Bid Securities furnished by such Bidders will be returned. Bid Security accompanying Bids which are deemed by the Owner to be noncompetitive will be returned within fourteen (14) days after the Bid opening.

3. Work Plan.

3.1 Bidder shall submit a Work Plan with the Bid. The Work Plan shall describe proposed methods of construction. If any method does not meet the requirements of this Specification, the Bid may be held to be unresponsive and may be rejected.

3.3 The Work Plan shall contain a schedule for the Work prepared in a bar chart format with sufficient detail to demonstrate successful achievement of Milestone dates.

4. Contractor License Requirement.

4.1 The Bidder and Bidder’s Subcontractors shall be licensed as indicated in section 100 Request for Bids.

4.2 The Bidder and Bidder’s Subcontractors shall provide evidence of licensure with the Bid.

4.3 In accordance with NRS 338.145, the Contract may be awarded to another Bidder if the person to whom the Bid was awarded is not licensed or if the amount of the Bid exceeds the limits of the Bidder’s license.

5. Bids as Public Records.

5.1 The Owner is a public agency as defined by state law. As such, it is subject to the Nevada Public Records Law (Chap. 239 of Nevada Revised Statutes [NRS]). All of the Owner’s records are public records (unless otherwise declared by law to be confidential), which are subject to inspection and copying by any person. Bidders are advised that after a Bid is received by the Owner, its contents will become a public record and nothing contained in the Bid will be deemed to be confidential.

5.2 All Bidders are therefore advised to not include any information in their Bid that is proprietary in nature or that they would not want to be released to the public.

6. Submission of Bids.

6.1 Bids must be submitted at the time indicated in section 100, Request for Bid, or at the modified time indicated by Addendum.

Colorado River Commission of Nevada 555 E. Washington Avenue, Suite 3100 Las Vegas, NV 89101-1065

Attention: Robert Reese

6.5 Bidder shall assume full responsibility for timely delivery at the location designated for receipt of Bids. Bids received after the time and date identified in the Invitation to Bid shall be returned unopened.

6.6 No Bidder may submit more than one Bid. Multiple Bids under different names will not be accepted from one firm or association. Bidder shall assume full responsibility for timely delivery at the location designated for receipt of Bids and pre-qualification documents. Bids received after the time and date identified in the Invitation to Bid shall be returned unopened.

7. Evaluation of Bids.

7.1 The Owner may conduct such investigations as the Owner deems necessary to assist in the evaluation of any Bid and to establish the responsibility, qualifications, and financial ability of Bidders, proposed Subcontractors, Suppliers, and other persons and organizations to perform and furnish the Work in accordance with the Contract Documents to Owner’s satisfaction within the prescribed time.

7.2 The initial Work Plan submitted with the Bids will be reviewed by the Owner to determine the Bidder’s comprehension of the Work and the Bidder’s experience and expertise in the construction of electrical Switchyard facilities. The methods described in Work Plan will also be reviewed for conformance with the Specifications.

7.3 The Owner may consider the qualifications and experience of Subcontractors, Suppliers, and other persons and organizations proposed for those portions of the Work for which the identity of Subcontractors, Suppliers, and other persons and organizations must be submitted as provided in the Contract Documents.

7.4 The Owner also may consider the technical proposal of the Bidder, including the operating costs, maintenance requirements, performance data, and guarantees of items of materials and equipment proposed for incorporation in the Work when such data are required.

7.5 The Owner will then determine the best bid of the qualified Bidders pursuant to the Procedure for Award of Construction Contracts adopted for the Power Delivery Project.

7.6. The Contract will be awarded and administered in accordance with the laws of the State of Nevada.

8. Modification and Withdrawal of Bids

8.1 Bids may be modified or withdrawn by an appropriate document duly executed (in the manner that a Bid must be executed) and delivered to the place where Bids are to be submitted at any time prior to the opening of Bids. After the Bid opening, Bids may not be modified for any reason.

8.2 If, within 48 hours after Bids are opened, any Bidder files a duly signed, written notice with Owner and promptly thereafter demonstrates to the reasonable satisfaction of Owner that there was a material and substantial mistake in the preparation of its Bid, that Bidder may withdraw its Bid and the Bid Security will be returned. Thereafter, that Bidder will be disqualified from further bidding on the Work to be provided under the Contract Documents.

9. Rejection of Bids.

9.1 The Owner reserves the right to reject any or all bids, including without limitation the rights to reject any or all nonconforming, non-responsive, unbalanced, or conditional bids, and to reject the bid of any Bidder if the Owner believes that it would not be in the best interest of the Owner to make an award to that Bidder.

9.2 The Owner also reserves the right to waive formalities.

10. Bid Protest.

10.1 If any Bidder or person wishes to protest the award of the Contract, such protest will be considered by Owner’s statutory Commission at a public meeting.

10.2 Written argument supporting any protest must be provided to the Colorado River Commission, Attn: Senior Deputy Attorney General, no later than ten (10) working days before the meeting of the Owner’s statutory Commission at which time and place the Contract is scheduled to be awarded.

10.3 At the meeting where the Contract is scheduled to be awarded, a hearing on the protest will be conducted and the protestant will be afforded an opportunity to be heard and make any argument relative to its protest.

10.4 The decision by the Owner’s statutory Commission on any protest made and the award of the Contract, if so approved, shall be final.

11. Signing of Contract.

11.1 The Owner will issue five (5) copies of the Contract Documents to the successful Bidder.

11.2 Within the number of days set forth in the Bid Form, the successful Bidder must sign all copies of the Contract, leaving the dates blank, must insert the required Bonds and power of attorney in the appropriate places and deliver all copies to the Owner.

11.3 The Owner will, thereafter, execute all copies of the Contract and return one original copy to the Contractor.

11.4 Executed Contract Documents will be accompanied by a complete set of the Drawings, with appropriate identification.

11.5 If the Successful Bidder fails to comply with the requirements of this section, the Owner may nullify its award of the Contract and thereafter accept the Bid of another Bidder.

12. Examination of Contract Documents and Site. It is the responsibility of each Bidder, before submitting a Bid, to: (a) thoroughly examine the Contract Documents and all requirements therein; (b) visit the Site to become familiar with local conditions that may affect cost, progress, performance, or furnishing of the Work; (c) consider federal, state, and local laws and regulations that may affect cost, progress, performance, or furnishing of the Work; (d) study and carefully correlate Bidder’s observations with the Contract Documents; and (e) promptly notify the Owner of all conflicts, errors, or discrepancies discovered by Bidder in the Contract Documents. Submission of a Bid shall be conclusive evidence that the Bidder has complied with the requirements of the preceding sentence.

13. Subsurface Conditions and Physical Conditions.

13.1 Reference is made to Volume II, Section 1000 for identification of, and the extent to which Bidder is entitled to rely on, the following:

13.1.1 Reports of explorations and test of subsurface conditions at the Site which have been utilized by Owner in preparation of the Contract Documents.

13.1.2 Drawings of physical conditions in or relating to existing surface and subsurface conditions (except underground facilities) which are at or contiguous to the Site that have been utilized by Owner in preparation of the Contract Documents.

13.2 Copies of such reports and drawings will be made available by the Owner to Bidders who request such subsurface information and sign a receipt therefore. Such reports and drawings do not form a part of this or any Contract Document issued by the Owner. Subsurface information issued by Owner shall be returned by unsuccessful Bidders within thirty (30) days after Notice of Award.

13.3 Bidders are warned that the information contained in the Contract Documents relating to subsurface conditions may not be indicative of actual subsurface conditions that may be encountered while performing the Work. The Owner does not warrant and hereby disclaims responsibility for the accuracy of this information except factual technical data derived from direct observation, examination or testing of physical samples or specimens with descriptions or measurements of such samples and specimens derived from direct examination or testing by persons acting on behalf of the Owner.

14. Underground Facilities. Information and data reflected in the Contract Documents, if any, with respect to underground facilities at or contiguous to the Site are based upon information and data furnished to Owner by owners of such underground facilities or others, and Owner disclaims responsibility for the accuracy or completeness thereof unless it is expressly provided otherwise in these Contract Documents.

15. Bidder’s Additional Site Investigations.

15.1 Before submitting a Bid, each Bidder shall at Bidder’s own expense, make or obtain any additional examinations, investigations, explorations, tests, and studies and obtain any additional information and data which pertain to the physical conditions (surface, subsurface, and underground facilities) at or contiguous to the Site or otherwise which may affect cost, progress, performance, or furnishing of the work and which Bidder deems necessary to determine its Bid for performing and furnishing the Work in accordance with the time, price, and other terms and conditions of the Contract Documents.

15.2 On request, 48 hours in advance, the Owner will seek to provide each Bidder access to property on which the Work is to be performed, under such terms of permission as Owner may then prescribe, as each Bidder deems necessary for submission of a Bid.

16. Easements.

16.1 The lands upon which the Work is to be performed, rights-of-way and easements for access thereto, and other lands designated for use by Contractor in performing the Work are identified in the Contract Documents.

16.2 All additional lands and access thereto required for temporary construction facilities or storage of materials and equipment are to be provided by the Contractor.

17. Subcontractors, Suppliers, and Others.

17.1 Each Bidder shall provide, on the form in Volume I, Section 600, entitled “Subcontractor Information”, the name of each Subcontractor who will provide labor for the portion of the Work indicated, the percentage of the Total Bid anticipated to be paid each Subcontractor, and the Nevada license number of each Subcontractor named.

17.2 If requested by the Owner, the Bidder shall provide an experience statement of Subcontractor(s) with pertinent information regarding similar projects and other evidence of qualification for each such Subcontractor, supplier, person or organization.

17.3 If the Owner, after due investigation, has reasonable objection to any proposed Subcontractor, supplier, or other person or organization, the Owner may, before the Notice of Award is given, request the apparent Successful Bidder to submit an acceptable substitute without an increase in the Bid. If the apparent Successful Bidder declines to make any such substitution, the Owner may award the Contract to the next best Bidder, in the Owner’s judgment, that proposes to use acceptable Subcontractors, suppliers, and other persons and organizations. Declining to make requested substitutions will not constitute grounds for sacrificing the Bid Security of any Bidder.

17.4 Any Subcontractor, supplier, or other person or organization listed and to whom the Owner does not make written objection prior to the giving of the Notice of Award will be deemed acceptable to the Owner, subject to the Owner’s revocation.

17.5 A Contractor whose Bid is accepted shall not substitute any person for a Subcontractor who is named in the Bid unless:

17.5.1 the Owner objects to the Subcontractor, requests in writing a change in the Subcontractor and pays any increase in cost resulting from the change; or

17.5.2 a change is proposed by the Contractor because the Subcontractor, after having a reasonable opportunity, fails or refuses to execute a written subcontract which was offered to the Subcontractor with the same terms that all other Subcontractors on the Project were offered; or

17.5.3 a change is proposed by the Contractor because the named Subcontractor files bankruptcy or becomes insolvent; or

17.5.4 a change is proposed by the Contractor because the named Subcontractor fails or refuses to perform his subcontract within a reasonable time or is unable to furnish a performance bond and payment bond pursuant to NRS 339.025.

17.6 A Contractor whose Bid is accepted shall not contract with any Subcontractor not listed in its Subcontractor Information forms to perform the Work indicated, without the written approval of the Owner.

18. Bid Preference.

18.1 In accordance with the Owner’s Procedure for Award of Construction Contracts, the Owner shall award the Contract to the qualified Bidder who submits the best Bid. In the event two Bidders have submitted Bids evaluated as equal, preference may be given to the Bidder who provides proof of payment of taxes to the State of Nevada in accordance with NRS 338.147.

18.2 A Bidder requesting Bidder preference shall provide with its Bid a certificate of eligibility to receive preference in bidding on public works projects issued to the Bidder by the State Contractors’ Board.

18.3 The monetary amount of the bid preference shall be evaluated as five percent of the Bidder’s Bid.

19. Substitute or “Or-Equal” Items.

19.1 The procedure for submission of any application for review of substitute or “or-equal” items by Contractor and consideration by Owner is set forth in the Volume II, Section 1000.

19.2 The Contract, if awarded, will be on the basis of materials and equipment indicated on the Drawings or specified in the Specifications. Application for review of substitute or “or-equal” materials or equipment will not be considered by Owner until after the effective date of the Contract.

19.3 Proposed substitute and “or-equal” items will be considered in accordance with NRS 338.140.

20. Permits.

20.1 The Bid Price shall include the cost of all required permits and the cost of all measures required to comply with all permit requirements.

20.2 Certain Permits have been or will be obtained by Owner, as indicated in Volume II, Section 1000. Contractor shall obtain and include in the Bid Price the cost of all other permits which are required for the Work.

21. Taxes. All taxes that are lawfully assessed against the Owner or Contractor in connection with the Work shall be paid by Contractor. The Bid Price shall include all such taxes.

22. Performance Bond. The successful Bidder will be required to furnish Performance and Payment Bonds as security for the faithful performance of the Contract, which must be at least as protective as those bonds otherwise required pursuant to NRS 339.025.

23. Retainage. Provisions concerning retainage are set forth in Volume II, Section 1000.

24. Extended Work Week. Owner may require a mandatory 6 day workweek as directed by Owner for work activities which are on the critical path of job completion.

25. Prevailing Wage Rates.

25.1 Pursuant to Chapter 338 of the Nevada Revised Statutes, the prevailing wage rates established by the State of Nevada Labor Commissioner must be paid to all workmen engaged in the performance of any public works construction contracts awarded for the amount of $100,000.00 or more. Prevailing wage rates effective are available from the State of Nevada, Office of Labor Commissioner, and may be found on their web site.

25.2 Prevailing wage rates are subject to change and it is the Bidder’s responsibility to ensure that it is aware of and will pay the prevailing wage rates in effect at the time of Bid closing.

26. Schedule Milestones and Liquidated Damages. Schedule milestones and liquidated damages are required as stated in Volume II, Section 1000.

27. Guaranty Bond.

27.1 The Contractor will be required to submit a Guaranty Bond, in the amount of five percent (5%) of the final Contract Price, after completion of the Project which warrants the Work for a period of one year after final acceptance of the Work.

27.2 The cost of this Guaranty Bond shall be included in the Contractor’s Bid.

28. Bidder’s Representation. The submission of a Bid will constitute an incontrovertible representation by the Bidder that the Bidder has complied with every requirement concerning examination of the Contract Documents and the Site, that without exception the Bid is premised upon performing and furnishing the Work required by the Contract Documents, and that the Contract Documents are sufficient in scope and detail to indicate and convey understanding of all terms and conditions for performance and furnishing of the Work.

29. Addenda.

29.1 All questions about the meaning or intent of the Contract Documents shall be addressed to the Owner.

29.2 Interpretations or clarifications considered necessary by Owner in response to such questions will be issued by Addenda mailed or delivered to all parties recorded by the Owner as having received the Contract Documents.

29.3 Questions received less than ten (10) days prior to the date for opening of Bids may not be answered. Only answers issued by Addenda will be binding. Oral and other interpretations or clarifications will be without legal effect.

30. Use of Contract Documents.

30.1 Complete sets of Contract Documents must be used in preparing Bids; the Owner does not assume any responsibility for errors or misrepresentations resulting from the use of incomplete sets of Contract Documents.

30.2 The Owner, in making copies of Contract Documents available, does so only for the purpose of obtaining Bids for the Work and does not confer a license or grant for any other use of the Contract Documents.

4. Upon receipt of bids, the Commission’s staff shall consider the bids. The Commission’s staff may meet with any bidder in order to ensure that the Commission understands each bid.

5. The Commission’s staff shall recommend the best bid to the Commission for consideration. The best bid shall be that bid which, in the opinion of the Commission:

(1)complies with NRS chapter 338;
(2)proposes the construction of the Commission’s electrical system, or any part thereof, in a manner which meets the design specifications provided by the engineer and the contract requirements provided by the bid specifications;
(3)proposes the construction of the Commission’s electrical system, or any part thereof, in a timely manner so as not to interrupt the completion of the Project or its later normal operation;

None of the above-listed criteria shall be an exclusive determinant of the best bid. Unless the preference required by NRS 338.147 (2) applies, the lowest bid shall be the best bid when all non-cost criteria are equal.

6. Any or all of the bids received may be rejected if the Commission, upon recommendation of the Commission staff, determines that:

(1)the bidder is not responsive or responsible;
(2)the apparent quality of the services, materials, equipment or labor offered does not conform to the approved plan or specifications; or
(3)the public interest would be served by such a rejection.

7. No contract with any bidder shall be executed or become effective without the prior approval of the Commission. The Commission’s staff shall notify all of the bidders prior to any meeting of the Commission at which the Commission may act to approve any contract with any bidder. Any bidder may appear at the Commission meeting and shall be entitled to speak in behalf of its own bid. The decision of the Commission approving any contract with any bidder shall be a final action of the Commission.

8. Any contract for the construction of electrical facilities shall require that the contractor provide a) a performance bond in an amount of 100% of the contract amount, conditioned upon the faithful performance of the contract in accordance with its terms and exclusively for the protection of the Commission; and b) a payment bond in an amount not less than 100% of the contract amount, for the protection of claimants supplying labor or materials to the contractor or to any of his subcontractors, in the construction of electrical facilities for the Commission.
