About this file

This is an Addendum #1 Revision to a Request for Proposal issued by the County of Orange, California, County Executive Office Human Resources, for comprehensive administrative and investment services for the County's Health Reimbursement Arrangement (HRA) Program. The County seeks a single administrative service provider to manage recordkeeping, plan administration, employee communications, claims processing, and investment services for two existing HRA plans covering approximately 22,387 participants with combined assets of $351.5 million as of June 30, 2024. The RFP requires offerors to maintain the County's existing investment option array, including BlackRock Lifepath Index Funds as the default option and the MissionSquare PLUS Fund S11 as the stable value option. The proposal submission deadline is October 9, 2024, at 4:00 PM Pacific Time via the County's online bidding portal. Questions from offerors must be submitted by September 18, 2024, with responses issued by September 25, 2024. The most responsive offerors may be invited to provide oral presentations on November 20-21, 2024. The contract is anticipated to commence on July 1, 2025, for an initial three-year term with two optional one-year renewal periods at the same fees.

Minimum qualifications require offerors to have at least ten years of HRA plan administration experience, manage a minimum of $100 million in HRA plan assets, administer at least five HRA plans with over 1,000 participants each, and provide trustee or custodial services with at least $100 million under trust or custody. The current administrative fee is 0.19% on all assets, and the County requires the selected contractor to reimburse up to $90,000 annually for the County's administrative and oversight expenses, increasing annually by the California Consumer Price Index. The evaluation will assess organizational experience and qualifications, participant communications and customer service capabilities, claims administration processes, plan administrative and recordkeeping services, investment services and trust administration, implementation and transition planning, cybersecurity compliance, and overall cost value. The RFP includes preferences for County of Orange Local Small Business (OCLSB) and Disabled Veteran Business Enterprise (DVBE) certified firms. MissionSquare Retirement currently serves as the administrative provider. The County reserves the right to negotiate contract terms with selected offerors and may conduct verification of all submitted information prior to award and throughout the contract term.

SECTION 1. INTRODUCTION AND INSTRUCTIONS TO OFFERORS

1.1 A. INTRODUCTION

This Request for Proposal (RFP) is being released for the provision of Comprehensive Administrative and Investment Services for the County of Orange’s Health Reimbursement Arrangement Program

(HRA Plan Administration and Investment Services). This RFP is an opportunity to allow qualified vendors to present proposals that will assist the County of Orange, CEO/HRS/Employee Benefits in selecting a contractor that will best meet the needs of the County for a three (3) year contract with two (2) optional one

(1) year renewal terms. Services are requested on an alliance basis. Review the RFP for more details on the acceptable terms of this alliance arrangement.

1. Plan Description

The County established the Health Reimbursement Arrangement (HRA) Program for the purpose of funding the reimbursement accounts of eligible employees and participants on a pre-tax basis and reimbursing the unreimbursed and substantiated qualified medical expenses of retired or separated participants (or spouse or covered dependent).

In 2008, the County implemented a plan to restructure the Retiree Medical Program for two of the

County’s represented units – the Association of Orange County Deputy Sheriffs (AOCDS) and the

Association of Orange County Law Enforcement Management (ACLEM). Individual HRA accounts were created for the current and future AOCDS and ACLEM represented employees, funded by a combination of County and mandatory employee contributions (all contributions are made on a pre-tax basis). In 2016, members of the Orange County Attorneys Association (OCAA) were added to the HRA. In 2023, the remaining County employees, both represented and unrepresented, were added to the HRA. Benefits (HRA account balances) become available to the individual Participant to be used to reimburse eligible qualified medical expenses upon retirement or separation from County service.

The Plan is intended to comply with the requirements of sections 105 and 106 of the Internal

Revenue Code of 1986 (Code), and as a health reimbursement arrangement as defined under

Internal Revenue Service (IRS) Notice 2002-45. The contributions made to reimbursement accounts, any investment gains and qualified medical expenses reimbursed under this Plan are intended to be eligible for exclusion from the gross income of eligible employees, participants and retired participants (including the spouses and dependents of each) under Code § 105(b).

The table below includes background information on the HRA. Unless otherwise indicated, information is as of 6/30/2024. The County’s HRA plan includes one active plan and one closed plan.

2. Administrative Service Provider Structure

The County currently utilizes one provider for the two plans described above. It is anticipated that maintaining a single administrative service provider will provide consistent participant communications, plan level efficiencies, as well as cost savings for participants. Therefore, the

County anticipates selecting a single administrative service provider as a result of this RFP. Current assets will be transferred to the successful administrative provider (Contractor). The alliance structure is such that the administrative service provider enters into contracts with non-proprietary mutual funds or other investment products at the direction of the County.

3. Plan Financial and Participant Data

Appendix B - Plan Investments and Assets of this RFP contains information on the amount of assets in the plans. Note, only terminated participants are eligible for reimbursements. Plan 800161 is a closed plan and all remaining participants with a balance are eligible for reimbursements.

4. Plan Administrative Expenses

The County requires that the Offeror provide reimbursement to the County for a portion of the administrative and oversight expenses it incurs in maintaining the Plans for County employees.

This amount has been determined to be up to $90,000 per year, increased annually by the California

CPI for the previous calendar year. This reimbursement must be remitted to the County on a quarterly basis, or other time period as agreed to by the County.

5. Investment Offering – Core Funds

Each of the current core funds and their ticker symbols are listed in Appendix B – Plan

Investments and Assets. It is the County’s intention that each of the plans will continue to offer the investment options currently in place.

ADMINISTRATIVE AND INVESTMENT SERVICES FOR THE COUNTY OF ORANGE’S HEALTH REIMBURSEMENT

ARRANGEMENT PROGRAM, 017-202406-MC Page 7 of 30

Offerors are expected to provide recordkeeping services on an alliance basis for this fund lineup;

however, if a prospective Offeror cannot accommodate one or more of the funds listed, this should be indicated in the Offeror’s proposal (see Questionnaire) and alternative funds proposed.

6. Investment Offering – Lifecycle Options

The County currently offers the BlackRock Lifepath Index Funds as the default investment option for the plans.

7. Investment Offering – Stable Value

Within each of the plans, the current stable value fund is the MissionSquare PLUS Fund S11.

Offerors must have the ability to offer the existing stable value fund, a similar stable value fund offering or other cash equivalent in its fund line up.

8. Contract Term

The County anticipates engaging the selected Offeror for a three-year contract with the option to renew for two additional consecutive one-year renewal periods, at the same fees. The Contract effective date is anticipated to be July 1, 2025.

REFER TO ATTACHMENT A TO THE MODEL CONTRACT FOR A DETAILED

DESCRIPTION OF THE SCOPE OF SERVICES.

Offeror is expected to provide all the products and services that will meet or exceed the requirements and conditions, as set forth in this RFP, in accordance with the Model Contract.

IMPORTANT NOTICE

Government Code section 84308 (also known as the “Levine Act”) contains requirements that are summarized generally as follows:

A. If you are an applicant for, or the subject of, any proceeding involving a license, permit, or other entitlement for use, you are prohibited from making a campaign contribution of more than $250 to any member of the Board of Supervisors or other County official who may participate in your proceeding. This prohibition begins on the date your application is filed or the proceeding is otherwise initiated, and the prohibition ends 12 months after a final decision is rendered by the Board of Supervisors or other County officer. In addition, no Board member or other County official who may participate in your proceeding alternate may solicit or accept a campaign contribution of more than $250 from you during this period.

ARRANGEMENT PROGRAM, 017-202406-MC Page 21 of 30

B. These prohibitions also apply to your agents, and, if you are a closely held corporation, to your majority shareholder as well. These prohibitions also apply to your subcontractor(s), joint venturer(s), and partner(s) in this proceeding. Also included are parent companies and subsidiary companies directed and controlled by you, and political action committees directed and controlled by you.

C. You must file the attached disclosure form and disclose whether you or your agent(s) have in the aggregate contributed more than $250 to any Board member or other County officer who may participate in your proceeding during the 12-month period preceding the filing of the application or the initiation of the proceeding.

D. If you or your agent have in the aggregate contributed more than $250 to any individual Board member or other County officer who may participate in your proceeding during the 12 months preceding the decision on the application or proceeding, that Board member or other County officer must disqualify himself or herself from the decision. However, disqualification is not required if the Board member or other County official returns the campaign contribution within 30 days from the time the member or official knows, or should have known, about both the contribution and the fact that you are a party in the proceeding. The Campaign Contribution Disclosure Form should be completed and filed with your application or proposal, or with the first written document you file or submit after the proceeding commences.

A. A proceeding involving “a license, permit, or other entitlement for use” includes all business, professional, trade and land use licenses and permits, and all other entitlements for use, including all entitlements for land use, all contracts (other than competitively bid, labor or personal employment contracts), and all franchises.

B. Your “agent” is someone who represents you in connection with a proceeding involving a license, permit or other entitlement for use. If an individual acting as an agent is also acting in his or her capacity as an employee or member of a law, architectural, engineering, consulting firm, or similar business entity, both the business entity and the individual are “agents.”

C. To determine whether a campaign contribution of more than $250 has been made by you, campaign contributions made by you within the preceding 12 months must be aggregated with those made by your agent within the preceding 12 months or the period of the agency relationship, whichever is shorter. Contributions made by your majority shareholder (if a closely held corporation), your subcontractor(s), your joint venturer(s), and your partner(s) in this proceeding must also be included as part of the aggregation. Campaign contributions made to different Board of Supervisors members or other County officer who may participate in your proceeding are not aggregated.
