B. 1.2 The Department of State’s (DOS) portfolio includes undeveloped land, office, warehouse, recreation, residential (single and multi-family), motor vehicle facilities, and mixed-use properties, related to the U.S. Government’s (USG’s) overseas mission. Assignments may be located in nearly every country throughout the world.

B. 1.3 Required services include the preparation of oral, narrative or form appraisals and other advisory reports such as notional values (similar to broker’s opinion of value), rent studies, reports on real estate trends, highest and best use studies, feasibility studies, property searches, and other real estate consulting services as needed.

B. 1.4 Services will be on an as needed basis, as described below and as further defined in Section

B. 1.5 Department of State anticipates awarding contracts to multiple firms for these services.

B.2 CONTRACT TYPE

This is an Indefinite Delivery, Indefinite Quantity (IDIQ) contract containing fixed labor rates payable entirely in U.S. currency. For each assignment a task order request will provide a statement of work (SOW) upon which a fixed price task order proposal will be offered by IDIQ contractors using the fixed labor rates in the contract. Fixed price task orders will be awarded for each assignment.

The term of the contract is one year, with four one-year options to renew, under the same terms and conditions as the base year, except as provided in Section B.4 Prices/Costs. No additional sums will be payable on account of any escalation in the cost of materials, equipment or labor, or because of the Contractor's failure to properly estimate or accurately predict the cost or difficulty of achieving the results required by this contract. Nor will the contract price be adjusted on account of fluctuations in currency exchange rates. Changes in the contract price or time to complete will be made only due to changes made by the Government in the work to be performed, or by delays caused by the Government.

$20,000

(b) The maximum for this indefinite quantity-contract (including options) shall be any quantity or combination of supplies and services equal to $2,000,000.00.

SPECIFICATIONS/STATEMENT OF WORK

Solicitation No. 19AQMM24R0066 Page 9

C.1 BACKGROUND INFORMATION

C.1.1 The U.S. Department of State, Bureau of Overseas Buildings Operations (OBO) has a potential need for real estate appraisal and advisory services. If tasked, services will be for a variety of property types located throughout the world.

C.1.2 FIRM FIXED CONTRACT

The Contracting Officer, typically in conjunction with the Base Contract COR, will issue (Task

Order Proposal Requests) RFPs with SOW that requests fee quotes for individual or bulk actions.

The IDIQ contractors are expected to have the resources and technical (appraiser) expertise in all regions of the world (see Exhibit A) and preferably in many of the Countries identified in each region; to be willing and qualified to submit a proposal for most of the RFPs issued regardless of whether they are residential or commercial real estate assignments.

C.2 LIST OF DELIVERABLES

C.2.1 Assignments may require providing estimates of market value, market rent, or preparation of reports such as highest and best use evaluations, rent studies, feasibility studies, property searches, and other real estate consulting services, as needed. The reports will be for various legal estates such as freehold, leasehold, and easements on a variety of property types. These reports are further discussed in this section, paragraphs C. 3 through C. 6.

C.3 COMPLETION SCHEDULE

C.3.1 Services such as rent studies or the valuation of uncomplicated properties such as residential dwellings will typically be required within fourteen (14) days to twenty-one (21) days from the issuance of the task order. Services requiring a higher level of technical analysis will typically be due in thirty (30) to forty-five (45) days. The SOW/RFP for a particular assignment will state the delivery time for that assignment.

C.3.2 After the delivery order is issued, the COR may arrange a briefing for the Contractor. The briefing may be either in person or by video / telephone conference. If an in-person briefing is required, this requirement will be addressed in the RFP. Alternatively, the RFP/SOW may require the vendor to arrange a kick-off and possibly subsequent conference calls. Such briefings will allow the COR to clarify issues, provide guidance where needed, and review information on the assignment, such as limiting conditions, possible appraisal techniques, legal issues, etc.C.3.3 Some materials, such as existing U.S. government leases (if the assignment is related to ascertaining the fair market rental value) may be provided to the Contractor at the time of the assignment or else by US personnel where the property is located. Materials such as title reports, surveys, and building plans may or may not be available. The availability of this material may be identified in the RFP to the extent possible. While the US government may supply some of this information, the Contractor is required to perform local specific research to address open issues. Depending on the assignment, the Contractor may be required to sign a confidentiality agreement and/or return all US government-provided information to the EV POC or designated person.

Solicitation No. 19AQMM24R0066 Page 10

The Contractor will also need to perform independent research regarding the particulars of the subject property [i.e. verification of land and building sizes, zoning, development restriction (if any) and property interest] plus detail the sources of the data relied upon.

C.3.4 The Contractor will remain at all times responsible for conducting and managing the appraisal process. The Contractor must provide proper oversight and quality control over the field appraiser(s) to ensure that the first draft report submitted meets with the requirements delineated in the RFP/SOW for that assignment. For each assignment, Contractor shall have a (quality control) Supervisory Appraiser who will be a signatory on the appraisal, available at the corporate level to handle EV’s comments/concerns about the work product and make certain that the person performing the work for Contactor addresses all of the RFP/SOW requirements as well as EV’s reviewer comments/concerns.

C.3.5 If at any time during the contract period (i.e. a 12 month period), the Contractor is, more than 25% of the time, late in submitting the first (acceptable) draft report to EV, the US government may, at its sole discretion, terminate the contract.

C.4 REPORT REQUIREMENTS

C.4.1 The SOW/RFP shall outline the requirements, critical elements and format issues to be addressed in each report at the Task Order level. (If hard copies and/or CD are necessary, it will be stated in the SOW/RFP for the assignment.).

C.4.2 The report(s) shall be delivered as instructed in the SOW/RFP and may include maps, photographs and site plans (when applicable). All copies will include color photographs and exhibits. The format should be in software and formats typically used in the industry, i.e. photos in jpeg, text in Microsoft Word, spreadsheets in Microsoft Excel. For certain assignments, Word or Excel report formats, adjustment grids or other Excel tables may be provided by EV and required for completion of the assignment. The working (unprotected) versions of the Excel analyses and summary grids, during all stages of the assignment (from first draft to final) must be provided as a separate electronic file as well as being incorporated in the main report.

C.4.3 Complete reports (body & addenda) must be submitted in English and be issued on the IDIQ

Contractor’s letterhead.

C.4.4 All work products must report market data and analyses n the currency in which real estate transactions occur in that particular market. Only the summaries and reconciliation sections should, additionally, equate those numbers to US dollars, using a stated currency exchange rate and the date of that rate.

C.4.5 Along with the fee quote response to each individual SOW/RFP, the Contractor shall identify the personnel (or subcontractor) who will be performing the work and the main company for whom that person works. At a minimum this will include the Supervisory Appraiser as well as the Field

Appraiser(s). The Contractor must submit that person(s)’s relevant appraisal (assuming that it is a valuation exercise) credentials as well as their experience in that city/region and with the particular property type that is the subject of the assignment. It is required that the real estate professional(s)

Solicitation No. 19AQMM24R0066 Page 11 named in its proposal will perform the services required under the delivery order. No substitutions shall be made without prior written approval of the CO or COR. In the event personnel named in the proposal are unable to perform, the contractor shall promptly submit to the CO or COR a written detailed explanation of the circumstances necessitating a substitution. Contractor will also submit all necessary information on the proposed substitute’s qualifications to assist in the approval or rejection of the proposed substitute.

C.4.6 The Contractor assumes total responsibility for the work of the subcontractors. In the case that OBO/PRE/MPE/EV finds that any appraiser utilized by the Contactor has performed poorly on a valuation assignment two or more times (as evidenced by notification to Contractor by the

Base Contract COR on the issue), the Contractor is required to discontinue utilization of that appraiser for the remainder of the IDIQ contract duration, unless the Base Contract COR notifies the Contractor, in writing, to allow further use of the appraiser on a case by case basis.

C.5 REPORT FORMAT & CONTENTS

C.5.1 The report shall follow, in both format and content, internationally recognized appraisal principles and practices and contain adequate factual data to support the conclusions. Reports must conform to internationally recognized professional appraisal standards and practices. Examples include International Valuation Standards (IVS), Uniform Standards of Professional Appraisal

Practice (USPAP), and the Royal Institute of Chartered Surveyors (RICS) “Red Book”.

C.5.2 The type of report (oral, letter, form, summary format, or full narrative) will be stated in the

RFP.

C.5.3 The report certification shall include a signed statement indicating that “the appraisal company (indicate the name) nor the appraiser (indicate name(s)) have no present or prospective interest in the property that is the subject of this report, and has no personal interest or bias with respect to the parties involved.” The report must also identify the appraiser(s) that performed the analysis and which appraiser(s) personally inspected the subject premises and the comparable properties which were used in arriving at the estimate of value. The certification must be signed, at a minimum, by the primary Field Appraiser and the Supervisory Appraiser, each indicating their role in the assignment.

C.5.4 When a discounted cash flow analysis is performed the appraiser must discuss all assumptions and show all calculations. It is expected that when a land residual approach to value is performed by the appraiser, the analysis shall reflect the time value of money.

C.6 Contractor to Coordinate with Attorney through the Contracting Officer

If legal action arises involving DOS that relates to the appraisal and advisory services provided under this contract, the Contractor shall upon request assist the DOS with its legal proceedings.

C.7 CONTRACTOR OVERSIGHT OF DELIVERABLES

C.7.1 The Contractor is responsible for fully reviewing each deliverable prior to issuance to the

EV. Contractor’s Supervisory Appraiser must be qualified to make certain that the deliverable conforms to the requirements set forth in the individual RFP/SOWs and that, if it is a valuation

Solicitation No. 19AQMM24R0066 Page 12 assignment, the methodology is technically correct and that the data is relevant and sufficient to support the conclusions. It is the responsibility of the Contractor to ensure that the submitted draft is in full compliance with the SOW prior to issuing the first draft to the EV.

C.7.2 Unless the EV POC reviewer approves it in writing, the Contractor may not share their

(draft or final) report or their value conclusions with any party other than the EV including, but not limited to the local Department of State (“post”) personnel.

C.8 CONTRACTOR RESPONSIVENESS

A response to all emails and phone calls from EV and/or the Contracting Officer throughout the term of the contract will be expected within a reasonable time frame (one to two business days).

The Contractor must notify the Base Contract COR and CO of any changes in main corporate contact, and/or any other people in key positions (with roles defined by Offeror) at the corporate level and of any significant changes regarding corporate structure (to include adding coverage by opening new offices, office closures, merger with or acquisition of other companies and financial insolvency) that occurs during the term of the IDIQ contract. Such notification should occur within one week of the change.

C.9 REVIEW REQUIREMENT

Your client is the Department of State’s Evaluations Division (EV) in the Overseas Buildings

Operations (“OBO”) in D.C. The particular OBO EV Reviewer for an assignment will be identified as the POC in the RFP/SOW for each action; this person will review the draft version of the report and either approve/ accept, or reject the report by asking for modifications. The review process will be performed under agency policies. The first draft report will be accepted as on-time if it substantially conforms to the SOW/RFP delivery order and contains a well-reasoned and adequately supported conclusion. The report will be rejected with revisions required, if it does not conform to the requirements outlined in the SOW/RFP and the delivery order or it lacks adequate supporting data, explanations, or analysis. Corrections or substitutions to the report, based on DOS review, shall be provided within 25% of the time that it took for the completion of the original
