About this file

This document is PWS Exhibit G, a supplemental data rights addendum to a Performance Work Statement that establishes mandatory terms governing the use of commercial software and cloud services in federal contracts, overriding standard vendor End User License Agreements (EULAs), Terms of Service, and related commercial supplier agreements.

The exhibit establishes a strict order of precedence for contract interpretation, placing the Schedule of Supplies/Services and mandatory FAR 52.212-4 terms above all commercial agreements, followed by this addendum, other FAR/DFARS clauses, agency data sharing and security agreements, and finally the contractor's commercial terms and technical proposals. It grants the Government enterprise-wide license rights for authorized personnel, military service members, civilian employees, and third-party support contractors to access, configure, operate, and utilize software and cloud services across all operational, development, testing, and disaster recovery environments without per-user or inter-agency fees. The Government retains unfettered rights to reassign, reallocate, or transfer licenses to any federal agency or successor contractor without additional cost or contractor consent. The exhibit nullifies click-wrap, browse-wrap, and embedded end-user agreements, establishing that only warranted Contracting Officers can modify contract terms. It explicitly rejects numerous commercial provisions including government indemnification clauses, automatic renewal provisions, state/foreign law requirements, binding arbitration clauses, unilateral service suspension rights, vendor audit rights, and state tax assessments. The Government retains sole ownership of all government data, metadata, protected health information, and personally identifiable information, with contractors prohibited from commercializing, de-identifying for secondary use, or utilizing such data to train artificial intelligence or machine learning systems without express written authorization from the Contracting Officer and Agency Senior Privacy Official. The exhibit preserves the Government's unilateral right to conduct vulnerability scanning, penetration testing, and security assessments without vendor authorization, requires one-hour cyber incident reporting to designated security officials, and mandates data residency exclusively within the contiguous United States in FedRAMP-authorized and DoD-certified data centers staffed by U.S. citizens with appropriate security clearances. Additional provisions address liability carve-outs for data breaches and security failures, remote access security protocols requiring Government-Furnished Equipment and multi-factor authentication, contractor responsibility for third-party and open-source software compliance, static incorporation of referenced policies with prohibition on unilateral online alterations, continuous functionality warranties superseding "as-is" disclaimers, intellectual property governance under federal law, restrictions on use of government names and seals in marketing, and transition support obligations including data export in standard formats and certified data destruction within thirty days using NIST SP 800-88 sanitization standards.

2. The mandatory terms of FAR 52.212-4 / FAR 52.212-4 Alternate I (specifically including the Disputes, Payments, Invoice, Compliance with Laws Unique to Government Contracts, and Unauthorized Obligations paragraphs);

3. This Section H Addendum (Commercial Software and Cloud Override);
