About this file

This addendum to Invitation to Bid 25260001B issued by Seminole County Public Schools' Purchasing and Distribution Services Department modifies the original Restaurant Disposable Supplies solicitation, which seeks multiple award vendors to provide 93 line items of disposable food service supplies including cups, lids, containers, utensils, and custom-printed items. The original bid opening date is July 24, 2025, at 2:00 PM EST, with a voluntary pre-bid meeting held on July 7, 2025. The addendum, posted July 10, 2025, addresses questions submitted by bidders regarding product discontinuations, alternative product submissions, delivery schedules, and tariff implications. All awarded items will ship FOB inside delivery to the School Board Maintenance Warehouse at 820 East State Road 434, Winter Springs, Florida 32708, with hours of operation 8:00 AM to 3:30 PM and no appointment required. The contract term is one year from Board approval (scheduled August 19, 2025) or August 27, 2025, whichever is later, with two additional optional one-year renewals.

The key revision addresses the Price Adjustment Clause, which now permits comparable price adjustments at the School Board's sole discretion when contractor costs for materials increase by three percent or more, with maximum reimbursement capped at three percent of the original bid price, subject to documented justification and the contractor's best efforts to obtain lowest possible prices. The addendum clarifies that items are ordered on an as-needed basis to replenish warehouse stock, with delivery timeframes dependent on product mix and vendor minimums. Bidders may submit multiple alternative product samples if they provide clear documentation on the price schedule, with samples due before the bid submission deadline. The addendum confirms that tariffs cannot be addressed under a Force Majeure section and directs all sample submissions to Victoria Gonzalez, Procurement Agent III, at the Purchasing Department in Sanford, Florida.

A. THE FOLLOWING SECTION HAS BEEN REVISED AND REISSUED IN ITS ENTIRETY:

☐ Sec IV.5. PRICE ADJUSTMENT CLAUSE

Sec IV.5. PRICE ADJUSTMENT CLAUSE. The Bid price shall remain in effect for the term of the award. A comparable price adjustment may be considered at SBSC’s sole discretion for an increase in Contractor’s cost of materials or goods provided Contractor provides sufficient documentation to justify a price adjustment. If at any time during contract performance, the unit price(s) for the material or goods, including applicable shipping or import costs, and governmental fees tariffs and taxes, increase(s) by three (3%) percent or more over the cost of the same material or goods on the date the Contractor’s bid or proposal was submitted, SBSC may agree to pay that cost increase up to a maximum of 3% of the price of the material or goods on the date the Contractor’s bid or proposal was submitted. Prior to requesting a price increase pursuant to this section, Contractor agrees to use best efforts to obtain the lowest possible prices from materials or goods suppliers and shippers and shall take advantage of every legally permissible deduction or other avenue to decrease the cost of governmental fees, tariffs and taxes. Contractor must provide written notice to SBSC prior to purchase of the materials or goods identifying the materials or goods in question, the itemized price increase being requested, the original bid cost and quantity required to complete the project, and identify the source of supply. Contractor must provide SBSC with proposals, quotes, price sheets and other comparable documentation evidencing the original and increased costs of the materials and goods. SBSC reserves the right to make the final determination regarding the application of a price increase. If material or goods prices decrease by more than 3%, the contract price may be reduced under the same terms and conditions.

B. REQUEST FOR INFORMATION

Q1. Line 46 – The lid is no longer manufactured. The cup associated cup is being manufactured.

A1. Line 46: We knew this product was discontinued last year, but had hoped Dart would be producing it again for next year. We knew it was a possibility that Dart would decide to discontinue production of this cup completely and increased our forecast of the product on Line 67 to make up for this possible discontinuation.

Addendum No. 1 Page 2 of 3 ITB25260001B-VG, Q2. Line 58 & 59 - Currently using Fabrikal NC90F?

A2. Lines 58 and 59: We are currently using these products but hadn’t realized that Fabikal had stopped producing them since we last purchased them. We use them in a very small amount and are still working through the last of the inventory at the warehouse. We need a clear, plastic, 9oz, squat cup, with a submitted sample for line 58.

Line 59 needs to be a 9oz, no hole, clear, dome lid that fits the cup sample submitted on Line 58.

Q3. What is the delivery schedule – Weekly or Monthly?

A3. Items are stocked in our warehouse so they are ordered on an as needed basis to replenish as needed.

All stock is shipped to one (1) location.

Q4. Tariff questions: There were concerns at the Pre-Bid meeting about tariffs and suppliers wanted to know about the frequency of updating pricing. As promised by our Legal Department:

A4. Please see Section A above regarding Price Adjustment Clause

Q5. Can Tariffs be addressed under the Force Majure section?

A5. No

Q6. To clarify “as needed” what is the expected time frame between order placement of restaurant disposables by Seminole County and delivery of goods by awardee?

A6. It depends on product mix and minimums required by vendor.

Q7. Confirming all awarded items will ship to 820 East State Rd. 434, winter springs Florida 32708 and what hours can these be delivered and is an appointment necessary.

A7. Per the bid document, Section I, Subsection 6 found on page 2.

Bid Title:

Addendum No. 1 Page 3 of 3 ITB25260001B-VG, Sample for Bid Item Number (from Exhibit B – Price Schedule):

Company Name:

Q9. If an alternative product is approved after sample acceptance and we are awarded the contract, would an 8-10 week lead time for the first shipment after award notification be acceptable, with subsequent deliveries guaranteed as requested? (this will ensure the best price).

A9. The answer to that would depend on the monthly case demand for the product and our current warehouse inventory levels. If we have enough product on had to supply the sites for 10 weeks, I’m sure it would be ok. However, if the monthly case demand is high and our warehouse levels are low, a 10 week lead-time could lead to service disruptions.

Q10. Comment from Richard Miles, Assistant Director of Read Apple Dining regarding alternatives:

A10. It's just been asked in the past, can you send in multiple alternatives? And the answer is yes to that as well.

Just please make sure you have samples of each of them. So, each who responded is not limited to just providing one alternative, if you have two or three others, one's maybe less expensive, one's a little bit more higher quality, whatever that is, and you want to provide samples for multiple alternatives, we actually welcome that.

If you choose to send in multiple alternatives, please make it very clear on the price schedule that you have multiple products that you are offering for that item.

The original Invitation to Bid (ITB) documents shall remain in full force and effect, except as modified herein, which shall take precedence over any contrary provisions in the prior documents. If you should have any questions regarding this addendum, please do not hesitate to contact Victoria Gonzalez, Procurement Agent III at gonzalvm@scps.k12.fl.us or by phone at 407.320.0262.

Sincerely, Amanda Zarko Amanda Zarko, Senior Procurement Agent
