19.02 The conditions and procedures for such negotiations shall be as follows:
A. Director of Procurement or his/her designee and members of the end Using Department shall meet with the apparent low bidder and, in the case of a construction contract, with the architect and/or any engineering consultants as applicable, and such parties shall jointly prepare a list of contract scope modifications that do not impair the original proposed functions(s) of the project.
B. The apparent low bidder shall provide additional details on labor, materials, pricing and/or a Schedule of Values at Pittsylvania County request and prepare price reductions for review by the Director of Procurement or his/her designee and members of the end Using Department and, in the case of construction, by the architect and/or any engineering consultants as applicable.
C. Director of Procurement or his/her designee and members of the end Using Department, in the case of construction, the architect and/or any engineering consultants as applicable, shall evaluate each price reduction and shall accept only those reductions that are considered to be in the best interest of Pittsylvania County.
D. If the acceptable price reductions result in a reduced contract price that is within available funding limits, a contract shall be awarded, subject to approval by Pittsylvania County, if applicable. The negotiation with the apparent low bidder shall be summarized in a Post Bid Modification and posted with the Notice of Intent to Award or Notice to Award for each contract.
E. If the acceptable price reductions do not reduce the cost of the proposal to an amount that is within available funding limits, the bid shall be rejected. The negotiation with the apparent low bidder shall be summarized in a Post Bid Modification document and filed with the Procurement file. A Cancellation Notice shall be posted.
Pittsylvania County Sanitary Landfill 00100-10 LaBella Associates
19.03 Notwithstanding the foregoing, the Director of Procurement has the right to cancel any solicitation, to reject any or all bids, even after negotiations with the low bidder and to waive any informality in bids.
ARTICLE 20 - AWARD OF CONTRACT
20.01 OWNER reserves the right to reject any or all Bids, including without limitation, nonconforming, nonresponsive, unbalanced, or conditional Bids. OWNER further reserves the right to reject the Bid of any Bidder whom it finds, after reasonable inquiry and evaluation, to be non-responsible. OWNER may also reject the Bid of any Bidder if OWNER believes that it would not be in the best interest of the Project to make an award to that Bidder. OWNER also reserves the right to waive all informalities not involving price, time, or changes in the Work and to negotiate contract terms with the Successful Bidder. Discrepancies between the indicated sum of any column of figures and the correct sum thereof will be resolved in favor of the correct sum. Discrepancies between words and figures will be resolved in favor of the words.
20.02 More than one Bid for the same Work from an individual or entity under the same or different names will not be considered. Reasonable grounds for believing that any Bidder has an interest in more than one Bid for the Work may be cause for disqualification of that Bidder and the rejection of all Bids in which that Bidder has an interest.
20.03 In evaluating Bids, OWNER will consider whether or not the Bids comply with the prescribed requirements, and such alternates, unit prices and other data, as may be requested in the Bid Form or prior to the Notice of Award.
20.04 In evaluating Bidders, OWNER will consider the qualifications of Bidders and may consider the qualifications and experience of Subcontractors, Suppliers, and other individuals or entities proposed for those portions of the Work for which the identity of Subcontractors, Suppliers, and other individuals or entities must be submitted as provided in the Supplementary Conditions.
20.05 OWNER may conduct such investigations as OWNER deems necessary to establish the responsibility, qualifications, and financial ability of Bidders, proposed Subcontractors, Suppliers, individuals, or entities to perform the Work in accordance with the Contract Documents.
20.06 If the Contract is to be awarded, OWNER will award the Contract to the Bidder whose Bid is in the best interests of the Project.
ARTICLE 21 - CONTRACT SECURITY AND INSURANCE
21.01 Article 5 of the General Conditions, as may be modified by the Supplementary Conditions, sets forth OWNER’s requirements as to performance and payment Bonds and insurance. When the Successful Bidder delivers the executed Agreement to OWNER, it must be accompanied by such Bonds.
21.02 Bonds shall comply with the Code of Virginia and each shall be in an amount equal to one hundred percent (100%) of the accepted Bid as guaranty for the faithful performance of the Contract and the payment of all persons who have and fulfill Contracts which are directly with the Successful Bidder. The Sureties of all Bonds shall be a surety company or companies authorized to transact business in the Commonwealth of Virginia with a Virginia address. Documents evidencing current authority or attorney-in-fact of surety must be attached to the Bonds. The Bonds must be in a form approved by the OWNER.
21.03 Any suit under the Bonds furnished for this Project must be instituted before the expiration date or one year from the date of which final payment under the Contract is due.
ARTICLE 22 - SIGNING OF AGREEMENT
22.01 A date for a pre-construction meeting will be made within thirty (30) business days of the Notice of Award at which the CONTRACTOR and his agents, the OWNER and his agents, and the ENGINEER and his agents will attend. The purpose of this meeting is to resolve questions concerning the Agreement and other Contract

Documents and to have all required parties sign the Agreement and all supporting Contract Documents. Any other questions concerning the start of the project can be resolved at this meeting. The date for the meeting will be mutually agreed upon between the OWNER, the ENGINEER, and the CONTRACTOR. ARTICLE 23 - PAYMENT OF SUBCONTRACTORS
23.01 In accordance with Virginia Code Section 11-62.11 the CONTRACTOR agrees that:
Should any Subcontractor be employed by the CONTRACTOR for the provisions of any goods and services under this Contract, the CONTRACTOR agrees to the following:
A. The CONTRACTOR shall, within seven (7) days after receipt of any payments from the OWNER pursuant to this Contract either:
1. Pay the Subcontractor for the proportionate share of the total payment received from the OWNER attributable to the goods or services provided by the Subcontractor;
2. Notify the OWNER and the Subcontractor, in writing, of the intention to withhold all or part of the
Subcontractor’s payment with the reason for non-payment.
B. Subcontractors must agree to a Contract clause, which requires that they provide their social security numbers and for proprietorships, partnerships and corporations that they provide their federal employer identification numbers.
C. The CONTRACTORS shall pay interest to the Subcontractors on all amounts owed by the CONTRACTOR that remain unpaid after seven (7) days following receipt by the CONTRACTOR of payment from the OWNER for work performed by the Subcontractor under contract except amounts withheld pursuant to subparagraph a.2. above.
D. CONTRACTOR agrees to provide the following in all Contracts with Subcontractors: “Unless otherwise provided under the terms of this Contract, interest shall accrue at the rate of one percent per month.”
E. CONTRACTOR shall include in all of its subcontractors a provision that each Subcontractor is to include or otherwise be subject to the same payment of interest requirements with respect to each lower-tiered Subcontractor as is CONTRACTOR bound to its Subcontractors.
ARTICLE 24 - NON-DISCRIMINATION
24.01 Non-Discrimination
CONTRACTOR agrees as follows:
A. The CONTRACTOR will not discriminate against any employee or applicant for employment because of race, religion, color, sex, or national origin, except where religion, sex or national origin is a bona fide occupational qualification reasonably necessary to the normal operation of the CONTRACTOR. The CONTRACTOR agrees to post, in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this non-discrimination clause.
B. The CONTRACTOR, in all solicitations or advertisements for employees placed by or on behalf of the
CONTRACTOR, will state that such CONTRACTOR is an equal opportunity employer.
C. Notices, advertisements and solicitation placed in accordance with federal law, rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this Section.
