About this file
This file is a Questions and Answers document (Revision 1) for the Department of Energy's Commercial AI & Energy Generation Infrastructure Program Request for Offer (RFO) at the Paducah Gaseous Diffusion Plant site in Western Kentucky. The document provides critical clarifications about proposal submission, including technical volume page limits, file submission guidelines, and font requirements. Key details include that the technical volume is limited to 50 pages, cover pages and tables of contents do not count toward page limits, and there are no file size limitations for email submissions.
The Q&A also addresses complex issues around power supply flexibility, foreign investment restrictions, and national security considerations for potential lessees. DOE confirmed multiple electricity supply options for the site, including direct wholesale market participation, federal power marketing agency, investor-owned utility, generation and transmission cooperative, and municipal utility. Foreign entities interested in leasing must undergo a thorough vetting process involving security reviews by the DOE Office of Environment, Health, Safety, and Security, with potential lease modifications or cancellations based on national security assessments. The solicitation aims to lease real property for an artificial intelligence data center, with updates to be posted on sam.gov, and the Industry Day details were scheduled to be posted on 12/1/2025.

| Can DOE confirm whether the site lies within any certificated utility territory, and if adjacency of existing service territory is required to provide power to the leased area? If the answers to these questions are no, can DOE clarify the statutory authority governing this issue? | The site does not lie within any certificated utility territory and adjacency is not required. Please see page 34 of the RFO, "The federal government has competitively sourced electricity supply to the PGDP Site since its inception in the 1950s and expects that to continue with its plans for new strategic initiatives at the Site." Later on page 34, it goes on to say "DOE and its lessee will be able to choose electricity supply and market structures: Direct organized wholesale market participation (MISO); federal power marketing agency (TVA); investor-owned utility (KU); generation and transmission cooperative utility (Big Rivers Electric); and municipal utility (Paducah Power System)." |
The Atomic Energy Act (AEA) vests DOE with broad powers to contract for services and supplies necessary to conduct its mission, including the procurement of electric power for federally owned nuclear facilities like the PGDP site. These authorities have extended to DOE lessees at such sites because of the national security objectives and unique power reliability needs that apply. Moreover, the Trump administration has this year issued numerous executive orders and policies that support a broad reading of DOE's authority in this area. The significant national security interests underlying the proposed Artificial Intelligence (AI) data center at the PGDP site bolster DOE's authority to contract with multiple power providers to meet DOE's unique power needs.

| page 13 of 50: Please clarify whether the cover page is the proposal cover or Section 1 of the proposal. If the latter, does the Cover Page count toward the 50-page limit? | The cover page does not count towards the 50-page limit. |
| page 13 of 50: Please confirm that table of contents, table of acronyms, table of figures, and table of tables does not count toward the 50-page limit. | The Technical Volume is limited to 50 pages plus listed attachments which do not count towards the 50-page limit. |

| I would be keen to understand potential guard rails on a lease agreement via foreign direct investment via USA entity of course, but just wanted to gauge the percentages on certain items, from multiple perspectives For example if I am the hosting company based in USA but I onboard into my edgeai external clients or tenants does that have any barrier on who can develop, I have country level interest but it’s so new I don’t fully understand the contracting implications. |
Leases that may involve foreign entity ownership will be subject to the same or similar provisions as outlined below. Such entities will need to go through a vetting process. This process is often referred to as following policies and procedures for mitigating foreign ownership, control or influence (FOCI) in the U.S. defense industrial base.
a. This Lease is subject to a security review by the DOE Office of Environment, Health, Safety, and Security. The Lessee acknowledges that additional security requirements may be added to this Agreement via modification(s) depending on the result of that security review and/or any other applicable U.S. Government national security processes, including a cancellation of this lease. If security clearances are required to perform work under this Lease Agreement, the Lessee must pay for any/all security clearances.
| b. | In connection with any transfer of rights under this Lease, Lessee will disclose any proposed transferee or assignee’s status as a foreign owned, controlled or influenced company, organization, or institution. Lessee may not assign to any such foreign owned, controlled or influenced company, organization, or institution without prior DOE’s written consent, which DOE may deny on a written finding of a significant national security interest, as determined by the DOE Office of Counterintelligence. For purposes of this clause, “foreign entities” include: (1) any foreign government or foreign government agency or instrumentality thereof; (2) any international organization; (3) any form of business enterprise or legal entity organized, chartered or incorporated under the laws of any country other than the United States or its territories; (4) any form of business enterprise organized or incorporated under the laws of the United States or a State or other jurisdiction within the United States which is owned, controlled or influenced by a foreign government, agency, firm, corporation, or a person who is not a citizen or national of the United States; and (5) any person who is not a citizen or national of the United States. | ||
