About this file
This is a Confidential Non-Disclosure Agreement between NSI Engineering and the Buckman Direct Diversion Board (on behalf of the City of Santa Fe, New Mexico) for professional services related to SCADA/Telemetry system work. The agreement grants NSI Engineering access to critical infrastructure information pertaining to Santa Fe's water system operations, specifically the Buckman SCADA/Telemetry data. NSI Engineering is authorized to use this confidential information exclusively for performing work on the Buckman SCADA/Telemetry systems. The agreement was executed on December 9, 2025, by Kristina Longmuir representing NSI Engineering. The NDA restricts NSI Engineering from disclosing any water infrastructure location data or system information to the public, complying with New Mexico Statute 14-2-1 and the federal Critical Infrastructure Information Act of 2002.
The agreement establishes binding obligations on NSI Engineering to maintain strict confidentiality of all disclosed information, take reasonable steps to prevent unauthorized access, and limit disclosure only to employees requiring access for authorized work purposes. NSI Engineering acknowledges that the Buckman Direct Diversion Board retains all ownership rights to the confidential information and assumes no liability for the accuracy or suitability of the SCADA/Telemetry data. The confidentiality obligations remain in effect for as long as the information qualifies as proprietary, with limited exceptions for information that becomes publicly known through no wrongful act of the recipient, is independently developed, or is required to be released by government mandate or court order. The agreement binds NSI Engineering and its successors, ensuring that critical infrastructure protections remain enforceable throughout the contractor's engagement on the PLC replacement and SCADA modification project.
