The NDA imposes comprehensive confidentiality obligations on NSI Engineering to protect the secrecy of the disclosed information through reasonable security measures and to prevent unauthorized access or disclosure. The recipient must limit access to employees requiring direct knowledge for authorized work purposes and must maintain the confidential information as the property of the Buckman Direct Diversion Board. The agreement's obligations remain in effect for an indefinite term continuing until the information is no longer confidential. The Discloser provides no warranties regarding the accuracy or fitness of the SCADA/Telemetry data and disclaims liability for any planning decisions or interpretations made based on the information. The agreement includes standard exceptions for information that becomes publicly known through no wrongful act of the recipient, is independently developed, or is required to be released by government mandate or court order.
