PART I -- THE SCHEDULE

Section A – Solicitation

A.1 General Information:

A.1.1 This is a combined synopsis/solicitation for commercial items prepared in accordance Federal Acquisition Regulation (FAR) part 12, as supplemented with additional information included herein. This announcement constitutes as the only solicitation. Offers are being requested and a separate written solicitation will not be issued.

A.1.2 This solicitation, N69450-26-Q-PW13, is issued in accordance with FAR 12.201-1 as a request for quote (RFQ). This proposed contract is being solicited on an UNRESTRICTED basis.

A.1.3 The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2026-01 / 03-13-2026. The applicable Revolutionary FAR Overhaul Department of Defense (DoD) Class Deviations apply to this solicitation.

A.1.4 This acquisition has not been set-aside for small businesses and is issued under Full and Open Competition in accordance with FAR 6.101. The associated NAICS Code is 221210 and the small business size standard is 1,150 employees. The Product Service Code is 6830 Gases: Compressed and Liquefied.

A.1.5 The Government contemplates award of multiple firm-fixed-price indefinite-delivery, indefinite quantity (IDIQ) contracts from this solicitation. The ordering period under each IDIQ contract will be approximately five (5) months or an aggregate not-to-exceed value of $8,950,000 for all contracts, whichever comes first.

A.1.6 The item to be acquired is LNG fuel to be delivered to NSGB in support of a natural gas-powered combined cycle power plant (CCPP). The Navy expressly reserves the right not to make an award of the LNG requirement for any reason. See Section C, Description/Specifications/Statement of Work, for a description of requirements for the items to be acquired.

A.1.7 The orders competed and awarded under this IDIQ multiple award contract (MAC) will be issued on a firm-fixed price basis. Price is based on fully-burden rates for the purchase and delivery of LNG F.O.B. Destination. Fully loaded pricing includes (but is not be limited to) all price, costs, fees and profit for the LNG and all associated taxes, permits, licenses, transportation, insurance, and any other costs that could arise in meeting this requirement. A Foreign flag waiver has been routed by the Contracting Office to MSC and is pending approval for the “seed project” (first order), which is anticipated to cover two deliveries approximately three weeks apart from each other.

Market research indicates a strong likelihood of non-U.S. flag vessel availability. A Foreign flag waiver approval is likely if there is no U.S. flag vessel available to fulfill a delivery under this requirement, but cannot be guaranteed, and the contracting officer does not have authority over the waiver process. Pursuant to FAR Clause 52.212-4, the IDIQ MAC holders agree that if the Government denies a proper waiver request submitted under DFARS Clause 252.247-7023, both parties shall negotiate an equitable adjustment. If a mutual agreement on the amount of the equitable adjustment in accordance with FAR 52.212-4(c), Changes, is not reached the Government may terminate the delivery order for convenience under FAR 52.212-4(l), rather than FAR 52.212-4(m).

A.1.8 FAR 52.212-1, Instructions to Offerors – Commercial Products and Commercial Services (Feb 2026), applies to this acquisition and there is an addendum to the provision, see Section L, Instructions, Conditions, and Notices to Offerors or Respondents.

A.1.9 FAR Subpart 52.212-2, Evaluation – Commercial Products and Commercial Services (Feb 2026) will be used. See Section M, Evaluation Factors for Award, for the specific evaluation criteria to be included in paragraph (a) of that provision.

A.1.10 Reserved.

A.1.11 FAR 52.212-4, Contract Terms and Conditions -- Commercial Products and Services (Feb 2026), applies to this acquisition.

A.1.12 FAR 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive Orders -- Commercial Products and Commercial Services (Mar 2026), applies to this acquisition and additional FAR clauses cited in the clause are applicable to the acquisition.

A.1.13 Additional contract requirement(s) or terms and conditions are determined by the Contracting Officer (KO) to be necessary for this acquisition and consistent with customary commercial practices.

A.1.14 In addition to the requirements stated herein, Offerors shall comply with any and all applicable federal, state, local, and/or foreign laws and regulations in submission of their quotes and in performance of the contract.

A.1.15 Exceptions to solicitation requirements will not be considered. Any proposed exceptions or conditioning of the quote may render an offeror unawardable.

A.1.16 All questions regarding the instructions and/or requirements herein must be timely submitted in electronic form to the Contract Specialist/Contracting Officer identified. Offerors shall submit questions in accordance with the instructions in this solicitation at Section L – Instructions, Conditions, and Notices to Offerors or Respondents.

A.1.17 Quotes are due no later than 12:00 P.M. EST Friday, May 15, 2026. Offerors shall submit quotes in accordance with the instructions in this solicitation at Section L – Instructions, Conditions, and Notices to Offerors or Respondents.

A.1.18 The Government shall not be responsible and/or liable for any costs incurred in connection with an offeror’s preparation and/or submission of any quote and/or protest relating to the RFQ, award decision, and/or cancellation of the requirement.

Section B – Supplies, Services and Pricing

B.1 General Requirement – Naval Station Guantanamo Bay (NSGB), Cuba anticipates requiring an estimated 300,000 MMBtu of liquefied natural gas (LNG) during the approximate five-month ordering period of this IDIQ MAC. The ordering period is anticipated to run through approximately September 2026. Delivery is FOB: Destination, pursuant to FAR 47.303-6. The goal is to ensure that requisite quantities of LNG are delivered on a scheduled basis to ensure that the CCPP at NSGB maintains an operational storage level of LNG every 14 to 21 days. The following details apply:

B.1.1 Delivery point: FOB Destination (NSGB).

B.1.2 Pricing: The Offeror’s proposed price is on a firm-fixed-price, per unit basis for each delivery order, FOB: Destination, and shall be fully loaded to include (but not be limited to) all price, costs, fees and profit for the LNG and all associated taxes, permits, licenses, transportation, insurance, and any other costs that could arise in meeting this requirement.

B.1.3 Seed Project: The “seed project” for this solicitation will be an order for two deliveries (e.g. 26-29 May 2026 and 15-18 June 2026 unless modified).

B.2 Contract Minimum/Maximum - As stated in Paragraph A.1.5, the Government contemplates award of a firm-fixed-price IDIQ multiple award contract (MAC) resulting from this solicitation.

The minimum guarantee under each awarded MAC is $500.00 for the life of the contract, including any options. One Offeror will be awarded the “seed project” delivery order which will fulfill their minimum guarantee and will be issued concurrently with the award of the basic contract. All other MAC awardees will receive an order for the $500.00 minimum guarantee issued concurrently with the award of the basic contract(s). When the minimum guarantee amount of $500.00 is satisfied through subsequent placement of a competitively awarded delivery order, the Government has the unilateral right to de-obligate the funding via modification.

The IDIQ MAC holder may not invoice for this amount without the written consent of the Contracting Officer. MAC holders who do not submit at least one quote for a delivery order competition opportunity over the life of the contract will not be authorized to invoice for the minimum guarantee.

The Not-to-Exceed (NTE) amount for the total of all IDIQ MACs awarded under the solicitation is $8,950,000.00. There is no per Contractor limit.

IDIQ orders are anticipated to be issued for approximately two deliveries per order.

B.3 CLIN 0001 General Supply and Delivery of LNG to NSGB: $8.95M NTE

B.4 Estimated schedule and quantities to be delivered – Delivery orders are anticipated to be issued for LNG per the schedule stated at B.4.2, which is subject to change. In the event operation of the CCPP is impacted, further impacting LNG fuel consumption, the Government will reassess the timing and quantities to maintain a reserve inventory of approximately 14 days consumption, or about 31,206 MMBtu of LNG. Changes would be negotiated or incorporated via contract modification.

During each delivery, the objective is to replenish the four LNG storage tanks to 90% of their gross storage capacity. The estimated delivery quantity will be confirmed by the Government approximately one week or seven calendar days prior to the scheduled date. The cited quantity at B.4.2 constitutes the Government's best estimate and is subject to change. The Contractor is only entitled to payment for the actual quantity of LNG delivered, in addition to the cost per trip, at the awarded price per MMBtu, and in accordance with Section B.4.1 of the contract.

There is no guaranteed minimum quantity for each LNG delivery other than the minimum established in Section B.4.1 below, Variation in Quantity.

B.4.1 Variation in Quantity - The Contractor shall not exceed the specified order quantity of LNG by no more than -5% / +10% for any single delivery.

(a) A variation in the quantity of any item called for by this contract will not be accepted unless the variation has been caused by conditions of loading, shipping, or packing, or allowances in manufacturing processes, and then only to the extent, if any, specified in paragraph (b) of this section.

(b) The permissible variation shall be limited to:

10 Percent increase

5 Percent decrease

This increase or decrease shall apply to CLIN 0001 of the delivery order. The increase or decrease shall apply to each delivery quantity specified in the order.

B.4.2 LNG requirements for the life of this MAC are estimated at 300,000 MMBtu.

Month to month LNG requirements may fluctuate up and down based upon base population, climate conditions, power plant outages, etc., however, delivery of LNG is expected to be required every 14-21 days. See anticipated delivery schedule below with estimated LNG quantities and delivery periods which is still subject to change. Actual delivery schedule and quantities will be formalized when the delivery order is issued.

Section E – Inspection and Acceptance

E.1 The Contractor shall provide a certification for each delivery including, but not limited to, the following information: Certifications will be provided to the Government before off-loading begins.

(a) LNG composition,

(b) Higher Heating Value (HHV), @ 60F in Btu/Kg or Btu/pound

(c) Lower Heating Value (LHV), @ 60F in BTU/Kg or Btu/pound

(e) Volume delivered, both in cubic meters and metric tons

E.2 While LNG loading, the Contractor will test by sampling the LNG for analysis and will also vaporize small samples of LNG to run through a gas chromatograph to confirm composition/LHV/HHV. Sampling will continue throughout the loading period of up to 8 hours.

During unloading at NSGB, the Contractor will monitor delivery vessel tank levels, flow rates in the installation’s piping and levels in the installation’s LNG tanks to verify delivered volumes.

E.3 Measurement and Tests – The Contractor shall further abide by the measurement and test criteria as set forth in Attachment 2.

E.4 Quantities Delivered.

Calculation of MMBtu Quantities – The quantity of MMBtu delivered shall be calculated by the Contractor and verified by the Government. The Government may require measurements and calculations and/or verification by an independent surveyor. If the quantity calculated by the Contractor is not confirmed by the independent surveyor, the Contractor shall be responsible for the expense incurred by the Government in hiring a surveyor.

E.5 Determination of Gross Heating Value – All component values shall be in accordance with the latest revision of GPA Standard 2145 SI (2009) - Physical Constants for Hydrocarbons & Other Compounds of Interest to the Natural Gas Industry and the latest revision of the reference standards therein. Standard reference conditions for Hi component should be 15°C &

101.325 kPa.

E.6 Determination of Volume of LNG Loaded – The LNG volume in the tanks of the LNG transport vessel(s) (LNG Tanker) before and after unloading (valves have to be closed) shall be determined by gauging on the basis of the tank gauge tables. During the period when measurements are occurring, no LNG cargo, ballast, boil-off gas, fuel oil or other cargo transfer activity will be carried out on the LNG Tanker, and the valves must be closed. Measurements shall first be made immediately before unloading commences. A second gauging shall be made immediately after unloading is completed. Accordingly, the second gauging shall be conducted upon the confirmation of shut-off of the manifold ESD valves, with transfer pumps off and allowing sufficient time for the liquid level to stabilize. Measurements prior to unloading and after unloading will be carried out based on the condition of the LNG Tanker's lines upon arrival at berth. Since significant volumes of LNG may remain in the LNG Tanker's manifold and crossover, gauging will be performed with these lines in the same condition prior to unloading and after unloading. The volume of LNG remaining in the tanks immediately after unloading of the LNG Tanker shall be subtracted from the volume immediately before loading and the resulting volume shall be taken as the volume of the LNG delivered from the terminal to the LNG Tanker.

The volume of LNG stated in cubic meters to the nearest zero point zero zero one (0.001) cubic meter, shall be determined by using the tank gauge tables and by applying the volume corrections set forth therein.

E.7 LNG Custody Transfer – The Contractor shall adhere to the principles and methods outlined in the LNG Custody Transfer Handbook by the International Group of Liquefied Natural Gas Importers.

CLAUSES INCORPORATED BY FULL TEXT

FAR 52.246-2 Inspection of Supplies -- Fixed-Price (Aug. 1996)

(a) Definition. “Supplies,” as used in this clause, includes but is not limited to raw materials, components, intermediate assemblies, end products, and lots of supplies.

(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering supplies under this contract and shall tender to the Government for acceptance only supplies that have been inspected in accordance with the inspection system and have been found by the Contractor to be in conformity with contract requirements. As part of the system, the Contractor shall prepare records evidencing all inspections made under the system and the outcome. These records shall be kept complete and made available to the Government during contract performance and for as long afterwards as the contract requires. The Government may perform reviews and evaluations as reasonably necessary to ascertain compliance with this paragraph. These reviews and evaluations shall be conducted in a manner that will not unduly delay the contract work. The right of review, whether exercised or not, does not relieve the Contractor of the obligations under the contract.

(c) The Government has the right to inspect and test all supplies called for by the contract, to the extent practicable, at all places and times, including the period of manufacture, and in any event before acceptance. The Government shall perform inspections and tests in a manner that will not unduly delay the work. The Government assumes no contractual obligation to perform any inspection and test for the benefit of the Contractor unless specifically set forth elsewhere in this contract.

(d) If the Government performs inspection or test on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties. Except as otherwise provided in the contract, the Government shall bear the expense of Government inspections or tests made at other than the Contractor’s or subcontractor’s premises; provided that in case of rejection, the Government shall not be liable for any reduction in the value of inspection or test samples.

(e)

(1) When supplies are not ready at the time specified by the Contractor for inspection or test, the Contracting Officer may charge the Contractor the additional cost of inspection or test.

(2) The Contracting Officer may also charge the Contractor for any additional cost of inspection or test when prior rejection makes reinspection or retest necessary.

(f) The Government has the right either to reject or to require correction of nonconforming supplies. Supplies are nonconforming when they are defective in material or workmanship or are otherwise not in conformity with contract requirements. The Government may reject nonconforming supplies with or without disposition instructions.

(g) The Contractor shall remove supplies rejected or required to be corrected. However, the Contracting Officer may require or permit correction in place, promptly after notice, by and at the expense of the Contractor. The Contractor shall not tender for acceptance corrected or rejected supplies without disclosing the former rejection or requirement for correction, and, when required, shall disclose the corrective action taken.

(h) If the Contractor fails to promptly remove, replace, or correct rejected supplies that are required to be removed or to be replaced or corrected, the Government may either

(1) by contract or otherwise, remove, replace, or correct the supplies and charge the cost to the Contractor or

(2) terminate the contract for default.

Unless the Contractor corrects or replaces the supplies within the delivery schedule, the Contracting Officer may require their delivery and make an equitable price reduction.

Failure to agree to a price reduction shall be a dispute.

(i)

(1) If this contract provides for the performance of Government quality assurance at source, and if requested by the Government, the Contractor shall furnish advance notification of the time –

(i) When Contractor inspection or tests will be performed in accordance with the terms and conditions of the contract; and

(ii) When the supplies will be ready for Government inspection.

(2) The Government’s request shall specify the period and method of the advance notification and the Government representative to whom it shall be furnished. Requests shall not require more than 2 workdays of advance notification if the Government representative is in residence in the Contractor’s plant, nor more than 7 workdays in other instances.

(j) The Government shall accept or reject supplies as promptly as practicable after delivery, unless otherwise provided in the contract. Government failure to inspect and accept or reject the supplies shall not relieve the Contractor from responsibility, nor impose liability on the Government, for nonconforming supplies.

(k) Inspections and tests by the Government do not relieve the Contractor of responsibility for defects or other failures to meet contract requirements discovered before acceptance. Acceptance shall be conclusive, except for latent defects, fraud, gross mistakes amounting to fraud, or as otherwise provided in the contract.

(l) If acceptance is not conclusive for any of the reasons in paragraph (k) hereof, the Government, in addition to any other rights and remedies provided by law, or under other provisions of this contract, shall have the right to require the Contractor

(1) at no increase in contract price, to correct or replace the defective or nonconforming supplies at the original point of delivery or at the Contractor’s plant at the Contracting Officer’s election, and in accordance with a reasonable delivery schedule as may be agreed upon between the Contractor and the Contracting Officer; provided, that the Contracting Officer may require a reduction in contract price if the Contractor fails to meet such delivery schedule, or

(2) within a reasonable time after receipt by the Contractor of notice of defects or nonconformance, to repay such portion of the contract as is equitable under the circumstances if the Contracting Officer elects not to require correction or replacement.

When supplies are returned to the Contractor, the Contractor shall bear the transportation cost from the original point of delivery to the Contractor’s plant and return to the original point when that point is not the Contractor’s plant. If the Contractor fails to perform or act as required in (1) or (2) above and does not cure such failure within a period of 10 days (or such longer period as the Contracting Officer may authorize in writing) after receipt of notice from the Contracting Officer specifying such failure, the Government shall have the right by contract or otherwise to replace or correct such supplies and charge to the Contractor the cost occasioned the Government thereby.

(End of clause)

Section F – Deliveries Or Performance

CLAUSES INCORPORATED BY REFERENCE

FAR 52.247-34 F.o.B. Destination (Jan 1991) applies.

Unless excepted in writing by the contracting officer, the following notes and instructions apply:

Section G – Contract Administration Data

G.1 RESERVED.

G.2 Delivery Order Process: One or more orders may be issued during the ordering period of this contract. The Contractor agrees to accept and perform orders issued by the Contracting Officer within the scope of the IDIQ contract. It is understood and agreed that the Government has no obligation to issue any orders except the minimum order.

In the event of any inconsistency between any delivery order and the contract, with the exception of revised delivery dates, the contract shall control. The Government reserves the right to incorporate additional clauses, as appropriate, into individual delivery order solicitations and awards. In accordance with the FAR 16.507-2, the Contracting Officer will give all contract holders a fair opportunity to be considered for each order.

G.2.1 Competitive Ordering Process:

a. When the Government requires work under the contract, a Request for Quote (RFQ) will be issued as appropriate. The RFQ will normally be issued electronically by email but may be placed by telephone, or other electronic means.

b. All proposed delivery orders will incorporate all terms of the IDIQ contract unless otherwise specified in the proposed delivery order. In addition, the proposed delivery order will include:

i. Date of order.

ii. Contract number and order number.

iii. For supplies and services, line-item number, subline item number (if applicable), description, quantity, and unit price or estimated cost and fee (as applicable). The corresponding line-item number and subline item number from the base contract must also be included.

iv. Delivery or performance schedule.

v. Statement of work that clearly specifies all tasks to be performed or property supplies to be delivered under the order.

vi. Place of delivery or performance (including consignee).

vii. Any packaging, packing, and shipping instructions.

viii. Accounting and appropriation data.

ix. Method of payment and payment office, if not specified in the contract (see part 32).

x. North American Industry Classification System code (see part 19).

c. The due date shall be set forth in each proposed delivery order. Responses will be streamlined and succinct to the extent practical based on the dollar value and complexity of the work. Responses will not be a quote as defined in FAR 15, but only sufficient information to be considered in accordance with FAR 16.

d. Evaluation: Delivery orders may be awarded on the basis of Best Value: Tradeoff Process; Best Value: Lowest Priced Technically Acceptable Process; Price Only;

simplified commercial acquisition procedures or any other process consistent with FAR 16.506. The basis for award will be stated in each proposed delivery order RFQ. The Contracting Officer issuing the solicitation will evaluate responses against selection criteria contained in the proposed delivery order RFQ. Whenever possible, award will be made without discussions. If discussions are required, each contractor will be requested to provide a final quote revision, unless eliminated from discussions through the establishment of a competitive range. If the Contracting Officer determines that the number of quotes that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of quotes in the competitive range to the greatest number that will permit an efficient competition among the most highly rated quotes. Upon completion of evaluations, the Contracting Officer will issue a delivery order to the awardee whose quote is most advantageous to the Government under the selection criteria set forth in the delivery order RFQ. The Contracting Officer will notify the IDIQ holders of the selection decision.

e. After the selection of an apparent awardee, the Government reserves the right to issue a unilateral delivery order directing a contractor to perform a particular project within the scope of the contract. In all such cases, contractors are obligated to perform the work required in accordance with the terms and conditions of the contract.

f. Price: Each proposed FFP delivery order will indicate the detail of pricing information to be provided. Normally, a competitive proposed delivery order will require only a lump sum or unit price offer, but the Contracting Officer reserves the right to obtain a more detailed cost breakdown of labor, materials, equipment, overhead and profit at any time. In case of discrepancy between a unit price and an extended price, the unit price will be presumed to be correct, subject, however, to correction to the same extent and in the same manner as any other mistake.

g. The Contractor is not authorized to commence performance prior to issuance of a signed delivery order or other Notice to Proceed issued by a Contracting Officer.

G.3 Vessel Substitution:

Subject to the Contracting Officer’s approval, the contractor may, at any time following IDIQ MAC award, propose to substitute a Vessel or Vessels. Substitution is not guaranteed and approval of a Vessel substitution is a matter for the Contracting Officer's sole discretion. The nominated Vessel or Vessels shall possess the same or greater characteristics as the Vessel or Vessels being replaced. While multiple vessels may be approved, the issuance of actual delivery orders will still follow the fair opportunity competitive ordering procedures established in Section G.2.1.

G.4. Invoice Numbering Requirements:

Each invoice submitted for payment under this contract shall be identified by an individual invoice number. The number shall not be duplicated on subsequent invoices. Duplicate invoice numbers or invoices that do not include numbers may be rejected.
