SUMMARY OF CHANGES

SECTION A - SOLICITATION/CONTRACT FORM

The following have been modified:

SOLICITATION INFORMATION

AMENDMENT 0002 is issued to add a Collective Baragining Agreement as an attachment in Section J, make clarifying edits to Section L, and answer questions from industry

NOTE: The Government is changing the answer to Question 7 in Amendment 0001. An existing CBA between the current contractor and one of their subcontractors will be incorporated into this solicitation and the resulting contract. The rates for labor categories contained in that CBA shall be used in place of the rates for those same labor categories found in the attached Wage Determination.

Question 1: To give you an accurate quote, can we request to schedule a site visit?

Answer 1: No. There will not be any site visit.

Question 2: The Gov’t states that even with CPARS, the offeror must submit a PPQ in Section J. There is no Section J PPQ. Can the Gov’t please provide offerors with the PPQ form that is to be used for this opportunity so we can meet the Section L requirements or remove the PPQ requirement all together if the offeror has a CPARS?

Answer 2: PPQ is in Section J titled “Past Performance Reference.” Section L has been edited to change all references to the PPQ to PPR.

Question 3: What goes into Volume I. The Gov’t states that a cover letter is required for VOL I. However, what VOL does the offeror submit the SF 1449, SF 30, and Reps and Certs?

Answer 3: Per paragraph 1.3 of Section L, all should be submitted with the cover letter. Paragraph 1.3 has been edited to make that more clear.

Question 4: The additional three plans to be submitted with the technical approach – Preventative Maintenance Plan, Water Treatment Plan, and QC Plan as stated in paragraph 3.1.1 are the only plans to be submitted. However, the last paragraph in this section also addresses HVAC Water Loop Maintenance Plan, Oil Analysis Plan, and Safety Plan. Can the Gov’t please clarify what plans are required for proposal submission?

Answer 4: Only the Preventative Maintenance Plan, Water Treatment Plan, and QC Plan require the plan itself to be submitted with the proposal. As stated in Section L, the offeror must address, “how the Preventative Maintenance Plan, Water Treatment Plan, HVAC Water Loop Maintenance Plan, Oil Analysis Plan, Quality Control Plan, and Safety Management Plans will be managed, and what level of quality control will be provided to ensure proper documentation.”

AMENDMENT 0001 is issued to extend closing date and time to Tuesday, November 12, 2024 at 10:00am EST, to make clarifying edits to Section L, to add the HVAC Inventory as an attachment in Section J and to answer questions from industry. Note: The Government will not be granting a further extension of closing.

Question 1 Is there an Incumbent in place? If so, kindly provide the contract award number, awardee name, and award amount of the contract.

Answer 1 Yes, there is an incumbent. Current contract number: N4008520D0007, Incumbent: Amalgamated Services, Inc. Total award amount to date: $12,700,443.67. Please note that N66604-25-R-0046 is only for NUWC Division, Newport and is not a complete follow-on to N4008520D0007.

Question 2 Could you please provide us with the brand names model and serial numbers of the equipment to be serviced.

Answer 2 Yes. See HVAC Inventory Spreadsheet, which has been attached to this posting but note that the first task in the SOW, paragraph 4.1 of Section C is "Verification and Documentation of HVAC Equipment," because the attached list may not be accurate or complete.

Question 3 Instructions to Offerors, paragraph 3.2 states if completed CPARS are available, the Offeror shall provide the CPARS with the proposal. Question: If CPARS is available, is a Past Performance Questionnaire required?

Answer 3 Yes, a past performance questionnaire should still be submitted along with the CPARS

Question 4 What is required to be provided in Volume I. Administrative (Instructions to Offerors, paragraph 1.3)?

Answer 4 See Section L paragraph 1.3 - edited to change the word "Administrative" to "Cover Letter" to make it more clear what is required.

Question 5 Instructions to Offerors, paragraph 2.2 states as part of the Pass/Fail Requirement to provide licenses and certifications. “The offeror shall provide proof that is possesses the following certifications for each employee, as applicable: A valid state driver’s license, A valid State Issued Journeyman HVAC license, and A valid State HVAC apprentice program.” Question: Are the licenses and certifications required with our proposal for all employees?

Answer 5 Yes, licenses and certifications are required for each current employee the offeror plans to use on this contract. Section L paragraph 2.2 has been edited to reflect this change in language.

Question 6 Instructions to Offerors, paragraph 3.1.1 states: “The Offeror must submit the following reports as part of the Offeror’s proposal: Preventative Maintenance Plan, Water Treatment Plan and Quality Control Plan.

Descriptions of these plans are contained within the SOW.” The PWS states the plans shall be submitted as part of the Contractor’s proposal. The Technical Approach is limited to 10 pages. Question: Are these three plans excluded from the 10 page limit?

Answer 6 Yes. The plans are excluded from the 10 page limit and there is no page limit for the plans. Section L paragraph 3.1.1 has been updated to reflect this change.

Question 7 I see that the SCA wages are given in the solicitation package, currently the job is on a CBA. Can you confirm that the job will be on SCA or CBA Wages.

Answer 7 An existing CBA between the current contractor and one of their subcontractors will be incorporated into this solicitation and the resulting contract. The rates for labor categories contained in that CBA shall be used in place of the rates for those same labor categories found in the attached Wage Determination.

Question 8 I wanted to ask if the government is going to issue a PPQ form that we need to use.

Answer 8 Yes. See attchment 1 on SAM posting "Past Performance Reference"

Question 9 What documentation goes into Vol I Administrative? Does the SF1449, and SF30, and Reps and certs go into this volume?

Answer 9 See Section L paragraph 1.3

Question 10 The Gov’t states that the offeror much submit a PPQ as included in Section J. There is no Section J so can the Gov’t please provide the offerors with the PPQ document?

Answer 10 All attachments referenced in Section J were provided as separate attachments to the SAM posting.

Question 11 The offeror is required to submit a 2-page transition plan. Additionally, the offeror must submit license and certification (drivers license, valid state issued journeyman HVAC License, valid state HVAC apprentice program). Can the Gov’t confirm that the license and certifications don’t go against the 2-page transition plan limit?

Answer 11 Yes, can confirm licences and certifications do not count towards page limit

Question 12 Can the Gov’t validate what is excluded from the page count limit for proposal submission?

Answer 12 See table in Section L, paragraph 1.3

Question 13 What Reps and Certs are required for submission?

Answer 13 See Section K

The offeror shall provide a transition plan that addresses how the Offeror plans to perform the tasking of the Statement of Work (SOW) upon the start of the contract period of performance (POP) until it reaches full operational status within 60 days of the start of the POP. In the transition plan, the offeror shall identify which tasks of the SOW the offeror is capable of providing full service at start of the POP, and which tasks will require a transition period. For those tasks that require a transition period, the offeror shall address how it plans to achieve full operational status within the 60-day transition period. The plan shall consist of no more than two (2) pages.

General statements such as “the offeror will hire incumbent employees” will not constitute compliance with the requirement and may be interpreted as a lack of understanding.

2.2 Licenses and Certifications

The offeror shall provide proof that it possesses the following certifications for each current employee the offeror plans to use on this contract, as applicable:

(1) A valid state driver’s license

(2) A valid State Issued Journeyman HVAC license

3.0 NON-COST/PRICE FACTORS

Offerors shall provide information by addressing each factor in the format and sequence identified in the solicitation.

The offeror must provide information in sufficient detail to allow the Government to make an evaluation of the offeror’s ability to perform the work described in the solicitation. The proposal shall be detailed and clearly stated to allow an assessment by the Government without the need for additional clarifications. All information and data provided shall be specific to this solicitation except for the area of Past Performance. Proposals that do not contain the information required in the solicitation risk being determined unacceptable by the Government.

In the response to the solicitation, the offeror must address the below factors and subfactors.

3.1 Technical Factors

The Offeror shall demonstrate specific knowledge, capability, technical approach and experience (both Prime and Subcontractors) to perform all aspects of the tasks in accordance with the Statement of Work (SOW). The Offeror shall describe specific capabilities and experience that demonstrates its ability to perform the tasks described in the SOW and its understanding of any interdependencies/interrelationships within the SOW.

The Offeror shall not simply rephrase or restate the Government’s requirements in the proposal. The Offeror shall provide sufficient details and convincing rationale that address how the Offeror intends to meet the requirements.

Offerors shall assume that the Government has no prior knowledge of its capabilities or experience.

The Offeror must include sufficient details to permit a complete and accurate evaluation of the proposal. The proposal must demonstrate the Offeror’s understanding of the requirements and the feasibility of the approaches to meet those requirements. It is an Offeror’s responsibility to clearly identify its ability to meet the requirements.

Proposals that merely reiterate the SOW without providing more than an indication of capability of compliance with the technical requirements without elaboration shall be deemed to be unacceptable and shall not be considered further. Offerors shall identify technical uncertainties and assumptions within the requirements set forth in the solicitation and provide specific courses of action for its resolution. Offerors are cautioned that failure to provide the necessary information may result in its adjectival ratings being downgraded accordingly.

Proposals submitted for consideration for award must address the full scope of the solicitation.

3.1.1 Technical Approach

Technical Approach must indicate expertise with a wide variety of commercial HVAC systems such as: hydronic heating and cooling (hot water and chilled water), pumping systems, central station air handling units with variable air volume distribution, make-up air units, steam heating, direct expansion A/C, pool dehumidification units, heat recovery units, heat exchangers, computer room air conditioning units, pneumatic controls, electric controls, seasonal startup/shutdown, and others. The Technical Approach must also indicate the offeror’s working knowledge and journeyman understanding of Direct Digital Control (DDC) systems and their interaction with equipment.

Indicate expertise with chillers and central chilled water plants of the types found in this solicitation. Chillers are complex and often require technical support from the manufacturer. Often, “resetting the alarm” is seen as an acceptable response, when in many cases this may be masking a problem and setting up for a catastrophic failure.

Provide a description of the type of chillers, cooling towers, pumps where expertise lies. Demonstrate expertise in operation, troubleshooting, and repair of such systems. Describe your troubleshooting procedure and what aspects can be handled by HVAC personnel and when manufacturer’s representatives should be called in.

Indicate expertise with chemical treatment of chilled water systems, hot water heating systems, condenser water / cooling tower systems, glycol systems for freeze protection, manual and automated chemical treatment systems.

Indicate experience with seasonal cooling and heating startup and shutdowns, both simple and complex. For example, chilled water systems, hydronic heating systems, steam systems, dual-temp (2-pipe) systems, central chiller plants, DX systems, systems with a combination of DDC control and manual control for seasonal switchover, draining and filling of coils vulnerable to freezing; planning and coordinating such seasonal switchovers; providing required personnel for the increased labor required for seasonal switchovers while maintaining normal PM/service duties, etc.

The Offeror must submit the following reports as part of the Offeror’s proposal: Preventative Maintenance Plan, Water Treatment Plan and Quality Control Plan. Descriptions of these plans are contained within the SOW.

Indicate experience and provide examples of how a contract of this size and complexity will be managed from an administrative standpoint. The administrative requirements in this contract are substantial and will require continuous tracking and reporting. Describe how you will provide high quality and accurate data in all your submissions (deliverables such as preventative maintenance reports, service call reports, inventories, etc.), how the Preventative Maintenance Plan, Water Treatment Plan, HVAC Water Loop Maintenance Plan, Oil Analysis Plan, Quality Control Plan, and Safety Management Plans will be managed and what level of quality control will be provided to ensure proper documentation.

3.1.2 Staffing

Provide a detailed narrative explaining how this contract will be staffed and managed, both on site and from the home office. Include the following topics in the narrative description: How the Offeror will meet the staffing requirements of the solicitation, how it will handle varying workloads such as surges in service calls during peak summer and peak winter periods, increased workload during seasonal startups and shutdowns, how emergencies will be handled in a timely manner, how administrative requirements will be provided, how on-site key personnel will be allowed to remain assigned permanently to this contract indefinitely and should the need arise, how these positions will be backfilled (temporarily or permanently) with equally qualified individuals. Provide details on your plan to maintain spare parts, provide office space for on-site personnel and manage day-to-day operations. Submit an organizational chart, a list of proposed Key Personnel and other personnel planned to perform work and their qualifications and required licenses.

The Offeror shall provide information detailing hiring/retention of qualified personnel. Specifically, the Offeror shall provide the Government information regarding the number of employees currently on staff and available to fill the non-key positions defined in the labor category qualifications specified in this solicitation. The Offeror shall provide information detailing the Offerors retention rates for these positions, along with information regarding hiring practices, i.e., the average time period for recruitment actions/vacancies to be filled. The Offeror will describe management’s ability to maintain a qualified workforce to perform the scope of work detailed herein.

Offeror shall provide a Staffing Plan (excel file – without burdened rate information), which shall include all proposed labor category personnel (by name – both prime and subcontractors) known at the time of proposal submission to support the functional areas specified in the SOW. The Offeror shall complete the Staffing Plan columns. The Offeror may provide additional information to support the level of experience and/or education requirements. The Offeror shall complete all columns in the Staffing Plan. Offeror may use “TBD” for non-key positions that do not have identified personnel. All Key Personnel shall be identified. The Staffing Plan shall be uploaded as a separate file and include all of the information requested using the provided template. Offeror shall highlight any key positions.

When read together with the other parts of the Offeror’s Technical Approach and Staffing Volume (Vol. III), the Offeror’s Staffing Plan should demonstrate the Offeror’s ability to successfully meet the requirements. The Offeror shall not be penalized for use of Subcontractors, but shall describe in the narrative how the proposed team provides optimal balance between size, manageability, and support capability while maintaining an integrated approach.

Offeror shall preface the names of contingent hires with “Contingent -;” for example, “Contingent – Jane Doe.”

Offeror shall insert the company name in the upper left column of the Staffing Plan.

Note: Offerors should attempt to minimize the number of proposed labor personnel for which candidates have not been identified. From a U.S. Government proposal evaluation perspective, proposal risk may increase with high levels of individuals proposed as TBD or contingent. Nevertheless, in the Staffing Plan narrative, Offeror may describe actions it has taken to mitigate the impact of these risks to the Government. For example, higher levels of education and relevant experience in a proposed work force demonstrate a richer labor mix. Proposing a richer labor mix, in appropriate tasks under this order, may reduce the performance risk that the Government bears in accepting an Offeror’s proposal. In this example, the Offeror may discuss the potential benefits of the richness of its proposed labor mix in the Staffing Plan narrative, but should clearly describe how a richer labor mix in a task reduces the performance risk to the Government.

Key Personnel

Key Personnel are deemed essential to the performance of this effort and cannot be replaced without prior notice to the Government (IAW clause C-237-H002, SUBSTITUTION OF KEY PERSONNEL).

(B) Lead Technician: Resume must demonstrate a minimum of 10 years of experience in HVAC Service with at least 5 of those years as a journeyman on equipment similar in size and complexity to this requirement. The individual must be a licensed Rhode Island Journeyman Class 2 (HVACR or Pipefitter) (or equivalent AND capable of attaining said license, AND licensed in RI by contract start).

(C) Site Safety and Health Officer (SSHO): Resume must demonstrate that proposed key person meets the requirements of EM 385-1-1 Section 1. The SSHO must have the required training, experience, and qualifications in accordance with EM 385-1-1 Section 2-3, and all associated sub-paragraphs.

(D) Quality Control (QC) Manager: Resume must demonstrate a minimum of 5 years of combined experience as either a Project Manager, inspector, QC Manager, or construction manager on similar size and type construction contracts which included the major trades that are part of this contract. The individual must be familiar with the requirements of the EM 385-1-1 and have demonstrated experience in the areas of hazard identification and safety compliance. The individual is required to have completed the course Construction Quality Management for Contractors and have a current certificate. A copy of the certificate must be provided in the proposal.

(E) Water Treatment Field Personnel: The designated representative shall have a minimum of seven (7) current preceding years of documented experience in the field of chemical water treatment of systems similar to those in buildings covered under this contract. This person shall have some form of formal technical training in terms of attendance at seminars and workshops taught by independent third party educators. This person should have a record of continuing improvement by attendance at additional seminars and workshops beyond initial training. Provide a resume for this person which shall include but not be limited to proof of work experience and copies of certificates or other proof of attendance at industry related seminars or workshops.

(F) Direct Digital Controls (DDC) Systems Technicians: Field technicians working on control systems shall demonstrate documented training completion for the vendor for the equipment on which they are working. The Contractor shall provide proof of five (5) years of experience on DDC control systems and demonstrate the ability to troubleshoot and repair such systems. Contractor shall have academic classroom training experience and shall submit Training Certificates from DDC manufacturers indicating such. A minimum of two weeks of manufacturers training is required for each separate controls system identified as being located in one of the buildings covered by this contract (Johnson, Kreuter). Note that technicians need not be employed directly by the Prime Contractor;

Subcontractors may provide qualified employees as well but a controls technician needs to be available during normal working hours. Provide a resume for this person which shall include but not be limited to proof of work experience and copies of certificates or other proof of attendance at industry related seminars or workshops.

Note that the SSHO may also serve as the Quality Control Manager or the Project Manager, but not both. The SSHO, Project Manager, and Quality Control Manager roles must be staffed by a minimum of 2 people making the total minimum number of KPs 3. If an Offeror proposes to have any Key Person fill multiple roles, the individual’s resume must demonstrate that s/he meets the above qualifications required of each applicable position.

Qualifications of Key Personnel shall not be based on the presumption of future education or experience. The qualifications listed in each individual proposed Key Personnel resume, not the specific individual, are the materially relevant aspects of the proposed Key Personnel partially forming the basis of award under C-237-H002, Substitution of Key Personnel. Therefore, even if a proposed Key individual becomes unavailable to the Offeror between proposal submission and award, the Government will evaluate and make its award decision based on the qualifications listed on the proposed resume(s). When the Government awards a contract under those circumstances, the Government will require the awardee to use the qualifications listed on the relevant proposed Key Personnel resume as the basis for replacing that individual under C-237-H002 during contract performance.

Each resume shall not exceed two (2) pages. Copies of required proof of licenses or certifications do not count towards this page limitation.

Identify all proposed Key Personnel who are not currently employees of the Offeror or proposed subcontractor.

Provide a signed Letter of Intent (LOI), dated no earlier than the solicitation release date, by that person indicating their intent to be hired if the contract is awarded to the Offeror. If the signed LOI includes any references or enclosures, the Offeror shall provide the references and enclosures with the LOI as part of the proposal. Failure to provide references or enclosures or submission of enclosures that violate DFARS 222.7402 and DFARS 252.222- 7006 may render an Offeror’s proposal ineligible for award.

Note: Resumes are not required for Non-Key Personnel. Resumes submitted for Non-Key Personnel will not be evaluated.

Any Key Personnel positions that are contingent may indicate a higher risk of unsuccessful performance. Each resume shall demonstrate the Key Personnel’s qualifications to complete the tasking for which the Offeror has proposed that person. Read together with the other parts of the Offeror’s Technical Approach and Staffing Volume (Vol. III), these resumes should demonstrate the Offeror’s ability to successfully meet the requirements of this solicitation.

Although Section M contemplates Key Personnel becoming unavailable prior to contract award, Offerors shall only propose Key Personnel and provide resumes for individuals that, at the time of proposal submission, the Offeror has a good faith expectation of providing at award. Additionally, the Government considers the submission of Letters of Intent for proposed contingent Key Personnel to be material to the proposal since these Letters of Intent demonstrate the Offeror's ability to hire personnel with the qualifications offered at the salary proposed.

3.2 Past Performance

The Offeror shall provide Past Performance References with its proposal that refer to contracts that occurred no more than three (3) years from the solicitation close date, and that reflect relevant experience using the format provided as an attachment in Section J. Furthermore, an Offeror proposing major Subcontractor(s) (10% or more of the total cost) shall also submit one (1) Past Performance Reference for said Subcontractor(s). The contracts identified should be relevant in that they are of similar scope and complexity to the effort in this solicitation and provide the most context and ability to measure whether the Offeror will successfully satisfy the current requirement. Common aspects for determining relevancy includes similarity of service/support (having performed most of the types of support efforts identified in the SOW), complexity, dollar value, contract type, use of key personnel, and extent of subcontracting. The identified contracts can be with Federal, commercial, or other customers. For each contract, the Offeror shall identify at least one of the following customer Points of Contact (POCs): Program Manager (PM), Procuring Contracting Officer (PCO), or Contracting Officer Representative (COR). The Offeror shall provide the current address, phone number, and email address for each POC. The Government reserves the right to limit or expand the number of references it decides to contact and to contact other references than those provided by the Offeror. Offerors are encouraged to supply contract reference information for which they are the Prime contract holder or provide detailed clarification to the extent of which they contributed as a Subcontractor to the referenced contract.

For each of the Recent and Relevant Past Performance Reference submitted, the Offeror shall also provide one (1) Previous Contracting Effort Narrative detailing the following information:

a. Describe how the scope for this past contract relates to the requirement being solicited in size and scope.

b. Describe significant achievements, challenges, or obstacles that were encountered during contract performance and the measures taken to overcome them.

c. Provide performance criteria/measures that were applied in evaluating performance, for each contract identified. (The performance criteria/measures should be specific and show the target performance levels that are/were set forth under the applicable contracts as well as the level of performance achieved, for the most recent period of performance of each contract.)

If a completed Contractor Performance Assessment Reporting System (CPARS) is available for the past performance references, the Offeror shall provide this information with the proposal.

Offeror shall submit one (1) Past Performance Questionnaire provided as an attachment in Section J to each of its customer POCs identified in the Recent and Relevant Past Performance References. In order to expedite the assessment process, the Offeror may complete the “Contract Information” portion of the Past Performance Questionnaire for the convenience of the customer POC. The Offeror shall not, however, complete any other section of the Past Performance Reference. The questionnaire shall be provided to the customer POC with instructions to complete and submit it directly to the Contracting Officer on or before the proposal due date. Electronic submission via e-mail by the customer is required.

The Government may review any other sources of information for evaluating past performance. Sources may include, but are not limited to, CPARS, FAPIIS, PPR, inquiries of project owner representative(s), and any other known sources not provided by the Offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

If submitting subcontractor experience for subcontractors proposed to perform more than ten percent (10%) of the total contract value, the offeror shall include a commitment signed by the offeror and subcontractor certifying that if a contract is awarded resulting from the proposal, the parties commit to joint performance as proposed.

If affiliate companies, sister companies, teaming arrangements, joint venture agreement, etc., proposed to perform more than ten (10%) of the total contract value, the offeror shall submit documentation that the affiliate will perform significant and critical aspects of the contract if awarded. Documentation must include a copy of the signed arrangement (ex. documented affiliation, a copy of the teaming agreement, a copy of the joint venture agreement).

4.0 COST/PRICE

No Technical Approach and Staffing or Past Performance information shall be submitted as part of the Cost/Price Volume.

Offerors shall propose an amount of $16,102,270 for CLIN 0001. If an offeror fails to propose an amount for CLIN 0001 $16,102,270 will be presumed to be their proposed amount.

Offerors shall also provide a fully burdened (direct rate plus indirect rates plus fee) hourly rate, one per contract year, for a qualified (per the Statement of Work) HVAC technician, which will be incorporated into the award and form the basis for individual order pricing. Offerors should use the below table to propose these rates:
