Amendment 0002

The purpose of Solicitation Amendment 0002 is to respond to one (1) question received from industry.

Amendment 0002 Question and Answer:

Question 29: Will the Government please confirm that the limit of 2 pages per Past Performance Reference stated in L.3.0 refers only to the “written explanation describing the work that was performed and how the work was or is relevant to the work being proposed in this solicitation, including details about how it is similar in scope, magnitude, and complexity to this solicitation” required in the instructions to Attachment 11, and that the table provided in Attachment 11 is not included in the 2 page limit?

Answer 29: That is incorrect. The 2-page maximum per reference is inclusive of the table in Solicitation Attachment #11.

Amendment 0001

The purpose of Solicitation Amendment 0001 is to:

1. Respond to questions received from industry.

2. Correct administrative errors.

3. Revise Section J Attachments.

4. Revise Section L “Instructions to Offerors”.

5. Extend the proposal due date and time.

Amendment 0001 Questions and Answers:

Question 1: Solicitation page 139, Section L.3.2 states, “Offeror shall provide all past performance information in accordance with Attachment #11 – Past Performance Reference.” Attachment #11 was not included in the final solicitation release. Will the Government provide Attachment #11 and update Section J to incorporate Attachment #11?

Answer 1: Attachment #11 is added to Section J of the solicitation in Amendment 0001 and is separately uploaded as an attachment to the solicitation notice in SAM.gov.

Question 2: Solicitation page 7 lists CLIN 007 ODCs as FFP and states Application of fee to Material/ODC and Travel estimates is not allowable. Will the Government revise the ODCs CLIN to Cost-Reimbursable, No Fee?

Answer 2: Solicitation Amendment 0001 revises CLIN 0007 from “FFP” to “COST”.

Question 3: Solicitation page 123, Section L - Instructions, Conditions and Notices to Bidders incorporates by reference DFARS 252.215-7009 Proposal Adequacy Checklist. As this is subject to competition, will the Government remove this requirement?

Answer 3: The Government will not remove this requirement.

Question 4: Will the Government provide a revised Attachment+9-++NUWCDIVNPT+Cost+Proposal+ Spreadsheet.xlsx that aligns with the CLIN structure and pricing requested in the Solicitation?

Answer 4: Attachment #9 and Section L paragraph 3.3.2 have been updated to be applicable to only CPFF and Cost Only CLINs.

Question 5: Solicitation page 143, Section L.3.3.4 Proposed Costs/Prices, (d) CLIN 007 (i) provides a column of “Material/ODC” plug numbers for offerors to burden and propose. Will the Government clarify what percentage of the plug is Material vs ODC for those Offerors whose disclosure statements require burdening materials differently than ODCs?

Answer 5: Amendment 0001 removes “/ODC” from the (d) CLIN 0007 Material/Travel ODC table. All estimates in the second column are for material.

Question 6: Will the Government confirm that in accordance with Section B and L.3.3.4(e) (p. 143), Offerors do not price CLINS 0008, 0009, and 0010 for this submission as they are NSP, and that L-215-H004 INSTRUCTIONS FOR PRICING OF CONTRACT DATA REQUIREMENTS LIST (NAVSEA) (OCT 2018) (a), The Offeror shall complete the “Price Group” (Block 17) and “Estimated Total Price” (Block 18) of each data item on the CDRL of this solicitation addresses pricing instructions for task orders?

Answer 6: The Government confirms that pricing shall not be entered for the Not Separately Priced CLINs: 0008, 0009 and 0010.

Question 7: Attachment #8: Personnel Qualifications: The performance and cost risk to the Government is minimal under an FFP CLIN. Offerors must have a clear understanding of the requirements and potential costs incurred (including labor categories and hours) to complete the work and manage the contract accordingly. The labor categories and levels of effort provided in Section A. (2) may result in unrealistic and flawed pricing from Offerors.

For Offerors to provide staffing and pricing that better reflects their understanding of the requirements, will the Government remove the Anticipated FFP Labor Categories and Level of Effort tables and requirements to justify a deviation?

Answer 7: No, the Government will not remove this requirement. In accordance with Solicitation Section L instructions, offerors may choose to deviate from the labor mix provided in the RFP but must provide a rationale for the deviation if it exceeds the percentage identified in the RFP. See Attachment 8: Personnel Qualifications for additional deviation information.

Question 8: Solicitation page 71, Contract Clauses: There is no requirement in the SOW that prescribes the use of an Earned Value Management System (EVMS). The information gained by an EVMS is basically the same information required under CDRLs A009 FUNDS AND MAN-HOURS EXPENDITURE REPORT and A00A CONTRACT STATUS REPORT. In order to prevent additional program costs due to duplicative effort of implementing an EVMS and producing CDRLs A009 and A00A, will the Government remove DFARS Clause 252.234-7002 Earned Value Management System, May 2011 from the list of Clauses Incorporate By Reference?

Answer 8: The government has removed Clause 252.234-7002.

Question 9: SF 30-Block 14 Continuation Page, General Information, Note 2 states, “The Government reserves the right to exercise an option after five (5) years of performance to extend the ordering period for an additional five (5) years via option exercise modification.” The FFP CLIN Pricing Table, starting on page 8 of the SF33, lists five (5) ordering periods of two (2) years each. The Fee Table for CLIN 0006, starting on page 11 of the SF 33, lists ten (10) years of hours, broken out by year. Is it the Government’s intention to have a base period of 5 years and one option of 5 years or a base period of 2 years and 4 option periods at 2 years each?

Answer 9: It is the Government’s intention to have one 5-year base contract period and one 5-year option. However, offerors shall price in accordance with the instructions and ordering periods outlined throughout the solicitation.

Question 10: Solicitation page 48-9, Delivery Information,:Will the Government clarify if CLINs 0008 through 0010 should have a 5 year period of performance to match CLINs 0001 through 0007?

Answer 10: The ten (10) year period of performance for CLINs 0008-0010 is accurate and intentional due to contract writing system constraints.

Question 11: Solicitation page 133, Instructions to Offerors: Will the Government provide a DOD SAFE drop so that Offerors do not have to password protect submittal documents to protect CUI information?

Answer 11: No – Offerors shall submit proposals in accordance with the RFP instructions

Question 12: Soliciation page 20: Will the Government clarify if SOW 4.2 includes CLINs 0003 and 0004?

Answer 12: Yes. Amendment 0001 revises Section C Statement of Work, Task 4.2 to add CLIN 0003 and CLIN 0004.

Question 13: Security Requirement 3.1.19 Encrypt CUI on mobile devices has been withdrawn in NIST 800-171 Rev 3 and incorporated into 3.1.18 Access control for mobile devices. Additionally, Security requirement 3.13.16 Protect the confidentiality of CUI at rest has been withdrawn in NIST 800-171 Rev 3 and incorporated into 3.13.08 Transmission and storage confidentiality. It appears C-204-H002 was written based on NIST 800-171 Rev 2. Will the Government accept compliance documentation that covers the same controls while aligned to NIST 800-171 Rev 3 security requirements?

Answer 13: No. Offerors shall comply with the requirements of NAVSEA Text C-204-H002 and NIST SP 800-171 Revision 2.

Question 14: Solicitation page 142, Volume III, 3.3.3 CLINs 0001-0004 ii. states, “Offerors shall fill out the Pricing Table in Section B using the total proposed job prices for CLINs 0001-0004 from Attachment #8 for ordering period one (1), years one (1) and two (2). Job prices for ordering periods two (2) through five (5), years three (3) through ten (10), will be negotiated on a biennial basis.” however iii. states, “…Offerors shall not propose an escalation rate in excess of 7%." Is the maximum escalation rate being used to establish contract ceiling?

Answer 14: No. In accordance with the solicitation, Factor 3: Cost/Price proposal: “The Government will apply the offerors proposed maximum escalation rate to the Total Amount for Ordering Period One (1) to calculate the Total Amount for Ordering Period (2), and to each ordering period thereafter, to determine the TEP for CLINs 0001- 0004”.

Question 15: Solicitation page 142, Volume III, 3.3.3 - Maximum Pass-Through and Fee rates: Is it the Government’s intent to have Offerors provide pricing for all ordering periods (years 1 through 10) filled out in the Pricing Table in Section B?

Answer 15: Maximum and Pass-Through Fee rates shall be proposed for the full 10 Year Effort. The Pricing Table in Section B provides clear guidance on what offerors shall proposed in Notes 1 and 2 on page 10 of 161.

Question 16: Attachment #8: Given some Contractor employees may have many more years of experience directly applicable to the SOW, but do not hold a Bachelor's or Associate's degree, will the Government accept years of relevant experience in lieu of degree for the Key Personnel??

Answer 16: Amendment 0001 has moved the degree requirements from Attachment #8 - B. Key Personnel Qualifications from Required Qualifications to Desired Qualifications

Question 17: Solicitation page 10, Mark For Information and Section F, p. 48: Is it the Government’s intent to have all deliveries made to the Naval Undersea Warfare Center Division Newport SubHDR NMC Building 1404 Newport, RI 02841-1708? Will the Government update Mark For Information requirements and Section F.

Answer 17: Section F is updated to revise the CLIN 0001 APG delivery location. CLIN 0001 deliveries will be made to Naval Undersea Warfare Center Division Newport SubHDR NMC Building 1404 Newport, RI 02841-1708.

As a result of the change to Section F for CLIN 0001, the Mark For Information in Section B as also updated accordingly. All other CLIN delivery locations remain unchanged at 47 Chandler Street Newport, RI 02841-1716.

Question 18: CLIN 0007 Other Direct costs (ODCs) states, “ODCs in support of CLIN 0008, Engineering Services”. Is it the Government’s intent for CLIN 0007 to be in support of CLIN 0006 Engineering Services?

Answer 18: Yes. Amendment 0001 updates the CLIN 0007 extended description to replace CLIN 0008 with CLIN 0006.

Question 19: SF33 Block 9: To allow Offerors to obtain quotes in support of Attachment #4-Pricing (CLIN 0005 Inventory Spares), will the Government extend the proposal due date to October 11, 2024?

Answer 19: The proposal due date and time has been extended to October 11th, 2024 at 1400 EST.

Question 20: Will the Government amend Attachment #4 to accommodate proposing NRE line items as necessary?

Answer 20: No. Proposing NRE as a separate line item for CLIN 0005 spare parts is not permitted for this requirement.

Question 21: Solicitation page 24: Will the Government provide the Government Furnished Information referred to in Section 6.0?

Answer 21: Offerors must request access to the available ADs and GFI in accordance with the solicitation.

Question 22: Attachment #4 includes part numbers G745765-2, 1000723, and 1000296 to be priced. However, drawings for these part numbers were not included in the documentation package supplied by the Government. Will the Government supply the necessary drawings to quote these part numbers?

Answer 22: The Government has updated Attachment #4 to remove part number G745765-2.

Drawings for part numbers 1000723 and 1000296 are available upon request in accordance with the solicitation instructions.

Question 23: Solicitation page 135-6, L.3.0: Given that Vol I Subfactor A-Technical requires a complete technical approach to 6 SOW Tasks and 3 Sample Problems with complex, detailed processes, will the Government extend the page limit from 14 to 20 pages to allow for a more detailed evaluation of offerors’ responses?

Answer 23: Section L page limitation for Volume I Subfactor A is increased to 16 pages.

Question 24: Solicitation page 135-6, L.3.0: Given that Vol I Subfactor B-Management has 13 distinct requirements, will the Government extend the page limit from 4 to 8 pages to allow for a more detailed evaluation of offerors’ responses?

Answer 24: Section L page limitation for Volume I Subfactor B is increased to 6 pages.

Question 25: Section L, Recommended Labor Mix for CLINs 0001-0004 states, "The Government strongly recommends Offerors provide the following FFP labor mix for each Job under CLINs 0001-0004, which includes Key Personnel. Offerors shall not construe the estimated effort below to be a FFP level of effort per Job. " If the given total hours are not per job, should Offerors assume they are total hours per year?

Answer 25: No. The solicitation language included in the industry question is reiterating to offerors that they shall not construe the estimated mix to constitute a FFP level of effort per job. The solicitation is clear that the estimated labor mix provided is on a per job basis and that the unit of issue will be 1 Job, not a level of effort for CLINs 0001- 0004.

Question 26: Section K includes FAR Clause 52.222-18 CERTIFICATION REGARDING KNOWLEDGE OF CHILD LABOR FOR LISTED END PRODUCTS (FEB 2021) on page 184; however, provides no end products the clause applies to. Will the Government remove the clause from the solicitation?

Answer 26: The Government has removed Provision 52.222-18 from this solicitation.

Question 27: Solicitation page 20: Will the Government confirm that SOW Paragraph 4.2 applies to both CLINs 0003 and 0004? There are no references provided to either CLIN in the PWS.

Answer 27: See the Government’s response to Industry Question #12

Question 28: Solicitation page 20: CLIN 0003 is identified as “Radome Titanium Ring Repair and Upgrade, while SOW paragraph 4.2.1 has a reference stating that “the contractor shall remanufacture and upgrade SubHDR LRU Titanium Ring Radomes.” Can the Government confirm that the Titanium Ring Radomes being reference are the one they are used with -1 version of the Submarine HDR Radome (P/N -G745227)? Will the government supply the ADs and GFI referenced SOW Paragraph 4.2.1 that are associated with performing these repairs/upgrades?

Answer 28: Yes, the -1 version of SubHDR Radome (P/N G745227) is accurate. The AD’s and GFI referenced must be requested in accordance with the solicitation instructions.

CLAUSES INCORPORATED BY FULL TEXT

B-215-H002 REFUNDS (SPARES AND SUPPORT EQUIPMENT) (NAVSEA) (OCT 2018)

(a) In the event that the price of a spare part or item of support equipment delivered under this contract significantly exceeds its intrinsic value, the Contractor agrees to refund the difference. Refunds will not be made to recoup the amount of cost decreases that occur over time due to productivity gains (excluding economic purchase quantity considerations) or changes in market conditions.

(b) For purposes of this requirement, the intrinsic value of an item is defined as follows:

(1) If the item is one which is sold or is substantially similar or functionally equivalent to one that is sold in substantial quantities to the general public, intrinsic value is the established catalog or market price, plus the value of any unique requirements, including delivery terms, inspection, packaging, or labeling.

(2) If there is no comparable item sold in substantial quantities to the general public, intrinsic value is defined as the price an individual would expect to pay for the item based upon an economic purchase quantity as defined in FAR 52.207-4, plus the value of any unique requirements, including delivery terms, inspection, packaging or labeling.

(c) At any time up to two years after delivery of a spare part or item of support equipment, the Contracting Officer may notify the Contractor that based on all information available at the time of the notice, the price of the part or item apparently exceeds its intrinsic value.

(d) If notified in accordance with paragraph (c) above, the Contractor agrees to enter into good faith negotiations with the Government to determine if, and in what amount, the Government is entitled to a refund.

(e) If agreement pursuant to paragraph (d) above cannot be reached, and the Navy's return of the new or unused item to the Contractor is practical, the Navy, subject to the Contractor's agreement, may elect to return the item to the Contractor.

Upon return of the item to its original point of Government acceptance, the Contractor shall refund in full the price paid.

If no agreement pursuant to paragraph (d) above is reached, and return of the item by the Navy is impractical, the Contracting Officer may, with the approval of the Head of the Contracting Activity, issue a Contracting Officer's final decision on the matter, subject to Contractor appeal as provided in the "Disputes" clause (FAR 52.233-1).

(f) The Contractor shall make refunds, as required under this requirement, in accordance with instructions from the Contracting Officer.

(g) The Contractor shall not be liable for a refund if the Contractor advised the Contracting Officer in a timely manner that the price it would propose for a spare part or item of support equipment exceeded its intrinsic value, and with such advice, specified the estimated proposed price, the estimated intrinsic value and known alternative sources or item, if any, that can meet the requirement.

(h) This requirement does not apply to any spare parts or items of support equipment whose price is determined through adequate price competition. This requirement also does not apply to any spare part or item of support equipment if the Contractor submitted, and certified the currency, accuracy and completeness of, cost or pricing data applicable to the item.
