The following have been modified:
INSTRUCTIONS TO OFFERORS
1.0 GENERAL INFORMATION
Offerors must respond to all requirements of the solicitation document. The Government will evaluate each Offeror's understanding of the Government's requirements and ability to perform the work on the basis of its proposal. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award.
This requirement is being completed on an unrestricted basis.
The Product Service Cost (PSC) for this requirement is 5845, Underwater Sound Equipment; Detection and Coherent Radiation Equipment; Electronic and Communication Equipment.
The North American Industry Classification Code (NAICS) for this requirement is 334511. The small business size standard is 1,250 employees.
The contract minimum guarantee referred to in paragraph (b) of FAR Clause 52.216-22 ‘Indefinite Quantity’ is one (1) First Article VLF Transducers. In the event first article is waived the minimum guarantee is the price of one (1) production transducer.
The awarded contract dollar value ceiling will be established using the same calculation as is used to arrive at the total evaluated price. See Section M.
Offerors are hereby notified that, from time to time, the Government may post additional information to the web site relating to this solicitation (e.g., responses to questions, amendments, etc.). It is the Offeror’s responsibility to check the web site for any such information.
In order to receive the configuration management engineering drawing requirement/specifications/TDP/government furnished information (GFI), the company must be registered in the DOD Joint Certification Program (JCP). Once approved for the JCP the company will have access to the drawings through SAM.gov. General statements such as “the Offeror understands”, “the Offeror can or will comply with the requirements”, “standard procedures will be used”, “well-known techniques will be used”, or statements which merely paraphrase the RFP in whole or in part will not constitute compliance with the requirements for proposal content and will be interpreted as a lack of understanding. Data previously submitted, or presumed to be known (e.g., data or services previously submitted or performed for the Government), cannot be considered as part of the proposal unless physically incorporated into the proposal. Failure to conform to all requirements of this RFP may form the basis for rejection of the proposal.
(8) A legible, neat, orderly and comprehensive proposal is required. Elaborate brochures, artwork, pictures or hyperlinks beyond those sufficient to present a complete and comprehensive proposal are neither necessary nor desirable. This may be construed as an indication of a lack of understanding or cost consciousness. Offerors shall follow the general rule that quality of information is significantly more important than quantity or visual esthetics of presentation. Do not elaborate unnecessarily or provide other presentations beyond that sufficient to present a complete and effective proposal.
(9) Do not repeat information required in the responses in two or more proposal data requirements. Include detailed information in the area of the proposal where it contributes most critically. In other areas where a repeat discussion is necessary, provide a reference to the detailed discussion location.
(10) Provide all pertinent information in sufficient detail to permit evaluation of the proposal. Cross referencing is permitted where its use would conserve space without impairing clarity. However, each response within a given volume of the proposal shall be written to the greatest extent possible on a stand-alone basis so that its content may be evaluated with minimal cross referencing. Where cross referencing is necessary, the Offeror shall provide a proposal Cross-Reference Matrix which cites the specific page number, section or paragraph for reference. This matrix is excluded from the page limit.
(11) Each volume of the Proposal shall contain a glossary of all abbreviations and acronyms used, with an explanation for each. Glossaries do not count against page limitations for their respective volumes.
(C) Organization. In the Technical Proposal, the Offeror shall provide information and documentation to clearly and concisely identify the Offeror’s overall ability to meet the requirements of the solicitation. The Technical Proposal shall be self–contained (i.e., if the outline requires data or an analysis, simply referring to another document with that information will not satisfy the requirement). The Offeror shall divide the Technical Proposal into the following sections in the order listed below:
Pass/Fail: Organizational Conflict of Interest Mitigation Plan
Pass/Fail: Small Business Participation Pass/Fail: Delivery Schedule Factor 1: Technical Capability Factor 2: Past Performance
2.0 PASS/FAIL: Volume I
The Offeror shall submit the following information with its proposal which the Government will evaluate as a pass or fail in relation to the solicitation requirements:

In accordance with H-209-H004 and the Organizational Conflict of Interest (OCI) provision L-209-H009, Offerors shall identify any and all conflicts of interest or potential conflicts of interest related to this solicitation and provide a mitigation plan to address the conflicts and/or potential conflicts. If no conflict of interest exists, the Offeror shall provide a written statement certifying as such.
2.2 Small Business Participation:
The Offeror shall provide sufficient detail to permit a complete evaluation. This factor applies to every Offeror (U.S.
and non-U.S.), regardless of size status or locations of working facilities or headquarters. Small Business Participation shall include the following:
(a) All Offerors shall provide the names and CAGE codes of small business concerns (including the Offeror if a small business concern) who would participate in accomplishing the proposed contract; the small business classification of each U.S. small business concern (i.e. SB, SDB, WOSB, HUBZone SB, VOSB, and SDVOSB);
and a short description of the specific supplies or services to be provided by each small business concern. If a small business does not have a CAGE code, insert the word "None." List all SB classifications that apply to each concern.
(b) All Offerors, including Offerors who are themselves U.S. small business concerns based on the North American Industry Classification System (NAICS) code and size standard applicable to this procurement, are to identify the extent to which U.S. small business concerns will be utilized as first-tier subcontractors in the performance of this proposed contract. U.S. small business concerns are defined (1) in FAR 19.001 and (2) by the criteria and size standards in FAR 19.102 for the applicable NAICS code.
(c) A small business Offeror shall indicate the percentage of work performed by itself, as well as by any Small Business subcontractors. Proposals submitted by Large Business Concerns shall indicate the percentage of work performed by Small Business Subcontractors. The Small Business Participation percentage shall be calculated as follows:
Participation % = Total Small Business Contract + Subcontract Dollars Total Contract Value
(d) The Government's Small Business Participation objective for this contract is 20%. The Offeror is encouraged to propose a Small Business Participation objective percentage as high as is practicable, as long as the percentage is supported by the related Small Business participation approach outlined in paragraph (e) below. The Offeror's proposed Small Business Participation percentage shall be incorporated into the contract upon award.
(e) Provide an approach for how the Offeror intends to meet the proposed Small Business participation percentage.
The Offeror shall provide rationale that demonstrates the tasks assigned to the selected Small Businesses are meaningful to the overall success of this contract. If the Offeror does not propose to meet the stated Small Business participation objective, the Offeror shall include rationale for the deviation. A Small Business Offeror shall include work performed as the prime contractor as well as any work performed by Small Business subcontractors. In addition, the Offeror shall describe its management approach for involving SDB, WOSB, HUBZone SB, VOSB, and SDVOSB in the performance of this effort.
2.3 Delivery Schedule:
Offers that propose delivery that will not clearly fall within the required delivery period specified in FAR Clause 52.211-8 TIME OF DELIVERY (JUN 1997), contained in Section F of the solicitation, are required to submit a justification for the alternate delivery schedule proposed. The justification shall identify barriers that will impact the Offeror’s ability to meet the Governments required delivery schedule and shall provide sufficient detail to allow the Government to make an evaluation of the Offeror’s ability to meet the alternate schedule proposed. If the Offeror proposes no other delivery schedule, the required delivery schedule will apply.
3.0 NON-PRICE FACTORS: Volume I
Offerors shall provide information by addressing each factor in the format and sequence identified in the solicitation.
The Offeror must provide information in sufficient detail to allow the Government to make an evaluation of the Offeror’s ability to perform the work described in the solicitation. The proposal shall be detailed and clearly stated to allow an assessment by the Government without the need for additional clarifications. All information and data provided shall be specific to this solicitation except for the area of Past Performance. Proposals that do not contain the information required in the solicitation risk being determined unacceptable by the Government.
