CONTRACT TYPE
The Government contemplates award of an Indefinite Delivery-Indefinite Quantity (IDIQ) Multiple Award Contract
(MAC) with Firm Fixed Price, Cost Plus Fixed Fee, and Cost provisions. After planned MAC award, all subsequent task and delivery orders will be competed among qualified contractors in accordance with FAR 16.505, unless one of the exceptions to fair opportunity at FAR 16.505(b)(2)(i) applies. Individual orders under this contract may be issued on a term or completion basis.
The contract resulting from this solicitation will have a ceiling of $49,970,803.00
As referred to in paragraph (b) of the clause entitled, Indefinite Quantity (FAR 52.216-22), the contract maximum ceiling for all multiple awards combined is $49,970,803.00. This ceiling amount represents the total contract dollar value. Since this solicitation may result in multiple awards, cumulative orders issued to all contractors cannot exceed the total contract ceiling of $49,970,803.00.
Guaranteed Contract Minimum Amount: The Government’s minimum obligation will be satisfied with an initial
$2,500 Firm Fixed Price Order to participate in a Post Award Conference (CLIN 0001).

FUNDS" (FAR 52.232-22), as appropriate, shall apply separately and independently to each separately identified estimated cost.
HQ B-2-0014 PAYMENTS OF FEE(S) (COMPLETION) (NAVSEA) (MAY 1993)
(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, "fixed fee" in cost-plus-fixedfee type contracts for completion and phase type contracts.
(b) The Government shall make payments to the Contractor, subject to and in accordance with the clause in this contract entitled "FIXED FEE" (FAR 52.216-8) or "INCENTIVE
FEE", (FAR 52.216-10), as applicable. Such payments shall be equal to TO BE FILLED IN AT AWARD percent (TO BE FILLED IN AT AWARD %) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "ALLOWABLE COST AND
PAYMENT" (FAR 52.216-7), subject to the withholding terms and conditions of the "FIXED FEE" or
"INCENTIVE FEE" clause, as applicable (percentage of fee is based on fee dollars divided by estimated cost dollars, including facilities capital cost of money).
Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract.
(c) In the event of discontinuance of the work under this contract, or any specified phase of the contract, in accordance with the clause of this contract entitled "LIMITATION OF
FUNDS" (FAR 52.232-22) or "LIMITATION OF COST" (FAR 52.232-20), as applicable, the fee shall be equitably adjusted by mutual agreement to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the
Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.
(d) Fee(s) withheld pursuant to the terms and conditions of this contract shall not be paid until the contract has been modified to reduce the fee(s) in accordance with paragraph (c) above, or until the Procuring Contracting Officer has advised the paying office in writing that no fee adjustment is required.

HQ B-2-0020 TRAVEL COSTS - ALTERNATE I (NAVSEA) (APR 2015)
(a) Except as otherwise provided herein, the Contractor shall be reimbursed for its actual travel costs in accordance with FAR 31.205-46. The costs to be reimbursed shall be those costs determined to be allowable, allocable and reasonable by the Procuring Contracting Officer, Administrative Contracting Officer or their duly authorized representative, as advised by DCAA.
(b) Reimbursable travel costs include only that travel performed from the Contractor's facility to the worksite, in and around the worksite, and from the worksite to the Contractor's facility.
(c) Relocation costs and travel costs incidental to relocation are allowable to the extent provided in FAR 31.205-35;
however, Contracting Officer approval shall be required prior to incurring relocation expenses and travel costs incidental to relocation.
(d) The Contractor shall not be reimbursed for the following daily local travel costs:
(i) travel at U.S. Military Installations where Government transportation is available,
(ii) travel performed for personal convenience/errands, including commuting to and from work, and
(iii) travel costs incurred in the replacement of personnel when such replacement is accomplished for the
Contractor's or employee's convenience.

NOTE C1: POST AWARD CONFERENCE*
Upon award of the MAC, all awardees will be required to participate in the Post Award Conference (PAC) kickoff meeting. The details of the PAC will be finalized at time of award, but Contractors can expect it to most likely occur in Norfolk, VA. or Newport, RI within 30 days after MAC award. Participation via teleconference or VTC is allowed; therefore, any travel incurred for the PAC is not an authorized cost, and is solely the responsibility of the
Contractor and will not be reimbursed or paid by the Government under any circumstance. The conference will establish work level points of contact, determine the task order administration strategy, roles and responsibilities.

STATEMENT OF WORK
STATEMENT OF WORK
1.0 BACKGROUND
The Naval Undersea Warfare Center, Division Newport (NUWCDIVNPT) Code 25 Combat
Control Systems (CCS) Department has been tasked to ensure the technical adequacy, accuracy and currency of all Technical Training Equipment (TTE), Training Device (TD) and training material/equipment and technical data in the Navy school houses. In addition, Code 25 has been tasked to conduct all aspects of the Curriculum Pre-Planning efforts, Navy Training
Systems Plans (NTSP) updates and/or development, curriculum development to include
Interactive Media Instruction (IMI) such as Virtual Task Trainers (VTT) and Personal
Computer (PC) Simulation, as well as classroom/lab development to include installation, modification and upgrades and Training System Installation Plans. The Navy Waterfront
Training Development team (Code 2532) is tasked to develop training programs for all ship classes and systems. To create current and effective training programs, the Waterfront team follows the defense acquisition lifecycle approach to design, plan, develop and implement the training programs and the team integrates data from several geographically diverse locations in various formats for Government analysis and consideration for candidate training updates.
2.0 SCOPE
Tasking under this contract includes design, development, delivery, and execution of Navy training requirements for planning and execution from Initial-to-Install, and Interim and Life
Cycle training for Hull, Mechanical & Electrical (HM&E) and Combat Control Systems including:
Littoral Combat Ship (LCS)/Frigate Program
Guided Missile Destroyer (DDG)
Landing Helicopter Assault (LHA)
Landing Helicopter Dock (LHD)
Guided Missile Cruiser (CG)
Aircraft Carrier, Nuclear (CVN)
Amphibious Transport Dock (LPD)
Expeditionary Mobile Base (ESB)
Nuclear-Powered Ballistic Missile Submarines (SSBN)

4.0 TRAINING SYSTEM REQUIREMENTS
The contractor shall perform the tasks in Section 4.0 in accordance with Task/Delivery Orders and Applicable Documents (Section 3.0) using Government Furnished Information (Section 6.0) for the systems identified in Section 2.0. The contractor shall develop and deliver adjudication matrices post review and throughout the product development until final Government acceptance. The contractor will receive Technical Instructions (TIs) in performance of all term type task orders. TIs will (issued at the time of funding obligations) detail which tasking the funding is provided in support of and specify any Government Furnished Information (GFI) and
Applicable Documents.
4.1. Manpower, Personnel, and Training (MPT) Documentation
The contractor shall develop and maintain the MPT Products, to include: NTSP, Front End
Analysis (FEA), Training Gap Analysis (TGA), Required Operational Capabilities and Projected
Operational Environment (ROC/POE) Statements, Manpower Estimate Report (MER), and
Preliminary Ship Manpower Document (PSMD), Job Duty Task Analysis (JDTA), Plan of
Action & Milestone (POA&M), Project Plans and Adjudication Matrices..
4.1.1 The contractor shall develop and maintain DoD MPT Products to comply with established
DoD manpower and training requirements for the planning and execution from Initial-to-Install of Interim and Life Cycle training for assigned ship classes and systems.
4.1.2 The contractor shall perform TGA and provide a detailed report identifying current shortfalls or gaps in the subject training pipeline. The report shall provide the Government with recommendations for eliminating the identified training shortfalls/gaps. When multiple recommendations exist, the contractor shall provide a comparative analysis between recommendations for the Government to consider when making a determination of solution.
4.1.3 The contractor shall review all applicable Original Equipment Manufacturer (OEM) and
Government identified training materials. Additionally, the contractor shall perform technical analysis and provide written recommendations for providing life cycle training, development of a
NTSP, developing and revising training content and determine root cause of training gaps, for the Government to consider when making a determination of solution.
4.1.4 The contractor shall develop FEA for new acquisitions (which includes new ship classes, new ship systems, and upgrades to existing systems), update System & Class NTSP, and provide recommendations to the Government addressing training solution(s) for the applicable class and system. The contractor shall maintain each TSIP to reflect the Government training solutions and
FEA requirements.
4.1.5 The contractor shall develop and deliver a FEA report that identifies cost, fleet benefits, training limitations for each option presented within the report for Government inspection, review & approval.
4.1.6 The contractor shall develop new or update existing NTSPs to support system modernization, new system acquisition, and Total Ownership Costs (TOC) to support the
Government budgeting process.

4.2 Instructional Systems Plan
The contractor shall develop and deliver a training plan based on Government-specified follow-on curriculum development products as part of Instructional Systems Analysis in accordance with the Training System Development and Integration Manual (Applicable Document 3.67).
The training plan shall provide written recommendations addressing the technical adequacy, accuracy and completeness of the Government-specified training materials. All training artifact deliverables shall undergo Government review periods.
The contractor shall develop and deliver a POA&M and Project Plan that shall address curriculum development to include all preliminary work. The POA&M and Project Plan shall identify and provide detailed planning to include status updates through regularly-occurring gate reviews and In-Process Reviews (IPRs).
Data Deliverables: The contractor shall deliver a Training Plan that includes the following:

4.3 Curriculum Development
The contractor shall develop and deliver curriculum in accordance with the Government approved Training Plan (SOW Task 4.2).
4.3.1 The contractor shall deliver Instructor Guides, Power Point slides, Student Guides, Assessment Plans, Job Sheets, and Test Banks as part of the full curriculum delivery.
4.3.2 The contractor shall deliver courseware curriculum in compliance with Integrated Learning
Environment (ILE) (Applicable Document 3.79) standards and specifications documentation as part of Instructional Systems Design and Development.
4.3.3 Utilizing Government schedules, the contractor shall, provide training materials, and document redlines for course ‘Ready to Proceed’ reviews, Train-the-Trainer (TTT) development and execution, course pilot coordination and adjudication, and curriculum transition to the
Learning Center (LC).
4.3.4 The contractor shall refine, and adjudicate all Job Sheets to ensure alignment with the installed TTE, TD or Training Unique Equipment (TUE) and correct procedural elements and steps are listed in the proper job performance order.

4.4 Training System & Simulation Development
The contractor shall develop and deliver blended training solutions to include Interactive
Courseware (ICW), IMI and VTT, Three Dimensional Knowledge Objects (3KO), simulations, Operations and Casualty Control Simulations (OCCS), and virtual world technologies. The contractor shall develop and deliver adjudication matrices post review and throughout the product development until final Government acceptance.
4.4.1 The contractor shall develop and deliver blended training solutions integrating Interactive
Multi-media in the form of VTT, 3KO, simulations, OCCS, and virtual world technologies. All virtual training aid deliverables shall undergo Government review periods. The contractor shall verify that all ILE content integrates with the course curriculum using standard Government
Furnished Material (GFM) workstations, or laptop computer with standard internet connections and Navy Marine Corps Intranet (NMCI). The ILE content shall be capable of playing on any system that uses Microsoft Windows.
4.4.2 The contractor shall test, deploy and update ICW, Interactive Multimedia Instruction (IMI) and VTT. All ICW, IMI and VTT developed or modified, shall comply with Government approved Instructional Systems Plan.
Data Deliverables: The contractor shall deliver a Training Media Software Package to include all training media, virtual training aids, courseware, ICW, IMI & VTT materials, source data, along with the following (as specified in the Delivery Order):

4.5 Training Systems Development and Installation Plan (TSIP)
The contractor shall develop, update and maintain a TSIP for all installations and training systems; which shall include Site Audit and Workflow Analysis, Site Integration Plan, Staging
Plan, Partial Task Trainers (PTT) Plan, Physical Installation Plan, Electronics Installation Plan and Cybersecurity Plan. The TSIP shall be maintained in a current and up to date status to reflect the most recent of all installation aspects (physical, electrical, software, hardware, etc.) and environment (air, heat, lighting, etc.) components.
4.5.1 The contractor shall deliver business process flows based on site visits to determine existing data flows, facility usage, TTE, TD and TUE configuration to populate the Resource
Requirements List (RRL) for each course revision.
4.5.2 The contractor shall deliver a TSIP addressing classroom, facility, software, hardware, trainer, and instructor workstation requirements, with embedded life cycle support, to fully support implementation of each new or revised training solution.
4.5.3 The contractor shall develop and deliver a TSIP to include site surveys, engineering surveys, and Basic Facility Requirements (BFR) drawings to manage and coordinate system equipment installs between Program Managers, Navy Training commands, and learning sites.
4.5.4 The contractor shall provide training system packages for electronic classroom support in layout, configuration, implementation, maintenance and management of hardware, computer programs, courseware, systems and technologies specific to classroom environment.
4.5.5 The contractor shall generate and deliver Cybersecurity Certification & Accreditation
(C&A) Strategy and Boundary Diagrams, C&A packages, and supporting documentation (e.g.
Standard Operating Procedure for Cybersecurity Vulnerability Management, Cybersecurity
Certification Testing, and Configuration Management) in accordance with NAVSEA
Cybersecurity Business Rules C&A submission requirements. The contractor shall provide technical solutions to mitigate and reduce risk(s) identified during the C&A process to ensure the terms of the accreditation decision are upheld. The contractor shall perform manual and automated vulnerability test and evaluation for information systems, software applications and laboratories. The contractor shall generate vulnerability reports in support of cybersecurity risk assessments and mitigations for Government specified training environments, to include the training environment’s software applications, enclaves, and laboratories. The contractor shall develop and test systems security contingency and disaster recovery procedures and document results. The contractor shall verify, through technical inspections, and document reviews that security deficiencies identified during security and certification testing have been mitigated, corrected, and assessed for risk.
Data Deliverables: The contractor shall deliver a TSIP in accordance with CDRL A005.
4.6 Training Systems, Delivery & Installation
4.6.1 The contractor shall deliver classroom and lab environments per Government approved
TSIP to include:
Update Navy schoolhouses/classrooms/laboratories, including, consolidation, delivery, and testing of TTE, and other equipment to support the installation, alteration, and upgrade of systems, equipment, components and spaces.
Physical training equipment solutions through the development of PTT’s in accordance with lifecycle training requirements as identified in applicable NTSP
Remove, pack and transport obsolete material and equipment and, transfer, ship or warehouse per Government procedures
Install, modify or upgrade the classroom/lab training system network (non-NMCI) support items, systems and cables to network station locations, instructor station and other related required cabling
Deliver hardware and network infrastructure
Test, inspect and label all new training system electrical and network circuits
4.6.2 The contractor shall deliver Cybersecurity accredited and approved networking layout, per the network system diagram, for new and existing hardware and system requirements. In addition, the contractor shall deliver configuration management lists of related systems and components including hardware, and system interfaces. The contractor shall maintain data structures to ensure the accuracy and up-to-date status of technical data, system network information, and testing and troubleshooting of hardware and network systems. The contractor shall patch, harden and secure systems per applicable Security Technical and Implementation
Guide (STIGs), Information Assurance Vulnerability Alerts/Bulletins/Technical (IAV-A/B/T) and report compliance. The contractor shall assess cybersecurity risk and accreditation impact of changes to existing systems and enclaves and provide recommendations. The contractor shall perform monthly vulnerability scans on systems and enclaves using Department of Defense
(DOD) and Department of Navy (DON) approved scanning tools and report technical findings.
4.6.3 The contractor shall submit a report stating completion for review and approval by the
Government to ensure all applicable drawings and plan modifications are approved and accepted of all tasks.
Data Deliverables: The contractor shall deliver a Training Systems Installation Completion
Report, to include an Installation Test Report, in accordance with CDRL A006.
5.0 PROGRESS REPORTS (PERFORMANCE REPORTING)
For all assigned tasks, the contractor shall prepare a Contractors’ Status Report that indicates the progress of work, status of the programs, and existing or potential problem areas. The Contractor shall submit the Contract Status Report for the same timeframe as the invoices submitted in the
E-Craft Invoicing, Receipt, Acceptance, and Property Transfer (iRAPT) and deliver in accordance with CDRL A007.
6.0 GOVERNMENT FURNISHED INFORMATION

7.0 QUALITY SURVEILLANCE & PERFORMANCE STANDARDS (PERFORMANCE
BASED SOW)
The Government will conduct quality surveillance via various methods including formal and informal meetings, review of technical reports, review of monthly progress reports, and review of deliverables.
Contractor performance will be evaluated in the areas of technical quality, responsiveness, timeliness and cost. Technical quality will be evaluated against the performance standards defined in the performance requirements summary table (Attachment 3). Responsiveness will be evaluated based upon the Government’s experience interacting with the contractor during performance. Timeliness will be evaluated based on the contractor’s ability to meet CDRL schedules with minimal variance. Cost will be evaluated based upon the contactor’s ability to manage to the negotiated costs.
CONTRACTOR MANPOWER REPORTING (CMRA)
The contractor shall report contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the [NAMED COMPONENT] via a secure data collection site. Contracted services excluded from reporting are based on Product Service Codes (PSCs). The excluded PSCs are:
(1) W, Lease/Rental of Equipment;
(2) X, Lease/Rental of Facilities;
(3) Y, Construction of Structures and Facilities;
(4) D, Automatic Data Processing and Telecommunications, IT and Telecom- Telecommunications Transmission

Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year

HQ C-1-0001 ITEM(S) - DATA REQUIREMENTS (NAVSEA) (SEP 1992)
The data to be furnished hereunder shall be prepared in accordance with the Contract Data
Requirements List, DD Form 1423, Exhibit(s) A , attached hereto.
HQ C-2-0002 ACCESS TO PROPRIETARY DATA OR COMPUTER SOFTWARE
(NAVSEA) (JUN 1994)
(a) Performance under this contract may require that the Contractor have access to technical data, computer software, or other sensitive data of another party who asserts that such data or software is proprietary. If access to such data or software is required or to be provided, the Contractor shall enter into a written agreement with such party prior to gaining access to such data or software. The agreement shall address, at a minimum,
(1) access to, and use of, the proprietary data or software exclusively for the purposes of performance of the work required by this contract, and (2) safeguards to protect such data or software from unauthorized use or disclosure for so long as the data or software remains proprietary. In addition, the agreement shall not impose any limitation upon the
Government or its employees with respect to such data or software. A copy of the executed agreement shall be provided to the Contracting Officer. The Government may unilaterally modify the contract to list those third parties with which the Contractor has agreement(s).
(b) The Contractor agrees to: (1) indoctrinate its personnel who will have access to the data or software as to the restrictions under which access is granted; (2) not disclose the data or software to another party or other Contractor personnel except as authorized by the Contracting Officer; (3) not engage in any other action, venture, or employment wherein this information will be used, other than under this contract, in any manner inconsistent with the spirit and intent of this requirement; (4) not disclose the data or software to any other party, including, but not limited to, joint venturer, affiliate, successor, or assign of the Contractor; and (5) reproduce the restrictive stamp, marking, or legend on each use of the data or software whether in whole or in part.
(c) The restrictions on use and disclosure of the data and software described above also apply to such information received from the Government through any means to which the
Contractor has access in the performance of this contract that contains proprietary or other restrictive markings.
(d) The Contractor agrees that it will promptly notify the Contracting Officer of any attempt by an individual, company, or Government representative not directly involved in the effort to be performed under this contract to gain access to such proprietary information. Such notification shall include the name and organization of the individual, company, or Government representative seeking access to such information.
(e) The Contractor shall include this requirement in subcontracts of any tier which involve access to information covered by paragraph (a), substituting "subcontractor" for
"Contractor" where appropriate.
(f) Compliance with this requirement is a material requirement of this contract.
HQ C-2-0008 ASSIGNMENT AND USE OF NATIONAL STOCK NUMBERS
(NAVSEA) (MAY 1993)
To the extent that National Stock Numbers (NSNs) or preliminary NSNs are assigned by the Government for the identification of parts, pieces, items, subassemblies or assemblies to be furnished under this contract, the Contractor shall use such NSNs or preliminary
NSNs in the preparation of provisioning lists, package labels, packing lists, shipping containers and shipping documents as required by applicable specifications, standards or
Data item Descriptions of the contract or as required by orders for spare and repair parts.
The cognizant Government Contract Administration Office shall be responsible for providing the Contractor such NSNs or preliminary NSNs which may be assigned and which are not already in possession of the Contractor.
HQ C-2-0009 ASSIGNMENT OF SERIAL NUMBER(S) (NAVSEA) (SEP 1990)
The Contractor shall request serial number assignment, in writing, from the Cognizant
Technical Program Office, with a copy to the cognizant Contract Administration Office.
The request for serial number assignment shall contain the following minimum information:
(a) Contract number;
(b) Assigned line item number and description;
(c) Assigned type designation;
(d) Assigned model number;
(e) Top drawing number and ID (List of Drawings) number;
(f) Exact quantity for which serial numbers are being requested, including preproduction samples required by the contract; and
(g) National Stock Number
HQ C-2-0011 COMPUTER SOFTWARE AND/OR COMPUTER DATABASE(S)
DELIVERED TO AND/OR RECEIVED FROM THE GOVERNMENT
(NAVSEA) (APR 2004)
(a) The Contractor agrees to test for viruses all computer software and/or computer databases, as defined in the clause entitled "RIGHTS IN NONCOMMERCIAL
COMPUTER SOFTWARE AND NONCOMMERCIAL COMPUTER SOFTWARE
DOCUMENTATION" (DFARS 252.227-7014), before delivery of that computer software or computer database in whatever media and on whatever system the software is delivered.
The Contractor warrants that any such computer software and/or computer database will be free of viruses when delivered.
(b) The Contractor agrees to test any computer software and/or computer database(s) received from the Government for viruses prior to use under this contract.
(c) Unless otherwise agreed in writing, any license agreement governing the use of any computer software to be delivered as a result of this contract must be paid-up and perpetual, or so nearly perpetual as to allow the use of the computer software or computer data base with the equipment for which it is obtained, or any replacement equipment, for so long as such equipment is used. Otherwise the computer software or computer database does not meet the minimum functional requirements of this contract. In the event that there is any routine to disable the computer software or computer database after the software is developed for or delivered to the Government, that routine shall not disable the computer software or computer database until at least twenty-five calendar years after the delivery date of the affected computer software or computer database to the Government.
(d) No copy protection devices or systems shall be used in any computer software or computer database delivered under this contract to restrict or limit the Government from making copies. This does not prohibit license agreements from specifying the maximum amount of copies that can be made.
(e) Delivery by the Contractor to the Government of certain technical data and other data is now frequently required in digital form rather than as hard copy. Such delivery may cause confusion between data rights and computer software rights. It is agreed that, to the extent that any such data is computer software by virtue of its delivery in digital form, the
Government will be licensed to use that digital-form data with exactly the same rights and limitations as if the data had been delivered as hard copy.
(f) Any limited rights legends or other allowed legends placed by a Contractor on technical data or other data delivered in digital form shall be digitally included on the same media as the digital-form data and must be associated with the corresponding digital-form technical data to which the legends apply to the extent possible. Such legends shall also be placed in human-readable form on a visible surface of the media carrying the digital-form data as delivered, to the extent possible.
HQ C-2-0014 CONTRACTOR'S PROPOSAL (NAVSEA) (MAR 2001)

HQ C-2-0024 EXTENSION OF COMMERCIAL WARRANTY (NAVSEA)

The Contractor shall extend to the Government the full coverage of any standard commercial warranty normally offered in a similar commercial sale, provided that such warranty is available at no additional cost to the Government. The Contractor shall provide a copy of the standard commercial warranty with the item. The standard commercial warranty period shall begin upon the final acceptance of the applicable material or software.
