(b) Submission of quotes. Submit signed and dated quotes via E-Mail to the office specified in this solicitation at or before the exact time specified in this solicitation. Quotes may be submitted on the SF 1442, letterhead stationery, or as otherwise specified in the solicitation. ALL QUOTES MUST BE SUBMITTED VIA EMAIL to the individual(s) listed on the solicitation posting. Contractors are instructed to submit only the required information in sufficient detail to meet the requirements of the solicitation. At a minimum, quotes must show—
(1) The solicitation number;
(2) The name, address, and telephone number of the contractor (and electronic address if available);
(3) Terms of any express warranty;
(4) Price and any discount terms;
(5) “Remit to” address, if different than mailing address;
(6) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the contractor shall complete electronically);
(7) Acknowledgment of Solicitation Amendments;
(8) If the quote is not submitted on the SF 1442, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Unless otherwise explicitly indicated within the quote, the Government will consider submission of a quote to be a contractor’s acknowledgement and agreement with all terms, conditions, and provisions. Quotes that fail to furnish required representations or information or reject the terms and conditions of the solicitation may be excluded from consideration.
(9) Contractors shall provide a total price for all line items.
*Please note, any large file e-mails over 15MB may not be received. If the files are in excess of 15MB, please send documents in separate e-mails to ensure quotes are received*
(c) Period for acceptance of quotes. The contractor agrees to hold the prices in its quote firm for 90 calendar days from the date specified for receipt of quotes, unless another time period is specified in an amendment to the solicitation.
(d) Late submissions, modifications, revisions, and withdrawals of quotes.
(1) Contractors are responsible for submitting quotes, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated
Government office on the date that quotes or revisions are due.
(2) (i) Any quote, modification, revision, or withdrawal of an quote received at the Government office designated in the solicitation after the exact time specified for receipt of quotes is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late quote would not unduly delay the acquisition; and-
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of quotes; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of quotes and was under the Government’s control prior to the time set for receipt of quotes.
(ii) However, a late modification of an otherwise successful quote, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the quote wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that quotes cannot be received at the Government office designated for receipt of quotes by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of quotes will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Quotes may be withdrawn by written notice received at any time before contract award.
(e) Contract award. The Government intends to evaluate quotes and award a contract without discussions with contractors. Therefore, the contractor’s initial quote should contain the contractor’s best terms. However, the
Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all quotes if such action is in the public interest; accept other than the lowest quote; and waive informalities and minor irregularities in quotes received.
(f) Multiple awards. Multiple awards will not be made.
(g) Availability of requirements documents cited in the solicitation.

EVALUATION FACTORS AND INSTRUCTIONS TO CONTRACTORS
FACTOR 1 – PAST PERFORMANCE
For evaluation of Past Performance, the Government may use information from any sources available to it, including, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee http://quicksearch.dla.mil/
Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases. Interviews with Program Managers, Contracting Officers, CORs, and the Defense

The Government may review other relevant past performance information from other sources or conduct questionnaires tailored to the circumstances of the acquisition. Contractors shall provide relevant past performance information, up to three (3) examples, for similar or related work under contracts completed during the last three years from solicitation closing date.
Any projects submitted in excess of the three (3) will not be considered. The project description should address how the example is similar in size, scope, and complexity to the solicited effort and provide the final contract price. A project may be a single task order or a contract. However, for multiple award and indefinite delivery/indefinite quantity type contracts, the contract as a whole shall not be submitted as a project; rather the Contractor shall submit the work performed under a task order as a project example.
Each Contractor has the opportunity to provide in its quote any information regarding its past performance of contracts similar to the Government's requirement that it would like the Government to consider. The information to be provided by the Contractor is any information that the Contractor considers essential to the Government's evaluation or explanatory information of poor performance. Contractors should utilize
Attachment 9, Past Performance Questionnaire, when submitting past performance information. The
Contractor may include Federal, State and Local Government and private sector contracts. To ensure adequate past performance information is provided for a complete evaluation, Contractors should provide the following information:

Company (LLC)/Limited Company (LTD) member companies (name is not exactly as stated on the
SF1442), the quote shall clearly demonstrate that the affiliate/subsidiary/parent firm will have meaningful involvement in the performance of the contract in order for the past performance information of the affiliate/subsidiary/parent/LLC/LTD member companies to be considered. The quote shall state specific commitments of technical resources (e.g. personnel, equipment) that the affiliate/subsidiary/parent/LLC/LTD member companies commit to the performance of this contract. The quote shall also describe specific roles of the affiliate/subsidiary/parent/LLC/LTD member companies in terms of the work it will either self-perform or manage on behalf of the Contractor in performance of the contract.
To obtain information, the Government may contact the points of contact listed, however, the Government is not required to do so. The Government may contact references other than those provided by the Contractor to evaluate past performance.

252.215-7010 REQUIREMENTS FOR CERTIFIED COST OR PRICING DATA AND DATA OTHER THAN
CERTIFIED COST OR PRICING DATA--BASIC (JUL 2019)
(a) Definitions. As used in this provision--
Market prices means current prices that are established in the course of ordinary trade between buyers and sellers free to bargain and that can be substantiated through competition or from sources independent of the offerors.
Non-Government sales means sales of the supplies or services to non-Governmental entities for purposes other than governmental purposes.
Relevant sales data means information provided by an offeror on sales of the same or similar items that can be used to establish price reasonableness taking into consideration the age, volume, and nature of the transactions (including any related discounts, refunds, rebates, offsets, or other adjustments).
Sufficient non-Government sales means relevant sales data that reflects market pricing and contains enough information to make adjustments covered by FAR 15.404-1(b)(2)(ii)(B).
Uncertified cost data means the subset of ``data other than certified cost or pricing data'' (see FAR 2.101) that relates to cost.
(b) Exceptions from certified cost or pricing data.
(1) In lieu of submitting certified cost or pricing data, the Offeror may submit a written request for exception by submitting the information described in paragraphs (b)(1)(i) and (ii) of this provision. The Contracting Officer may require additional supporting information, but only to the extent necessary to determine whether an exception should be granted and whether the price is fair and reasonable.
(i) Exception for prices set by law or regulation--Identification of the law or regulation establishing the prices offered. If the prices are controlled under law by periodic rulings, reviews, or similar actions of a governmental body, attach a copy of the controlling document, unless it was previously submitted to the contracting office.
(ii) Commercial item exception. For a commercial item exception, the Offeror shall submit, at a minimum, information that is adequate for evaluating the reasonableness of the price for this acquisition, including prices at which the same item or similar items have been sold in the commercial market. Such information shall include--
(A) For items previously determined to be commercial, the contract number and military department, defense agency, or other DoD component that rendered such determination, and if available, a Government point of contact;
(B) For items priced based on a catalog--
(1) A copy of or identification of the Offeror's current catalog showing the price for that item; and
(2) If the catalog pricing provided with this proposal is not consistent with all relevant sales data, a detailed description of differences or inconsistencies between or among the relevant sales data, the proposed price, and the catalog price (including any related discounts, refunds, rebates, offsets, or other adjustments);
(C) For items priced based on market pricing, a description of the nature of the commercial market, the methodology used to establish a market price, and all relevant sales data. The description shall be adequate to permit the DoD to verify the accuracy of the description;
(D) For items included on an active Federal Supply Service Multiple Award Schedule contract, proof that an exception has been granted for the schedule item; or
(E) For items provided by nontraditional defense contractors, a statement that the entity is not currently performing and has not performed, for at least the 1-year period preceding the solicitation of sources by DoD for the procurement or transaction, any contract or subcontract for DoD that is subject to full coverage under the cost accounting standards prescribed pursuant to 41 U.S.C. 1502 and the regulations implementing such section.
(2) The Offeror grants the Contracting Officer or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records to verify any request for an exception under this provision, and to determine the reasonableness of price.
(c) Requirements for certified cost or pricing data. If the Offeror is not granted an exception from the requirement to submit certified cost or pricing data, the following applies:
(1) The Offeror shall prepare and submit certified cost or pricing data and supporting attachments in accordance with the instructions contained in Table 15-2 of FAR 15.408, which is incorporated by reference with the same force and effect as though it were inserted here in full text. The instructions in Table 15-2 are incorporated as a mandatory format to be used in any resultant contract, unless the Contracting Officer and the Offeror agree to a different format and change this provision to use Alternate I.
(2) As soon as practicable after agreement on price, but before contract award (except for unpriced actions such as letter contracts), the Offeror shall submit a Certificate of Current Cost or Pricing Data, as prescribed by FAR
15.406-2.
(3) The Offeror is responsible for determining whether a subcontractor qualifies for an exception from the requirement for submission of certified cost or pricing data on the basis of adequate price competition, i.e., two or more responsible offerors, competing independently, submit priced offers that satisfy the Government's expressed requirement in accordance with FAR 15.403-1(c)(1)(i).
(d) Requirements for data other than certified cost or pricing data. (1) Data other than certified cost or pricing data submitted in accordance with this provision shall include the minimum information necessary to permit a determination that the proposed price is fair and reasonable, to include the requirements in DFARS
215.402(a)(i) and 215.404-1(b).
(2) In cases in which uncertified cost data is required, the information shall be provided in the form in which it is regularly maintained by the Offeror or prospective subcontractor in its business operations.
(3) Within 10 days of a written request from the Contracting Officer for additional information to permit an adequate evaluation of the proposed price in accordance with FAR 15.403-3, the Offeror shall provide either the requested information, or a written explanation for the inability to fully comply.
(4) Subcontract price evaluation. (i) Offerors shall obtain from subcontractors the minimum information necessary to support a determination of price reasonableness, as described in FAR part 15 and DFARS part 215.
(ii) No cost data may be required from a prospective subcontractor in any case in which there are sufficient non-
Government sales of the same item to establish reasonableness of price.
(iii) If the Offeror relies on relevant sales data for similar items to determine the price is reasonable, the Offeror shall obtain only that technical information necessary--
(A) To support the conclusion that items are technically similar; and
(B) To explain any technical differences that account for variances between the proposed prices and the sales data presented.
(e) Subcontracts. The Offeror shall insert the substance of this provision, including this paragraph (e), in subcontracts exceeding the simplified acquisition threshold defined in FAR part 2. The Offeror shall require prospective subcontractors to adhere to the requirements of--
(1) Paragraphs (c) and (d) of this provision for subcontracts above the threshold for submission of certified cost or pricing data in FAR 15.403-4; and
(2) Paragraph (d) of this provision for subcontracts exceeding the simplified acquisition threshold defined in FAR part 2.
(End of provision)
Section 00 22 13 - Supplementary Instructions to Bidders
EVALUATION FACTORS
BASIS FOR AWARD
It is the intention of the Navy to award a Firm-Fixed Price Contract resulting from this solicitation. This solicitation is being competed, evaluated, and awarded in accordance with FAR Part 13. As price and past performance are the only evaluation factors included in this solicitation, an award will be based on whether the lowest priced of the quotations having the highest past performance rating represents the best value when compared to any lower priced quotation.
The Government will utilize the subjective Tradeoff source selection process. This process allows for a tradeoff between non-price factors and price, and allows the Government to accept other than the lowest priced quote or other than the highest technically rated quote to achieve a best value. The basis for award of a contract as a result of this solicitation will be an integrated assessment by the Contracting Officer of the results of the evaluation based on the evaluation factors indicated below. The integrated assessment will include consideration of the strengths and weaknesses of the quotes. The Government reserves such right of flexibility in conducting the evaluation as is necessary to assure placement of a contract is in the Government's best interest. Accordingly, the Government may award to other than the lowest priced Contractor, or other than the Contractor with the highest evaluation rating.
The contract resulting from this solicitation will be awarded to that responsible Contractor whose quote, conforming to the solicitation, in the Government’s estimation, provides the best value.
FACTOR 1 – PAST PERFORMANCE
Past performance information will be used to evaluate a Contractor's actions for similar or directly related work.
The past performance evaluation factor assesses the degree of confidence the Government has in a Contractor’s ability to supply products and services that meet users’ needs, based on a demonstrated record of performance.
There are (3) three aspects to the past performance evaluation: Recency, relevancy, and quality (including general trends in Contractor performance and source of information). The first is to evaluate the recency of the Contractor’s past performance. Recency is considered work performed within the past (3) three years. The second is to determine how relevant a recent effort accomplished by the Contractor is to the effort to be acquired through this solicitation.
Common aspects of relevancy include, but are not limited to, the following: similarity of product/service/support, complexity, dollar value, contract type, use of key personnel (for services), and extent of subcontracting/teaming.
With respect to relevancy, past performance of greater relevancy will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance. The third aspect of the past performance evaluation is to establish the overall quality of the Contractor’s past performance. These are combined to establish one performance confidence assessment rating for each
Contractor. The past performance evaluation conducted in support of a current source selection does not establish, create, or change the existing record and history of the Contractor’s past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the Contractor performed those past contracts.
Past Performance Relevancy
Rating Description
Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
Past Performance Confidence Assessments
Rating Description
Substantial Confidence Based on the Contractor’s recent/relevant performance record, the Government has a high expectation that the Contractor will successfully perform the required effort.
Satisfactory Confidence Based on the Contractor’s recent/relevant performance record, the Government has a reasonable expectation that the Contractor will successfully perform the required effort.
Neutral Confidence
No recent/relevant performance record is available or the Contractor’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The Contractor may not be evaluated favorably or unfavorably on the factor of past performance.
Limited Confidence Based on the Contractor’s recent/relevant performance record, the Government has a low expectation that the Contractor will successfully perform the required effort.
No Confidence Based on the Contractor’s recent/relevant performance record, the Government has no expectation that the Contractor will be able to successfully perform the required effort.
FACTOR 2 – PRICE
The Government will evaluate whether the Bid Guarantee complies with provision 52.228-1 of the solicitation, and the levels identified in Instructions to Contractors section above.
The Government may determine that a quote is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A quote may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
PRICE EVALUATION
Price will be evaluated for reasonableness in accordance with FAR 13.106-3(a), for Firm-Fixed Price CLIN 0001.
In the absence of adequate price competition, the Contracting Officer may request additional data per as described in the solicitation provision 252.215-7010, Requirements for Certified Cost or Pricing Data and Data Other Than
Certified Cost or Pricing Data (JUL 2019).
