About this file

This is a Use and Non-Disclosure Agreement (NDA) template pursuant to DFARS 227.7103-7 for solicitation N6134026R1008, the U.S. Navy Tactical Combat Training System Increment II (TCTS II). The agreement governs access to restricted technical data and computer software provided by the Government to potential offerors, including the Collins Software User Manual, Collins Datalink Transceiver (DLT) Software Requirement Specification (SRS), and TCTS II Waveform Design Specification. Recipients must use the data solely for government purposes and cannot engage in commercial use, reverse engineering, decompiling, or disassembly of restricted software. Data sharing with subcontractors, suppliers, or prospective contractors requires subordinate NDAs consistent with the master agreement terms.

The agreement imposes strict operational and security requirements on recipients, including establishment of physical security measures to prevent unauthorized disclosure and prohibition on time-sharing or multi-computer use of restricted software. Recipients must destroy all data and copies within 30 days of contract award and notify the Contractor upon destruction. The Government provides no warranties regarding data suitability, and the Contractor is designated as a third-party beneficiary with direct action rights against recipients for breach. The agreement remains effective from execution through contract award, with certain obligations surviving termination. An authorized representative of the recipient's company must sign the agreement, providing business name, representative identity, and execution date.
