SECTION B NOTES
NOTE 1:
The minimum and maximum dollar amounts for all orders issued against this contract shall not be less than the minimum or more than the maximum contract dollar amounts stated below. Should the successful offeror’s Total
Evaluated Price be less than the maximum dollar amount shown below, the Government reserves the right to place orders up to the maximum dollar amount shown below.
MINIMUM AMOUNT MAXIMUM AMOUNT
$1,000.00 $196,192,029.00
The guaranteed minimum is $1,000.00 and shall be satisfied by the first Delivery Order (DO).
NOTE 2:
The “MAX QUANTITY” and “MAX” referenced within each CLIN are estimates only, and do not represent the maximum quantity of Units the government may order under the respective CLINs. Although this is not a requirements contract, the individual quantity of Units for each CLIN will ultimately depend upon the requirements that materialize during the life of the contract. Reference Section F clause, 5252.216-9506, Minimum and Maximum
Quantities.
NOTE 3:
The “UNIT” of issue designation “EACH” for the IMI CLINs (1010 through 1016) is equivalent to one courseware hour. A “courseware hour” is defined in Attachment (1) SOW Appendix C, Content Conversion Terms and
Definitions. The “Unit” of issue designation “Each” for CLINs 1017 and 1018 is the amount of Train the Trainer and Pilot production support that is anticipated to be negotiated at the Delivery Order (DO) level.
The estimated amounts provided for CLIN 1017 Production Support – Train the Trainer, CLIN 1018 Production
Support – Pilot, and CLIN 1019 Travel – Content Conversion represent the estimated amounts for the respective
CLINs during the IDIQ contract ordering period. For evaluation purposes, offerors SHALL propose the EXACT amounts provided in the solicitation for the CLINs identified. After contract award, the amounts for CLINs 1017 and 1018 will be negotiated as required. The Government will provide the estimated cost for CLIN 1019 Travel –
Content Conversion at the time of DO award. The estimated amounts provided in the solicitation are only an estimate of anticipated travel costs in support of Content Conversion requirements.
NOTE 4: While the quantity of hours of IMI are likely to change after award because the quantities are estimates based on known requirements as of the release of the solicitation, the unit pricing for all CLINs proposed (1010 through 1016) shall be used in the execution of DO corresponding to the hours of IMI ordered at the time of DO
Award.

Section H - Special Contract Requirements
H.1. ORDERING PROCEDURES
H.1.a. All delivery orders issued are subject to the terms and conditions of the contract. The contract shall control in the event of conflict with any delivery order.
H.1.b. NAWCTSD Procuring Contracting Officers are designated as the Ordering Officer(s) for this contract.
H.1.c. Prior to the award of each delivery order, the Government will provide the FY22 RRL Content
Conversion contractor with a delivery order Statement of Work to include the quantity of hours of
Interactive Media Instruction (IMIs), by level/type and the Functional Requirements Document (FRD)
(Attachment 1 Appendix A) that is available for the rating/path. An estimated travel cost in support of IMI development will also be provided, which will be invoiced at Cost via CLIN 1019 during performance (no fee). Applicable CDRLs for the delivery order will also be provided.
H.1.d. The total price for the Content Conversion CLINs will be based upon the established unit pricing found in Section B.
H.1.e. It is anticipated that the award of new delivery orders should take place no later than 7 calendar days after the Government has provided the contractor with the information in paragraph c) above.
H.1.f. The Government will award delivery orders based on the data that is available for a particular rating/path. If additional data becomes available for an already awarded rating, the delivery order will be modified accordingly to capture any changes in the quantity of IMI hours required at the established unit pricing found in Section B. Different paths for the same rating may have different delivery dates within the same delivery order. The unit pricing for IMI levels/types is fixed at the IDIQ level and will not be negotiated at the delivery order level.
H.1.g. The Contracting Officer may request a Firm Fixed Priced (FFP) proposal for any in-scope Complex
Media changes required as a result of updated GFI provided after award of a rating/path.
H.1.h. The Contracting Officer may request a FFP proposal for any in-scope implementation of IMI hours as a result of Gaps that are finalized and required to be included within the make-up of a rating/path after the initial DO award of the rating/path.
H.1.i. The Contracting Officer may request a FFP proposal for In-scope Production Support, to include Train the Trainer via CLIN 1017 and Pilot via CLIN 1018, approximately six months prior to the delivery of the
Content Conversion/IMI development CLINs. Those deliverables will be negotiated and added to each delivery order via a modification to the delivery order for the applicable rating/path.

USE AND DISCLOSURE RIGHTS IN SPECIAL WORKS

DFARS sections 227.7106(b) and 227.7205(b), the Government needs to restrict the contractor’s rights to use or disclose works produced, created, or generated in the performance of this contract. Accordingly, the contractor shall not use or disclose works produced, created, or generated in the performance of DOs issued under this contract without first obtaining written approval from the contracting officer.
(b) Requests for approval shall identify the specific work to be used or disclosed, the medium to be used, and the purpose for the use or disclosure. The Contractor shall submit its request to the Contracting Officer at least thirty
(30) days before the proposed date for use or disclosure.
(c) The Contractor agrees to include a similar requirement in each subcontract for DOs issued under this contract.
Subcontractors shall submit requests for authorization to use or disclose works through the prime contractor to the
