HQ B-2-0004 EXPEDITING CONTRACT CLOSEOUT (NAVSEA) (DEC 1995)
(a) As part of the negotiated fixed price or total estimated amount of this contact, both the Government and the Contractor have agreed to waive any entitlement that otherwise might accrue to either party in any residual dollar amount of $500 or less at the time of final contract closeout. The term “residual dollar amount” shall include all money that would otherwise be owed to either party at the end of the contract, except that, amounts connected in any way with taxation, allegations of fraud and/or antitrust violations shall be excluded. For purposes of determining residual dollar amounts, offsets of money owed by one party against money that would otherwise be paid by that party may be considered to the extent permitted by law.
(b) This agreement to waive entitlement to residual dollar amounts has been considered by both parties. It is agreed that the administrative costs for either party associated with collecting such small dollar amounts could exceed the amount to be recovered.
HQ B-2-0007 LIMITATION OF COST/LIMITATION OF FUNDS (NAVSEA) (SEP 1990)
The clause entitled "LIMITATION OF COST" (FAR 52.232-20) or "LIMITATION OF FUNDS" (FAR 52.232-22), as appropriate, shall apply separately and independently to each separately identified estimated cost.
HQ B-2-0008 LIMITATIONS ON INDIRECT COST RATES (NAVSEA) (OCT 1990)
a) Pursuant to FAR 42.707, an indirect cost rate ceiling is incorporated into the contract. "Indirect cost" is defined as set forth at FAR 31.001 and 31.203. "Indirect cost rate" is defined as set forth at FAR 42.701.
b) Notwithstanding the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216-7), the allowable indirect cost under this contract shall be obtained by applying limitations on indirect cost rates to bases agreed upon by the parties, as specified below.
c) Allowability of costs and acceptability of cost allocation methods shall be determined in accordance with FAR Subpart 31.2 in effect on the date of this contract, as limited by the indirect cost rates established by this requirement.
d) For the two Contractor fiscal years, the indirect cost rates contained in the Contractor's accepted contract proposal shall be incorporated into the contract schedule as limitations on indirect cost rates for each Contractor fiscal year of contract performance. The bases to which the indirect cost rates apply shall be those contained in the Contractor's accepted contract proposal and hereby, incorporated into the contract schedule, in accordance with the Contractor's accounting system upon which its proposal was based.
e) After the first two Contractor fiscal years, the Contracting Officer and Contractor shall negotiate the limitations on indirect cost rates for subsequent Contractor fiscal years (unless the parties agree to a different period) and execute a written indirect cost rate limitation agreement setting forth the results. The agreement shall specify (1) the agreed-upon indirect cost rates, (2) the bases to which the rates apply, (3) the fiscal year (unless the parties agree to a different period) for which the rate applies, and (4) the specific items treated as direct costs or any change in the items previously agreed to be direct costs. The agreement is incorporated into this contract upon execution.
f) Pending establishment of indirect cost rates for any subsequent Contractor fiscal year (or other period agreed to by the parties), the Contractor shall be reimbursed either at the rates fixed for the previous fiscal year or at billing rates acceptable to the Contracting Officer, subject to appropriate adjustment when the final indirect cost rates for that period are established.
g) The Government will not be obligated to pay any additional amount should any final indirect cost rates for any Contractor fiscal year (or for any different period agreed to by the parties) after the first two fiscal years) of contract performance exceed the indirect rates incorporated into the contract schedule. In the event any of the Contractor's final indirect cost rates are less than the indirect cost rates incorporated into the contract schedule, the incorporated rates shall be reduced to conform with the lower rates.
h) The limitations on indirect cost rate shall not change any monetary ceiling, contract obligation, or specific cost allowance or disallowance provided for in this contract. If facilities capital cost of money is proposed as an allowable cost, the rates proposed shall be subject to the limitations imposed by this requirement.
i) The limitations on the indirect cost rate shall apply to all work performed under the contract, and to all change orders and supplemental agreements, including changes due to growth, supplemental, emergent and new work.
j) Notwithstanding any of the terms of this requirement, should the Contractor initiate a change to its accounting systems which would alter the composition of any overhead base or pool effected by this requirement, the Contracting Officer and Contractor shall negotiate to determine the rate ceilings to be applied to the new overhead pools, provided that no agreement shall be made which would increase the costs paid by the United States under this contract.
k) The limitation on indirect cost rates specified in the Contractor's cost proposal shall be the rates used to compute the costs in the Contractor's cost proposal upon which the award is based.
HQ B-2-0019 TRAVEL COSTS (NAVSEA) (MAY 1993)
(a) The Contractor shall not charge, and the Government shall not pay, as an allowable cost under this contract, any manhour costs (whether straight-time or overtime) for Contractor personnel or subcontractor personnel traveling to or from worksites, including travel to worksites other than the Contractor's facility for performance of contract work.
(b) Workers being paid under this contract, as prime contractor personnel or subcontractor personnel, will complete a full shift at the worksite, and no compensation will be paid for travel time before or after the shift.
(c) This requirement pertains only to payments for travel time before or after these workers' regular shifts, and does not apply to legitimate travel costs incurred during normal working hours, provided that those costs are otherwise reasonable, allocable and allowable. This requirement does not apply to manufacturer's representatives or Original Equipment Manufacturer (OEM) representatives when specifically required by the Government work specifications.
(d) Additionally, the Contractor shall not charge, and the Government shall not pay, any transportation costs under this contract associated with transporting Contractor or subcontractor personnel between the Contractor's facility (or subcontractor's facility), and any other worksite to perform Phased Maintenance Availabilities (PMAs)/Drydocking Phased Maintenance Availabilities (DPMAs). Transportation costs include, but are not limited to, bus fare, car fare, train fare, or boat fare, paid by the work force, or paid by the Contractor on behalf of the work force.
Section C - Descriptions and Specifications
PERFORMANCE WORK STATEMENT
C-1.1 GENERAL CONTRACT REQUIREMENTS
a) The purpose of this multiple-award, indefinite-delivery indefinite-quantity (IDIQ) contract is to provide specific touch labor to support non-nuclear, non-SUBSAFE work on submarines (SSNs) at Pearl Harbor Naval Shipyard (PHNSY&IMF).
b) Delivery orders will be issued for these contracts on a cost reimbursement basis. All proposals must contain at least 3 trades for consideration.
c) The Contractor shall provide and is responsible for all labor, management, supervision, coordination, quality control, quality assurance, quality management, safety management, material, equipment, and transportation necessary to perform the requirements of each delivery order issued. The Contractor shall ensure adequate resources are dedicated to comply with the standards, guidelines and procedures as stated to satisfy the requirements of delivery orders.
d) Government furnished property will be managed in accordance with the GOVERNMENT PROPERTY CLAUSE, FAR 52.245-1 ALT I.

f) The contractor shall work in accordance with this contract, and the written delivery orders issued by the Contracting Officer (CO). Should the contractor be instructed by an individual other than the Contracting Officer to perform work that it considers a change to this contract or delivery order, the contractor shall not perform such work and shall immediately notify the Contracting Officer and/or Contracting Officer’s Representative (COR) in accordance with the notification of changes clause, FAR 52.243-7.
g) Contractors shall execute work in accordance with Technical Work Directives (TWDs), including Task Group Instructions (TGIs) and other technical direction.
h) Contractor shall perform in accordance with all applicable Federal, State, Country, City, and local statutes and regulations.
C-1.2 COORDINATION PROCESS
a) The Contractor shall assign one lead individual for each delivery order who shall coordinate all aspects of the delivery order with the designated Government representative and vice versa. The Contracting Officer’s Representative will keep the program office, contracting officer, and contractor apprised of schedule, technical, material, and financial issues pertaining to the order.
b) All communication with other Government organizations, commands and departments shall be via the Contracting Officer; or, if designated by the Contracting Officer, another Government representative. The Contractor’s employees shall not visit vessels or military activity associated with a delivery order without prior approval from the Contracting Officer. All visits shall be during normal working hours and coordinated by the Contracting Officer’s Representative. If required, the Contracting Officer’s Representative shall forward security clearances to the appropriate military installation for Contractor personnel.
C-1.3 TECHNICAL CONFERENCES/REVIEW MEETINGS
a) Contractor personnel shall be available for informational meetings with Government technical personnel to discuss the direction, progress, results, and/or issues that occur during the performance of each delivery order placed under this contract.
C-1.4 COMPETENT PERSON SUPPORT SERVICES
a) Requirement for Competent Person Support Services will be specified at the delivery order level
b) Performance Specification. Performance must be in accordance with NAVSEA Standard Item 009-07, paragraph 3.1.2 and 3.1.3.
c) Gas Free Competent Person Tasks
· Perform Gas Free consultations, evaluations, inspections and/or certification of confined spaces, tanks, voids, and fire safety for hot work.
· Perform Gas Free consultations, evaluations, inspections and/or certification of confined spaces, tanks, voids and fire safety for Freon evolutions.
· Monitor air sampling of spray painting and oxygen system transfers.
C-1.5 PERSONAL PROTECTIVE EQUIPMENT
Whenever work is performed aboard U.S. Naval Ships or vessels at piers or drydocks of a Naval Shipyard or Naval Station, Contractor employees (including management personnel) shall provide, have, and use at all times the following personal protective equipment:
a) Protective hard hats that meet the following specifications:
(1) Protective helmets purchased after July 5, 1994 shall comply with ANSI Z89.1-1986, "American National Standard for Personnel Protection-Protective Headwear for Industrial Workers-Requirements," or shall be demonstrated to be equally effective.
(2) Protective helmets purchased before July 5, 1995 shall comply with ANSI Standard "American National Standard Safety requirements for Industrial Head Protection," Z89.1-1969, or shall be demonstrated by the employer to be equally effective. [Ref. 29 CFR 1910.135 Head Protection]
b) Approved type plano or prescription glasses meeting the following specifications:
(1) Protective eye and face devices purchased after July 5, 1994 shall comply with ANSI standard Z87.1- 1989, "American National Standard Practice for Occupational and Educational Eye and Face Protection", or shall be demonstrated by the employer to be equally effective.
(2) Protective eye and face devices purchased before July 5, 1994 shall comply with ANSI "USA standard for Occupational and Educational Eye and Face Protection", Z87.1-1968, or shall be demonstrated by the employer to be equally effective. [Ref. 29 CRF 1910.133 Protective eye and face devices.]
| c) Safety toe shoes, with built-in protective toe box that meet the following specifications: | ||
| (1) Protective footwear purchased after July 5, 1994 shall comply with ANSI Standard Z41-1991, | "American National Standard for Personal Protection-Protective Footwear", or shall be demonstrated by the | employer to be equally effective. |
(2) Protective footwear purchased before July 5, 1994 shall comply with the ANSI standard "USA Standard for Men's Safety Toe Footwear", Z41.1 1967, or shall be demonstrated by the employer to be equally effective [Ref. 29 CFR 1910.136 Protective eye and face devices.]
C-1.6 TECHNICAL REQUIREMENTS
a) Receipt of Notification. The contractor will receive a delivery order from the Contracting Officer identifying, at a minimum, the schedule of its availability, spaces/areas to be worked, a ship check date (if required). In urgent situations, the contractor may receive verbal direction from the Contracting Officer. Verbal authorizations are to be followed up with a written delivery order signed by the Contracting Officer within five (5) working days of the verbal authorization. The written delivery order shall cite the effective date of the notice as the date upon which the verbal authorization was given to the contractor.
b) Submission of Formal Proposals. The Contractor shall review the Government provided work package, accomplish a ship survey (if required) and submit a formal proposal in accordance with DFARS 252.215-7009 to the Contracting Officer at a date mutually agreed upon.
c) The Workday. During the period of ship availability, each contractor employee is anticipated to work 8-hour work shifts totaling a 40-hour week, within the hours allotted to complete the delivery order work. The start of the workday begins at the work location aboard ship based on the work schedule coordinated with the Government.
d) Overtime work beyond the regular 40 hour work week Monday-Friday, including shifts of 10 or 12 hours and work on Saturday (NTE 12 hours per shift), are authorized on each delivery order but is not guaranteed. The overtime work shall be requested by the applicable shop to the COR.

Sunday work may be authorized but is not guaranteed.
e) All day parking is not provided for company vehicles at any time within the CIA. However, “drop offs” of people and equipment are permissible.
C-1.7 FACILITY CLEARANCE
The contractor shall comply with the DD Form 254 (See Attachment –J-1 of Section “J”); Contract Security Classification Specification, as well as all U.S. Naval facility and ship requirements. The contractor shall be responsible for contacting the PHNSY&IMF Security Manager, Ms. Laura McMillan, at (808) 473-8000 ext 3328 to determine the particular security requirements for gaining access to Naval Facilities and vessels. The contractor shall have a facility security clearance and level of safeguarding at the “Confidential” level or higher, and shall be capable of providing a workforce which is cleared at the Confidential level as required. Certain areas will be prohibited from having contractor personnel completely. Those areas will be identified within each delivery order.
C-2.0 DELIVERABLES (DATA REQUIREMENTS):
When necessary, Contract Data Requirement List (CDRL) requirements will be tailored to each delivery order issued under this contract. CDRLs will be identified by the Government as a part of each contract or delivery order.
C-2.1 STANDARDS/SPECIFICATIONS/REFERENCES
a) The following Government documents form a part of this document to the extent herein:
1. Naval Sea Systems Command (NAVSEA) Standard Work Items (fiscal year in effect at date of delivery order award)
2. Standard Specifications for U.S. Navy Vessels.
3. Military Standards and Military Performance Specifications
4. Technical Manuals
5. Naval Operations (OPNAV) Instructions
6. Commercial and Industry Standards
7. Government Standards, Technical Drawings and Documentation
8. Applicable Contractor Quality Assurance Plan/Document
b) As required, special documents may be invoked. Specific references for individual items and associated referenced technical documentation shall be identified on each delivery order.
c) The failure of a contractor to meet any of the specifications or standards set forth in paragraph (a) above or as defined in the individual delivery order may result, at the Contracting Officer’s discretion, to either:
(1) Correction by the contractor at no increase in price; or,
(2) In lieu of correction by the Contractor, a reduction in the delivery order price.
C-2.2 SPECIFICATIONS, AMENDMENTS OR REVISIONS APPLICABLE
a) Whenever specifications, standards, drawings, publications or other documents are cited without issue number, revision, date or amendment number identified, the revision, date or amendment in effect as of the date of the delivery order shall apply.
b) Wherever specific issue number, revision, date or amendment number for specifications, standards, and publications are specified, the issue specified shall apply.
c) If, during the performance of this contract, the Contractor believes that the contract contains outdated or different versions of any specifications or standards, the Contractor may request that this contract be updated to include the current version of the applicable specification or standards. Updating shall not affect the form, fit or function of any deliverable item. The Contractor should submit update requests to the CO with copies to the designated COR. The Contractor shall perform the contract in accordance with the existing specifications and standards until notified of approval/disapproval by the Contracting Officer. Any approved alternate specifications or standards shall be incorporated into the contract/delivery order.
C- 2.3 CONTRACTOR PERSONNEL QUALIFICATIONS
a) The Contractor shall be responsible for employing technically qualified personnel in accordance with (IAW) the statement of work to perform the work specified in each delivery order issued hereunder.
b) The Contractor shall maintain the personnel, organization, and administrative control necessary to ensure that the work delivered meets the contract specification requirements. The work history of each Contractor employee must contain experience directly related to the task and the functions he/she is intended to perform under this contract and any delivery orders hereby issued.
c) During the life of this contract, the Government reserves the right to request work histories on any Contractor's employee(s) for purposes of verifying compliance with this requirement. If the Government questions the qualifications or competence of any person performing under this contract, the burden of proof shall be upon the Contractor to substantiate competency.
d) All journeyman (marine) tradespersons shall possess current certifications.
e) Within one business day of receiving delivery order award, awardee shall provide qualifications as listed in each trade.
C-2.4 LABOR CATEGORIES DEFINITIONS & MINIMUM REQUIREMENTS
a) The Contractor is responsible for maintaining proficient employees in each labor category throughout the life of this contact. The required minimum qualifications defined in the specific trade descriptions will continue as the minimum standards for all personnel during the course of performance under this contract.
b) The Contracting Officer and COR must be notified in writing within three (3) calendar days after any contractor personnel has a replacement action.
c) The contractor shall maintain detailed personnel qualification records for those workers performing work in accordance with this contract, and shall provide a printed copy of these records or supporting documentation for review to the Contracting Officer (or designated representative) prior to issuance of the delivery order.
d) The following is a general expectation of experience for personnel assigned to the delivery orders:
SHEET METAL MECHANIC
· All personnel in this group shall be graduates of high school or GED equivalence
· Two (2) years of experience after achieving journeyman status as a sheet metal mechanic. Journeyman’s level of skill is developed from both formal training and work experience. The term Journeyman is specifically defined as a term applied to a worker who has completed a specified training program as an APPRENTICE MASTER TITLE (any industry) in learning a trade or craft, or can give written proof of five years of qualifying experience for such trade or craft.
· Ability to apply and interpret blueprints and welding symbols to properly join metals in accordance with specified procedures and techniques.
· Knowledge, skills, and abilities sufficient to layout, fabricate and assemble sheet metals including but is not limited to, ventilation ductwork, storage lockers, shelves, habitability outfittings, metal joiner bulkheads and doors, messing work, laminate work and non-structural parts.
· Ability to operate shop machinery, such as break presses, rolling machines, flange turning machines, punch presses, spiral duct machine, power shears, crimping machines, drill press, grinding wheels, as well as the ability to drill, bolt, pop rivet, saw, and grind to construct necessary sheet metal components.
· Ability to perform basic geometry and trigonometry mathematical calculations.

· Ability to perform fabric work to include stitching and seaming; knowledgeable in materials and accessories application, sealant, adhesives, fasteners and threads.
· Ability to work with hazardous material, including but not limited to, spray adhesives, alcohol, sewing machine oil, degreasers, fiberglass, Kevlar and propane.
· Proficient in tying various knots and hitches, splicing ropes, and various hand stitches.
· Ability to measure, fabricate, and install non-nuclear protective covers, tents, drapes, containments, awning and canopies.
· Ability to install/remove shrink-wrap containments.
· Ability to fabricate protective clothing and other miscellaneous items and upholster various items for shipboard.
· Ability to plan, design, layout, construct, install and remove containments, protective covers, and upholstery using clear sheeting, Herculite, shrink wrap and other flexible materials.
· Workers must be physically able to perform fabric worker duties.
· Knowledgeable of shipboard upholstery, including using various types of tools and materials.
· Ability to safely operate Kabar heat sealing machine, identify equipment parts, and demonstrate use of various dyes and bars used in the heat sealing process.
