The solicitation seeks proposals due by March 9, 2022 for an indefinite delivery/indefinite quantity contract to provide hardware, software, and support services for area control systems. Offerors should base their small business subcontracting plans on their total proposed price for the IDIQ contract. Various clauses have been added or removed via amendment to the RFP. Principal subcontractors must provide the same proposal information as the prime contractor. Past performance will be evaluated based on the scope and complexity of the work rather than specific SOW sections.

ACS Hardware RFP Questions

Question: RFP Reference: Topic: Question: Answer:

Attachment 6 – Wage Determination 2015- 4280 Rev 13

Wage Determination Attachment 6 reflects the WD ending in an even number. Will the Government update Attachment 6 to end in an odd number so it aligns with the WD under the current contract?

Yes, please see updated Attachment 6.

ACS Hardware RFP - 4.3.1.1 Small Business (SB) Utilization Strategy, page 103

Small Business Subcontracting Plan

Given that the total amounts for task orders under this contract is not known at this time, does the government have a number they would like for us to use as the total contract value, or should the bidder use a number at their discretion for illustrative purposes for the small business subcontracting plan?

The Offeror should utilize their total proposed price for the IDIQ contract when developing their small business subcontracting plan.

ACS Hardware RFP - 4.3.1 Small Business Utilization and Subcontracting Plan, page

Small Business Utilization and Subcontracting Plan

The SB Subcontracting Plan requirement is listed in Vol. 4 Cost/Price; however, it states that “the pages of information provided will not count toward the Management Approach page limit.” Would the Government please confirm that the SB Utilization Strategy and Subcontracting Plan remains in Volume 4 as it will contain pricing numbers/information?

The SB Subcontracting Plan falls under 4.3.1 in the Cost Volume. Please see Amendment 0002 of the RFP.

B-1, page 3 Negotiated Rates The table appears to include overtime, however there are no cells designated in the table for overtime rates, please clarify if overtime rates should be included in this Table and how they should be shown?

The Offeror should not fill in the B-1 table. The Government will fill this in utilizing the fully burdened labor rates proposed by the Offeror at time of award. The B-1 table does not include the Overtime labor categories. The Offeror should propose overtime only in Attachment P4 in line with the labor categories and hours designated to OT.

Section B, page 8 5252.211-9503 LEVEL OF

EFFORT (COST

REIMBURSEMENT)

(NAVAIR)(DEC 2012)

Does this clause apply at the Task Order level or at the IDIQ CLIN level. If it applies at the IDIQ CLIN level, is it correct to assume that the requirements of this clause do not apply at the Task Order level?

The Level of Effort Clause provides the total hours under the IDIQ contract. When a TO is issued off of the IDIQ, it will utilize some of these hours. The total hours from all of the TO's must not exceed the total Level of Effort Hours on this IDIQ. This clause will also appear in the TOs with a breakout of labor categories and hours that are applicable under that TO.

Section G, page 49 5252.232-9510 PAYMENT

OF FIXED FEE (NAVAIR)

(OCT 2005)

Does this clause apply at the Task Order level or at the IDIQ CLIN level. If it applies at the IDIQ CLIN level, is it correct to assume that adjustment to the fixed fee will not occur until the end of the five-year period?

This clause will appear in the IDIQ only however, all clauses on the IDIQ are also applicable to the TO's without incorporation.

Section I, page 64 52.244-2 SUBCONTRACTS

(JUN 2020

Paragraph J of this clause requires “fill-in”. Since all subcontractors will be submitting a cost volume and will be evaluated by the Government prior to award, offerors expected responsibility to provide this “fill-in” in its proposal with its proposed subcontractors?

The Government will fill in this clause at time of award with the subcontractors that were proposed under the Prime that is awarded the contract.

Section K, page 71 52.212-5 Contract Terms and Conditions Required to Implement Statutes or Executive Orders-- Commercial Items

Since this procurement is not for commercial items please advise of the applicability of this clause? Clause removed. See amendment 0002 to the RFP.

Section K, page 71 Terms and Conditions-- Simplified Acquisitions (Other Than Commercial Items)

Since this procurement is not under the simplified acquisition threshold, please advise of the applicability of this clause?

Clause removed. See amendment 0002 to the RFP.

Section K, page 88 FAR 52.204-8 Far 52.204-8 is not included in the solicitation, however it is prescribed by FAR 4.1202 to be included. Would the Government please add 52.204-8 to the solicitation?

Clause added. Please see amendment 0002 to the RFP.

Section I FAR 52.204-7 System for Award Management

FAR 52.204-7 is not included in the solicitation, however it is required as prescribed by FAR 4.1202.

Would the Government please add 52.204-7 to the solicitation?

FAR 52.204-7 is included in Section L of the RFP.

Section K, page 88 FAR 52.204-8 Pursuant to FAR 52-408 (B) (1) paragraph (d) applies. As such our offerors expected to complete all of the provisions in Section K of the Solicitation, if they are already included in the Offeror’s Representations and Certifications in SAM?

Yes, please complete Section K of the RFP.

Section L, Part A page96 4.0 Electronic Proposal Submission

Is it acceptable for offerors to submit test document(s) through the solicitation module of PIEE to familiarize and ensure system capabilities?

Unfortunately, we are not accepting test documents through PIEE. If there is an issue when submitting proposal documents, please follow instructions on proposal submission in Section L paragraph 4.0 and 4.1.

Section L, page 97 Para 1.1 Offeror Letter The instructions appear to require the offeror letter to include: i. Offeror Summary Table ii. Signed SF33 and each amendment. iii. Affirmation of no Exceptions, Deviations or Waivers iv. Guarantee the length of proposal validity period. v. Written consent from principal subcontractors. Since the offeror letter is limited to two pages, will the government consider removing (i) through (v) from the page limitation as it exceeds the 2-page limit?

This is a Recommended Page Limit, if the Offeror needs more than 2 pages to submit all of the information under (i) through (v), that is acceptable.

Section L, Part B, page 97 Para 1.0 Offeror Summary Table

Does the table include information for the prime, each subcontractor and each team member? Yes, the Prime Offeror will complete this table and identify themselves, any subcontractors or team members they are utilizing under this contract to perform the work. As stated in the RFP, "The Offeror should include all subcontractors and team members who will be involved with the performance or management of the contract and list all sites where the work will be performed. If a teaming or subcontracting arrangement is proposed, identify the work share, distribution elements, and ratios that each contractor will perform using the table below. Also provide a definition of the legal relationship between the entities if it is other than a Prime/subcontractor relationship."

Section L, page 97 Written Consent from principal subcontractors and critical team members

To be considered a critical team member for purposes of past performance, does the critical team member need to meet the threshold of “at least 20% of the proposed total cost/price (excluding the offerors profit/fee)”?

Please see Amendment 0002 of the RFP. The past performance section of the RFP talks to Principal Subcontractors and JV Team members which are defined in Section L, Part A, 1.0 of the RFP. As stated in the RFP, "a “principal subcontractor” is defined as a subcontractor who provides at least 20% of the proposed total Cost/Price (excluding the Offeror’s profit/fee), for the contract or provides one or more Key Personnel. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation."

Section L-1, Part B, page 97 and Section L- 1 Part A, 3.0 page 94

1.2.1 OCI Disclosure and

Mitigation Plans

The OCI disclosure is part of 1.2 Section K. Given the instruction (in L-1 Part A 3.0) to structure the proposal according to the solicitation instructions, is the offeror to provide the OCI disclosure twice in its proposal in 1.2 Section K and also in Annex 1 - 1.2.1 OCI Disclosure and Mitigation Plans?

Section 1.2 of the RFP states that "the Offeror shall include an OCI disclosure and OCI Mitigation Plan as Annex 1".

Section L-1, Part B, 4.0, page 10 Cost/Price proposal Instructions state subcontractors shall provide the same information required for the prime contractor unless otherwise noted. Are only principal subcontractors required to provide the same information?

No, all subcontractors are required to provide the same information as the prime contractor under the cost/price section of the RFP.

Section L-1, Part B, page 101 Proposal Markings/Legends Are there any issues with Offerors placing markings/legends on the pricing worksheets so as to protect Offeror’s proprietary information

The Offeror may label documents with a "Contractor bid and proposal information" marking, however, the Offeror shall not use any markings that restrict the Government from reviewing all of the proposal information.

Section L-1, Part B, page 102 Section 4.3 (b) Direct/Indirect Rates

The instruction requires offerors to submit Area Wage Determination’s (AWD’s) as applicable for all proposed personnel. Are offerors required to submit the AWD (Attachment 6) provided with the solicitation?

Please see Amendment 0002 of the RFP.

Section L-1, Part B, page 104 Section 4.4 Total Professional Compensation Plan

The instruction requires information for the prime and subcontractors. Should the requirement apply to only principal subcontractors?

Please see Amendment 0002 of the RFP. The Total Compensation Plan has been removed from this requirement due to the limited amount of professional employees under this requirement.

Section M-1, Part B, page 113 Para 5.0 Total Professional Employee Compensation Plan

Pursuant to FAR 52.222-46, the Government evaluates an offerors TCP for realism and an understanding of the work. As such, will the Government use its evaluation of the TCP to determine most probable cost adjustments (Section M-1, Part B, para 4.0) and also to determine the offerors performance risk based on its understanding of the work (Section M-1, Part B, para 2.1)?

Please see Amendment 0002 of the RFP.

Section M, page 114 and Section I, page

52.217-8, Option to Extend Services (EVALUATION OF

OPTIONS)

Section M states that 52.217-8 is not incorporated in the solicitation, however it is incorporated in Section I, page 63. Would the Government please clarify which Section is correct?

Clause 52.217-8 has been removed from the RFP as this IDIQ contract does not utilize Options and utilizes a Five Year Ordering Period.

INTEREST (SERVICES) (NAVAIR)(MAR

Fill-ins for period of prohibition

The OCI clause does not include fill-ins for “the period of prohibition” at the end of sub paras (e)(2) and (e)(3). Will the Government update the RFP to include such information? The RFP has been updated to include this. Please see Amendment

0002 of the RFP.

ACS Hardware Past Perf Evaluation Criteria, ACS Hardware RFP, Section 3.0 Past Performance, second para, page 112;

SOW

ACS Hardware Past Perf Evaluation Criteria

In looking at the Past Perf evaluation criteria in the RFP on page 112, under paragraph 3.0, it states:

“The Government will focus on scope and complexity of performance similar to the requirements of SOW paragraphs listed in paragraphs 3.3.1 Fleet support, 3.3.3 Technical support, 3.3.9 Software development, test, and maintenance support, 3.3.10 Field change program support, 3.3.11 Production support, and 3.3.14 Overhaul and restoration program support of the SOW.” In looking at the actual SOW requirements, 3.3.1 to 3.3.8, the Past Perf Evaluation Criteria and the SOW do not match. Would the Government update the Evaluation Criteria to correctly address the SOW elements that Offerors Past Performance will be evaluated with?

Please see Amendment 0002 of the RFP.
