Section A - Solicitation/Contract Form

POINTS OF CONTACT

CONTRACT SPECIALIST: Ebes Olumese

(301) 342-3932 ebes.olumese@navy.mil

PROCURING CONTRACTING OFFICER: David Silverstone

(301) 757-2528 david.silverstone@navy mil

(1) This acquisition is being issued on a full and open/competitive basis and will result in the award of a Single-Award, Indefinite-Delivery/Indefinite-Quantity (IDIQ) type contract.

(2) The Product/Service Code (PSC) for this procurement is V121: Transportation/Travel/Relocation – Transportation: Air Charter

(3) The resulting IDIQ contract will have a four-year and 364-day ordering period; however, Task Orders issued will not have a period of performance that extends past the final day of the contract ordering period.

(4) The Contractor will be required to have a SECRET Facility clearance upon award. Security clearance requirements are defined in Section C – Performance-Based Work Statement (PBWS), and Attachment (1)

– DD Form 254.

(5) Stand-up Capability for Type III and Type IV aircraft (CLINs 0001 and 0004) shall be completed within six-months from date of contract award. Stand-up Capability for Type J aircraft (CLIN 0012) shall be completed within six-months from exercise of the option.

(6) The Contractor's total Firm-Fixed Price (FFP) for CLINs 0002, 0005 and Option CLIN 0013 are based upon the full performance period (60 months). The Government will adjust the unit price of CLINs 0002, 0005 and Option CLIN 0013 if exercised, once the Contractor has obtained operational capability (i.e.

obtained a Navy Interim Flight Clearance (IFC) to operate, Performance Based Statement of Work (PBWS) Section 3.8.1.3.2) to reflect the actual number of months remaining in the total contract ordering period after obtaining operational capability. The unit price adjustment will only account for fixed costs that must be amortized over the actual number of months available for training performance. For example, assuming a Contractor completes CLIN 0001 Capability Stand-up within 6 months of Contract award, the CLIN 0002 months will be adjusted from 60 to 54 months and the unit price shall be adjusted to account for ONLY the costs that the Contractor has previously incurred and allocated to CLIN 0002, that must be amortized over the reduced number of months. Costs that have yet to be incurred on CLIN 0002 will merely be included in the new unit price in the same amounts originally proposed.

(7) The Contractor will continue to invoice monthly under CLIN 0001, 0004 and Option CLIN 0012 if exercised, at the fixed monthly rate specified for the CLIN until the Contractor obtains operational capability (i.e. obtained a Navy Interim Flight Clearance (IFC) to operate, Performance Based Statement of Work (PBWS) Section 3.8.1.3.2) not to exceed 6 months after award. If the Contractor obtains the approved Navy IFC in any month BEFORE the last month, the remaining full months will become void and not billable under the contract.

(8) Proposals shall be submitted no later than 1400 EST on XXX, XX XXX 2019. Proposals shall be valid for 270 days from submission date. (See Section L).

Nothing in this subparagraph shall preclude the Contractor from competing for follow-on contracts for AAS.

(f) Remedies. In the event the Contractor fails to comply with the provisions of this clause, such noncompliance shall be deemed a material breach of the provisions of this contract. If such noncompliance is the result of conflicting financial interest involving Contractor personnel performing work under this contract, the Government may require the Contractor to remove such personnel from performance of work under this contract. Further, the Government may elect to exercise its right to terminate for default in the event of such noncompliance. Nothing herein shall prevent the Government from electing any other appropriate remedies afforded by other provisions of this contract, or statute or regulation.
