The security clearance is required for performance on this contract in accordance with DD 254, Attachment J-3 and must be in place at time of expected award date.

1.0 GENERAL

The Offeror shall submit all information required by this solicitation. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award. The Offeror’s proposal shall be based on the requirements contained in this solicitation. Offerors are required to submit a proposal encompassing all items listed herein. Comprehensive responses to the requirements of this solicitation are required to enable the Government to evaluate the Offeror’s understanding of and capability to accomplish the requirements of the SOW. General statements that the Offeror can or will comply with the requirements, that standard procedures will be used, that well known techniques will be used, or paraphrasing the solicitation’s requirements in whole or in part, will NOT constitute compliance. Failure to conform to any of the requirements of the solicitation may form the basis for rejection of the proposal and may result in the Offeror being disqualified from consideration for award. Offerors are advised to submit proposals that are complete and clear in all respects without the need for additional explanation or information.

The solicitation will be made available only through the internet at https://sam.gov/.

Offerors are hereby notified that from time to time, the Government may post additional information to the web site relating to this solicitation (e.g. responses to questions, amendments, etc.). It is the Offeror’s responsibility to check the web site for any such information.

1.1 Submission of Questions and Comments

Offerors may electronically submit written questions requesting clarification of solicitation requirements by sending an email to the Contract Specialist, Daniel Kough at Daniel.w.kough2.civ@us.navy.mil and copy to the PCO Lisa Grayum at lisa.m.grayum.civ@us.navy.mil. For ease of Government review and to facilitate quicker responses, Offerors must submit questions on a Microsoft Word version of the Interested Offeror Questions Form (Attachment L-1). Information provided with each question shall include the document name, document date, specific page, paragraph, clause, or other definitive citation requiring clarification as per Attachment L-1. If there are revisions to the solicitation issued as an amendment, the conformed copy of the solicitation (which will be provided by the Government) shall be used for the purposes of asking questions. All such questions should be submitted by email within 21 29 calendar days after release of the solicitation to allow the Navy adequate time to prepare and issue responses to all Offerors prior to the date and time set for receipt of proposals. Only questions transmitted electronically will receive a response. The Navy will continue to accept questions up to the closing date and time of the solicitation; however, time may not permit responses to be issued prior to proposal receipt. Questions received after the time set forth above may not result in an extension to the proposal due date. It is the Government’s intention that all non-proprietary questions and responses will be distributed electronically to all potential Offerors via the System for Award Management website. If an Offerer deems its question to be proprietary in nature (contains sensitive information proprietary to the company), the subject line of the email question should contain the following: Offeror Name PROPRIETARY. If, during its review of the submitted proprietary Offeror’s question, the Government determines, at its sole discretion, that the question does not contain proprietary information, the Offeror will be notified of the Government’s determination and the answer to the question will be distributed to all Offerors.

1.2 Site Visit

A site visit will be held following release of this solicitation. Offerors shall follow the instructions posted within the solicitation listing on https://sam.gov/ to attend the site visit. The Navy reserves the right to reschedule or cancel the site visit at the discretion of the Contracting Officer. Therefore, the Offeror’s proposal shall contain the Offeror’s best terms from a price and technical standpoint. However, the Government may contact any or all or a limited number of Offeror’s with written questions concerning their proposals as permitted under FAR Part 15. The Government reserves the right to conduct discussions if the Procuring Contracting Officer determines them to be necessary. If discussions are held, they will be held in accordance with FAR 15.306(d). At the end of discussions (if conducted), the Government will request Final Proposal Revisions (FPRs) from all Offerors still within the competitive range. Information presented shall appear in the proposal in the same order it appears under the description of each proposal volume below.

2.1 VOLUME I: TECHNICAL PROPOSAL

This volume shall include a cover page, table of contents, and the information required below in the same order in which it is provided in the solicitation, formatted using the same numbering convention as that used in this section of the solicitation. The maximum page count for Volume I is 270 pages (250 for Factor 1 and 20 for Factor 2). This page limit does not apply to the sample problem response that may be required under Section 2.1.1.

2.1.1 Factor 1.0 – Technical Capability

1. Element A: Personnel The scheduled labor positions and required staffing levels are identified in Attachment J-1 of the solicitation with the associated qualifications detailed in Attachment J-2. Depending on the level of utilization of ESSM by the Navy and other customers, the total level of manning required to manage, maintain and operate ESSM may increase or decrease. It is the Navy’s desire to utilize personnel employed directly by the prime contractor for the scheduled labor positions identified in Attachment J-1. However, the use of subcontractor personnel for the scheduled positions is permitted. The Offeror shall clearly identify the scheduled labor positions for which it intends to fulfill using subcontractor personnel in its submission of the completed J-1 attachment. If the Offeror proposes the use of more than one subcontractor for scheduled labor positions, the Offeror shall detail its plan for coordination of the subcontractor employees to ensure seamless and effective performance. The completed J-1 shall be provided as an Excel file appendix to Volume I but shall not include any cost/price data.

The list of scheduled personnel in Attachments J-1 and J-2 is divided into key and non-key positions. The Offeror shall include a description of the approach for managing key and non-key personnel attrition and response to new and unplanned requirements. Also, the Offeror shall describe the approach to staffing non-key personnel positions including any programs to maintain or develop your workforce including upward mobility, educational development, and training. The Offeror shall include a table like the one below in this section of its proposal identifying the individuals proposed for each of the key personnel positions. The Offeror shall provide resumes for each of the individuals proposed to fill the key positions listed. The Offeror shall complete the yellow fill-ins for key personnel in Attachment J-2 that summarizes the position title, location, and name of the individuals being proposed to fill the key positions. Detailed resumes (limited to two pages, one-sided, 8-1/2 by 11 inch pages per person) are required for the key personnel identified by the Offeror. Resumes are not included in total page count restrictions.

Offerors shall only submit resumes for the key positions. If an Offeror submits resumes for more than the minimum number of key positions, the Government will only evaluate resumes for the minimum number of personnel listed above, beginning with the first resume for that personnel type. In other words, if an Offeror were to submit five resumes for Base Manager (ESSM), the Government will only evaluate, in order, the first four resumes. The Government will not evaluate additional resumes or make decisions about which personnel best meet the minimum qualifications for that personnel type. Resumes shall be submitted in the format specified below. The desired educational and experience levels delineated in the Scheduled Personnel Qualifications shall be demonstrated and detailed in the resume. For all categories, the experience and educational qualifications specified represent the Government’s desired qualifications. Substitution of experience for education is permitted per Scheduled Personnel Qualifications and Key Personnel (Attachment J-2). A specific number of years of experience to be substituted for education is specified therein. In the event that education or experience qualifications do not meet the Governments desired qualification for a proposed employee, the Contractor must provide adequate rationale to support the suitability of the employee for performance under the contract.

This may include, but is not limited to, Contractor Performance Assessment Reporting System (CPARS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; the Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, Fee Determining Officials.

The total page count for Past Performance shall not exceed 20 pages.

2.2 VOLUME II: COST/PRICE PROPOSAL

2.2.1 Factor 3.0 – Cost/Price

The cost/price volume shall demonstrate a complete understanding of the effort necessary to perform this planned contract. Sufficient supporting data shall be provided as required to permit the Government to perform a review and analysis of the proposed contract line items. Proposals must be effective (i.e., valid for the purposes of making a contract award) for a period of 365 days from the closing date for receipt of offers. The anticipated date of contract award is between March 2024 and June 2024. The actual award date will be determined at the sole discretion of the Government without advance notice to Offerors.

An Offeror's proposal is presumed to represent the Offeror's best efforts to respond to the solicitation. Furthermore, the efforts that are priced in the Cost/Price Proposal Volume must be consistent with the efforts described in the technical proposal. The burden of cost credibility rests with the Offeror to demonstrate the realism of its proposed costs; as such, the Offeror shall submit substantiating data for every major cost element proposed (e.g., direct labor, fringe rate, overhead rate, G&A rate, subcontract costs, etc.). While the Government reserves the right to rely on other relevant, reliable data in its cost realism analysis of each Offeror’s proposed costs, the Offeror shall submit sufficient substantiating data to demonstrate the realism of proposed cost elements. The Offeror shall explain any inconsistency between promised performance and price/cost, as well as any appearance of unbalanced pricing, in the proposal. Inconsistency, if unexplained, raises a fundamental issue of the Offeror's understanding of the nature and scope of the work required and its ability to perform the contract. Accordingly, the Government may consider such inconsistencies in evaluating an Offeror’s ability to perform and the cost risk of its approach.

All pricing information submitted in response to this solicitation is for the exclusive use of Government representatives. The information shall be marked "COST/PRICE INFORMATION – NOT TO BE PUBLICLY DISCLOSED."

This volume shall consist of the following in the below specified order/format and is not subject to any page limitations:

2.2.1.1 CHAPTER 1.0 – SCHEDULED LABOR RATES

The scheduled personnel positions identified in Attachment J-1 are considered to be the estimated level of staffing required to manage, maintain, and operate the ESSM system. The J-1 positions are NOT by definition full-time positions. Their use is dependent on the workload of the ESSM enterprise and that use will be adjusted on a semi-annual basis if necessary with the concurrence of the GEPM. However, for the purposes of this solicitation and evaluation, the ESSM scheduled personnel positions listed as in Attachments J-1 and J-2 of the solicitation should be considered and treated as full time positions. Offerors are required to provide fully burdened (exclusive of fee) fixed hourly rates (standard and overtime) within the Attachment L-2 “Scheduled Labor” worksheet for each ESSM facility located in Virginia, California, Alaska, and Hawaii, in accordance with Section C “Scheduled Labor” requirements. All the yellow cells within the Attachment L-2 “Scheduled Labor” worksheet shall be populated with the respective fully burdened labor rates (exclusive of fee).

For scheduled labor positions that are considered non-exempt from the Service Contract Act, Offerors shall propose rates no lower than the minimums listed in SCA Wage Determinations current as of the date of the proposal. Current SCA Wage Determinations can be found at https://sam.gov/content/wage-determinations.

2.2.1.2 CHAPTER 2.0 – INDIRECT RATES AND CEILINGS

1. Indirect Rates This section of the Offeror’s proposal shall identify all proposed indirect rates/costs and provide supporting documentation that the Offeror has used in the pricing scenarios discussed in 3.2.1.5 and any other indirect rates which may be applicable to this contract but not utilized in pricing the ESSM scenarios or listed by the Government in the “Indirect Rates” worksheet of the L-2 attachment. The Offeror shall include a detailed narrative describing how each proposed indirect rate is applied/indirect cost is calculated.

The Offeror shall indicate if the proposed rates are subject to a Forward Pricing Rate Agreement or Forward Pricing Rate Recommendation with the Government and provide that documentation with its proposal. In performing a cost realism analysis for the Offeror’s proposal, the Government may rely on the recommendations of DCAA and/or DCMA. Therefore, the Offeror shall provide an explanation as to why the proposed rates differ from those recommended by DCAA and/or DCMA (if known). For example, an Offeror could choose to exclude depreciation from an indirect rate since all facilities, tooling, equipment, etc. are provided by the Government under the ESSM contract; however, unless the Offeror provides full disclosure and adequate justification, the Government may make cost realism adjustments based on DCAA and/or DCMA recommendations, historical data and/or other information. Offeror and cost reimbursement subcontractors shall provide the three most recent years of incurred actuals for each proposed indirect rate, any provisional billing rates available, also indicating the beginning and end dates for each fiscal year. This history shall include the most recently completed fiscal year even if the rates are considered preliminary and have not been submitted to DCAA for audit. The Offeror shall note whether the actual rates have been audited by DCAA or any other independent organization; specifically state which indirect rates have been finalized by DCAA and/or DCMA. If proposed rates are below historical rates, the cost narrative shall include an explanation along with supporting information to corroborate why the proposed indirect rates that are lower than historical rates. Facilities Capital Cost of Money (FCCOM) will not be an allowable cost under this contract. Any resultant contract will include the FAR clause 52.215-17, Waiver of Facilities Capital Cost of Money.

The Offeror shall complete the “Indirect Rates” worksheet within the L-2 attachment to include the proposed indirect rates, proposed ceiling rates, and historical rates. If there are different rates for each of the ESSM locations, the Offeror shall include the respective rates within the appropriate cells. If there is only one rate for all four of the ESSM locations, the same rate shall be populated for all of the locations. For example, if the Offeror utilizes one G&A rate for all four of its ESSM locations, all of the yellow cells in the G&A rate table (for each ordering period) shall be the same. Furthermore, if the Offeror’s accounting practices utilize different indirect rates than those provided in the worksheet and would apply to this contract effort, the Offeror may adjust or add rate charts to better display its actual indirect rates. Please note that any such changes in the rate charts within the “Indirect Rates” worksheet must also be appropriately linked to the L001-L004 pricing scenario worksheets within the L-2 attachment.

a. Ceiling Rates If the Offeror is willing to stipulate any or all of the identified indirect cost rates as ceiling rates (i.e., not-to-exceed rates) then the Offeror shall complete/fill-in the appropriate tables within the “Indirect Rates” worksheet of the L-2 attachment. Offerors are advised that the Government prefers to have indirect rates that are capped at ceiling/not-to-exceed amounts. The proposed ceiling rates table will be incorporated into Section B of the contract upon award.

If the Offeror proposes different ceiling rates for each of the ESSM locations, the Offeror shall include the respective rates within the appropriate cells. If there is only one ceiling one rate for all four of the ESSM locations, the same rate shall be populated for all of the locations. For example, if the Offeror elects to propose one G&A ceiling rate for all four of its ESSM locations, all of the yellow cells in the G&A ceiling rate table (for each ordering period) shall be the same. Furthermore, if the Offeror’s accounting practices utilize different indirect rates than those provided in the worksheet and would apply to this contract effort, the Offeror may adjust or add rate charts to better display its company-specific indirect rates.

2.2.1.3 CHAPTER 3.0 – AWARD/FIXED FEE

The Offeror shall complete the “Fee” worksheet of the L-2 attachment. These fee percentages will be incorporated into Section B of the awarded contract. The limits placed on the maximum fee that may be proposed are as follows:

a. CPAF CLIN 0001 – Operational ESSM Efforts Offerors shall propose a maximum award fee percentage for scheduled and non-scheduled labor not to exceed ten percent (10.00%). Offerors shall propose a maximum award fee percentage for all ODCs not to exceed three percent (3.00%). The base award fee applied to all the costs under this line item is zero percent (0.00%).

b. CPFF CLIN 0002 – Non-operational ESSM Efforts Offerors shall propose a fixed fee percentage for scheduled and non-scheduled labor not to exceed five percent (5.00%). Offerors shall propose a fixed fee percentage for all ODCs not to exceed three percent (3.00%).

c. NSP CLIN 0003 – Data Data required under Exhibit A, Contract Data Requirements List, is not separately priced and will be included in and evaluated as part of the requiring CLINs on each task/delivery order. The prevailing fees for CLINs 0001 and 0002 will apply to the data costs included in each task/delivery order, as appropriate.

2.2.1.4 CHAPTER 4.0 – COST/PRICING SCENARIOS

Offerors shall complete each cost scenario worksheet (L001-L004) contained within the Attachment L-2 workbook. The ESSM scenarios address Scheduled Labor, Non-scheduled Labor, ODCs, and an Operational Response Team (ORT) event, and are designed to capture the cost of operating and maintaining ESSM for five 12-month ordering periods. The L001-L004 cost/price scenario worksheets are pre-populated and include formulas to utilize all the proposed scheduled labor rates, indirect rates, and fee percentages provided by the Offeror in the worksheets discussed in Volume II Chapters 2.0 – 4.0. No alterations shall be made to the cost scenario worksheets format or formulas unless they are a result of unique indirect rate categories/accounting practices identified by the Offeror in Volume II Chapter 3.0.

The sum of the scenarios for the five ordering periods will constitute the Offeror’s total proposed amount for evaluation purposes. The proposed amounts for the four scenarios submitted with Attachment L-2 are for evaluation purposes only and will not be a part of any resultant contract.

1. Scenario 1 - Scheduled Labor (L001) The purpose of Scenario 1 in Attachment L-2 Exhibit L001 is to calculate a proposed cost for scheduled labor for a fictitious operational CPAF order against CLIN 0001. The proposed costs for Scenario 1 will be calculated by using 2,000 hours for standard time and 120 hours for overtime for each employee per ordering period, multiplied by the proposed scheduled rates (standard and overtime, respectively) for each position.
