CLAUSES INCORPORATED BY FULL TEXT

B-215-H002 REFUNDS (SPARES AND SUPPORT EQUIPMENT) (NAVSEA) (OCT 2018)

(a) In the event that the price of a spare part or item of support equipment delivered under this contract significantly exceeds its intrinsic value, the Contractor agrees to refund the difference. Refunds will not be made to recoup the amount of cost decreases that occur over time due to productivity gains (excluding economic purchase quantity considerations) or changes in market conditions.

(b) For purposes of this requirement, the intrinsic value of an item is defined as follows:

(1) If the item is one which is sold or is substantially similar or functionally equivalent to one that is sold in substantial quantities to the general public, intrinsic value is the established catalog or market price, plus the value of any unique requirements, including delivery terms, inspection, packaging, or labeling.

(2) If there is no comparable item sold in substantial quantities to the general public, intrinsic value is defined as the price an individual would expect to pay for the item based upon an economic purchase quantity as defined in FAR 52.207-4, plus the value of any unique requirements, including delivery terms, inspection, packaging or labeling.

(c) At any time up to two years after delivery of a spare part or item of support equipment, the Contracting Officer may notify the Contractor that based on all information available at the time of the notice, the price of the part or item apparently exceeds its intrinsic value.

(d) If notified in accordance with paragraph (c) above, the Contractor agrees to enter into good faith negotiations with the Government to determine if, and in what amount, the Government is entitled to a refund.

(e) If agreement pursuant to paragraph (d) above cannot be reached, and the Navy's return of the new or unused item to the Contractor is practical, the Navy, subject to the Contractor's agreement, may elect to return the item to the Contractor. Upon return of the item to its original point of Government acceptance, the Contractor shall refund in full the price paid. If no agreement pursuant to paragraph (d) above is reached, and return of the item by the Navy is impractical, the Contracting Officer may, with the approval of the Head of the Contracting Activity, issue a Contracting Officer's final decision on the matter, subject to Contractor appeal as provided in the "Disputes" clause (FAR 52.233-1).

(f) The Contractor shall make refunds, as required under this requirement, in accordance with instructions from the Contracting Officer.

(g) The Contractor shall not be liable for a refund if the Contractor advised the Contracting Officer in a timely manner that the price it would propose for a spare part or item of support equipment exceeded its intrinsic value, and with such advice, specified the estimated proposed price, the estimated intrinsic value and known alternative sources or item, if any, that can meet the requirement.

(h) This requirement does not apply to any spare parts or items of support equipment whose price is determined through adequate price competition. This requirement also does not apply to any spare part or item of support equipment if the Contractor submitted, and certified the currency, accuracy and completeness of, cost or pricing data applicable to the item.

SECTION C

STATEMENT OF WORK

SECTION C - DESCRIPTION/SPECIFICATIONS/WORK STATEMENT

PART 1 – GENERAL STATEMENT OF WORK

PART 2 – CONTRACT LINE-ITEM NUMBER (CLIN) DESCRIPTIONS

PART 3 – STATEMENT OF WORK, DESIGN, PRODUCTION AND DOCUMENTATION

PART 1 - GENERAL STATEMENT OF WORK

This Statement of Work (SOW) defines the effort required for the design, construction, testing, configuration and program management for the acquisition of up to seventy-three (73) 40 foot Patrol Boats (40PBs), including the effort required to apply appropriate program management, deliverable tracking, logistics, training, installation, testing, and technical documentation.

Only the Procuring Contracting Officer (PCO) and Administrative Contracting Officer (ACO) have the authority for the U.S. Navy to authorize or change work and sign contract documents. No other personnel are authorized by their formal communications or by their course of conduct to commit the U.S. Navy to price changes, schedule changes, or to perform different or additional work. The Contractor shall only execute tasking or requests for support under this contract when such direction comes from, or is agreed to by the PCO or the ACO.

The award of the contract does not indicate that the Government has approved or certified the design provided with the proposal. The Contractor shall remain fully responsible for delivering the craft, which fully meets the requirements of this Contract.

This contract provides a package of non-deviational Government design drawings and informational data located in Attachment J-4 GFI List, Item #15. The informational package is primarily unmodified data from the initial contract. Note that some of these artifacts may be very similar to artifacts required in the accomplishment of work on this contract. The informational data is provided to assist the contractor in completing the design and data requirements of this contract, but it is not warranted for accuracy or relevance. In addition, compliance with the informational package is NOT required.

Award of this contract does not guarantee all of these efforts shall be conducted. The Contractor shall only conduct efforts upon award of a specific delivery order invoking the CLIN’s in Section B in accordance with the detailed description in Parts 2 and 3 of the SOW, the contract and associated attachments. All future orders will be placed in accordance with FEDERAL ACQUISITION REGULATION (FAR) 16.504 INDEFINITE-QUANTITY CONTRACTS and 16.505 ORDERING. The following high-level description provides an overview of the detailed requirements in the subsequent sections of the SOW and the remainder of the contract.

Quantities The total quantity planned for the 7-year Indefinite Delivery; Indefinite Quantity (IDIQ) contract is for up to seventy-three (73) 40PB’s with fifty-three (53) crafts for NECC, ten (10) for other Navy customers and ten (10) for U.S. Navy Foreign Military Sales, pending funding authorization. In accordance with FAR Clause 52.216-19, the minimum guarantee is one (1) 40 foot Patrol Boat for each successful offeror in the first Ordering Period.

Design, Management and Production The Contractor shall be responsible for managing all activities (Program management, design, engineering, logistics, reporting, scheduling, production, quality control, training, testing, and warranty support) required to successfully execute, track and report on the execution under this contract. After award the Government shall conduct a series of Design Reviews, Production Readiness Review(s) and Initial Hull Verification with the Contractor that shall occur prior to the start of production per Section C-3.042-3 of the SOW.

Data The Program shall pay for design integration development required to support the Preliminary Design Review (PDR) and Critical Design Reviews (CDR) and a Design Data package in the initial phase of the contract. The Technical Data Package (TDP) as defined in this SOW shall be delivered with each boat sufficient to support operation, training, maintenance, repair and upgrade through the service life of the boat.

Government Furnished Equipment The Navy is working with other Government agencies to procure various components of the Government tactical electronics package which shall be provided as Government Furnished Equipment (GFE) to the Contractor for integration into each boat during its production phase. The Contractor shall be responsible for receipt and safe storage of Government Furnished Equipment (GFE), and then installation, testing and proper operation onboard the boat.

Data Rights In order to support awards of additional boats of the same configuration, the Government requires Government Purpose Rights to all drawings, designs, specifications, production engineering data and work packages per DFARS clause 252.227-7013 (Rights in Technical Data – Non-Commercial Items) that would permit a qualified contractor to repair and maintain the boat.

Preservation, Delivery and Spares All Boats shall be delivered to an east coast stock point. Due to anticipated staggered delivery from the Contractor, when ordered, some boats may be preserved for long term storage (up to twelve (12) months) prior to being put in service.

Training If ordered, the Contractor shall develop and provide crew familiarization to the training elements of various units within the command structure. Approximately two (2) Boat familiarization classes are planned per year with three (3) in FY23 in conjunction with Initial Production boat delivery and the second and third in coordination with the fielding of the full rate production boats. Additionally, the Contractor shall provide OEM engine and waterjet training classes at the Government designated Norfolk, VA and/or San Diego, CA and/or International locations. Approximately two (2) sets OEM (engine/jet) training classes, three (3) sets on each coast, are planned during the Period of Performance. Exact numbers shall be specified on the individual delivery orders.

Miscellaneous Technical and Production Support A PIO CLIN has been included in order to facilitate ordering support or materials not originally envisioned at the time of award but that becomes evident over the conduct of the contract. If a part breaks during Government testing that is not covered under warranty, the Government may order, via the PIO CLIN, a replacement part and installation services at the Governments test location as a corrective action.
