CLAUSES INCORPORATED BY FULL TEXT

B-215-H002 REFUNDS (SPARES AND SUPPORT EQUIPMENT) (NAVSEA) (OCT 2018)

(a) In the event that the price of a spare part or item of support equipment delivered under this contract significantly exceeds its intrinsic value, the Contractor agrees to refund the difference. Refunds will not be made to recoup the amount of cost decreases that occur over time due to productivity gains (excluding economic purchase quantity considerations) or changes in market conditions.

(b) For purposes of this requirement, the intrinsic value of an item is defined as follows:

(1) If the item is one which is sold or is substantially similar or functionally equivalent to one that is sold in substantial quantities to the general public, intrinsic value is the established catalog or market price, plus the value of any unique requirements, including delivery terms, inspection, packaging, or labeling.

(2) If there is no comparable item sold in substantial quantities to the general public, intrinsic value is defined as the price an individual would expect to pay for the item based upon an economic purchase quantity as defined in FAR 52.207-4, plus the value of any unique requirements, including delivery terms, inspection, packaging or labeling.

(c) At any time up to two years after delivery of a spare part or item of support equipment, the Contracting Officer may notify the Contractor that based on all information available at the time of the notice, the price of the part or item apparently exceeds its intrinsic value.

(d) If notified in accordance with paragraph (c) above, the Contractor agrees to enter into good faith negotiations with the Government to determine if, and in what amount, the Government is entitled to a refund.

(e) If agreement pursuant to paragraph (d) above cannot be reached, and the Navy's return of the new or unused item to the Contractor is practical, the Navy, subject to the Contractor's agreement, may elect to return the item to the Contractor.

Upon return of the item to its original point of Government acceptance, the Contractor shall refund in full the price paid.

If no agreement pursuant to paragraph (d) above is reached, and return of the item by the Navy is impractical, the Contracting Officer may, with the approval of the Head of the Contracting Activity, issue a Contracting Officer's final decision on the matter, subject to Contractor appeal as provided in the "Disputes" clause (FAR 52.233-1).

(f) The Contractor shall make refunds, as required under this requirement, in accordance with instructions from the Contracting Officer.

(g) The Contractor shall not be liable for a refund if the Contractor advised the Contracting Officer in a timely manner that the price it would propose for a spare part or item of support equipment exceeded its intrinsic value, and with such advice, specified the estimated proposed price, the estimated intrinsic value and known alternative sources or item, if any, that can meet the requirement.

(h) This requirement does not apply to any spare parts or items of support equipment whose price is determined through adequate price competition. This requirement also does not apply to any spare part or item of support equipment if the Contractor submitted, and certified the currency, accuracy and completeness of, cost or pricing data applicable to the item.

B-216-H003 ECONOMIC PRICE ADJUSTMENTS—ALTERNATE III (NAVSEA) (JUN 2023)

(a) Economic price adjustments (EPA) shall only be made in accordance with this contract requirement. The provisions of this requirement shall result in an adjustment to the Section B values. The Contractor hereby agrees that the indices (including composite weights) and formula(s) used herein are proper and appropriate for this contract’s requirements.

(b) The price adjustment, as a result of this clause, applies only to the predetermined values by contract line item (CLIN) as identified in the table below. The costs subject to adjustment for each CLIN are as follows:

Table 1 - Material Values subject to EPA

Note (delete upon award): Contract Specialist shall insert the CLIN, Description, Government determined value per CLIN. These values shall also be consistently populated into (Attachment J-14) Table 1.

(c) It is anticipated that the Contractor’s actual expenditures for the CLINs set out in Table 1 may vary during contract performance and the parties desire to provide for adjustments as outlined in Table 1 to fairly compensate the Contractor due to such variations. However, regardless of the actual variations in the expenditures experienced during the period of performance, adjustments because of such variations shall be computed and effected solely in accordance with the procedures specified herein. For the purposes of this clause, no adjustments in pricing shall be made for values other than those identified in the table above.

1) Any economic price adjustment to the contract pursuant to this clause shall not impede the Government’s unilateral right to exercise any option(s) without prior consent of the Contractor as provided for in this contract.

2) Contract adjustments may be made to the values in Table 1 to adjust the price of the CLIN for fluctuations in the indexes in Table 2 below. The amount of price to which EPA calculations are applicable may be found in Table 1 above and the relative weightings of indices may be found within Table 2 below.

3) After an economic price adjustment is made for a given CLIN, no further adjustment for that CLIN will be made under this clause. Adjustment shall be on the basis of fluctuations in the indexes in Table 2, and shall be calculated on the basis of the formula provided within this clause under the heading, FORMULA. The Formula shall use the IHS Markit Forecast for indices listed below at the date of contract award as the base period. To calculate the adjustment, the Formula shall use the index listed below after the preliminary indices period in the month prescribed in Table 1, column “Date of Adjustment Index”. The amount of the adjustment resulting from the application of the Formula represents the total economic price adjustment to be paid to the contractor under this clause. The Contractor will only receive the adjustment that results from the FORMULA whether or not the actual price paid by the Contractor for values associated with the economic price adjustment differs from the results of FORMULA.

Table 2 –EPA Index(es)

(i) The index for Aluminum sheet plate, and foil used in this formula is the IHS Markit forecast for Producer Price Index (PPI) for Aluminum sheet, plate, and foil, PPI331315 (Index X).

(ii) The index for Selected Equipment used in this formula is the IHS Markit forecast for Producer Price Index (PPI) for General purpose machinery and equipment, WPIP11 (Index Y).

(iii) The index for raw materials and parts containing Polyethylene used in this formula is the IHS Markit forecast for Producer Price Index (PPI) for Nonpackaging plastics film and sheet manufacturing – Unlaminated polyethylene film and sheet, LDPE (Index Z).

(d) Administrative Procedures:

1) The amount of the economic price adjustment to the price of each individual CLIN determined above (whether a price increase or decrease) shall be set forth separately in a unilateral written modification to this contract, which also shall set forth the computation upon which each adjustment is based.

2) In the event that any amount pursuant to this clause and the Formula in respect to an Item is a negative figure, the adjustment pursuant to this clause shall reduce the price of the CLIN by said amount.

3) The Government anticipates the adjustment under this clause will be made within 3 months prior to option exercise/start of a given ordering period for the CLINs identified in Table 1 above. The adjustment made prior to option exercise or the start of an ordering period will have a proportional adjustment to the payments made under the Section H Payable Events Schedule.

5) The “Forecast for Date of Adjustment” will be the indices current IHS Markit Forecast for the“Date of Adjustment” at the time the Option is exercised or the Order is placed. (CHECK LANGUAGE)

4) Nothing contained in this contract requirement shall be considered as prohibiting changes in the contract prices made pursuant to any other provisions of this contract.

5) In the event the IHS Markit discontinues publication or changes the content of any index used in this contract requirement, the parties shall mutually agree on an appropriate substitute for the affected index for use in determining economic price adjustments in accordance with this contract requirement. In the event the IHS Markit alters its methods of calculating or reporting an index used in this requirement (including a change in the base period), the appropriate adjustments shall be made by the parties to put the revised index on a comparable basis with the index as calculated before the change.

6) Any dispute arising under this contract requirement shall be determined in accordance with and subject to the provisions of the “Disputes” clause of this contract.
