SUMMARY OF CHANGES
SECTION B - SUPPLIES OR SERVICES AND PRICES
The following have been modified:
NOTE D
NOTE D- Stepladder pricing for configuration and HMI options for incorporation under CDP hardware base contract line items (CLINs) 0001-0003, and if Option CLINs are exercised 1001-1003, 2001-2003, 3001-3003, and 4001-4003 shall be established at contract award and detailed in the tables below. The Section B amounts in the tables below shall be established and funded through unilateral modification in accordance with Section I clause 52.217-7 and the stepladder pricing detailed in the tables below. During contract execution, the pricing detailed in the tables below will be combined with the pricing established in Note C of Section B to provide the fully integrated console price under CLINs 0001-0003, 1001-1003, 2001-2003, 3001-3003 and 4001-4003. The Government will detail the specific Configuration / HMI Option item description within the respective SLIN extended description in Section B at time of modification award, providing direction to the contractor for which Configuration/HMI Option to incorporate with the console variant being procured.
The Government may procure any selection of the items identified in the tables below. Furthermore, the Government retains the right to unilaterally increase the quantity procured for each of the specific configurations and HMI options identified in the tables below (base CLINs 0001-0003 and if options are exercised; 1001-1003, 2001-2003, 3001-3003 and 4001-4003) as long as it occurs before the latest option exercise date stated under Section I clause 52.217-7. If a quantity increase for a specific configuration and HMI option occurs within a 60-day period of other quantities procured for that speciifc configuration and HMI option, then pricing for the total quantity procured for that specific configuration and HMI option within this 60-day period shall be adjusted to the unit price from the stepladder pricing tables below for the total quantity procured of that item. Conversely, for any quantity increases of a specific configuration and HMI option not occurring within a 60-day period, the Government will utilize the unit pricing from the stepladder pricing tables below applicable to the quantity of each specific configuration and HMI option and the pricing of previous quantities procured of each specific configuration and HMI option shall not change.
For funding and administrative purposes, at the time of option exercise and quantity purchase increases, the Contracting Officer may unilaterally establish separately priced contract line items (CLINs) or subcontract line items (SLINs) to procure items under Note D. The Section B Firm Fixed Price (FFP) amount and the funding provided in each modification shall be unilaterally established based on the stepladder pricing in the tables below.
Therefore, the final unit price of any specific item will be based on the total number of units procured for that item within that 60-day timeframe. The Government will retain the unilateral right to amend issued modifications at the final unit price.

SECTION M - EVALUATION FACTORS FOR AWARD
The following have been modified:
M.1 GENERAL INFORMATION
This section contains specific evaluation factors for award of a contract pursuant to this solicitation. A contract will be awarded to the responsible Offeror whose proposal is determined by the Government to offer the LOWEST PRICE TECHNICALLY ACCEPTABLE (LPTA) proposal in accordance with FAR 15.101-2. Award will be made only to an Offeror whose proposal is determined to be technically acceptable. Offerors are advised that a rating of “Unacceptable” in any single evaluation factor, will result in the proposal being rated technically unacceptable overall. Offerors are also advised that the Government will not evaluate any proposal information not contained within the body of the proposal. Letters of transmittal and/or cover letters that forward the proposal to the Government are not considered part of the body of the proposal.
Statements and representations made in the Offeror’s proposal may be subject to verification by the Defense Contract Audit Agency, the Defense Contract Management Agency or otherwise, or through an onsite survey by Government evaluators.
The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced within the stepladder ranges and/or between line items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more stepladder prices or contract line items are significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
Evaluation of options will not obligate the Government to exercise the option(s).
The Government will not entertain any proposed revisions to the terms and conditions contained in this solicitation submitted as part of the Offeror’s proposal, including any attachment/exhibit referenced therein.
Therefore, any offer that includes “redlines,” condition(s) of offer, or any other deviation from the requirements of the solicitation may be rejected by the Government as non-compliant.
Offerors are advised that the Government reserves the right to conduct site visits and/or a pre-award survey prior to award to any prospective Offeror.
Offerors are advised that the Government intends to make an award subject to the availability of funds.
Offerors are advised that proposals that include Cost and/or Price information in the Technical and Past Performance Volumes may result in the proposal being evaluated as “Unacceptable.”
The successful Offeror shall have been granted a SECRET facility security clearance by a military department prior to the date of award. Any firm lacking the requisite security clearance and intending to respond to this procurement shall, within fourteen (14) days of issuance of this solicitation, request initiation of such clearance action in writing from the Naval Sea Systems Command, Code: SEA 00P, 1333 Isaac Hull Avenue SE, Washington Navy Yard DC 20376. Appropriate clearance action in accordance with established procedures will be initiated by the Naval Sea Systems Command, but the Naval Sea Systems Command does not represent that such action can be completed and clearance granted prior to expiration of offers.
Proposals that do not include all the information and materials prescribed in Section L, above, may be disqualified from consideration for award upon receipt without further review by the Government.
M.2 EVALUATION FACTORS OTHER THAN COST OR PRICE
General: The Government’s Technical and Past Performance Evaluation of proposals will be based on the factors listed below and described in Section L of this solicitation.

FACTOR 2: PAST PERFORMANCE
The Past Performance factor will be rated on an Acceptable/Unacceptable basis. The Government will use information provided by the Offeror, as well as any other information deemed necessary to assess the Offeror’s ability to meet the solicitation requirements. This assessment will be based on a demonstrated record of past performance, taking into consideration the recency and relevancy of the past performance data as well as how well the offeror performed on prior contracts. The Government may also evaluate the past performance of an Offeror’s proposed major subcontractors. When assessing past performance, the Government will focus its assessment on the past performance of the Offeror and its proposed major subcontractors as it relates to all solicitation requirements, such as quality, price, schedule, and performance, including the contractor’s record of conforming to specifications and to standards of good workmanship; the contractor’s adherence to contract schedules, including administrative aspects of performance; the contractor’s history for reasonable and cooperative behavior and commitment to customer satisfaction; and general, the contractor’s business-like concern for the interests of its customers. In the investigation of an Offeror’s past performance, the Government reserves the right to contact former customers, Government agencies and other private and public sources of information. Offerors are cautioned that in conducting the past performance assessment, the Government may use data provided in its proposal and may use data obtained from PPIRS, FAPIIS, eSRS and CPARS. It is incumbent upon the offeror to explain the relevance of the data provided. Offerors are reminded that while the Government may elect to consider data obtained from other sources, the burden of providing thorough and complete past performance source data rests with the offerors..
In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, unknown past performance shall be considered acceptable. The evaluation will include information provided by the Offeror demonstrating compliance with the requirements of FAR 52.219-8 and 52.219-9.
To be considered acceptable, the Offeror’s Technical and Past Performance proposals (Factors 1 and 2) shall meet the Government’s minimum requirements as set forth in this solicitation.
M.2.1 RATINGS DEFINITIONS
The Offeror’s technical proposal will be evaluated and a determination made as to the acceptability of each, in accordance with the following definitions:
Factor 1 - the Government will evaluate the Offeror’s proposal using the following ratings:
• Acceptable: Proposal meets the requirements of the solicitation.
• Unacceptable: Proposal does not meet the requirements of the solicitation.
Factor 2 - the Government will evaluate the Offeror’s proposal using the following ratings:
• Acceptable: Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown.
• Unacceptable: Based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.
M.3 PRICE FACTOR EVALUATION AND TOTAL EVALUATED PRICE (TEP) TO THE
GOVERNMENT
The Government will evaluate all FPP CLINs for price reasonableness and material balance. Cost and Price Realism will NOT be conducted for FFP CLINs. Cost Realism will be conducted for CPFF CLINs.
The Government will determine a Total Evaluated Price (TEP) to the Government for each Offeror by adding together the following values:
Total Evaluated Stepladder Price for the Console, Display and Peripheral Equipment (see #1 below) + $ Total Evaluated Price for FAUs and PRR (see #2 below) + $ Total Evaluated Price for INCO/Spares (see #3 below) + $ Total Evaluated Price for Engineering Services (see #4 below) + $ Total Other Direct Costs in support of Engineering Services (see#5 below) + $
TOTAL EVALUATED PRICE (TEP) = $
(1) The Total Evaluated Stepladder Price for the Console, Display and Peripheral Equipment is determined by adding together the Government’s evaluation of the Offeror’s proposed FFP amounts, in accordance with the stepladder pricing tables in Section B, Notes C, D, E and F, using the Government’s randomly selected quantity for Contract Line Item Numbers (CLINs) 0001-0005, 1001-1005, 2001-2005, 3001-3005 and 4001-4005. The Government has determined that it is just as likely that any potential quantities within the stepladder ranges will be awarded and because the Government seeks reasonable pricing for all stepladder priced line items, the Government will randomly select, prior to receipt of proposals, a single quantity to be evaluated for each line item. The Government will then utilize the randomly selected quantity to determine the amount to be included in the TEP for each CLIN by multiplying the randomly selected quantity by the Offeror’s proposed price for the associated line item. The selection of a random quantity is for evaluation purpose only and does not obligate the Government to award/exercise at that randomly selected quantity. The randomized quantities will not be disclosed to Offerors until after award.
(2) The Total Evaluated Price for First Article Requirement(s) (FAU) and Production Readiness Review (PRR) CLINs 0006-0010 is determined by adding together the Government’s evaluation of the Offeror’s proposed FFP amounts, in accordance with the pricing tables in Section B, Note J.
(3) The Total Evaluated Stepladder Price for Spares is determined by adding together the Government’s evaluation of the Offeror’s proposed FFP amounts, in accordance with the pricing tables in Attachment J-4.
These tables will be evaluated using the Government’s selected quantities for CLINs 0100, 1100, 2100, 3100 and 4100. The Government has determined that it is just as likely that any one of the quantities will be awarded and because the Government seeks reasonable pricing for all stepladder line items, the Government will select, prior to receipt of proposals, a quantity for each line item.. The Government will then utilize the selected quantity to determine the amount to be included in the TEP for each CLIN. The selection of a quantity is for evaluation purpose only and does not obligate the Government to award/exercise at that selected quantity. The selected quantities will not be disclosed to Offerors until after award.
(4) The Total Evaluated Price for Engineering Services CLINs 0200, 1200, 2200, 3200 and 4200 is determined by adding together the Government’s evaluation of the Offeror’s proposed CPFF amounts, in accordance with the pricing tables in Section B, Note H.
(5) The Government estimate for Incidental Materials and Other Direct Costs shall be incorporated into the
Total Evaluated Price per Note H.
M.4 BASIS FOR AWARD
Award will be made on the basis of the proposal with lowest Total Evaluated Price (TEP) meeting or exceeding the acceptability standards for non-cost factors (Total Evaluated Price is defined in M.3). To be technically acceptable, the proposal shall be acceptable in Factor 1 and Factor 2. If any non-price factor is unacceptable, then the entire proposal will be unacceptable regardless of price.
Offerors are notified that, in accordance with FAR clause 52.215-1, which is incorporated in Section L, the Government intends to make an award on the basis of initial proposals without conducting discussions. The Government will not perform a tradeoff analysis in its evaluation. The Government will evaluate all Offerors' price proposals to determine their TEP first, in accordance with Paragraph M.3 of this solicitation. The technical proposal of the Offeror with the lowest TEP will be evaluated for technical acceptability first. If the Offeror with the lowest TEP is found to be technically acceptable, the Government will not evaluate the technical acceptability of any other proposals. If the Offeror with the lowest TEP is found to be technically unacceptable then the Government will evaluate the technical acceptability of the Offeror with the next lowest TEP and so on until a technically acceptable Offeror is determined. If, at any point, in this ordered-process the Government determines that it is necessary to enter into discussions, the Government may evaluate the technical proposals of all Offerors not otherwise excluded from competition.
